Approval of Equitization Plan and Transformation of Dong Thap Petroleum Trading Import-Export Co., Ltd. into a Joint-Stock Corporation

PRESIDENT OF DONG THAP PEOPLE'S COMMITTEE

Based on Law of organizing local authorities passed on 19 June, 2015;

Pursuant to Decree No: 126/2017/ND-CP dated 16 Nov., 2017 from the Government, concerning the transformation of State businesses and one-member

limited liability companies with 100% charter capital invested by state owned enterprises into joint-stock companies;

Pursuant to Decree No: 44/2014/ND-CP dated 15 May, 2014 from the Government, specifying land prices;

Pursuant to Decision No: 1610/QD-UBND-HC dated 29 Dec., 2017 from

Dong Thap People's Committee, concerning announcement of the business value to equitize Dong Thap Petroleum Trading Import-Export Co., Ltd.;

In view of the proposal made by Department of Finance in Official Dispatch No: 494/STC-TCDN dated 9 Mar., 2018; and

According to proposal from the Head of Steering Committee for Equitization of Dong Thap Petroleum Trading Import-Export Co., Ltd.;

HEREBY DECIDES:

Clause 1. To approve the equitization plan of Dong Thap Petroleum Trading Import-Export Co., Ltd. as follows:

1.2. The joint-stock company is entitled to:

- Its legal entity from the date of business registration;

Its independent economic accounting system;

- Have its own stamp and open bank accounts in line with law;

Be organized and operate under joint-stock company statute and

Business Law, and be registered in compliance with law;

1.3. Charter capital and shareholding structure:

a) Charter capital: 1,355,225,860,000 VND (One thousand three

hundred and fifty-five billion, two hundred and twenty-five

million, eight hundred and sixty thousand Vietnamese dongs);

b) Initially issued shares: 135,525,586 shares

Value of each share: 10,0000 VND, in which:

+ State shares: 86,734,455 shares, occupying 64 % of charter

capital;

+ Issued shares sold at preferential prices to employees of the

company: 747,600 shares, occupying 0.55 % of charter capital;

+ Shares to Trade Union of the company: 0, occupying 0 % of

charter capital;

+ Issued shares sold to strategic investors: 20,328,388 shares,

occupying 15 % of charter capital;

+ Issued shares publicly auctioned to ordinary investors:

27,712,143 shares, occupying 20.45 % of charter capital;

1.4. Labor arrangement scheme:

- Total actual number of employees at equitiza n: 26

1.5. Costs of equitization:

Directors Board President of Dong Thap Petroleum Trading Import-

Export Co., Ltd. determines and takes responsibility for actual costs necessary in

the equitization process in compliance with existing regulations. The settlement of funds for redundant employees is subject to State regulations.

Clause 2. The Steering Committee for Equitization of Dong Thap

Petroleum Trading Import-Export Co., Ltd. is responsible to handle the share

selling in line with law, assess and submit the settlement of equitization and

redundant labor expenditures for approval by Chairman of provincial People's Committee.

General Director of Dong Thap Petroleum Trading Import-Export Co.,

Ltd. is responsible to control and manage the company until total transfer of

assets, capital, employees... to the joint stock company and takes responsibility for company operation outcome in compliance with law.

Clause 3. This Decision is valid from signature date.

Clause 4. Head of Steering Committee for Equitization, Chief of provincial People's Committee Secretariat, and managers of relevant units are responsible to execute this Decision.
