I. JURISDICTION
This Administrative Order on Consent ("Consent Order") is
issued pursuant to the authority vested in the President of the
United States by Section 122 (g) (4) of the Comprehensive
Environmental Response, Compensation, and Liability Act of 1980,
as amended ("CERCLA") , 42 U.S..C. Section 9622 (g) (4), to reach
settlements in actions under Sections 106 or 107 of CERCLA, 42
U.S.C. sections 9606 and 9607, The authority vested in the
President has been delegated to the Administrator of the United
States Environmental Protection Agency (."EPA") by Executive Order
12580, 52 Fed. Reg. 2923 (January 29, 1987) and further delegated
to Regional Administrators of the EPA by EPA delegation 14-14-E
(September 13, 1987).
This Administrative Order on Consent is issued to identified

de minimis respondents ("Respondents") listed in Attachment A,
and to identified de minimis federal agencies ("Settling Federal
Agencies") listed in Attachment F. Each Respondent and each
Settling Federal Agency agraets to undertake all actions required
by the terms and conditions of this Consent Order. This Consent
Order is entered into voluntarily by and between EPA, the
Respondents, and the Settling Federal Agencies whose signature
pages appear as Attachment B. Each Respondent and Settling
Federal Agency further consents to and will not contest EPA's
jurisdiction to issue this Consent Order or to implement or
enforce its terms.
II. DEFINITIONS
Unless otherwise expressly provided herein, terms
used in this Consent Order which are defined in CERCLA or in
regulations promulgated under CERCLA shall have the meaning
assigned to them in the statute or regulations. Whenever the
terms listed below are used in this Consent Order, including the
Attachments hereto, the following definitions shall apply:
1. "A T & T" shall refer to A T & T Nassau Metals
Corporation, incorporated under the laws of the State of New
York, the potentially responsible party which is currently
undertaking Response Action at the Site in accordance with
Unilateral Administrative Orders issued by EPA Region III on
September 30, 1991, June 25, 1993, and March 2, 1994.
2. "Blue Chopping Line Report or BCLR" shall mean a record
of individual transactions of numerous sources reflecting waste

contributions to the Site that were compiled by Eastern
Diversified Metals employees. Diversified industries
subsequently used production records of the Eastern Diversified
Metals plant to produce the- document known as the Blue Chopping
Line Report. The BCLR, which provided EPA's initial information
about waste contributions to the Site, documents transactions at
the Site between the years 1972 and 1977.
3. "CERCLA" shall mean the Comprehensive Environmental
Response, Compensation, and Liability Act of 1980, as amended,
42 U.S.C. Sections 9601- 9675.
4. "Consent Order or Order" shall mean this Administrative
Order on Consent and all Attachments hereto. In the event of
conflict between this Consent Order and any Attachment, this
Consent Order shall control.
5. "Day" shall mean a calendar day unless expressly stated
to be a working day. "Working day" shall mean a day other than a
Saturday, Sunday, or Federal holiday. In computing any period of
time under this Consent order, where the last day would fall on aSaturday, Sunday, or Federal holiday, the period shall run until
the close of business of the next working day.
6. "EPA" shall mean the United States Environmental
Protection Agency and any successor departments or agencies of
the United States.
7. "Hazardous substance" shall have the meaning provided in
Section 101(14) of CERCLA, 42 U.S.C. Section 9601(14).
8. "National Contingency Plan" or "NCP" shall mean

the National Oil and Hazardous Substances Pollution Contingency
Plan promulgated pursuant to Section 105 of CERCLA, 42 U.S.C.
Section 9605, as set forth at. 55 Fed. Reg. 8666 (March 8, 1990),
and codified at 40 C.F.R. Part 300, including any amendments
thereto.
9. "Option 1" shall mean the payment associated with Site
costs including estimated work in the three Records of Decision
to date, Attachment D.
10. "Option 2" shall mean the payment associated with
Option 1 and any additional response after completion of removal
and recycling of the fluff, Attachment D.
11. "Paragraph" shall mean a portion of this Consent Order
identified by an Arabic numeral or an upper case letter.
12. "Records of Decision or RODs" shall mean the EPA
Records of Decision relating to the Site and signed March 29,
1991, July 2, 1992, and September 29, 1993 by the Regional
Administrator, EPA Region III, and all Attachments thereto. The
work described in the various RODs for the Site is comprised of
operable units ("Ous"). To date there are OU1, OU2, and OU3.
13. "Remedial Action" shall mean those activities, except
for Operation and Maintenance, specified in EPA's Unilateral
Administrative Orders issued on September 30, 1991, June 25,
1993, and March 2, 1994.*
14. "Respondents" shall mean the named de minimis
potentially responsible parties listed in Attachment B who are
signatories to this Consent Order.

15. "Settling Federal Agencies" shall mean the named de
minimis potentially responsible federal agencies listed in
Attachment B who are signatories to this Consent Order.
16. "Section" shall mean a portion of this Consent Order
identified by a Roman numeral.
17. "Site" shall mean the Eastern Diversified Metals
Superfund Site, encompassing approximately 25 acres, located in
Rush Township, Schuylkill County, Pennsylvania, further
identified by map in Attachment C.
18. "Unilateral Administrative Orders" or "UAOs" shall
refer to the EPA Unilateral Administrative Orders relating to the*
Eastern Diversified Metals Superfund Site, signed by the Regional
Administrator of EPA Region III on September 30, 1991, June 25,
1993, and March 2, 1994, and all Attachments thereto.
19. "United States" shall mean the United States
of America, its agencies, departments and instrumentalities.
20. "Volumetric Ranking Summary" shall mean the list
prepared by EPA for the site of all de minimis parties'
volumetric share including cost share and premium(s) for Option 1
or Option 2, attached as Attachment D.
III. FINDINGS OF FACT
1. The. Site is located in Rush Township, Schuylkill
County, approximately one mile northwest of the intersection of
Routes 54 and 309 in the town of Hometown, Pennsylvania. The
Site is further described in Records of Decision issued by EPA on
March 29, 1991, July 2, 1992, and September 29, 1993.

2. The Site covers approximately 25 acres of partially
forested land in a deep east-to-west trending topographic valley.
East-west oriented railroad tracks border the Site on the north
valley ridge. The Little Schuylkill River ("LSR") flows in a
south-southeasterly direction 250 feet west of the property. A
shallow stream flows westerly along the southern border of the
Site in the valley bottom, discharging into the LSR.
3. Waste insulation material, referred to as "fluff," has
been disposed of at the Site. The largest insulation disposal
area (the "Pile") occupies approximately 7.5 acres in a pile
approximately 250 feet wide by 1,500 feet long by 40-60 feet high
and contains an estimated 350 million pounds of fluff. The fluff
is composed primarily of polyvinyl chloride ("PVC") andpolyethylene insulation chips, and fibrous material, paper, soil,
and metal. The fluff is residual material from reclamation of
copper and aluminum communication and power wire and cable.
4. In or around September 1966, Greater Tamaqua IndustrialDevelopment Enterprises conveyed the Site property to Eastern
Diversified Metals Corporation ("EDMC"). EDMC operated at the
Site, reclaiming copper and aluminum from wire and cable in a
processing building on Lincoln Avenue, from approximately 1966
until 1977. The EDMC plant received wire from numerous sources.
Plastic insulation surrounding metal cable and wire wasmechanically stripped and separated from the metal at the plant
using gravitational separation techniques. This process involved
chopping the wire, stripping the plastic coating from the wire

with steel blades, and separating the wire from the plastic
coverings through the use of an air clarifier and a water table.
5. The metal reclaimed by EDMC was either sold or returned
to the sources. EDMC disposed of the waste insulation material
on the ground in the topographic swale area behind the plant at
the Site. The Pile which currently exists is a result of this
disposal practice.
6. In 1985, Todd Giddings and Associates, Inc. completed a
Site evaluation report, including sampling and analysis of
surface water, leachate, ground water, fluff, and sediment. This
evaluation report determined that the fluff contained
polychlorinated biphenyls ("PCBs") and failed the Extraction
Procedure Toxicity test for lead. Additionally, various metals
were detected in the downgradient monitoring well.
7. In 1985, the EPA Field Investigation Team subcontractor,
NUS Corporation, sampled the Site's surface soil, surface water,
stream sediment, leachate, leachate runoff path sediment, and
ground water to provide data in order for EPA to further assess
the Site.
8. In 1987, EPA issued an administrative order pursuant toA
section 106(a) of CERCLA, 42 U.S.C. Section 9606(a), to
Diversified Industries, Inc. and Site owner Theodore Sail
directing the installation of a security fence around the Site.
The fence was subsequently installed by those parties.
9. On October 19, 1987, Sail and A T & T signed an
administrative order on consent with EPA for the performance of a

Remedial Investigation/Feasibility Study ("Ri/FS") at the Site.
The purpose of the RI/FS was to determine the nature and extent
of contamination and to evaluate remedial alternatives for
implementation at the Site.- Samples were collected and analyzed
from air, soils, sediments, ground water, and surface water. A
majority of these samples were taken in and around the fluff pile
area.
10. EPA placed the Site on the CERCLA National Priorities
List in October 1989 (see 54 Fed. Reg. 41O36 (Oct. 4, 1989)).
11. In February 1991, EPA accepted the RI/FS performed by
Theodore sail and A T & T . Data collected .prior to and during
the RI/FS revealed hazardous substances in the fluff and
surrounding soils, sediments, surface water, and ground water.
12. To date, EPA has issued three Records of Decision
regarding the Site, on March 29, 1991, July 2, 1992, and
September 29, 1993, and has incurred past costs of approximately
$220,000.00.
13. Upon the completion of removal and recycling of the
fluff, EPA may evaluate the condition of the soil underlying the
fluff pile. At that time, EPA will determine whether future
response actions beyond those specified in RODs dated March 29,
1991, July 2, 1992, and September 29, 1993, are necessary.
14. The estimated costs to Respondents and Settling Federal
Agencies to address any soil contamination are included within
Option 2, Attachment D. In a ROD signed September 29, 1993, EPA
previously determined that the Site did not require response

action for deep groundwater.
15. Based on these facts, EPA concludes that in the
aggregate the fluff/waste insulation material disposed at the
Site contained hazardous substances including, but not limited
to, bis(2-ethylhexyl) phthalate, di-N-octylphthalate, cadmium,lead, phenol, copper, FCBs, and/or zinc.
16. EPA has reviewed the BCLR records describing the
transactions of the PRPs, including Respondents and Settling
Federal Agencies, in relation to the Site. These records include
information describing the amount and nature of materials
containing hazardous substances contributed to the Site. Based
upon that review, EPA has determined that each Respondent and
each Settling Federal Agency arranged for disposal or treatment,
or arranged with a transporter for disposal or treatment, of a
hazardous substance owned or possessed by such Respondent, or
Settling Federal Agency at the Site.
17. Information currently known to EPA indicates that each
Respondent and each Settling Federal Agency listed in Attachments
A and F contributed less than four per cent of the total volume
of hazardous substances at the Site. Attached hereto and
incorporated by reference is the Volumetric Ranking Summary,
containing information from the BCLR between the years 1972 and1977, which is listed as Attachment D and lists the estimated
volume of the material containing hazardous substances
contributed to the Site by each Respondent and each Settling, \
Federal Agency, as well as the total estimated volume of material

including hazardous substances received and processed at the
Site. _„.„. » _,
18. The payments required to be made by each Respondent and
each settling Federal Agency pursuant to this Consent Order are a
minor portion of the total response costs at the Site which,
based upon currently available information, EPA estimates to be
between $30,029,319.64 and $32,529,319.64.
IV. DETERMINATIONS
Based on the Statement of Facts set forth above, and on
the administrative record for this Site, EPA has determined that:
1. The Eastern Diversified Metals Superfund Site is a
"facility" as that term is defined in Section 101(9) of CERCLA,
42 U.S.C. Section 9601(9).
2. Each Respondent and each Settling Federal Agency is a
"person" as that term is defined in Section 101(21) of CERCLA, 42
U.S.C. Section 9601(21).
3. Each Respondent and each Settling Federal Agency is a
potentially responsible party within the meaning of Sections
107(a) and 122(g)(l) of CERCLA, 42 U.S.C. Sections 9607(a) and
9622(g)(l).
4. The materials shipped to the Site by the Respondents
and the Settling Federal Agencies include "hazardous substances"
within the meaning of Section 101(14) of CERCLA, 42 U.S.C.
Section 9601(14).
5. There has been an actual or threatened "release" of a
hazardous substance from the Site as that term is defined in

Section 101(22) of CERCLA, 42 U.S.C. Section 9601(22).
6. Prompt settlement with each Respondent and each
Settling Federal Agency is practicable and in the public interest
within the meaning of Section 122(g)(l) of CERCLA, 42 U.S.C.
Section 9622(g)(1).
7. As to each Respondent and each Settling Federal Agency,
this Consent Order involves only a minor portion of the response
costs at the Site within the meaning of Section 122(g)(l) of
CERCLA, 42 U.S.C. Section 9622(g)(l).
8. The amount of hazardous substances contributed to the
Site by each Respondent and each Settling Federal Agency and the
toxic or other hazardous effects of the hazardous substances
contributed to the Site by each Respondent and each Settling
Federal Agency are minimal in comparison to other hazardous
substances at the Site within the meaning of Section 122(g)(l)(A)
Of CERCLA, 42 U.S.C. Section 9622(g)(1)(A).
V. ORDER
Based on the administrative record for this Site and the
Findings of Fact and Determinations set forth above, and in
consideration of the promises and covenants set forth herein, it
is hereby AGREED TO AND ORDERED:
PAYMENT
1. Payments by de minimis parties shall be as follows:
a. payments by Respondents: within 30 days of the
effective date of this Consent Order, each Respondent shall pay
the amount listed in the volumetric ranking in Attachment D

either as Option 1 or Option 2, and indicate the Option chosen on
the signature page set forth in Attachment B, which are
incorporated herein by reference. Payments made for past
response costs shall be applied towards reimbursing the Hazardous
Substance Superfund for costs incurred at or in connection with
the Site as of the effective date of this Consent Order. Costs
incurred first shall be reimbursed first; and
b. payments by Settling Federal Agencies: within 120
days of the effective date of this Consent Order, each Settling
Federal Agency shall pay the amount listed in the volumetric
ranking in Attachment D either as Option 1 or Option 2, and
indicate the Option chosen on the signature page set forth in
Attachment B, which are incorporated herein by reference.
Payments made for past response costs shall be applied towards
reimbursing the Hazardous Substance Superfund for costs incurred
at or in connection with the Site as of the effective date of
this Consent Order. Costs incurred first shall be reimbursed
first. -
2. The total amount to be paid by each Respondent, and by
each Settling Federal Agency, Attachment D, includes a payment
for:
a. Past response costs incurred at or in connection
with the Site;
b. projected future response costs to be incurred at
or in connection with the Site; and
c. a premium to cover the risk that;

i) conditions at the Site, previously unknown to
EPA, are discovered after the effective date of this Consent
Order, or information, previously unknown to EPA, is received, in
whole or in part, after the-effective date of this Consent Order,
and these previously unknown conditions or this information
indicates that the remedial action, consistent with the Record of
Decision, is not protective of human health and the environment,
or
ii) that the actual response costs incurred in
carrying out Remedial Actions exceed the estimated costs included
in the ROD.
Each Respondent's and each Settling Federal Agency's payment for
the past, future, and premium cost categories combined is set
forth in Attachment D, including Option 1 and Option 2, of this
Consent Order, which is incorporated herein by reference.
3. Each payment shall be made by certified, cashier's, or
United States Treasury check payable to "EPA - Hazardous
Substance Superfund".
a. Each check shall reference the Eastern Diversified
Metals Special Account, the Site Spill ID Number PAD980830533,
the name and address of the Respondent or the Settling Federal
Agency, the EPA docket number (III 94-30-DC) for this action, and
shall be sent to:

b. Each payment sheill be retained by EPA and shall beused by EPA, or by a party designated by EPA, to conduct orfinance response action at the Site.
c. At the time of payment pursuant to Paragraphs 3(a)and (b), Respondents shall simultaneously send a copy of thecheck and any transmittal docvimentation to:

4. Payments by the United States, whether on behalf of a
Settling Federal Agency or otherwise, are subject to the
availability of appropriated funds. No provision of this Consent
Order shall be interpreted as or constitute a commitment or
requirement that the United States or any Settling Federal Agency
obligate or pay funds in contravention of the Anti-Deficiency
Act, 31 U.S.C. Sections 1341, 1511-1519.
5. Amounts due and owing pursuant to the terms of this
Consent Order but not paid in accordance with the terms of this
Consent Order shall accrue interest at the rate established
pursuant to Section 107(a) of CERCLA, 42 U.S.C. Section 9607(a),
compounded on an annual basis.

6. In addition to any other remedies or sanctions available
to EPA, any Respondent who fails or refuses to comply with any
term or condition of this Consent Order shall be subject to a
civil penalty of up to $25,000 per day for each failure or
refusal pursuant to Section 122(1) of CERCLA, 42 U.S.C. Section
9622(1).
CERTIFICATIONS
7. By signing this Consent Order, each Respondent and each
Settling Federal Agency certifies individually that to the best
of its knowledge and belief, such Respondent and such Settling
Federal Agency has no information which provides a basis for it
to alter the accuracy of the BCLR, each Respondent and each
Settling Federal Agency has conducted a thorough, comprehensive,
good faith search for documents relating to the Site, and each
Respondent and each Settling Federal Agency has made good faith
diligent effort fully and accurately to disclose to EPA all
information currently in its possession, or in the possession of
Respondent's and Settling Federal Agency's officers, directors,
employees, contractors or agents, which relates in any way to the
ownership or operation of the Site, or to the generation,
treatment, transportation, storage or disposal of hazardous
substances at or in connection with the Site. Each Respondent
and each Settling Federal Agency to whom EPA has sent an
information request under Section 104(e) of CERCLA, 42 U.S.C.
Section 9604(e), further certifies, individually that to the best
of its knowledge and belief it has complied with any and all EPA

requests for information relating to Respondent's and Settling
Federal Agency's potential liability regarding the Site since
notification of potential liability regarding the Site pursuant
to Sections 104(e) and 122(e) of CERCLA, 42 U.S.C. Sections
9604(e) and 9622(e), and Section 3007 of the Resource
Conservation and Recovery Act, as amended, 42 U.S.C Section 6927.
Providing false, fictitious, or fraudulent statements or
representations to the United States is punishable as a crime
under 18 U.S.C. Section 1001.
COVENANTS BY EPA
8. In consideration of the payments, Option 1 or Option 2,
that will be made by the Respondents and by the Settling Federal
Agencies under the terms of this Consent Order, except as
specifically reserved in Section V, Paragraphs 12, 13, and 14 of
this Consent Order, EPA covenants not to sue or take
administrative action against any of the Respondents pursuant to
Sections 106(a) and 107(a) of CERCLA, 42 U.S.C. Sections 9606(a)
and 9607(a), relating to the Site, and further covenants not to
take administrative action against any Settling Federal Agency
pursuant to Sections 106(a) and 107(a) of CERCLA, 42 U.S.C.
Sections 9606(a) and 9607(a), relating to the Site. These
covenants shall take effect with respect to each Respondent and
each Settling Federal Agency upon the receipt by EPA of the
payment for that Respondent 01: that Settling Federal Agency
required by Section V, Paragraph 1 or Paragraph 2, of this*
Consent Order, with respect to each Respondent and each.Settling

Federal Agency, individually, these covenants are conditioned
upon complete performance by each Respondent and each Settling
Federal Agency of all obligations under this Consent Order, and
the veracity and completeness of the information provided to EPA
by each Respondent and each Settling Federal Agency relating to
each Respondent's and each Settling Federal Agencies' involvement
with the Site. These covenants shall be null and void with
respect to any individual Respondent or Settling Federal Agency
that fails to perform all obligations under this Consent Order in
a complete manner, or has provided materially false, incomplete,
or incorrect information in Respondent's or Settling Federal
Agencies' Certification under Section V, Paragraph 7. These
covenants extend only to Respondents and Settling Federal
Agencies and do not extend to any other person.
COVENANTS BY RESPONDENTS
9. The Respondents covenant not to sue and agree not to
assert any claims or causes of action against the United States,I
including Settling Federal Agencies, or their contractors or
employees with respect to the Site or this Consent Order,
including, but not limited to, any direct or indirect claim for
reimbursement from the Hazardous Substance Superfund (established
pursuant to the Internal Revenue Code, 26 U.S.C. 9507) under
Sections 106(b)(2), 111, 112, or 113 of CERCLA, 42 U.S.C.
Sections 9606(b)(2), 9611, 9612, or 9613, or any other provision
of law, or any claims arising out of response activities at the
Site. Nothing in this Consent Order shall be deemed to

constitute preauthorization of a claim within the meaning of
Section 111 of CERCLA, 42 U.S.C. 9611, or 40 C.F.R. Section
300.700(d), including, but not limited to, any claims for
contribut ion.
RESERVATION OF RIGHTS/RESPONDENTS. SETTLING FEDERAL AGENCIES
10. Taking into account the selection of Option 1 or Option
2 in Attachment D, Respondents and Settling Federal Agencies
reserve the right to raise any administrative, legal, or
equitable claim or defense with respect to such further action as
EPA may require of Respondents or Settling Federal Agencies,
except action to implement or enforce this Order. Nothing herein
shall be deemed a waiver of any rights that any Respondent or any
Settling Federal Agency may have against other persons who may be
related to the Site, including, but not limited to, generators of
waste at the Site; transporters of waste to the Site; those who
arranged for the disposal of hazardous substances at the Site;
those who disposed of hazardous substances at the Site; those who
at any time owned or operated the Site; and insurers providing
insurance to any of the aforementioned entities which are not
parties to this Consent Order.
COVENANT BY SETTLING FEDERAL AGENCIES
11. In consideration of EPA's covenants in Section V,
Paragraph 8, of this Consent Order, the Settling Federal Agencies
agree not to assert any administrative claims against EPA or its
contractors or its employees or the Hazardous Substance Superfund
arising out of expenses with respect to the Site, or to seek any

other costs, damages, or attorney's fees from EPA or its
contractors or employees arising out of response activities at
the Site.
RESERVATIONS OF RIGHTS
12. With respect only to those Respondents or Settling
Federal Agencies that choose the Option 1 payment set forth in
Attachment D: nothing in this Consent Order is intended to be
nor shall it be construed as a release or covenant not to sue for
any claim or cause of action, administrative or judicial, civil
or criminal, past or future, at law or in equity, which the
United States, including EPA, may have against that Respondent or
Settling Federal Agency for costs, injunctive relief or damages
related to potential future response action, referred to in
Section III, Paragraph 13.
13. The united States, including EPA, reserves, and this
Consent Order is without prejudice to, all rights against all
Respondents and all Settling Federal Agencies with respect to all
other matters, including but not limited to the following:
a. liability for failure to meet a requirement of this
Consent Order;
b. criminal liability;
c. liability for damages for injury to, destruction
of, or loss of natural resources, and for the costs of any
natural resource damage assessments;
d. liability for response costs relating to the Site
that have been or may be incurred by Natural Resource Trustees.

14. As to any Respondent for whom information not currently

substances at the Site, notwithstanding any other provision in

The information and the conditions known to EPA shall
include that information and those conditions set forth in the
Records of Decision for the Site and the administrative record
supporting the Records of Decision.
EFFECT OF SETTLEMENT; CONTRIBUTION PROTECTION
15. Nothing in this consent Order shall be construed to
create any rights in, or grant any cause of action to, any person
not a party to this Consent Order. The preceding sentence shall
not be construed to waive or nullify any rights that any person
hot a signatory to this Consent Order may have under applicable
law. The United States, including EPA, and the Respondents and
Settling Federal Agencies each reserve any and all rights
(including, but not limited to, any right to contribution),
defenses, claims, demands, and causes of action which each party
may have with respect to any matter, transaction, or occurrencerelating in any way to the Site against any person not a party
hereto.
16. EPA, the Respondents and Settling Federal Agencies
agree that the actions undertaken by Respondents and Settling
Federal Agencies in accordance with this Consent Order do not
constitute an admission of any liability by any Respondent or
Settling Federal Agency. The Respondents and the Settling

Federal Agencies do not admit, and retain the right to controvert
in any subsequent proceedings, other than proceedings brought by
the United States including EPA to implement or enforce this
Consent Order, the validity of the Statement of Facts or
Determinations contained in this Consent Order.
17. The Respondents and Settling Federal Agencies agree
that with respect to any suit or claim for contribution brought
by them for matters related to this Consent Order they will to
the best of their ability provide notification to EPA in writing
no later than 60 days prior to the initiation of such suit or
claim. The Respondents and Settling Federal Agencies also agree
that with respect to any suit or claim for contribution brought
against them for matters related to this Consent Order they will
to the best of their ability provide notification to EPA in
writing within 10 days of service of the complaint on them. In
addition, Respondents and the Settling Federal Agencies shall
notify EPA within 10 days of receipt of any order from a court
setting any such case for trial.
18. With regard to claims for contribution against each
Respondent or each Settling Federal Agency for matters addressed
by this Consent Order, the parties hereto agree that each
Respondent and each Settling Federal Agency is entitled, as of
the effective date of this Consent Order, to such protection from
contribution actions or claims as is provided by Sections
113(f)(2) and 122(g)(5) of CERCLA, 42 U.S.C. Sections 9613(f)(2)
and 9622(g)(5). Such protection, with respect to each Respondent

and each Settling Federal Agency is conditioned upon that
Respondents' and that Settling Federal Agency's compliance with
this Consent Order.
• PARTIES BOUND
19. This Consent Order shall apply to and be binding upon
EPA, the Respondents, the Settling Federal Agencies, and their
successors and assigns. Any change in ownership or corporate
status of a Respondent including, but not limited to, any
transfer of assets or real or personal property, shall in no way
alter such Respondent's responsibilities under this Consent
Order. Each person signing this Consent Order certifies that he
or she is fully authorized to enter into the terms and conditions
of this Consent Order and to execute and bind legally the Party
represented by him or her.
PUBLIC COMMENT
20. This Consent Order shall be subject to a thirty-day
public comment period pursuant to Section 122(i) of CERCLA, 42
U.S.C. Section 9622(i). In accordance with Section 122(i)(3) of
CERCLA, 42 U.S.C. Section 9622(i)(3), EPA may withdraw or
withhold its consent to this Consent Order if comments received
disclose facts or considerations which indicate that this Consent
Order is inappropriate, improper or inadequate.
ATTORNEY GENERAL APPROVAL
21. In accordance with Section 122(g)(4) of CERCLA, this
Consent Order shall not become effective without the prior
written approval of the Attorney General or her designee. A copy

of this approval is attached as Attachment E.
EFFECTIVE DATE
22. Following EPA's receipt of all signatures and
approvals, the effective date of this Consent Order shall be the4
date upon which EPA issues written notice to the Respondents and
to the Settling Federal Agencies that the public comment period
pursuant to Section V, Paragraph 20, of this Consent Order has
closed and that comments received, if any, do not require
modification of or EPA withdrawal from this Consent Order.
COSTS AND FEES
23. Respondents and Settling Federal Agencies shall bear
their own costs and attorney's fees regarding this action.

24. The following Attachments are attached to and
incorporated into this Consent Order:
"Attachment A" is the list of de minimis Respondents.
"Attachment B" is the Respondents' signature pages, and
the Settling Federal Agencies' signature pages.
