Sir, Sub: Reorganization of the Tamil Nadu Electricity Board – Statutory advice of the Commission under Sec.86 (2) of Electricity Act, 2003. Ref: G.O. Ms. No.100 Energy (B2) Department dated 19-10-2010. ---- In continuation of TNERC’s statutory advice tendered on 4-5-2010 and

1-11-2010, I am directed to add the following statutory advice of the Commission u/2 86

(2) of the EA 2003 on the restructuring of the TNEB.

2. The transfer scheme 2010 issued by Government of Tamil Nadu

contains aggregate assets and liabilities vested in TANGEDCO and TANTRANSCO in

page nos. 23 and 29 respectively. Note No.1 of the two balance sheets are identical and

is reproduced below:-

1. The above opening balance sheet has been drawn on a provisional basis

based on available accounts of the financial year 2008-09 of the Board and

will be considered as a provisional balance sheet as on 1-11-2010 for the

Transferee. The amounts mentioned under various heads are subject to

validation, verification, updation and truing up and these shall be completed

during the provisional period mentioned in clause 9 of the Transfer Scheme.

3. In accordance with clause 9 of the Transfer Scheme, the Transfer

Scheme shall be provisional for a period of one year from the date of transfer.

4. The balance sheet and note no.1 to the balance sheet indicate that the

opening balance has been drawn on a provisional basis based on accounts of the

financial year 2008-09 and will be considered as provisional balance sheet as on 1-11-

2010 of the transferee. The Tariff Order issued by the Commission, based on the petition

of the TNEB deals with the financial year 2010-11 onwards. The Regulatory Assets,

which is actually a liability to be recovered by the utility in future years from the

consumers, is a whopping Rs.7905 crores. The projection for the years 2011-12 and

2012-13 are also not flattering. The trend shows that there would be a huge revenue gap

to be accounted as Regulatory Asset to the tune of Rs.6062 crores and Rs.3489 crores

respectively for these years. The Tariff Order envisages that the restructuring of the

TNEB is expected to address the accumulated loss of previous years, in the light of the

National Electricity Policy / Tariff Policy. These policies envisage that the successor

entities should start on a clean slate by appropriate financial restructuring. This issue

may be addressed by the Government of Tamil Nadu appropriately by reckoning for the

losses accumulated by TNEB during the period 1-4-2009 to 31-10-2010, so that

consumers are not saddled with additional losses of the utility.

Sub:- Reorganization of the Tamil Nadu Electricity Board –

statutory advice of the Commission under Section 86 (2)

of Electricity Act, 2003.

I am directed to convey the statutory advice of the Commission on the

restructuring of the Tamil Nadu Electricity Board.

(2) The Government have approved reorganization of the Tamil

Nadu Electricity Board into two entities TANGEDCO and TANTRANSCO. TANGEDCO has

been entrusted with generation and distribution, whereas TANTRANSCO has been entrusted with

transmission.

(3) Generation has been generally neglected in TNEB over the

years, which has led to the current crisis of acute power shortage. Therefore, the Commission

believes that generation needs to be exclusively handled by another Government Company. All

over the country (13 States) (Annexure) have created a separate organization for generation.

Apart from the fact that the generation calls for exclusive attention, a separate entity will have an

attractive balance sheet. On the other hand, a combined entity for generation and distribution will

always be a losing concern because of the heavy losses inherent in the business of distribution.

The combination of generation and distribution in a single organization would result in generation

being neglected and distribution securing priority, as it has been happening over the years. The

Commission believes that a separate entity for generation with a separate Chairman would be in

public interest.

(4) Further, the Commission also believes that the

distribution company should be split up into four Government Companies with headquarters at

Chennai, Coimbatore, Tiruchirapalli and Madurai, as in the case of Transport Corporations, in the

interest of operational convenience and consumer satisfaction. Each Company may be managed

by a full-fledged Board of Directors with a full time Chairman. A monolithic distribution entity

having headquarters at Chennai with a consumer base of 2.2 crores will be unmanageable. One

Chairman will not be able to manage the consumer base of 2.2 crores. Tamil Nadu has the highest

consumer base all over the country and it is all the more necessary to split up the distribution

entity. This has been done in ten States. (Annexure). These points have been mentioned to

Hon’ble Chief Minister and Hon’ble Minister for Electricity at the time of presentation of tariff

order on 4-8-2010.
