INTRODUCTION

Hardware Association Ireland (HAI) is in a state of evolution, much like the sector itself, coming out of a highly challenging period with an urgent need to focus and deliver a valuable member offering. 2014 laid the foundations as highlighted on pages four to six of this report and together with a three-year Strategic Plan and specific actions as outlined on pages 22 to 34, we will strive to produce policies, educational material, market intelligence and networking events that are specific and responsive to your business needs.

Placing retailer and merchant members at the heart of everything we do is fundamental to this strategy. Without your input, views, data and feedback we cannot become the Association we strive to be – a fully inclusive and authoritative voice of the sector. Ensuring the business to customer experience is as informed and professional as possible leads to benefits throughout the supply chain so that our supplier and manufacturer members also thrive, and we help secure the position of the local hardware store and merchant in the community.

It’s not an easy task especially given the fledgling positive economic indicators and we may get pushed off course along the way but I firmly believe we’re in this together and together we’ll make the difference. We are the only organisation that is dedicated to this sector, championing the voice of the hardware industry and this sector needs to be more united than ever as it struggles to emerge from the downturn.

Please take a moment to read the Strategic Plan. We must continue to listen to ensure we deliver and are accountable to the members. It’s a commitment to you from us that we will engage in two way communications and meeting the members is at the top of that communications approach. I look forward to meeting you and hearing from you in the near future.

2014 PRESIDENT’S REPORT

2014 was a seminal year for HAI. As I entered my second year as President, the National Council and Executive Committee continued to focus on revitalising the Association, promoting HAI’s brand more widely, strengthening communications with our members and, ultimately, enhancing all aspects of services to members. The Committee lined up changes to ensure that it reflected the reality of the industry as accurately as possible. The team of personnel that I had the honour to work with are certainly among the best and the brightest in the industry. I have to compliment and thank all the individuals on the 2014 Committee who generously gave of their time and commitment for the sake of the industry overall.

At the start of the year HAI sold its premises, Elmville in Dundrum, thanks go to our Honorary Treasurer Alex Taylor and Jim Copeland and the staff for manoeuvring through this time-consuming process from selling one property to moving into another down the road in Kilmacud. The sale of the premises allowed HAI to fund more activities during the year as well as create a nest egg for future security as the Association emerges from a testing time during a depressed market.

A contract was signed with a new event management company, Eventhaus, to take over the management and organisation of the 2015 Hardware Show. The 2015 President

Hugh O’Donnell and his committee did an enormous amount of ground work which resulted in a resounding success, with an excellent show both from an exhibitor and visitor experience which signalled a renewed confidence in the sector.

2014 also saw the emergence of The Hardware Journal, as the official magazine of HAI, under the wing of new publishers IFP Media. During 2014, the magazine provided the vehicle for HAI to listen more closely to members, provide more recognition to members’ achievements and enhance feedback between members and the Association to ensure policy reflects what they want.

HAI produced its second membership survey of business confidence in the summer. Carried out on our behalf by the leading independent market research agency, Behaviour & Attitudes (B&A), the surveys enable us to develop evidence-based policies that reflect the most urgent concerns of our members and analyse trends from one year to the next. Indications were that Dublin and the greater Dublin

area continued to recover significantly and the recovery is spreading more widely across Leinster and into Cork and parts of Kerry and Limerick in Munster. It looks as though growth in the areas outside the big cities will continue to move more slowly.

Later in the year the Executive also agreed to launch a monthly business index of net sales from retailers and merchants. In a sector lacking data and market intelligence, HAI will lead the way in producing research to help members make better business decisions.

Following on from HAI’s success through its 2013 Budget submission in securing Department of Finance support for the introduction of the Home Renovation Incentive (HRI) scheme, we continued to lobby Government to extend the Home Renovation Incentive (HRI) scheme by another year. This would help add momentum to the recovery and provide an opportunity to extend it into areas around the country that continue to struggle. Myself, the 2015 President Hugh O’Donnell and 2015 Vice President Kieran Burke met with the Minister for Finance, Michael Noonan TD in June to discuss and submit HAI’s budget submission and HAI also presented to the Joint Oireachtas Committee on Jobs, Enterprise and Innovation on policy options to support business growth and job creation and retention in town and village centres, in September.

We have achieved a greater degree of credibility with Government and the Department of Finance specifically. A number of factors are responsible: the professionalism of the Association’s submissions, the success of the HRI scheme, the

authoritative data that the HAI Membership Survey provides to back up our proposals and the strong, unified voice with which HAI speaks on behalf of everyone in the industry.

A new CEO was recruited for the Association and the appointment of Annemarie Harte in August came at a critical juncture for the Association. The final months of 2014 were spent researching members and lapsed members in order for HAI to clarify its role and mission and prepare a three year strategic plan in order to expand its range of services to make it more useful and relevant for its members. This is a challenging and important time for HAI and our new CEO will ultimately be judged on how successful she is in delivering these changes. She has the full support of the Executive Committee and I personally wish her well in her efforts.

My thanks to all the members of the National Council and Executive Committee who supported me through my two-year term, to the 2015 President Hugh O’Donnell and the members of staff who made my time as HAI’s President so enjoyable and memorable.

2014 has reflected the early stages of a financial regeneration of Hardware Association Ireland following a period of falling income from our key revenue sources; member subscriptions and our bi-annual HAI Trade Show.

While the reduction in income from member subscriptions had been partially due to declining business within our sector, it was still necessary for the Executive Committee to take some courageous decisions to manage the funding of our unique trade body with a view to both financing current activity and investing in the future growth of Hardware Association Ireland.

The first of these resulted in the sale of Elmville, home to HAI for a number of decades, culminating in a considerable increase in funds available to HAI to support its ongoing objectives. The costs involved in maintaining and servicing the premises in Dundrum made the decision to move to a rented, fixed cost location much easier. This would not have been possible without the foresight of those who made the brave decision, thirty years ago, to purchase the building. A number of small increases in the accounts relate to costs associated with the recent move.

While the financial success of the most recent HAI Hardware Show will be seen in next year’s accounts, the decisions taken during 2013/14 to pursue alternative options for the organisation of the show will give increased financial benefit to HAI in the future.

Our primary income source for the period, membership subscriptions from Merchants, Hardware Stores and Manufacturers/Suppliers saw a slight nett decline versus the previous year. In addition, the membership list now being canvassed reflects far more accurately, those businesses that are currently operating within our industry. This will result in a considerable reduction in the amounts attributed to doubtful debts in the accounts.

Increased focus by all in Head Office has contributed towards a number of new members during the financial year with the trend set to continue in 2015.

While we have focussed on cost reduction where possible, including the outsourcing of much of the accounting

function, there were a number of significant increases in the areas of PR and Market Research and Social Media. Expenditure in these areas were seen by the Executive Committee as vital to the development and growth of HAI and a key part of our future strategic plans.

I would like to thank all of my colleagues in HAI Head Office and the Executive Committee (past and present) for their support during the year and to thank all of our 2014 members for their backing for HAI, both financial and tangible.

Your financial support helps to lay the foundation for a very exciting future for Hardware Association Ireland.

Directors’ report for the year ended 30 November 2014

The directors present their report and the audited financial statements for the year ended 30 November 2014.

Principal activity and business reviewThe activities of companies are the promotion and protection of the business of the members of the company in matters affecting the business or business carried on by them. The company will take such action as may be necessary or desirable to promote such interests. The board of Hardware Association Ireland is looking at the future development of our trade sector and how best the Hardware Association Ireland can assist members who are operating in very difficult circumstances and the Board and management of Hardware Association Ireland are proactively working with members to assist in whatever way possible.

Results and dividendsThe results for the year are set out on page 7.The directors do not recommend payment of a final dividend.

Principal risks and uncertaintiesThe principal risks are that subscriptions and other incomes could be adversely affected by the effect of the economic downturn on the association members.

Directors of the CompanyThe present membership of the board is listed on the ‘Directors and other information’ page.

Book of AccountsThe measures taken by the directors to ensure compliance with the requirements of Section 202, Companies Act, 1990, regarding proper books of account are the implementation of necessary policies and procedures for recording transactions, the employment of competent accounting personnel and appropriate expertise and the provision of adequate resources to the financial function. The books of account of the company are maintained at the Registered Office.

AuditorsThe auditors, McQuillan Kelly & Company, have indicate their willingness to continue in office in accordance with the provisions of Section 160(2) of the Companies Act, 1963.

Statement of Directors’ responsibilities for the members’ financial statements

The directors are responsible for preparing the Annual Report and the financial statements in accordance with applicable Irish law and Generally Accepted Accounting Practice in Ireland including the accounting standards issued by the Accounting Standards Board and published by the Institute of Chartered Accountants in Ireland.

Irish company law requires the directors to prepare financial statements for each financial period which give a true and fair view of the state of affairs of the company and of the surplus or deficit of the company for that period.

In preparing those financial statements, the directors are required to:

• select suitable accounting policies and then apply them consistently • make judgements and estimates that are reasonable and prudent • prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will

continue in business.

The directors confirm that they have complied with the above requirements in preparing the financial statements.

The directors are responsible for keeping proper books of account which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure the financial statements are prepared in accordance with accounting standards generally accepted in Ireland and with Irish statute comprising the Companies Acts 1963 to 2013.

They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

In so far as the directors are aware:• there is no relevant audit information (information needed by the company’s auditors in connection with preparing their

report) of which the company’s auditors are unaware, and• the directors have taken all the steps that they ought to have taken to make themselves aware of any relevant audit information

and to establish that the company’s auditors are aware of that information.

Basis of audit opinionWe conducted our audit in accordance with International Standards on Auditing (UK and Ireland) issued by the Auditing Practices Board . An audit includes examination, on a test basis, of evidence relevant to the amounts and disclosures in the financial statements. It also includes an assessment of the significant estimates and judgements made by the directors in the preparation of the financial statements, and of whether the accounting policies are appropriate to the company’s circumstances, consistently applied and adequately disclosed.

We planned and performed our audit so as to obtain all the information and explanations which we considered necessary in order to provide us with sufficient evidence to give reasonable assurance that the financial statements are free from material misstatement, whether caused by fraud or other irregularity or error. In forming our opinion we also evaluated the overall adequacy of the presentation of information in the financial statements.

1. Statement of accounting policies The following accounting policies have been applied consistently in dealing with items which are considered material in

relation to the company’s financial statements.

1.1 Basis of preparation The audited financial statements have been prepared in accordance with accounting standards generally accepted in Ireland

and Irish statute comprising the Companies Acts 1963 to 2013, Accounting Standards generally accepted in Ireland in preparing financial statements giving a true and fair view are those issued by the Accounting Standards Board.

The audited financial statements are prepared under the historical cost convention modified to include the revaluation of certain fixed assets and financial instruments, and in accordance with applicable accounting standards.

The company has taken advantage of the exemption in FRS1 from the requirement to produce a cashflow statement because it is a small company.

1.2. Group accounts The company and its subsidiaries combined, meet the size exemption criteria for the group and the company is therefore

exempt from the requirement to prepare consolidated financial statements by virtue of Regulation 7 of the European Communities (Companies Group Accounts) Regulation, 1992. Consequently, these financial statements deal with the results of the company as a single entity.

1.3. Income Policy Income represents the total invoice value, excluding value added tax, of sales made during the year.

1.4. Tangible fixed assets and depreciation Depreciation Depreciation is provided on all tangible fixed assets, at rates calculated to write off the cost less residual value, of each asset

systematically over its expected useful life, as follows: Buildings Straight line over the life of 25 years Plant and machinery 10 % Straight Line Fixtures, fittings and equipment 12.5 % Straight Line Motor vehicles 20 % Reducing Balance

1.5. Investments Fixed asset investments are stated at cost less provision for permanent diminution in value. Current asset investments are at the lower of cost and net realisable value.

1.6. Leasing and hire purchase commitments

Assets obtained under hire purchase contracts and finance leases are capitalised as tangible assets and depreciated over the shorter of the lease term and their useful lives. Obligations under such agreements are included in creditors net of the finance charge allocated to future periods. The finance element of the rental payment is charged to the profit and loss account so as to produce constant periodic rates of charge on the net obligations outstanding in each period.

1.7. Pensions

The pension costs charged in the financial statements represent the contribution payable by the company during the year in accordance with SSAP 24.

The regular cost of providing retirement pensions and related benefits is charged to the profit and loss account over the employee’s service lives on the basis of earnings.

2. Income

The total income of the company for the year has been derived from its principal activity wholly undertaken in Ireland.

The directors present their report and the audited financial statements for the year ended 31 December 2014.The company is a wholly owned subsidiary of Hardware Association Ireland.

Principal activities and review of the businessThe principal activities of the company is publishing a trade magazine.

Statement of directors responsibilities for the shareholders’ financial statements

The directors are responsible for preparing the Annual Report and the financial statements in accordance with applicable Irish law and generally accepted accounting practice in Ireland including the accounting standards issued by the Accounting Standards Board and published by the Institute of Chartered Accountants in Ireland.

Irish Company law requires the directors to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period.

The directors confirm that they have complied with the above requirements in preparing the financial statements.

The directors are responsible for keeping proper books of account which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the financial statements are prepared in accordance with accounting standards generally accepted in Ireland and with Irish statute comprising the Companies Acts, 1963 to 2013. They are also responsible for safeguarding the assets of the company and hence, for taking reasonable steps for the prevention and detection of fraud and other irregularities.

We have audited the financial statements of The Hardware Journal Limited for the year ended 31 December 2014 which comprise the Profit and Loss Account, the Balance Sheet and the related notes. The financial reporting framework that has been applied in their preparation is Irish law and accounting standards issued by the Financial Reporting Council and promulgated by the Institute of Chartered Accountants in Ireland (Generally Accepted Accounting Practice in Ireland).

This report is made solely to the company’s members, as a body, in accordance with Section 193 of the Companies Act, 1990. Our audit work has been undertaken so that we might state to the company’s members those matters we are required to state to them in an auditor’s report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company’s members as a body, for our audit work, for this report, or for the opinions we have formed.

Respective responsibilities of directors and auditorsAs explained more fully in the Directors’ Responsibilities Statement set out on page 4, the directors are responsible for the preparation of the financial statements giving a true and fair view. Our responsibility is to audit and express an opinion on the financial statements in accordance with Irish law and International Standards on Auditing (UK and Ireland). Those standards require us to comply with the Auditing Practices Board’s Ethical Standards for Auditors.

Scope of the audit of the financial statementsAn audit involves obtaining evidence about the amounts and disclosures in the financial statements sufficient to give reasonable assurance that the financial statements are free from material misstatement, whether caused by fraud or error. This includes an assessment of: whether the accounting policies are appropriate to the company’s circumstances and have been consistently applied and adequately disclosed; the reasonableness of significant accounting estimates made by the directors; and the overall presentation of the financial statements. In addition, we read all the financial and non-financial information in the annual report to identify material inconsistencies with the audited financial statements. If we become aware of any apparent material misstatements or inconsistencies we consider the implications for our report.

Opinion on financial statementsIn our opinion the financial statements:• give a true and fair view, in accordance with Generally Accepted Accounting Practice in Ireland of the state of the company’s

affairs as at 31 December 2014 and of its profit for the year then ended; and • have been properly prepared in accordance with the requirements of the Companies Acts 1963 to 2013.

We have obtained all the information and explanations which we consider necessary for the purposes of our audit . In our opinion proper books of account have been kept by the company. The financial statements are in agreement with the books of account.

In our opinion the information given in the directors’ report is consistent with the financial statements.

The net assets of the company, as stated in the balance sheet, are not more than half of the amount of its called-up share capital and, in our opinion, on that basis there did exist at 31 December 2014 a financial situation which under Section 40 (1) of the Companies (Amendment) Act, 1983 would require the convening of an extraordinary general meeting of the company.

1. Representation

Objective – Develop and promote a policy agenda that effectively supports sector growth initiatives and reduces bureaucratic obstacles and impediments.

Through: (a) Advocacy – Propose policy that encourages growth in the sector and effectively represents members’ interests. (b) Lobbying – Influence Government and its agencies to extend and challenge current legislation and practice. (c) Relationship building – Establish strategic partnerships and alliances with complementary organisations to enhance the voice of the sector. (d) Public relations – Increase our share of voice amongst key stakeholders, including Government and influential media. Actions: (a) Working with a Policy sub-committee of the Executive Committee, identify priority policy areas of most importance to our members and develop robust and effective policy positions. (b) Establish and leverage relationships with like-minded organisations in order to strengthen HAI’s ability to effectively influence key stakeholders. (c) Regularly review policy priorities and positions for relevance and impact. (d) Engage and influence key stakeholders by using an integrated communications plan.

2. Education

Objective – Raise overall standards within the sector by providing cost and time effective access to relevant, high quality learning material.

Through: (a) Knowledge bank – Develop and share information on relevant legislation and regulation impacting our members. (b) Facilitate training – Identify training initiatives which contribute to enhanced skills within member organisations. (c) Courses – Develop high quality, cost effective training courses specifically targeted at senior management levels in hardware/builder merchants.

Actions: (a) Conduct ongoing training needs analysis with members. (b) Establish a virtual learning repository of documents, presentations and tutorials to provide members ongoing access to relevant, important information. (c) Prepare a calendar of educational and learning events using venue based and online technology. (d) Evaluate service provision to ensure outcomes are enhancing business support and performance.

3. Market intelligence

Objective – Research our members and their marketplace to produce practical and useful data for external and internal use.

Through: (a) Research – Understanding our members’ key performance indicators. (b) Indexing – Measure net sales performance of the sector by month and expand to include category sales. (c) Insight – Use collected data to establish trends in the sector. (d) Risk analysis – Provide information on external forces and threats to the Irish hardware industry.

Actions: (a) Produce a comprehensive economic impact study on the hardware industry. (b) Survey our members’ to determine their economic outlook (confidence in the industry) annually. (c) Collect net sales figures from hardware and builders merchant members to establish a business index. (d) Conduct an annual member satisfaction survey to understand our members’ needs.

4. Networking

Objective – Provide opportunities to meet and connect members with their peers, industry leaders, manufacturers and suppliers.

Through: (a) Biennial Hardware Show – Organise the industry’s leading trade show that supports Innovation Awards and presentations on topics of relevance and interest. (b) Trade visits – Arrange visits to market leading and innovative merchants both at home and abroad where appropriate. (c) Events – Consider conferences and meetings that allow members to interact with senior leaders in the Association. (d) Seminars – Organise information-driven meetings in line with the objective of the Education pillar.

Actions: (a) Prepare an annual calendar of meetings that will allow members to connect with fellow members and associates. (b) Publish an annual directory of members to enable members to contact each other quickly and easily. (c) Ensure meetings have a double objective – to network and to learn. Integrate these two areas wherever possible.

Communications

Underpinning and supporting the four strategic pillars will be an optimised and integrated communications mix that will inform, support and connect with members, potential members, the media, Government and its agencies, and other stakeholders interested in our sector.

Communications will focus on driving traffic to the HAI website which will be the hub for member information and support and the ‘shop window’ for prospective members.
