contract at a Firm-Fixed-Price of $1,222,345.64,

1. NOTICE TO PROCEED: The Lessor is authorized to
provide full Operation and Preventive Maintenance
Services for all Laboratory systems and all
Government owned equipment at the above
referenced property. The detail of these services
shall be as listed in the attached Lessor's
proposal number 62402-2018-PP dated 07/30/2018.
2. PERIOD OF PERFORMANCE: This Performance Plan
Maintenance Agreement commences on October 1,
2018 and continues until September 30, 2019. The
agreement shall renew, automatically every
October 1, on subsequent similar periods through
the expiration of this lease, or until terminated
by either party by giving the other party not
less than Sixty (60) days prior written notice.

3. FIRM-FIXED-PRICE: The annual cost for this
Performance Plan Maintenance Agreement shall be
$1,222,345.64, which includes Lessor's fee, and
shall be paid as Additional Rent at the rate
outlined in the attached spread sheet resulting
to an average of $101,862.14 per month, in
arrears. Lessor and/or contractors are not
authorized to exceed the amount of this Contract
without prior written permission from the
Contracting Officer.
4. COST FOR SUBSEQUENT YEARS: No later than
August 1, 2019, and prior to August 1 of each
year thereafter throughout the Lease term, Lessor
shall provide notice to the Government of any
change in the cost of the Performance-Plan
Maintenance Agreement, including Lessor's fee.
Government has the right to review and approve
any increase.
5. It is understood that only upon execution by
the Government, does this MOD become binding on
both parties. The Lease, as amended by this MOD
remains in force and in effect. This document
shall not be construed as a waiver of any rights,
benefits, or interests that the Tenant has under
the Lease contract. All other terms and
conditions of the Lease shall remain in full
force and effect.

A]1 work will be performed in accordance with the applicable NFPA standards subject to alI terms and conditionsof this Agreement. This is not a design survey or engineering analysis agreement. The work to be uerformed is expressly subiect toand shall include the terms and conditions herein.
Number of Inspections: The Company shall inspect and/or test said equipment _One{1)_time/s per year.
Frequency. The frequency of inspection and testing is limited to the frequency outlined above. Any additional inspection and testingfrequencies are hereby excluded unless contained in a separate, written aut~oxization subject to all terms and conditions of theAgreeznen#.
Term: The term of tkais Agreement is one (1}year from date hereof a~~d shall be automatically renewed each year thereafter untilternunated by either party on at Least thirty (30) days written notice being given to the other party pxior to the renewal date.Co~n~any's then cuzrent charges shall apply for each renewal period.
Cost of Inspections and Payment: The SUBSCRIBER shall pay to Company, tivithin thixty (3U) days after inspection has been made,the sir n of k'Xve Hundred Thirty( $530.00 dollars per each inspection.In the SUBSCRIBER fails to pay the full amount due, Company may, at its option, terminate this A~•eement, and, in any event, willnot be obligated to perform any additional work until payment past due has bean received by COMPANIT.
Reports: The inspection and/or test shall be completed on COMPANY's then current report form which shall Ue distributed toSUBSCRIBER, with copies forwarded as per code. A repoj-t form in whick~ defects or deficiencies have been noted is advisory innature, and is intended to assist SCJBSCRIBER in zeducing the risk of loss to life or property by indicating obvious defects orimpairments noted in the system. It neither implies that no o#her hazards or defects exist in the system, nor that all other elements ofthe system and components are fi•ee of defect or deficiency at fhe time of the inspection. The final responsibility fo~~ the condition andoperation ofthe system, components, and equipment rests entirely with the SiJBSCRIBER.
inspection Notification: Prior to Company performing any tests, SUBSCRIBER shall notify any alarm monitoring company, thelocal fire department, and alI occupants and tenants.

Additional Inspection: Emergency or additional inspections requested by SUBSCRIBER will be furnished at an additional chargeand will be performed pursuant to a written authorization subject to all terms and conditions of this Agreement.
Emergency Se~~vice: Emergency service requested by SCJBSCRIBER will be furnished at an extra charge pursuant to a separatewritten Service Agr~~ment.
Additional Equipment: In the event additional equipment is installed after the date of this t~greement, such equipment shall beinspected pursuant to a separate, written authorization subject to all teams and conditions of this Agreement at the Company's then-cutrent changes for inspection of that type of equipment.
Water Supply: Testing and treatment of the water supply, and any costs assooiafed therewith, are not covered by this Agreement andace the sole responsibility of SUBSCRIBER. Equipment is available that is designed to monitor for conditions that can contribute tointernal corrosion inside water based ire protection systems, Such testing and equipment can be provided pursuant to a separatewritten agreement.
Backflow P~•evention Devices: A forward flow test equaling system demand, if hydraulic data is available, will be conducted whereproper test header connections of proper size exist. Where no such con~tectians or means exist, the forward flow of the backflowdevice is excluded from this Agreement.
Duct Detectors: If testing of Duct Detectors is included iii this Agreement, the Duct Detectors wail be tested using aerosol smoke orother approved smoke devices that ensure sznolce entry into the chamber of the Duct Detector head. Testing of the air flow across thesampling tube is not included as part of this test or Agreement.
Special Conditions: Inspections requiring specialized training, drug testing, bacl~gsound checks and certifications wail be subjec# toadditional charges.
Fees: Permzts, licensing or other approvals necessary for performance of the inspections ate SUBSCRIBE~'s z•esponsibility. Ifsupplied by Company, fees for those items wail be invoiced as an additional cost under the Agreement.
General Conditions
Scope of Inspection: The inspection and testing provided under this agreement oas na include any maintenance, repairs,alterations, or replacement of parts or any other field adjustments. The inspections and testing provided under this Agreementare NOT a system survey o~• engineering analysis of the system and/or its design.
Any suggested improvements itemized on any inspectiozz a~ndloz• testing report da not constitute an engineering review of thefire protection/suppression system installed in your facility. To the extent such are itemized, they were noticed whileconducting an inspection and test of your fire protection system in accordance with applicable NFPA Inspection and TestingGuidelines; however, such items are not part of the NFPA required inspection and test. COMPANY makes no guarantee arassurance that all defects or deficiencies in the systems have been itemized.
The scope of work under this Agreement is limited to the provision of inspection and testing services. COMPANY is notrequired to move personal property, equipment, walls, and ceilings or like materials which may impede access or limitvisibility. .Sreas that axe concealed are excluded from the inspection.
COMPANY does not warrant that the equipment or systems inspected/tested will meet oc comply with the requirements ofany fire or life safety code, ox• regulation of any state, municipality or other jurisdiction of Customer's particular location.
Inspection may include review of acceptance tests, prior inspection reports, manufaeturex's operation manuals, and buildingdrawings if provided by the SUBSCRIBER or the SUBSCRIBER'S representative.
When applicable, SUBSCRIBER sha11 be responsible for coordinating with proper companies/personnel to ensure that theelevator recall and elevator slut down systems can be tested during the inspection.
SUBSCRIBER is responsible far locating and/or identifying all devices that are nat marked, suoh as duct detectors, dampercontrols, drum drips low point drains and other devices,

COMPANY cannot and doesnot guarantee that loss or damage will not accu~•,
Inspector Not An Insurer: COM~'.ANY is not an insurer against loss or damage, Su~cient insarance covering the Premisesand any property tl3erein shall be obtained by and is the sole responsibility of SUBSCRIBER.
Limifafiion of Liability —Liquidated Damages -Amount: The parties hereto agree that it is impractical and extremelydifficult to fcx the actual damages, if any, that may proximately result from failure on the part of COMPANY to perform anyof its obligations hereunder, SUBSCRIBER does not desire that this contract provide for fall liability of COMPANY andagrees that CQMPANY shall be exempt fiom liability for Loss ox damage due direotly or indirectly to occurrences, orconsequences there from, which the inspection and/or testing is designed to detect or avert. If COMPANY shat] be foundliable for loss or damages due to a failure of inspection audlor testing in any respect, COMPANY'S liability shall be limited tothe lesser of a sunn equal to one-half (1/2} of the current annual inspection charge paid (or to be paid) by SUBSCRIBER or$1,000AO as liquidated damages ar~d not as a penalty, The amounts payable to the COMPANY hereunder are based upon thevalue of the services and the scope of liability as herein set forth and are unrelated to the value of SUBSCRIBER'S propertyor the property of others located in SiTBSCRIBER's Premises. Limitation of Liability —Liquidated Damages — Pa~operty Damage: As the exclusive remedy, the provisions of thepreceding parag~•aph, "I.,xmitation of Liability —Liquidated Damages —Amount," shall apply if loss or damage to any realproperty or tangible personal property results, directly or indirectly and regardless of cause or origin, from any act and/oromission and/or performance and(or nonperformance of any obligations imposed by this contract or from the negligence,active or otherwise, of COMPANY, its agents, or employees. This provision shall not apply in the case of gross negligence bythe company that proxtrnately causes damage or injury.

Waiver of Subrogation: SUBSCRIBER does hereby, for itself and a1I others claiming by or through it under this Agreement,release and discharge COMPANY and waives all rights against COMPANY for all damages caused by ire, water dischargeor any other cause of loss to the extenf oovered by SIIBSCRIBER's property insurance, it being axpressLy agreed andunderstood that na insurance company, instuer or other entity/individual will have any right of subrogation againstCOMPANY.
Indemnification: To the fullest e~ctent permitted by law, SITSSCRIBER shall indemnify and hold harmless COMPANY andits employeeslagents from and against claims, damages, losses anti expenses, including but not limited to attorney's fees,arising out of or resulting from services provided by COit~IPANY regardless of whether such claim, damage, loss or expenseis Doused in pax-t by a party indemnified hereunder.
Acceptance of Terms: No changes or modifications can be nnade to this Agreement without the express written consent ofCOMPANY. COMPANY is not bound by any provisions printed or otheitivise at variance with this Agreement that mayappear on any acknowledgement or other form used by SUBSCRIBER, such provisions being hereby expressly rejected.
Attzes: Attics are excluded from this agreement unless after COMPAN Y's investigation the attic and its entry are dand accessible. Only those attics having afloor-level entry door with sta~zs, pull down stairs, and/or a pei~nanently e

access ladder wii] be considered for inclusion in the agreement. Further only those attics having appropxiafe, permanently
attac4~ed flooring and appropriate lighting will be considered for inclusion i~a the agreement. Assessment of the suitability of
access, flooring and lighting is solely within tha discretion of COMPANY. Any attic deemed safe and accessible must be
specifically listed in the Agreement to qualify for inclusion [n the Agreement. To the e~ten~ that any attic is included in the
Agreement, only such equipment as is safely visible and accessible from tha floored area of the attic will be subject to the
Agreement.
Assignment: SUBSCRIBER may not assign any of its rights or obligations under this Agreement to any other person withoutthe express, written authorization of C~NII'ANY. This Agreement inures to the benefit of COMPANX, any affiliated
companies or subsidiaries of CQNIPANY and COMPANY mad assign its obligations and rights to any other entity licensed or
certified to perfoixn the services provided for heroin.
Entrys COMPANY may enter SUBSCRIBER'S premises at all reasonable times to perfarm the inspections and/or tests

A report foam in which defects or d~ficienaies have been noted is advisory int~atuxe, and is intended to assist SUBSC:RiBER in reducing the risk of loss to life or property by indicating obvious defects orimpairments noted in the system. It neither implies that no other hazards or defects exist in the system, nor that all other elements ofthe system and components are free of defect or deficiency at the time of the inspection. The final responsibility for the condition andoperation of the system, components, and equipment rests entirely with the SUBSCRIBER.
Inspection Notification: Prior to Company performing any tests, SUBSCRIBER shall notify any alarm monftoring company, theLocal fire department, and all occupants and tenants.

Water Supply: Testing and treatment of the water supply, and any costs associated therewith, are nat covered by this Agreement andare the sole responsibility of SITBSCRIBER. Equipment is available that is designed to moni#or for conditions that can contribute tointernal con•osion inside water based fire protection systems. Such testing and equipment can be provided pursuant to a separatawritten agreement.
Backflow Prevention Devices: A forward flow test equaling system demand, if hydraulic data is available, will be conducted wherepxoper test headez• connections of proper size exist. Where no such connections or means exist, the £onward flaw of the backflowdevice is excluded from this Agreement,
Duct Detectors: If testing of Duct Detectors is included in this Agreement, the Dact Detectors will be tested acing aerosol smoke ot•other approved smoke devices that ensure smoke entry into the chamber of the Duct Detector head. Testing o£ the air flow across thesampling tube is not included as part of this test or Agreement.
Special Conditions: Inspections requiring specialized training, drug testing, background checks and certifications will be subject toadditional charges.
Fees: Permits, licensing or other• approvals necessary for perfoi~nance of the inspeotians are SUBSCRIBER's responsibility. Ifsupplied by Company, fees for those items will be invoiced as an additional cost undar the Agreement.
General Conditions
Scope of Inspection: The inspection and testing provided under this agreement does not include any maintenance, repairs,alterations, or replacement of pants or any other field adjustments. The inspections and testing provided under this Ag~~eementare NOT a system survey or engineering analysis of the system and/or its design.
Any suggested improvements itemized on any inspection and/or testing report do not constitute an engineering review of thefire protection/suppression system installed in your facility. To the extent such are itemized, They were noticed whileconducting an inspection and test of your fire protection system in accoz~dance with applicable NFPA Inspection and TestingGuidelines; however, snob items are not part of the Nk'PA required inspection and test. COMPANY makes no guarantee arassurance that a[I defects or de~icienoies in the systems have been itemized.
The scope of work under this Agreement is limited to the provision of inspection and testing sezvices, GQMPAN~ is notrequired to move personal property, equipment, walls, and ceilings or like materials which may impede access or limitvisibility. Areas that are concealed axe excluded from the inspection.
COMPANY does not wan~ant that the equipment or systems inspected/tested will meet ar comply with the requirements ofany ire or life safety code, or regulation of any state, municipality or other jurisdiction of Custotxzer's particular location.
Inspection mad include review of acceptance tests, prior inspection reports, manufacturer's operation mam~als, and buildingdrawings if provided by the SUBSCRIBER ox the SUBSCRIBER's representative.
When applicable, SUBSCRIBER shall be responsible for coordinating with proper companies/personnel to ensure that theelevator recall and elevator shut down systems can be tested during the inspection.

Limitation of Liability -- Liquidated Damages -Amount: The parties hereto agree that it is impractical and extremelydifficult to ~x the aetuai damages, if any, that may proximately result from fail~ire on the part of COMPANY to p~i•fot7n anyof its obligations hereunder. Any attic deemed safe and accessible must bespecifically listed in the Agreement to qualify for inclusion in the Agreement. To the extent that any aitia is included in theAgreement, only such equipment as is safely visibIa and accessible from the floored area of the attic will be subject to theAgreement.
Assignment: SUBSCRIBER may not assign any of its rights ar obligations under this Agreement to any other person withoutthe express, written authorization of COMPANY. This Agreement inures to the benefit of COMPANY, any affiliatedcompanies or subsidiaries of COMPANY and COMPANY may assign its obligations and rights to any other entity Iieensed orcertified to perform the services provided for herein.
Entry: COMPANY may enter SUBSCRIBER'S premises at all reasonable times to perform the inspections atxdlor testsrequired by this Agreement. Assignment: Sr7BSCRIBER may not assign any of its rights or obligations under this Ageement to any other person withoutthe express, tivritten authorization of COMPANY. This Agreement inures to the benefit of COMPANY, any affiliatedcompanies or subsidiaries of COMFANX and COMPANY may assign its obligations and rights to any other entity licensed orcertified to perform the servioes provided for herein.

Severability: If any provisions of This contract shall be invalid or unenforceable under• khe laws of the jurisdiction applicableto the Agreement, such invalidity or unenforceability shall be severed from the Agreement and shall not invalidate or renderunenforceable the entire Agreement. Reports: The inspection and/or test shall be cozalpleted on COMI'ANY's then current report farm which shall be distributed toSUBSt;RIBER, with copies forwarded as per code. A report form in whzch defects or deficiencies have been noted is advisory innature, and is intended to assist SUBSCRIBER in reducing the risk of lass to life or property by indicating obvious defects orimpaizmaents noted in the system. It neithe~~ implies that no other hazards or defects exist in the system, nor thak all other elements ofthe system and components are firee of defect or deficiency at the time of the inspection. The final responsibility far the condition andoperation of the system, components, and equipment rests entzrely with the SUBSCRIBER.
rnspeetion Notification: Prior to Company performing any tests, SUBSCRIBER shall notify any alarm monitoring company, thelocal fire department, and all occupants and tenants.

Additional Inspection: Emergency or additional inspections requested by SUBSCRIBER will be furnished at an additional charge
and will be perfornied pursuant to a written authorization subject to all terms and cozlditions of this Agreement.
Emergency Service: Emergenoy service requested by SUBSCRIBER will be furnished at an extra charge pursuant to a separatewritten Service Agreement.
Additional Equipment; In the event additional equipment is installed after Ehe date of this Agreement, such equipment shall beinspected pursuant to a separate, written autho~•ization subject to all terms and conditions of this Agreement at the Company's then-cunent changes for inspection of that type of equipment.
Water Supply: Testing and treatment of the water supply, and any costs associated therewitia, are no# covered by this Agreement andare the sole responsibility of SUBSCRIBER. Equipment is available that is designed to monifar far conditEozas that can contribute tointet~nal con•osion inside water based ire protection systems. Such testing and equipment can be provided pursuant to a separatewritten agreement.
Baekflow Prevention Devices: A forward flow Pest equaling system demand, if hyd~•aulic data is available, will 6e conducted whereproper test header connections of proper size exist. Where no such connections or means ex[st, the forward flow of the backflowdevice is excluded from this Agreement.
Duct Detectors: If testing of Duct Detectors is included in this Agreement, the Duct Detectors will be tasted using aerosol smoke orother approved sz~olce devices that ensaz~e smoke entry into the chamber of the Duct Detector head. 'Vesting of the air flow across thesampling tube is not included as part of this test or Agreement.
Special Conditions: Inspections requiring specializes! training, drug testing, background checks and certiftcations will be subject toadditional charges,
Fees: Permits, Licensing or ot[ier approvals necessary for perfor►nance of the inspections era SUBSCRiBER's respansibiiity. Ifsupplied by Company, fees for those items will be invoiced as an additional cast under the Agreement.
General Conditions
Scope of InsQeetion: The inspection and testing provided under this agreement does not include azty maintenance, repairs,altezations, or replacement of parts or any other field adjustments. The inspections and testing provided under this Agreementare NOT a system survey or engineering analysis of the system and/or its design,
Any suggestec! improvements itemized on any inspection and/or testing report do not constitute an engineering review of thefirs protectionlsuppression system insffilled in your facility, To the extent sucks are itemized, they were noticed whileconducting an inspection and test of your fire protection system in accordance with applicable NFPA Inspection and TestingGuidelines; however, such items are n.ot part of the NF1'A required inspection and test. COMPANY makes no guarantee orassurance that all defects ox deficiencies in the systems have been itemized.
The scope of work under this Agteetnent is limited to the provision of inspection and tesking services. COMPANY is notrequired to move personal property, equipment, walls, and ceilings or like materials which may impede access or limitvisibility, Areas that are concealed are excluded from the inspection.
COMPANY does not warrant that the equipment or systems inspecteci/tested will meet or comply with the ►•equirements ofany fire or IiFe safety cede, or regulation of any state, municipality or other ju~~isdiction of Customer's particular location.
Inspection may include review of acceptance tests, prior inspection reports, manufacturer's operation tna~xuais, and buildingdrawings if provided by the SUBSCRIBER or the SUBSCRTBER's representative.
When applicable, SUBSGI2TBER shall be responsible for coordinating with proper companieslpersonnel to ensure that theelevator recall and elevator shut down systems can be tested during the inspection.
SUBSCRIBER is responsible for locating and/or identifying all devices that are not marked, such as duct detectors, dampercontrols, drum drips tory point drains and other devices,

functionality and design of the originally installedlmodified systenn(s). COMPANY makes no warranty, express or implied,
regarding the adequacy, performance or condition of any inspected fire protection equipment. COMPANY cannot and does
not guarantee that loss ox damage will not occur.
Insgectoi• Not An Insur•ei : COMPANY is not an insurer against loss or damage. Sufficient insurance covering the Premises
and any property therein shall be obtained by and is the sale responsibility of SUBSCRIBER.
Limitation a£ Liability —Liquidated Damages -Amount: The pa~~ties hereto agree that it is impractical and extremely
difficult to fix the actual damages, if any, that may proximately result from failure on tl~e part of COMPANY to perform any
of its obligations hereunder. SUBSCRIBER does not desire that this contract provide far full Iiability of COMPANX and
agrees that CQMPANY shall be exempt from liability for loss or damage due directly or indirectly to occurrences, oz•
consequences there from, which the inspection and/or testing is designed to detect or avert. If COMPANY sha11 be found
liable for loss or damages due to a faihire of inspection andlor testing in any respect, COMPANX's liability shall ba limited to
the lesser of a sum equal to one-half (U2) of the cu~Yent annual inspection charge paid (or to be paid) by SUBSCRIBER or
$1,000.00 as ligtudated damages and not as a penalty. The amounts payable to the COMPANY hereunder are based upon the
value of the services and the scope of liability as herein set forth and are unrelated to the value of SUBSCRIBER'S property
or the property of others located in SUBSCRIBER'S Premises. IN NO EVENT WILL CONTRACTQR BE LIABLE TO
SUBSCRIBER FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND. If more than one location
is subject to this Agreement, the liquidated damages amount will be calculated using the contractual cost for the premises or
location giving rise to the claim. This provision shall not apply in the case of gross negligence by the company that
proximately causes damage or injury.
