Recitals

WHEREAS,Region14ESChasenteredintoacertainMasterAgreementdated_______________________,referencedasContractNumber_______________________,byandbetweenRegion14ESCandVendor,asmaybeamendedfromtimetotimeinaccordancewiththetermsthereof(the“MasterAgreement”),forthepurchaseofAlternativeProcurementDeliveryMethodsforGeneralContractingServicesinArizona;

WHEREAS,saidMasterAgreementprovidesthatanystate,city,specialdistrict,localgovernment,schooldistrict,privateK-12school,technicalorvocationalschool,highereducationinstitution,othergovernmentagencyornonprofitorganization(hereinafterreferredtoas“publicagency”orcollectively,“publicagencies”)maypurchaseproductsandservicesatthepricesindicatedintheMasterAgreement;

WHEREAS,NCPAhastheadministrativeandlegalcapacitytoadministerpurchasesundertheMasterAgreementtopublicagencies;

WHEREAS,NCPAservesastheadministrativeagentforRegion14ESCinconnectionwithothermasteragreementsofferedbyNCPA

WHEREAS,Region14ESCdesiresNCPAtoproceedwithadministrationoftheMasterAgreement;

WHEREAS,NCPAandVendordesiretoenterintothisAgreementtomakeavailabletheMasterAgreementtopublicagenciesonanationalbasis;

NOW,THEREFORE,inconsiderationofthepaymentstobemadehereunderandthemutualcovenantscontainedinthisAgreement,NCPAandVendorherebyagreeasfollows:

♦ GeneralTermsandConditionsØ TheMasterAgreement,attachedheretoasTab1andincorporatedhereinbyreferenceas

thoughfullysetforthherein,andthetermsandconditionscontainedthereinshallapplytothisAgreementexceptasexpresslychangedormodifiedbythisAgreement.

Ø NCPAshallbeaffordedalloftherights,privilegesandindemnificationsaffordedtoRegion14ESCundertheMasterAgreement,andsuchrights,privilegesandindemnificationsshallaccrueandapplywithequaleffecttoNCPAunderthisAgreementincluding,butnotlimitedto,theVendor’sobligationtoprovideappropriateinsuranceandcertainindemnificationstoRegion14ESC.

Ø Vendorshallperformallduties,responsibilitiesandobligationsrequiredundertheMasterAgreementinthetimeandmannerspecifiedbytheMasterAgreement.

Ø NCPAshallperformallofitsduties,responsibilities,andobligationsasadministratorofpurchasesundertheMasterAgreementassetforthherein,andVendoracknowledgesthatNCPAshallactinthecapacityofadministratorofpurchasesundertheMasterAgreement.

Ø WithrespecttoanypurchasesmadebyRegion14ESCoranyPublicAgencypursuanttotheMasterAgreement,NCPA(a)shallnotbeconstruedasadealer,re-marketer,

representative,partner,oragentofanytypeofVendor,Region14ESC,orsuchPublicAgency,(b)shallnotbeobligated,liableorresponsible(i)foranyordersmadebyRegion14ESC,anyPublicAgencyoranyemployeeofRegion14ESCorPublicAgencyundertheMasterAgreement,or(ii)foranypaymentsrequiredtobemadewithrespecttosuchorder,and(c)shallnotbeobligated,liableorresponsibleforanyfailurebythePublicAgencyto(i)complywithproceduresorrequirementsofapplicablelaw,or(ii)obtainthedueauthorizationandapprovalnecessarytopurchaseundertheMasterAgreement.NCPAmakesnorepresentationsorguarantieswithrespecttoanyminimumpurchasesrequiredtobemadebyRegion14ESC,anyPublicAgency,oranyemployeeofRegion14ESCorPublicAgencyunderthisAgreementortheMasterAgreement.

Ø ThePublicAgencyparticipatingintheNCPAcontractandVendormayenterintoaseparatesupplementalagreementtofurtherdefinethelevelofservicerequirementsoverandabovetheminimumdefinedinthiscontracti.e.invoicerequirements,orderingrequirements,specializeddelivery,etc.AnysupplementalagreementdevelopedasaresultofthiscontractisexclusivelybetweenthePublicAgencyandVendor.NCPA,itsagents,membersandemployeesshallnotbemadepartytoanyclaimforbreachofsuchagreement.

♦ TermofAgreementØ ThisAgreementshallbeineffectsolongastheMasterAgreementremainsineffect,

provided,however,thattheobligationtopayallamountsowedbyVendortoNCPAthroughtheterminationofthisAgreementandallindemnificationsaffordedbyVendortoNCPAshallsurvivethetermofthisAgreement.

♦ FeesandReportingØ TheawardedvendorshallelectronicallyprovideNCPAwithadetailedmonthlyor

quarterlyreportshowingthedollarvolumeofallsalesunderthecontractforthepreviousmonthorquarter.Reportsshallbesentviae-mailtoNCPAofficesatfacilities.reporting@ncpa.us.Reportsaredueonthefifteenth(15th)dayafterthecloseofthepreviousmonthorquarter.Itistheresponsibilityoftheawardedvendortocollectandcompileallsalesunderthecontractfromparticipatingmembersandsubmitone(1)report.Thereportshallincludeatleastthefollowinginformationaslistedintheexamplebelow:

Ø SuppliershallmaintainanaccountingofallpurchasesmadebyPublicAgenciesundertheMasterAgreement.NCPAandRegion14ESCreservetherighttoaudittheaccountingforaperiodoffour(4)yearsfromthedateNCPAreceivestheaccounting.Intheeventofsuchanaudit,therequestedmaterialsshallbeprovidedatthelocationdesignatedbyRegion14ESCorNCPA.IntheeventsuchauditrevealsanunderreportingofContractSalesandaresultingunderpaymentofadministrativefees,VendorshallpromptlypayNCPAtheamountofsuchunderpayment,togetherwithinterestonsuchamountandshallbeobligatedtoreimburseNCPA’scostsandexpensesforsuchaudit.

♦ GeneralProvisionsØ ThisAgreementsupersedesanyandallotheragreements,eitheroralorinwriting,

betweenthepartiesheretowithrespecttothesubjectmatterhereof,andnootheragreement,statement,orpromiserelatingtothesubjectmatterofthisAgreementwhichisnotcontainedhereinshallbevalidorbinding.

Ø AwardedvendoragreestoallowNCPAtousetheirnameandlogowithinwebsite,marketingmaterialsandadvertisement.AnyuseofNCPAnameandlogooranyformofpublicityregardingthiscontractbyawardedvendormusthavepriorapprovalfromNCPA.

Ø IfanyactionatlaworinequityisbroughttoenforceorinterprettheprovisionsofthisAgreementortorecoveranyadministrativefeeandaccruedinterest,theprevailingpartyshallbeentitledtoreasonableattorney’sfeesandcostsinadditiontoanyotherrelieftowhichsuchpartymaybeentitled.

Ø NeitherthisAgreementnoranyrightsorobligationshereundershallbeassignablebyVendorwithoutpriorwrittenconsentofNCPA.Anyassignmentwithoutsuchconsentwillbevoid.

Ø ThisAgreementandNCPA’srightsandobligationshereundermaybeassignedatNCPA’ssolediscretion,toanexistingornewlyestablishedlegalentitythathastheauthorityandcapacitytoperformNCPA’sobligationshereunder

If CORE is fortunate enough to be awarded the new NCPA contract we would return to all customers who have historically used the contract and proudly notify them of our current standing with NCPA and begin to discuss future projects in which CORE can implement this contract. In addition, CORE is looking to provide APDM services to new school districts, municipalities, etc. and since one of the widely known contracts around is NCPA, it is our expectation that with this contract we will also be able to broaden our customer base.

CORE will seek to enroll in any NCPA training seminars or sessions that are provided, we will hold web based meetings with representatives in each of our offices to review the terms and conditions as well as discuss how NCPA works. The goal will be to use the NCPA contract to expand in to new markets and expand existing markets by adding new customers. CORE is also open to advice and suggestions from the NCPA team. In the past NCPA has assisted CORE greatly in both understanding how the contract is to be implemented and how best to sell it.

DISADVANTAGEDBUSINESSPARTICIPATION

ThisContractissubjecttotherequirementsofTitle49,CodeofFederalRegulations,Part26,“ParticipationbyDisadvantagedBusinessEnterprisesinDepartmentofTransportationFinancialAssistancePrograms”,therefore,itisthepolicyoftheDepartmentofTransportation(DOT)toensurethatDisadvantagedBusinessEnterprises(DBEs),asdefinedin49CFRPart26,haveanequalopportunitytoreceiveandparticipateintheperformanceofDOT-assistedcontracts.

1) Non-DiscriminationAssurances.Contractororsubcontractorshallnotdiscriminateonthebasisofrace,color,nationalorigin,orsexintheperformanceofthisContract.Contractorshallcarryoutallapplicablerequirementsof49CFRPart26intheawardandadministrationofDOT-assistedcontracts.FailurebyContractortocarryouttheserequirementsisamaterialbreachofthisContract,whichmayresultintheterminationofthisContractorothersuchremedyaspublicagencydeemsappropriate.EachsubcontractContractorsignswithasubcontractormustincludetheassuranceinthisparagraph.(See49CFR26.13(b)).

2) PromptPayment.ContractorisrequiredtopayeachsubcontractorperformingWorkunderthisprimeContractforsatisfactoryperformanceofthatworknolaterthanthirty(30)daysafterContractor’sreceiptofpaymentforthatWorkfrompublicagency.Inaddition,Contractorisrequiredtoreturnanyretainagepaymentstothosesubcontractorswithinthirty(30)daysafterthesubcontractor’sworkrelatedtothisContractissatisfactorilycompletedandanylienshavebeensecured.Anydelayorpostponementofpaymentfromtheabovetimeframesmayoccuronlyforgoodcausefollowingwrittenapprovalofpublicagency.ThisclauseappliestobothDBEandnon-DBEsubcontractors.ContractormustpromptlynotifypublicagencywheneveraDBEsubcontractorperformingWorkrelatedtothisContractisterminatedorfailstocompleteitsWork,andmustmakegoodfaitheffortstoengageanotherDBEsubcontractortoperformatleastthesameamountofwork.ContractormaynotterminateanyDBEsubcontractorandperformthatWorkthroughitsownforces,orthoseofanaffiliate,withoutpriorwrittenconsentofpublicagency.

3) DBEProgram.InconnectionwiththeperformanceofthisContract,ContractorwillcooperatewithpublicagencyinmeetingitscommitmentsandgoalstoensurethatDBEsshallhavethemaximumpracticableopportunitytocompeteforsubcontractwork,regardlessofwhetheracontractgoalissetforthisContract.Contractoragreestousegoodfaitheffortstocarryoutapolicyintheawardofitssubcontracts,agentagreements,andprocurementcontractswhichwill,tothefullestextent,utilizeDBEsconsistentwiththeefficientperformanceoftheContract.

FEDERALCHANGES

ContractorshallatalltimescomplywithallapplicableFTAregulations,policies,proceduresanddirectives,includingwithoutlimitationthoselisteddirectlyorbyreferenceintheContractbetweenpublicagencyandtheFTA,astheymaybeamendedorpromulgatedfromtimetotimeduringthetermofthiscontract.Contractor’sfailuretosocomplyshallconstituteamaterialbreachofthisContract.

INCORPORATIONOFFEDERALTRANSITADMINISTRATION(FTA)TERMS

Theprovisionsinclude,inpart,certainStandardTermsandConditionsrequiredbytheU.S.DepartmentofTransportation(DOT),whetherornotexpresslysetforthintheprecedingContractprovisions.AllcontractualprovisionsrequiredbytheDOT,assetforthinthemostcurrentFTACircular4220.1F,datedNovember1,2008,areherebyincorporatedbyreference.Anythingtothecontraryhereinnotwithstanding,allFTAmandatedtermsshallbedeemedtocontrolintheeventofaconflictwithotherprovisionscontainedinthisContract.Contractoragreesnottoperformanyact,failtoperformanyact,orrefusetocomplywithanypublicagencyrequeststhatwouldcausepublicagencytobeinviolationoftheFTAtermsandconditions.

NOFEDERALGOVERNMENTOBLIGATIONSTOTHIRDPARTIES
