THIS AGREEMENT is made on the date set out in Item 1 of

the Particulars.

BETWEEN: بين كل من:

(A) The Seller is the owner of the land on which the Villa is

to be constructed and proposes to construct the Villa;

(B) The Purchaser wishes to purchase the Villa when

constructed in accordance with the terms of this

Agreement; and

(C) The Parties intend that legal title to the Villa will be

transferred to the Purchaser upon Completion of the Villa

in accordance with the terms of this Agreement.

1 SALE AND PURCHASE 1 البيع والشراء

Subject to the terms and conditions of this Agreement, the

Seller agrees to sell, and the Purchaser agrees to purchase

the Villa.

مع مراعاة شروط هذه لاتفاقية وأحكامها، يوافق البائع على

بيع الفيلا، ويوافق المشتري على شرائها.

2 PAYMENT 2 السداد

Purchase Price سعر الشراء

2.1 The Purchaser shall pay the Purchase Price to the Seller in

cleared funds in accordance with the Payment Schedule

free of exchange and without any deduction or set off.

يدفع المشتري سعر الشراء إلى البائع في شكل أموال خالصة 2-1

اد وخالية من تقلبات سعر الصرف وبدون أي وفقاً لجدول السد

خصم أو اقتطاع.

2.2 The Purchaser hereby expressly agrees that the Seller shall

be entitled to cash in any cheques provided in accordance

with the Payment Schedule on the relevant Payment

Instalment Date.

يوافق المشتري صراحةً بموجب هذه الاتفاقية على أنه يحق 2-2

للبائع صرف أي شيكات مقدمة وفقاً لجدول السداد في تاريخ

قسط السداد ذي الصلة.

Delay in payment التأخر في السداد

2.3 Without prejudice to the Seller's other rights hereunder, in

the event of a cheque not being honoured for any reason or

non-payment of any other amounts payable by the

Purchaser shall pay to the Seller a charge for the delay in

the payment on the amounts outstanding at the Delayed

Payment Charge Rate.

دون المساس بالحقوق الأخرى للبائع بموجب هذه الاتفاقية، 2-3

في حالة عدم سداد شيك لأي سبب من الأسباب أو عدم سداد

أي مبالغ أخرى مستحقة الدفع من قبل المشتري، يتوجب عليه

2.4 Each payment made by the Purchaser shall be allocated

first to the discharge of any late payment fee, then to the

payment of any other amounts due under this Agreement

(other than instalments of Purchase Price) and then to the

Purchase Price.

3 SELLER'S WORKS

The provisions of Schedule 5 (General Terms and

Conditions) shall apply with respect to the construction of

the Villa.

يتعلق بإنشاء الفيلا.

4 TRANSFER OF TITLE

نقل الملكية 4

4.1 Subject to the Purchaser's compliance with the terms and

conditions of this Agreement, including, but not limited to,

payment of the full Purchase Price on the Completion

Date, the Seller shall on the Completion Date (or as soon

as practicable thereafter) use reasonable endeavours to

provide the Purchaser with all documents required to

transfer title to the Villa to the Purchaser and procure that

title to the Villa is registered in the name of the Purchaser

in the Land Register such as to convey ownership of the

Villa (the date of transfer of title and registration of the

Villa in the name of the Purchaser at the Land Department

being the Transfer Date).

إلى المشتري ويعمل على أن يتم تسجيل ملكية الفيلا باسم

المشتري لدى سجل الأراضي وذلك لنقل ملكية الفيلا )يعتبر

ئرة تاريخ نقل ملكية الفيلا وتسجيلها باسم المشتري في دا

The Purchaser shall pay in full all the Land Department's fees

(including any fees that may be payable by the Seller) that

are directly related to the transfer of title to the Villa to the

Purchaser pursuant to clause 4.1 above.

يسدد المشتري كافة رسوم دائرة الأراضي والأملاك كاملة 4-2

)بما في ذلك أي رسوم قد تكون واجبة السداد من جانب البائع(

5 LEISURE FACILITIES

المرافق الترفيهية 5

If the Seller operates or procures the operation on a

commercial basis of any leisure facilities (such as tennis

courts and swimming pools) within the vicinity of the Villa

and/or other neighbouring plots and if the Purchaser or its

Occupiers wish to use such leisure facilities, the Purchaser

shall (and shall procure its Occupiers) comply with the

rules and regulations imposed by such operator(s)

including the payment of any fees and charges.

في حال قام البائع بتشغيل أو العمل على تشغيل أي من

المرافق الترفيهية على أساس تجاري )كملاعب التنس

سباحة( ضمن المنطقة المجاورة للفيلا و/أو غيرها وأحواض ال

من المناطق المجاورة، وفي حال رغب المشتري أو أي من

شاغليه باستخدام المرافق الترفيهية تلك، يتوجب على

المشتري )وكذلك يضمن قيام شاغليه( الالتزام بالقواعد

واللوائح المطبقة من قبل ذلك المشغل )المشغلين( بما في ذلك،

اد أية رسوم أو مصاريف. سد

6 SCHEDULES AND TERMS AND

CONDITIONS

الملاحق والأحكام والشروط 6

The Schedules to this Agreement are an integral part of it and

in particular the provisions of Schedule 6 (General Terms

and Conditions) shall apply including without limitation

the defined terms and provisions with respect to

interpretation contained therein.

تكون ملاحق هذه الاتفاقية جزء لا يتجزأ منها، وعلى وجه

)الشروط والأحكام العامة( 6الخصوص، تطبق أحكام الملحق
