Taxation (direct and indirect) is one of key aspects that shall be considered when corporations are contemplating any transactions. Irrespective of the company’s circumstances, tax risk management has become more important in recent years as the Indonesian tax legislations are growing in complexity and the tax audit process and approach are more sophisticated in recent years. Incompliance with the prevailing tax regulations may expose the company to significant unnecessary costs and effort. AHSC collaborates with our clients to plan and design transaction structures that are effective and efficient from tax perspective. Some of our clients’ transaction may have been entered into without proper consideration of its tax implications, and we work together with them to restructure, re-negotiate and provide inputs on amendment to the relevant agreement to alleviate tax risks. At AHSC, we strive to understand the industry where our clients operates as well as the company’s circumstances and transaction specific features that may have implications on the tax outcomes.

Tax dispute resolution in Indonesia may take a long process, from managing tax audits, filing an objection letter on audit results and discussions with the tax auditors, up to filing an appeal to the Tax Court and attending hearings. In some cases, when the Tax Court appeal result is not favorable, a reconsideration request may be filed to the Supreme Court. Each of the tax dispute resolution steps above needs to be managed properly and monitored closely to ensure the best possible outcomes. Timely communication with and convincing case presentation to the tax auditors and tax court judges are crucial. AHSC can work with you in managing the risks associated with tax dispute resolution process, from tax audit assistance to Tax Court appeal and the reconsideration request to the Supreme Court. We may also represent you in the tax audit, objection and appeal process.

Recently the Indonesian Minister of Finance introduced new Transfer Pricing (“TP”) regulation on TP Documentations. This regulation is in line with the OECD BEPS Action 13 regarding Transfer Pricing Documentation and Country-by-Country Reporting. The Indonesian Tax Office is also targeting its tax monitoring and tax audit efforts on TP issues. Therefore, managing your related-party transactions becomes increasingly critical.

During corporate actions, such as merger, acquisition, disposal, financing, new joint venture and Initial Public Offering, the associated tax implications shall be carefully considered and planned to enhance values. Early stage tax planning is important to add value to the transaction, which should cover both transaction tax costs, ongoing and future direct/ indirect taxes applicable to the business, and any restructuring required to achieve the target value of the transaction. AHSC works with clients to assess transaction risks, structure the transaction to optimize value, perform pre-acquisition due diligence, and provide tax related inputs on transaction documents.

Indonesia has various tax compliance requirements, including monthly and annual tax returns. We work with our clients to ensure compliance with the prevailing tax legislations. Ali Hermanto Strategic Consulting (“AHSC”) is an independent consulting firm founded by two senior professionals who have long term experience working at two different “Big Four” consulting and accounting firm. Prior to forming AHSC, both founders have several years of experience working as corporate executives in an oil and gas group and one of the largest listed mining companies in Indonesia. Our founders’ mixtures of background and their blend of both consulting and corporate experiences provide AHSC an in-depth technical and practical knowledge, comprehensive understanding of business and industry, and the related intricacy of tax and regulatory affairs. Therefore, these allow AHSC to provide holistic advices and hands-on solution on complex taxation and related issues, which arise in major projects and transactions.

Ali is a co-founder of AHSC and has more than 20 years of professional experience in financial, accounting and tax consulting. Ali has been involved in various professional engagements including auditing, financial and tax due diligence, tax consulting, corporate structuring, contract negotiations, and IPO support. Prior to forming AHSC, he has held various roles including Tax Partner in PwC Indonesia and Group CFO of an Indonesian based oil and gas group.

During his professional career in Indonesia and the Netherlands, Ali has been exposed to a wide variety of industry sectors, including coal and hard rock mining, oil and gas, utilities, telecom, and consumer products.

Ali graduated from the Faculty of Economics of Tarumanagara University majoring in Accounting in 1995. He obtained his master degree, MM Strategic Management from Prasetiya Mulya Business School in 2015. He is also a registered Tax Consultant (Brevet C) and a registered Chartered Accountant (CA) with the Indonesian Institute of Accountants which is also recognized by the International Federation of Accountants (IFAC). Ali also currently actively involves in two social enterprises focusing in education and youth empowerments.

Hermanto is co-founder of AHSC and has around 30 years of professional experiences in financial, accounting and tax consulting. Hermanto has been involved in various professional engagements including auditing, financial and tax due diligence, corporate and project structuring, tax disputes and resolutions, and various transaction supports in merger and acquisition and global bond offerings. Prior to forming AHSC, he has held various roles including Tax Partner in KPMG Indonesia in 2000. He had previous experiences in forming Harsono Hermanto Strategic Consulting in 2007 prior to joining the Board of a major listed coal mining company in 2011 as Director of Taxation and Good Corporate Governance.

During his professional career in Indonesia and Australia, Hermanto has been exposed to a wide variety of industry sectors, including coal and hard rock mining, oil and gas, utilities, construction and non-bank financial institution. Hermanto also specializes in serving major Japanese corporations. Hermanto graduated from the Faculty of Economics of Tarumanagara University majoring in Accounting in 1989. He attended an executive education program in Harvard Business School with subject General Management Program in 2011 (HBS Alumni GMP 11). He is a registered Tax Consultant (Brevet C) and registered Chartered Accountant (CA) with the Indonesian Institute of Accountants which is also recognized by the International Federation of Accountants (IFAC). He also hold a license as legal representative at the Tax Court.
