THE MINUTES OF THE ANNUAL MEETING OF THE BOARD OF DIRECTORS

OF DELTA COMMUNITY DEVELOPERS CORP. HELD JUNE 18, 2020

The Board of Directors of Delta Community Developers Corp. met in a Annual Meeting at 2575 Grand Canal Blvd., Stockton, California, at 4:12 p.m. on June 18, 2020. Directors attended by teleconference as permitted by Govt. Code § 54953 and Executive Order N-29-20.

The Chairperson called the meeting to order, and upon roll call, those present and absent were as follows:

Present: Patricia Barrett, Director Dale Cose, Chairperson Ryan Gresham, Second Vice Chairperson Martha Moore, Director Lester Patrick, First Vice Chairperson Rudy Willey, Director Jon Mendelson, Director

Absent: None

The Chairperson declared a quorum present.

Also present were Peter W. Ragsdale, Executive Director; Gerald “Chip” Jones, Deputy Director; Alan R. Coon, General Counsel; and Douglas Earhart, Certified Public Accountant (“CPA”) of Smith Marion & Co.

The Director Cose announced resignation from the Board of Directors, offered to remain on the Board in order to train the successor.

RESOLUTION APPROVING AND ADOPTING AMENDMENT OF DELTA COMMUNITY DEVELOPERS CORP.

AND "AFFILIATED ENTITIES" BY-LAWS RESOLVED AND ORDERED by the Board of Directors of Delta Community Developers Corp. ("DCDC"), a California nonprofit public benefit corporation, and as sole member of its Affiliated Entities (see Attachment), now or hereafter created, in a regular meeting this 18th day of June, 2020 did modify Article VII of their By-Laws dated September 9, 2019, be, and the same hereby is approved and adopted as follows:

Article VII. Officers The officers of the Corporation, and those sole member entities now or hereafter created by Corporation ("Affiliated Entities"), shall be the Executive Director, Deputy Director and Director of Finance, and shall be the same persons serving in said positions for the Housing Authority of the County of San Joaquin. A List of Affiliated Entities, attached as Attachment "A", shall be incorporated herein by reference. The Executive Director of the Corporation shall serve as Secretary to the Board of Corporation in accordance with Section 5 of this Article. The duties of the officers of this Corporation shall be as follows: Section 1. Executive Director The Executive shall preside over all meetings of the Corporation except for the Meetings held by the Board of Directors, and shall perform such other duties as ordinarily pertains to such office. The Executive Director Chairperson shall be an ex-officio member of all ad hoc and standing committees. Section 2. Deputy Director The Deputy Director shall act in the capacity as Corporation's Deputy Director as that position is held and conducted with the Housing Authority of the County of San Joaquin; and shall act as the Executive Director in the absence or incapacity of the Executive Director, including presiding at meetings of the members, and calling special meetings of the Board of Directors and/or members. Section 3. Director of Finance The Director of Finance shall act in the capacity as Corporation's Director as that position is held and conducted with the Housing Authority of the County of San Joaquin; and shall act as the Executive Director in the absence or incapacity of the Executive Director and Deputy Director, including presiding at meetings of the Board of Directors and members, and calling special meetings of the Board of Directors and/or members.

Section 4. Additional Officer Authorization Except as otherwise expressly provided by law, the Articles of Incorporation, or by these By-laws, the Executive Director, Deputy Director and Director of Finance shall, in the name of the Corporation, execute such deeds, mortgages, bonds, contracts, checks, or other instruments which may from time to time be authorized by the Board of Directors. Section 5. Secretary It shall be the duty of the Secretary to keep the record of attendance at meetings, send out notices of meetings of the Corporation, board and committees, record and preserve the minutes of such office. The minutes of each meeting shall state the time and place that it was held in accordance with law and these By-Laws and the actions taken thereat. It shall also be the duty of the Secretary to chair the Finance Committee, to sign checks and to husband the resources of the Corporation. The Secretary shall cause to be kept adequate and correct books and records of accounts of the properties and business transactions of the Corporation and shall cause a statement of the Corporation's financial condition to be presented to the Board of Directors quarterly or at such time as requested by the President of the Board of Directors. Section 6. Hold Only One Office No member of the Board of Directors shall hold more than one (1) office in the Corporation; service upon a committee shall not be deemed as office hereunder. Section 7. Removal from Office Any officer elected or appointed by the Board may be removed by the Board by a vote in favor of removal cast by two-thirds of all the remaining actually serving Directors whenever in its judgment the best interests of the Corporation would be served thereby. The Board of Directors may declare vacant the office of an appointed Director who has been declared of unsound mind by an order of Court or convicted of a felony.

RESOLUTION NO. 20-8 RESOLUTION AUTHORIZING DIGINATY HEALTH LOAN

PURCHASE FINANCING OF REAL PROPERTY LOCATED AT 601 WIMBLEDON DRIVE, LODI,

AND DESIGNATING SIGNATORIES FOR LOAN DOCUMENTS

WHEREAS, the Housing Authority of the County of San Joaquin (Authority), as sole member of Delta Community Developers Corporation (DCDC)has secured a loan with Dignity Health purchasing that real property commonly known as

Creekside South Apartments located at 601 Wimbledon Drive, Lodi California, 95240 ("Property"); and WHEREAS, the loan for said property is for a term of 3 years; and WHEREAS, the interest rate is 3.5% per annum; and WHEREAS, the amount of the loan is up to $3.85 million; and WHEREAS, the $3.85 million allows for acquisition and $100,000 in an interest reserve; and

WHEREAS, it is in the best interest of the Housing Authority to except the terms and approve execution of the Loan documents with Dignity Health to acquire Creekside South Apartments. NOW, THEREFORE, BE IT RESOLVED AND ORDERED by the Commissioners of the Housing Authority of the County of San Joaquin meeting in a Regular Meeting this 21st day of May 2020 as Follows:

1. That the Executive Director to enter into a Loan Agreement with

Dignity Health for the acquisition of Creekside South Apartments, up to $3,850,000; and

2. That the Executive Director to execute any and all documents

related to the loan; and 3. That the Executive Director, Deputy Director, and Director of

Finance the authority to execute any and all related Dignity Health Loan documents; and

4. That the Executive Director has authorization of any ancillary and

additional actions related to the Dignity Health Loan; and 5. That the Executive Director, Deputy Director and Director of

Finance to execute any and all applicants and documents related to the CDBG HOME funds and award and, in addition, discretion and authority to negotiate all related documents; and

RESOLUTION AUTHORIZING THE CORPORATION TO APPLY FOR AN AWARD FROM THE VETERANS HOUSING AND HOMELESSNESS PREVENTION PROGRAM ON BEHALF OF CORPORATION ITSELF AND ON BEHALF OF LIMITED PARTNERSHIP IN CORPORATIONS ROLE AS GENERAL PARTNER OF LIMITED PARTNERSHIP

WHEREAS, the State of California, Department of Housing and Community Development (the “Department”) has issued a Notice of Funding Availability (“NOFA”) under its Veterans Housing and Homelessness Prevention (“VHHP”) Program dated November 8, 2019, as authorized pursuant to The Veterans Housing and Homeless Prevention Act of 2014 (the “Act”) as codified at Military and Veteran’s Code section 987.001 et seq., and pursuant to the most recently adopted guidelines (the “Guidelines”) promulgated by the Department pursuant to the Act; and WHEREAS, it is in the best interests of the Corporation and its shareholder for the Corporation to act as the Managing General Partner of Victory Gardens, LP, a California limited partnership (the “Limited Partnership”); and WHEREAS, the Corporation and Limited Partnership are authorized to do business in the State of California and are empowered to enter into an obligation to receive State funds for the acquisition, construction, rehabilitation, or preservation of affordable multifamily supportive housing, affordable transitional housing, affordable rental housing, or related facilities for veterans and their families; and WHEREAS, the Corporation represents and warrants that the Limited Partnership has validly designated Corporation as the Managing General Partner of the “Limited Partnership”; and WHEREAS, the Corporation wishes to obtain an award from the Department for a VHHP loan, on its own behalf and on behalf of the Limited Partnership, for the acquisition, construction, rehabilitation, or preservation of a Veteran’s-restricted affordable rental housing development (the Project”) located in the County of San Joaquin; and WHEREAS, the Corporation is eligible to be a Sponsor pursuant to the criteria set forth in the Guidelines and NOFA;

NOW, THEREFORE, IT IS RESOLVED: That the Corporation is hereby authorized to submit an application for an award of VHHP loan funds to be paid to its subsidiary Limited Partnership in a loan amount not to exceed $7,000,000.00 (the “VHHP Loan”) for the Project pursuant to the NOFA. RESOLVED FURTHER: If the application is approved, the Corporation is hereby authorized on its own behalf, and on behalf of the Limited Partnership to incur an obligation for the VHHP Loan. That in connection with the VHHP Loan, the Corporation is hereby authorized and directed on its own behalf, and on behalf of the Limited Partnership to enter into, execute, and deliver, a State of California Standard Agreement, and any and all other documents required or deemed necessary or appropriate to carry into effect the full intent and purpose of the above resolution, in order to evidence the VHHP Loan, the Corporation’s or Limited Partnership’s obligations related thereto, and the Department’s security therefore; including, but not limited to, a promissory note, a deed of trust and security agreement, a regulatory agreement, a development agreement and certain other documents required by the Department as security for, evidence of or pertaining to the VHHP Loan, and all amendments thereto (collectively, the “VHHP Loan Documents”). RESOLVED FURTHER: The Corporation is hereby authorized on its own behalf, and on behalf of the Limited Partnership to request amendments, including increases in amounts up to amounts approved by the Department, and to execute any and all documents required by the Department to govern and secure these amendments. RESOLVED FURTHER: That the Executive Director, any officer and/or Chairman of the Boards of the Housing Authority of the County of San Joaquin acting as the sole member of DCDC, DCDC itself, and DCDC Victory Gardens, LLC, are hereby authorized to execute: an application for the VHHP Loan, the VHHP Loan Documents, and any amendment or modifications thereto, on behalf of the Corporation on its own behalf, and on behalf of the Corporation in its role as General Partner of the Limited Partnership. RESOLVED FURTHER: That this Resolution shall take effect immediately upon its passage.

BY AND THROUGH ITS MANAGING GENERAL PARTNER, DCDC VICTORY GARDENS, LLC TO APPLY FOR LOW INCOME TAX CREDITS; AND

THEREAFTER EXECUTE NECESAARY DOCUMENTS

WHEREAS, it is recognized there is need for housing and community-based services for veterans in the County of San Joaquin; and

WHEREAS, the Housing Authority of San Joaquin's ("Authority") nonprofit subsidiary, Delta Community Developers Corp. ("DCDC") created DCDC Victory Gardens, LLC, ("LLC") to act as Managing General Partner for also created non-profit developer, Victory Gardens, LP ("Partnership") to construct approximately 49 affordable housing units, exclusively for VASH participants, on approximately 4.5 acres of County-owned land eventually to be ground leased to a non-profit developer as additional local leverage to the proposed project; and

WHEREAS, Authority is also proposing to use U.S. Department of Housing and Urban Development's Veterans Affairs Supportive Housing program (HUD-VASH) vouchers with an estimated 15-year value of $6,752,880 to provide rental assistance for anticipated homeless veterans and their families; and

WHEREAS, LP was awarded a $7,000,000 grant by the Veterans Housing and Homelessness Prevention Program (VHHP) loan through a competitive process; and

WHEREAS, the LLC and/or the Partnership will apply for remaining and likely competitive funds to complete the project; and

WHEREAS, the LLC has obtained from the County of San Joaquin the exclusive right and option to lease the Property which would demonstrate site control required by CTCAC for the LIHTC application; and

NOW, THEREFORE, IT IS RESOLVED: That the LLC is hereby authorized to submit to CTCAC an application for low income housing tax credits for the Project; and

RESOLVED, FURTHER: If the application is approved, the LLC is hereby authorized to incur an obligation for the LIHTC loan. That in connection with the LIHTC loan, the LLC is authorized and directed to enter into, execute, and deliver, necessary agreement, and any and all other documents required or deemed necessary or appropriate to carry into effect the full intent and purpose of the above resolution, in order to evidence the LIHTC loan, the LLC's obligations related thereto, and the security

Subject: Draft Financial Reports – October 2019 – May 2020 Background Information: Financial reports are prepared monthly to show financial activity of the Housing Authority and Delta Community Developer’s Corp (DCDC). Year-to-date performance is compared to budget for each program with explanations of major variances and a per unit month expense calculation. Year-to-date performance for the previous fiscal year is also included to document year-over-year performance. Central Office Cost Center (COCC) Eight months into the fiscal year, COCC was budgeted to experience a net income of $109. At the close of May, it is operating with a net income of $7,583 compared to a net loss in FY 18-19 of $23,962 for the same period. Additional developer fee income was front loaded into COCC to cover expenses. Overall expenses are $158,415 over budget. Major variances include administrative expenses higher than budgeted due to professional fees for the analysis of voluntary conversion of public housing units to vouchers, public relations work and expenses related to COVID-19. The COCC will be earning additional administrative fees from the programs through the CARES Act funds which will offset those expenses. Housing Choice Voucher Program The Housing Choice Voucher (HCV) program is performing better than budget with a net income of $98,131. Administrative Fee revenues are nearly $48,000 higher than budget while expenses are nearly $50,000 below budget. The program was budgeted to have a net income of $434. In comparison, for the same period in the FY 18-19, the program was experiencing a net income of over $287,000. In preparation for shortfall and the resulting continued decline in voucher utilization, staff is looking at cost saving measures including staffing changes to maximize efficiencies. Additional Administrative Fee revenue from the CARES Act will help the financial position of the program. Staff also submitted applications to HUD to apply for shortfall funding as well as six categories of HAP set aside funding. The categories HACSJ applied under included: 2020 shortfall funds; unforeseen circumstances, related to the increases in rents and shortage of rental units; portability, project-based vouchers; HUD-VASH per unit cost increase; and HUD-VASH leasing increases. CARES Act funds are also going to become available for HAP and staff is waiting for guidance from HUD on how those funds will be made available to housing authorities. Public Housing The public housing properties are performing significantly better than budget and better than the same period in the previous fiscal year. The properties were budgeted to operate close to breakeven with a $874 profit. At the close of eight months, the properties are realizing a net income of $833,652. This is higher than the same period last year by over $287,000. Revenues were higher than budget by over $562,000 as the result of increased operating subsidy and dwelling rental income. Expense are below budget by over $207,000.

Delta Community Development Corp (DCDC)/Non-subsidized Properties The Authority owned non-subsidized housing or Operational Reserves (OR) have been transferred to DCDC. The following properties are now included in these financials:

• Washington Street – 6 units with a Project-Based Voucher (PBV) contract • Mourfield – 4 units with HOME rents for 1 unit and a PBV contract for 3 units • Central Avenue – 2 market rate units • 8th Street Stockton – single family home with market rents • American Street – 4 units with market rents • 8th Street Tracy – commercial property in Tracy • Little John’s Creek – 38 lots • 448 S. Center Street and 421 S. El Dorado – carrying costs are reported here until

construction is completed • 32 W. Park Street – carrying costs are reported here until construction is completed

and the units occupied

DCDC’s rental property portfolio was budgeted to have a net income of $40,163 and are performing better than budget with a net income of $70,834. The net income for the same period in FY 18-19 was $22,085. Revenues are $20,722 above budget and expenses $9,949 below budget. Major variances in revenue include increased commercial rental income from our Tracy 8th Street property with new tenants and dwelling rents higher than budgeted with rent increases. Expenses related to the carrying costs for 448 S. Center, 421 S. El Dorado and 32 W. Park were not included in the budget as they will be reported separately once completed. Sartini Manor Sartini Manor was budgeted to operate with a net income of $3,602. Sartini is performing near budget with a net income of $1,943. In comparison, Sartini had a net income of $4,091 for the same period last year. At the close of eight months, revenues were above budget by $1,169 while expenses were $2828 over budget. Subject: Public Housing Agency (PHA) Five-Year Plan for Fiscal Years 2020-2025.

Background Information: The Public Housing Agency (PHA) Plan to be submitted on behalf of Housing Authority of the County of San Joaquin (“Authority”) is a comprehensive guide to a public housing agency's policies, programs, operations, and strategies for meeting local housing needs and goals. There are two parts to the PHA Plan: (1) The Five-Year Plan that each PHA submits to the U.S. Department of Housing and Urban Development (HUD) once every fifth fiscal year, and (2) The Annual Plan, which is submitted annually to HUD. The Public Housing Admissions and Continued Occupancy Policy (ACOP) and the Housing Choice Voucher Program Administrative Plan (Admin Plan) are the governing plans for the Housing Authority's administration of the Public Housing program and the Housing Choice Voucher Program. Note: On May 16, 2019, Authority considered and approved a Five Year Plan for 2019-2024 and would therefore not consider a new five year plan until 2024. However, HUD did, by email dated January 17, 2020 (see attached), require the preparation and submission of a new five year plan.

The following documents are included in the PHA Plan:

• 5-Year PHA Plan (for All PHAs) - form HUD-50075-SY • Certificate of Compliance with PHA Plans and Related Regulations • Civil Rights Certification • Certification by State or Local Official of PHA Plans Consistency with

the Consolidated Plan or State Consolidated Plan • Goals and Objective for the next 5 years • Progress in Meeting Mission and Goals in the PHA 5-Year Plan • Housing Choice Voucher Program - Administrative Plan (Admin Plan) • Public Housing Admissions and Continued Occupancy Policy (ACOP)

Recommended Action:

Staff recommends the Board of Commissioners approve the PHA Five-Year Plan for Fiscal Years 2020-2025, Admin. Plan and ACOP; the Chairperson sign the PHA Certification of Compliance with PHA Plans and Related Regulations (form HUD-50078-HCV); and Board of Commissioners approve submittal of the Public Housing Agency (PHA) Five-Year Plan for Fiscal Years 2020-2025 and all related certification documents.

The 5-Year PHA Plan provides the PHA’s mission, goals and objectives for serving the needs of low- income, very low- income, and extremely low-income families and the progress made in meeting the goals and objectives described in the previous 5-Year Plan.

Public reporting burden for this information collection is estimated to average .76 hours per response, including the time for reviewing instructions, searching existing data sources,gathering and maintaining the data needed, and completing and reviewing the collection of information. The Housing Authority plans to reposition its public housing portfolio through mixed finance transactions that will include Low-Income Housing Tax Credit (LIHTC), project-based vouchers and will seek additional funding when applicable from other grant sources such as HOME Investment Partnerships Program (HOME), Community Development Block Grant (CDBG), Mental Health Services Act (MHSA) or Veterans Housing and Homeless Prevention (VHHP) funding. Planned development activities include:

Develop additional phases of Sierra Vista Homes Create a phased redevelopment of Tracy Homes Phased redevelopment of Conway Homes Victory Gardens – with a ground lease from San Joaquin County develop a project that

will be a combination of HOME Funds, Veterans Affairs and Supportive Housing (VASH) Vouchers, VHHP, Public Housing Annual Contributions Contract (ACC) and LIHTC.

Develop a homeless housing project in partnership with Stockton Shelter for the Homeless, Central Valley Low Income Housing (Shelter Plus Care Administrators), STAND, a local non-profit affordable housing provider, and the Housing Authority’s 501c3 non-profit, Delta Community Developers Corp. The project is funded through CDBG grants and State of California Homeless Energy Aid Program (HEAP) funds. The Housing Authority plans to provide Project-Based Vouchers for these units.

Crossway Residences – the Housing Authority has received $3.5 million in MHSA funds for an adaptive reuse development of our old administrative buildings into housing for Behavioral Health clients. In total the Housing Authority will be providing 39 Project-Based Voucher units.

Continue evaluating the feasibility of Rental Assistance Demonstration conversion of new mixed finance units.

Reposition a portion of both Sierra Vista Homes and Conway Homes as a ground lease to charter school providers for a commensurate public benefit.

Co-develop a Senior housing project consisting of 114 Units utilizing a ground lease from the State of California. The Housing Authority plans to provide Project-Based Vouchers for these units.

Utilizing No Place like Home Funds, in partnership with San Joaquin County building housing for the homeless. The Housing Authority will acquire, develop and provide Project-Based Vouchers for these units.

Added new Minimum Heating Requirements 8-I.G. MINIMUM HEATING STANDARDS [Notice PIH 2018-19] PHAs in states, territories, or localities with existing minimum heating standards must use their respective local standards for public housing dwelling units. For PHAs where state or local minimum heating standards do not exist, PHAs must use the HUD-prescribed heating standards specified in Notice PIH 2018-19.

HACSJ Policy The PHA’s minimum heating standards are as follows:

Minimum temperature:

If PHA-controlled, the minimum temperature in each unit must be at least 68 degrees Fahrenheit.

If tenant-controlled, then the heating equipment must have the capability of heating to at least 68 degrees

Fahrenheit Minimum temperature capability:

PHAs are allowed flexibility in maintenance of the indoor temperature when the outdoor temperature approaches the design day temperature. At no point should indoor temperatures in occupied
