COUNCIL VIRTUAL WORK SESSION MINUTES Monday, September 14, 2020

6:30 P.M.

In light of the current Coronavirus (COVID-19) pandemic, the Monday, August 10, 2020, City Council meeting of the City of Linden, has put in place special accommodations for the public and board member attendance via Zoom Meetings or phone. Call to Order

The meeting was called to order at 6:32 p.m. by Mayor Cusson. The meeting was held virtually (online and by phone). The link was provided in a notice to the public.

The Pledge of Allegiance was recited by all present.

Approval of Minutes – Motion by Culbert, second by Howd to approve the Regular City Council Meeting Minutes of August 24, 2020. Motion carried 7-0. Presentations None.

a. Purchasing Ordinance Glass reviewed draft ordinance Culbert and members discussed section 1 and section 2 of the proposed draft. Cusson mentioned the Charter calls for a resolution in line with the proposed ordinance. Members discussed the proposed dollar amounts, bids and purchases less than $5,000.

Manager’s Update Glass reviewed the following:

• Strategic planning- October 12th at 5:00 p.m. • LAFF Pathway update on Phase 1 and 2. • Loose Center • MML Convention • Cemetery update regarding Chad Wolf. • Beacon and Bridge update • Summer tax collection • Election • Update on the Department of Public Works staffing. • Provided list to council of the postponed projects in the last year.

Council Comments Cusson commented on the street collection that was submitted. Also, Small Cities met via zoom this month. Linden Presbyterian is working on putting together a walking tour for Holiday Happening. Franz commented on the DPW is a hard situation and filling the position should be completed quickly before the winter. Culbert commented on moving quickly to fill the DPW positions. Dick commented on the Loose agreement, stating Karl has never seen it. Also, Happenings in Linden is working on figuring out alternative options for Holiday Happening. Lastly, Shiawassee Keepers are planning on bringing back Riverfest. MacDermaid commented on the adopt a bench program; 7 benches have been adopted and still waiting on payment from some of the application that have been received. Howd commented on street light that are out by the Mill building. Also, the relay station is very unkept and Consumers should be contacted for upkeep. Lastly, the sidewalks are very overgrown throughout town. Financial Reports Motion by Howd, second by Cusson to approve the bills in the amount of $1,490,141.64. Roll call. Motion carried 7-0. CITY OF LINDEN ORDINANCE NO. ___

An ordinance amending Title III of the Code of Ordinances by adding thereto a new Chapter 34, entitled “Purchasing Regulations,” regulating purchasing procedures for the City in accordance with Chapter X of the City Charter. THE CITY OF LINDEN ORDAINS THAT: Section 1. Amendment of Title III of the Code of Ordinances. The City Council hereby amends Title III of the Code of Ordinances by adding thereto a new Chapter 34 to read as follows:

Chapter 34. Purchasing Regulations. 34.01 General Purchasing Policies. (A) The city manager, subject to the restrictions of state law and the Charter, shall be responsible for handling the details of purchase and sale of all city property and the letting of contracts for work, labor and materials on all city work. The authority to contract on behalf of the city is vested in the council, subject to the provisions of this ordinance and the Charter. (B) In appropriate instances, the city manager may delegate the details of purchasing of property to another officer or employee of the city, but the city manager shall be responsible for the proper performance of such duties. (C) Beginning with each fiscal year, the council shall establish, by resolution, a dollar limit within which property purchases or sales may be made without having to secure competitive bids, and the dollar limit within which the purchases may be made without securing prior council approval. (D) No contract shall be amended after execution except upon authority of the city council. (E) No contract shall be made with any person in default to the city. (F) The City Manager shall prepare invitations to bid when required and they shall contain a general description of the work to be done and/or materials or equipment to be purchased. Where desirable, the invitation to bid may contain a general resume of qualifications of the bidder and shall indicate the deadline for submitting bids and the

time and place where bids will be opened. The invitation to bid may also refer the bidder to specifications on file in the office of the city manager. (G) Invitations to bid shall, unless the city manager considers it unnecessary, be published in a newspaper circulated in the city. In cases where the city manager deems it advisable, he or she may also advertise the invitation to bid in trade journals and other publications, and may send copies of such invitation to persons and firms likely to be interested therein. (H) All proposals shall be made upon precise specifications, which specifications shall not, after publication of one advertisement, be changed without the publication of a new advertisement calling attention to such change. (I) The city manager shall have available at his or her office specifications and bid sheets, together with appropriate questionnaires to be completed if such questionnaires are considered desirable. (J) Bids shall be sealed except when the city manager requests non-sealed bids, and the city council approves them, based upon a finding that: (a) Due to circumstances beyond the control of the city, the market for such product, material or service is not competitive even though such product, material or service is normally competitive in nature; and (b) The economic interests of the city are best served by negotiating a contract with a provider of the product, material or service without requesting sealed bids. (K) Bids shall be opened in public at the time and place designated in the bid notice. Bids shall be opened by either the city manager, the city clerk or their designee and at least one other city employee. Immediately following the opening, the bids shall be examined, tabulated, and made available for public inspection. (L) The tabulation of the bids shall be submitted to the council at the next regular council meeting. The council in its discretion may accept the lowest bid, reject any or all bids, or determine the lowest bid to be unsatisfactory and award to the next lowest competent bidder. In determining the lowest bid, the council shall consider the bona fide business location of the bidder. If the lowest bidder is not a Linden-based business defined below, (and the lowest bid of the Linden-based bidders does not exceed that of the otherwise lowest bidder by more than ten percent), then the council may award the contract to such local bidder. A “Linden-based” business or bidder means a person residing within the city limits or a business registered with the county

clerk or a corporation registered with the state having a business address within the city limits which pays real and/or personal property taxes levied by the city. (M) After the opening of bids, such bids may not be withdrawn without forfeiture of any bid deposit. Deposits of security accompanying bids shall be retained until the contract is awarded and signed, except that deposits from bidders not awarded the contract shall be returned within 72 hours following council action. If any successful bidder fails or refuses to enter into the contract awarded within ten days after being notified of such award, the deposit accompanying their bid shall be forfeited to the city and the council may, in its discretion, award the contract to the next lowest competent bidder. (N) After the city council has awarded a contract, but before its execution, the contractor shall furnish to the city manager a performance bond, a maintenance bond, a labor and material bond and evidence of workmen's compensation insurance and adequate public liability insurance, in an amount and on terms acceptable to the city manager, unless in the discretion of the city manager, a particular bond or evidence of workmen's compensation insurance is inapplicable to the purchase or contract in question. (O) Any contract or agreement shall, before execution, be submitted to the city attorney for approval as to its form and legality. 34.02 Emergency purchases. If an emergency or an apparent emergency endangering the public peace, health and/or safety of the city should arise, and the delay of established purchasing procedures would vitally affect the welfare of the city, the city manager or any department head may purchase directly any supplies, materials, or equipment that the city manager or department head deems to be immediately necessary. Within three working days from the time of purchase, however, the city manager or department head who made the purchase shall file in writing with the city clerk a detailed explanation of the necessity for the purchase for approval by city council no later than its next regular meeting. 34.03 Cooperative purchases. The use of bulk purchasing programs such as the state's extended purchasing program and joining together with area municipalities to secure bids or quotations for goods or services is encouraged. The use of any such source, when conducted in a commercially reasonable manner, will be exempt from the requirements of this ordinance with respect to soliciting bids or quotes.

Pursuant to Ordinance No. 2020-___, City Council resolves as follows for Fiscal Year ______-__:

(A) Transactions less than $5,000.00. The city manager shall have full authority to enter into contracts for the purchase or sale of city property or materials for amounts not in excess of $5,000.00, provided he or she has, prior to consummation of any sale or purchase, obtained at least two comparative prices.

(B) Transactions between $5,000.00 and $15,000. The city manager is authorized to make purchases of materials and equipment in an amount between $5,000 and $15,000, without prior approval of the city council, provided the city manager has, prior to consummation of any sale or purchase, secured quotations from no less than three sources with comparative prices. (C) Transactions exceeding $15,000. The city manager shall secure bids in all transactions involving an expenditure of $15,000.00 or more. ORDINANCE NO. 395

CONSUMERS ENERGY COMPANY GAS FRANCHISE ORDINANCE

AN ORDINANCE, granting to CONSUMERS ENERGY COMPANY, its successors and assigns, the right and authority to lay, maintain and commercially operate gas lines and facilities including but not limited to mains, pipes, services and on, under, along, and across public places including but not limited to highways, streets, alleys, bridges, and waterways, and to conduct a local gas business in the CITY OF LINDEN, GENESEE COUNTY, MICHIGAN, for a period of thirty years.

THE CITY OF LINDEN ORDAINS:

SECTION 1. GRANT and TERM. The CITY OF LINDEN, GENESEE COUNTY, MICHIGAN, hereby grants to Consumers Energy Company, its successors and assigns, hereinafter called “Consumers" the right and authority to lay, maintain and commercially operate gas lines and facilities including but not limited to mains, pipes, services and valves on, under, along, and across public places including but not limited to highways, streets, alleys, bridges, and waterways, and to conduct a local gas business in the CITY OF LINDEN, GENESEE COUNTY, MICHIGAN, for a period of thirty years.

SECTION 2. CONDITIONS. No public place used by Consumers shall be obstructed longer than necessary during construction or repair, and shall be restored to the same order and condition as when work was commenced. All of Consumers’ gas lines and related facilities shall be placed as not to unnecessarily interfere with the public’s use of public places. Consumers shall have the right to trim or remove trees if necessary in the conducting of such business.

SECTION 3. HOLD HARMLESS. Consumers shall save the City free and harmless from all loss, costs and expense to which it may be subject by reason of the negligent construction and maintenance of the lines and related facilities hereby authorized. In case any action is commenced against the City on account of the permission herein given, Consumers shall, upon notice, defend the City and its representatives and hold them harmless from all loss, costs and damage arising out of such negligent construction and maintenance.

SECTION 4. EXTENSIONS. Consumers shall construct and extend its gas distribution system within said City, and shall furnish gas service to applicants residing therein in accordance with applicable laws, rules and regulations.

SECTION 5. FRANCHISE NOT EXCLUSIVE. The rights, power and authority herein granted, are not exclusive.

SECTION 6. RATES and CONDITIONS. Consumers shall be entitled to provide gas service to the inhabitants of the City at the rates and pursuant to the conditions as approved by the Michigan Public Service Commission. Such rates and conditions shall be subject to review and change upon petition to the Michigan Public Service Commission.

SECTION 7. REVOCATION. The franchise granted by this ordinance is subject to revocation upon sixty (60) days written notice by either party. Upon revocation this ordinance shall be considered repealed and of no effect past, present or future.

SECTION 8. MICHIGAN PUBLIC SERVICE COMMISSION JURISDICTION. Consumers remains subject to the reasonable rules and regulations of the Michigan Public Service Commission

applicable to gas service in the City and those rules and regulations preempt any term of any ordinance of the City to the contrary. SECTION 9. REPEALER. This ordinance, when enacted, shall repeal and supersede the provisions of any previous Consumers’ gas franchise ordinance adopted by the City including any amendments. SECTION 10. EFFECTIVE DATE. This ordinance shall take effect on ______________________. Re: Police Department Report

The Police Department continues to see call volumes that are the same as in past months. The Law Enforcement Officers Regional Training Commission has opened back up and training classes are being offered with limited capacity.

We continue to be diligent in our response to calls by wearing the appropriate personal protection equipment. The Police Department continues to have an adequate stock of PPE’s and other sanitizing products. We will continue to monitor our stock and replace as needed.

The Police Department is constantly monitoring the executive orders from Governor Whitmer to ensure we are up to date with the information we communicate to our community and to our businesses.

We have seen a slight uptick in calls for people not adhering to the mask requirements at local businesses but we continue to see, for the most part, in these unprecedented times that our citizens and businesses are adhering to the executive orders from the Governor and they both have displayed great restraint and patience. Organizations and citizens within and around the City of Linden and the community have shown great kindness to our Police Department.

The Linden Police Department will continue to patrol our city’s neighborhoods, proactively address crime, and continue our community policing efforts, while protecting our Officers and our community from COVID-19. All persons having contact with members of this department shall be treated in a nonpartisan, fair, equitable, and objective manner, in accordance with law, and without consideration of their race, color, national origin, or other individual characteristics or distinctions.

I want to assure everyone that during these unprecedented times, our Officers are working diligently to protect our neighborhoods and to keep our city safe.

Fire Station No repairs needed Training We conducted a water supply training session with refreshing on operating the pumps on the engines and flowing water with hose streams and using the hydrants as well. We also trained on our RIT system which is an accountability system so we know where everyone is a fire scene. Personnel We hired a new resident as a Firefighter. BJ Burton has joined our department and will be enrolling into the next fire academy hopefully in October if they conduct one due to covid constraints.

Fire Department August 2020 Monthly Report

Chief’s Notes We responded to a total of 17 calls for the month of August with 7 of them being EMS. Other calls consisted of 3 fire alarms, 1 gas leak, 2 P/I accidents, 1 water rescue and 3 mutual aid assists. We continue to assist the area departments with some house fires. Even though these are not our calls our firefighter’s keep their skills up and gain experiences while helping them out. As you know, they are always there for us when needed as well. Our staffing levels have been staying the same which is a good thing. I continue to search and talk with anyone who makes an inquiry, its always good to add to the staff for future calls and possible retirements.
