Antitrust Compliance Guidelines

I. General It is NERC’s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition.

It is the responsibility of every NERC participant and employee who may in any way affect NERC’s compliance with the antitrust laws to carry out this commitment.

Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC’s antitrust compliance policy is implicated in any situation should consult NERC’s General Counsel immediately.

II. Prohibited ActivitiesParticipants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions):

• Discussions involving pricing information, especially margin (profit) and internal costinformation and participants’ expectations as to their future prices or internal costs.

• Discussions of a participant’s marketing strategies.

• Discussions regarding how customers and geographical areas are to be divided amongcompetitors.

• Discussions concerning the exclusion of competitors from markets.

• Discussions concerning boycotting or group refusals to deal with competitors, vendors orsuppliers.

• Any other matters that do not clearly fall within these guidelines should be reviewed with NERC’s General Counsel before being discussed.

III. ctivities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications.

You should also ensure that NERC procedures, including those set forth in NERC’s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business.

In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting.

No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations.

Subject to the foregoing restrictions, participants in NERC activities may discuss:

• Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities.

• Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system.

• Proposed filings or other communications with state or federal regulatory authorities or other governmental entities.

Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings.

Public Announcements

REMINDER FOR USE AT BEGINNING OF MEETINGS AND CONFERENCE CALLS THAT HAVE BEEN PUBLICLY NOTICED AND ARE OPEN TO THE PUBLIC

For face-to-face meeting, with dial-in capability: Participants are reminded that this meeting is public. Notice of the meeting was posted on the NERC website and widely distributed. The notice included the number for dial-in participation. Participants should keep in mind that the audience may include members of the press and representatives of various governmental authorities, in addition to the expected participation by industry stakeholders.

NERC Email List Policy

At its discretion, NERC may provide “listservs” to be used by NERC committees, groups, and teams to facilitate sharing information about NERC activities with interested parties. All emails sent to NERC listserv addresses must be limited to topics that are directly relevant to the listserv group’s assigned scope of work. NERC reserves the right to apply administrative restrictions to any listserv or its participants, without advance notice, to ensure that the resource is used in accordance with this and other NERC policies.

Prohibited activities include using NERC‐provided listservs for any price‐fixing, division of markets,

and/or other anti‐competitive behavior.1 Recipients and participants on NERC listservs may not utilize NERC listservs for their own private purposes. This may include:

announcements of a personal nature, sharing of files or attachments not directly relevant to the listserv group’s scope of

responsibilities, and/or communication of personal views or opinions,

o unless those views are provided to advance the work of the listserv’s group.

3. Approval of July 30, 2015 Conference Call NotesThe meeting notes were approved.

M. Benson provided an update on the Standards Resources page, noting that the NERCStandards department and the SCPS small team are working to bring a final product to theNovember Standards Committee meeting.

2. Improving the Procedure for Technical Review of Reference Documents* – P. Heidrich

P. Heidrich provided an overview of the results of the SCPS recommendations for improving theprocedure for technical review of reference documents, noting that, based on the SCPS review,the SCPS will recommend to the SC at the September 23, 2015 SC meeting, that the SCPScontinue this project and address the initial recommendations of the SCPS outlined in thereference document provided as background documentation in the September 22, 2015agenda package.

i. Project Assignments1. Modification to Standards Committee (SC) Quality Review (QR) Process

Document— NERC conducted QR workshop. On the Agenda as an

informational item for the Sept. 23, 2015 SC meeting. The new QR process is going to rely heavily on independent SME review, which may be facilitated by regional coordination and outreach.

2. Consensus Building and SAR Development—Further development on hold pending discussion with NERC staff. Next step will be to schedule meeting with NERC staff to communicate further detail on the high-level concepts that were previously provided to NERC staff and further coordinate on concepts.

3. Consolidate SC Resource Documents-- Plan to post Field Test Guideline document. Timing will be coordinated with other SPM changes for presentation to NERC Board.

4. Improve standards development process-- SCPS Leadership is proposing to recommend to the Standards Committee that this item is no longer needed and should be retired from the Work Plan. SPIG recommendations will be reviewed to ensure there are no issues that need further attention. SCPS Leadership plans to meet with NERC Leadership and other Interested Parties to discuss potential ways to address issues that may arise during the Standards Development process.

5. CEAP Pilot Project-- Scope of the project was revised to reflect a Cost of Risk Reduction Analysis (CRRA) approach. Planned for presentation at Sept. 23, 2015 Standards Committee meeting.

6. Process to improve the effectiveness of balloting— Standards Information Leadership has been monitoring Ballot Pools and voting behavior. Standards Information is developing an informational document to further stakeholder understanding. The document will be distributed and published, and will discuss at Standards and Compliance Workshop.

7. SPM use of “prompt” and “substantive”--Project to begin Sept. 2015. Next Step is SCPS small team to meet to review the instances of the term in the SPM and develop recommendations addressing the terms’ ambiguity.

8. Resource Document Project (Phase 2)--SCPS to provide spreadsheet to NERC staff for review prior to submission to SC for inclusion in October SC agenda package. SCPS small team continues to work to develop review criteria document.

9. Technical Guidance Document Process--SCPS to recommend to the SC at the September 23, 2015 meeting that the SCPS continue this project and address the initial recommendations of the SCPS, outlined in the reference document provided as background documentation in the September 22, 2015 SCPS agenda package.

10. SCPS/PMOS Meeting Frequency Recommendation--SCPS small team developed recommendation, which will be presented to the SC at the Sept. 23, 2015 meeting. The recommendation is that there are four in-person meetings, with one conference call pre-scheduled between each in-person meeting, with additional conference calls scheduled on an as-needed basis.

11. Communication Facilitation Project--NERC Legal will review Listserv policy and determine appropriate response, which will then be communicated to SCPS small team.

ii. Conceptual Projects 1. Interpretation Process—NERC distributed a revised version of the NERC

Interpretation Process to the SCPS. Ryan Stewart presented the process to the SCPS at the Sept. 22, 2015 meeting. Development of scope for this task will begin September 2015, with a target presentation to SCPS at December 2015 meeting.

NERC SCPS Project Resource Document Project – Phase 2

Criteria for Determining Periodic Review Frequency

Criteria will be developed to determine the periodic review frequency for Resource documents, which can also be applied to future Standards Resource documents.

Criteria:

1. Each document should have a periodic review frequency established in units of months.(e.g. 12 months, 18 months, 36 months, etc.)

1.1 Governance documents such as the SC Charter and Subcommittee Scope documentsshould have a review frequency of 18 months.

1.2 Drafting Team Procedures, Templates, and Guidelines should have a review frequency of 24 month or when the Standard Processes Manual has been revised.

1.3 Principles should have a review frequency of 36 months.

1.4 Forms such as SAR and Interpretation Forms should have a review frequency of 36 months.

1.5 Principles, benchmarks and other overarching documents should have a review frequency of 36 months.

1.6 Newly created Standards Resource documents should initially have a review frequency of set at 12 months, the review frequency may be changed after the first review.

2. Documents that reference other document(s) shall have periodic frequency established tothe shortest periodicity of the set of documents.

3. The document owner shall have final approval of the periodic review frequency and maychange the period review frequency.

Note: Documents that are determined to be out of scope need not be assigned a review frequency. Examples of such documents are FERC Orders, NERC Rules of Procedure and NERC staff policies.

The small group met and decided to pull in additional SC members and industry experts to develop a description of quality as expected by the SC. S. Miller and K. Porterfield have compiled existing QR guiding docs to help inform this discussion, and they have drafted a letter from the SC to NERC Staff about defining attributes of quality. V. During the May 22 SCPS call, J. Tarantino explained that the task group came to the conclusion that the SCPS should wait on this task until active projects and SPM revisions have further matured.
