February 15, 2017

Minutes

The regular meeting of the Blackhawk Technical College Board was held on Wednesday, February 15, 2017, at the BTC Administrative Center, 6004 S. County Road G, Janesville, in the Board Room. The following members were present: Eric Thornton, Chairperson; Barbara Tillman, Vice Chairperson; Laverne Hays, Secretary; Rick Richard, Treasurer; Traci Davis; Mark Mayer; Dr. Karen Schulte; and Malik Surani. Board member absent: Tom Heeg. Staff present: Dr. Tracy Pierner; Dr. Diane Nyhammer; Renea Ranguette; Edward Robinson; Brian Gohlke; Jackie Pins; Dr. Gina McConoughey; Gary Kohn; Orinda Conway. Guests: Dr. John Delany, Giraffe, LLC.

Chairperson Thornton called the meeting to order at 5:00 p.m.

Chairperson Thornton called for Public Comment. There was none.

Chairperson Thornton called for Special Reports.

Student Government representative Roger Haecker provided a report on past and future student activities and events.

BTC retiree David Gile was recognized for 34½ years of service to the College.

Chairperson Thornton called for Information/Discussion items.

The January financial statement and quarterly update were reviewed.

Dr. Pierner presented the President’s monthly report, which included local and state meetings attended. Meetings were held with the Rock River Tooling & Machining Association (increasing apprenticeship opportunities), the Janesville Gazette Editorial Board, United Alloy, the interim Principal of Beloit Memorial High School (future partnerships), Mid-States Concrete, and Jones Dairy leadership. The Culinary Arts Program's Gourmet Lunches have begun; a President's Table is sponsored at a number of the lunches throughout the semester. Several meetings have been held with Blackhawk Transport to discuss partnership opportunities for the new Truck Driver Training Program. BTC sponsored a table at the Forward Janesville Awards Luncheon. Dr. Pierner toured UW-Rock County. Their leadership talked about promotion of UW-Rock's bachelor degree completer program and also increasing interest in engineering pathways; also discussed was the possibility of sharing courses for UW-Rock and BTC students. Meetings were held with Rock Valley Conference High School Principals and Green County High School

Blackhawk Technical College District Board Minutes February 15, 2017 Page 2 Principals to discuss creating more dual credit pathways; Dr. Nyhammer has created various Academies which will be offered to the high schools. A potential of locating the Green County Economic Development incubator on the Monroe Campus is being explored. Discussion has been held with Rock University High School leadership regarding marketing, recruitment of students, and location to a different space at Central Campus. Conversation was also been held with CCI and CareerTek on how BTC can work with the Beloit area to fill needs in the trades area. A brief legislative update was provided and new articles featuring BTC noted. Chairperson Thornton called for the Consent Agenda. An inquiry was made regarding a statement in the January 18 meeting minutes about the possibility of offering an IT Security Certificate. In response to the inquiry, it was noted that security classes are included in the IT program sequence and also inter-woven in many of the program's other courses. As most IT security positions require a bachelor's or master's degree, a decision was made to not offer an IT Security Certificate. It was moved by Mr. Hays and seconded by Mr. Richard to approve the consent agenda, which included the minutes of the Regular Meeting held on January 18, 2017; the minutes of the Special Meeting held on January 23, 2017; current bills from the month of January – Voucher #00239570 to and including #00239721 and direct deposit expense reimbursements in the total amount of $400,357.03 (includes student related payments), a payroll total for the month of January of $737,148.93, payroll tax wire transfers for the month of January of $519,337.03, other wire transfers for the month of January of $67,580.96, WRS wire transfers for the month of January of $145,516.84, P-card disbursements for the month of January of $196,295.24, a bond payment for the month of January of $0, and a health insurance wire transfer for the month of January of $291,879.80, for a grand total of $2,358,115.83; and 17 training contracts negotiated since the last meeting totaling $45,218.

Motion carried.

Chairperson Thornton called for Action Items. It was moved by Mr. Mayer and seconded by Mr. Surani to approve revisions to Policies

B-800 – Board Member Ethics and C-201 – Equal Opportunity Education and Employment, as presented.

Motion carried.

It was moved by Ms. Tillman and seconded by Dr. Schulte to approve the award of a contract for underground cable replacement to Westphal Electric at a cost of $180,610.

Motion carried unanimously. Mr. Richard requested Administration to do everything possible to ensure the College receives more than a single bid for any request for proposal issued.

Chairperson Thornton called for New Business. Chairperson Thornton stated a letter had been received from the District Boards Association soliciting interest in officer positions on its Board. Any member interested should contact Ms. Pins; March 17 is the deadline to submit the names of interested individuals. Chairperson Thornton called for Other Business.

Initial information was shared on the District Boards Association Spring Meeting which will be held in Elkhart Lake on April 7-8.

Dr. John Delany, Giraffe, LLC, facilitated strategic planning discussion.

Chairperson Thornton called for Future Agenda Items. There was none. Ms. Tillman thanked the College staff who stayed during the strategic planning discussion. It was moved by Mr. Surani and seconded by Mr. Mayer to adjourn the meeting at 6:52 p.m. Laverne E. Hays

d. Confirmation of Administrative Employment Contract Issued for the Position of Senior Systems Engineer (Airri Spearman) (Action – Brian Gohlke)

Airri Spearman has been issued an administrative employment contract for the position of Senior Systems Engineer at a salary of $63,000, effective February 27, 2017. Mr. Spearman holds B.S. degree in Telecommunications Management from DeVry University, Addison, Illinois. For the past year he has been employed as an Infrastructure Engineer-Enterprise Enablement at Northern Trust Company in Rochelle, Illinois. a. Approval of Avocational Fees for Fiscal Year 2017-18 (Action – Dr. Helen Proeber)

Background Avocational or Aid Code 60 courses do not qualify for state aid and, therefore, the goal of fees charged is to recover costs. Other mechanisms also help Aid Code 60 classes approach cost recovery. For example, BTC pays a lower hourly rate to instructors who teach these courses. Meanwhile, although seniors presently receive a 15 percent discount for avocational courses, they pay a greater percentage than they would in aidable classes. Current Situation The definition of Aid Code 60 states that the code “applies to educational offerings that are leisure-time self-enrichment activities including arts, crafts, games, hobbies, sport, recreation, and foreign language conversation” (WTCS Course Procedures 10.80.1). Most other courses are listed in Aid Code 47, which “applies to educational offerings with a definite vocational/technical objective which are designed to either provide future employment or upgrade individuals in their present occupations.” The following two tables only show the Aid Code 60 data. Over the last year, we have aligned avocational rates for BTC with other technical colleges. Administration recognized the need to update the College’s website. Capital funding was previously budgeted for this project; however, the work was not commenced due to other project priorities and staffing vacancy critical to this work. The capital funding was carried forward in the FY17 budget to support this project work.

One of the fall semester continuous process improvement (CPI) teams worked on the development of a Request for Proposal (RFP) for website design services. Gary Kohn, BTC Marketing & Communications Manager, presented the team’s recommendation for website requirements during the December 9 Toan Hall Meeting presentation to the college community.

The College was seeking proposals for the design and implementation of a responsive, industry standard web template that provides ease in navigation and meets the needs of the College’s diverse audiences. The successful bidder will recommend web content and structure based upon best practices and aid in content migration, including potential copywriting as may be needed. The contractor will also provide technical recommendations (i.e. server requirements, sizing of resources, security, content management system (CMS), application interfaces, and other pre-requisites) and deliver training and support in CMS for multiple users. The RFP was released on January 6 with twenty-eight (28) firms/individuals acquiring a copy of the document. Sealed proposals were due by January 27, 2017. Eight (8) proposals were received and evaluated by a seven-member panel. Proposals were rated based upon: Proposal content 50 Cost 25 Experience 15 References 10 Total 100

An expanded panel met with each of the top five firms in interviews held in early February. Upon conclusion of the interviews, the panel selected KW2 for award of contract and recommended a final meeting to confirm the scope of services selected from an a la carte menu and to request a best and final offer from KW2. a. Approval of Purchase of Ellucian's Banner Cloud Solution and Recruiter Module (Finance Committee Recommendation – Action)

BANNER CLOUD: BTC’s Banner Enterprise Resource Platform (ERP) System has been hosted at and supported by Waukesha County Technical College (WCTC) for the past sixteen years. This arrangement has worked well for BTC, while presenting some challenges for WCTC, including the need to address data security and disaster recovery for this business-critical system. WCTC researched options to address these challenges during 2016 and as a result, decided to move their Banner ERP System to Ellucian’s Application Hosting Services (AHS) a/k/a ‘the cloud’. The decision prompted BTC to research available options for our Banner deployment. The attached report (Attachment #1) provides a summary of the options considered, analysis results, and recommendation for migration to Ellucian’s Application Hosting Services. The implementation (capital) cost is $340,970, with annual hosting fees. The contract term is five years. If approved, this project would commence in July 2017 with migration to the hosted solution completed in nine months. BANNER RECRUITER MODULE: The FY16-17 Capital Project Budget includes funding for revitalization of the Banner Student Module. A team has been engaged in this work since last fall, which includes clean-up and build-out of the base student recruitment functionality. A fall CPI (continuous process improvement) team focused on increasing high student enrollment presented numerous recommendations including a customer recruitment management (CRM) solution. Members of the team viewed the basic functionality available within our Banner ERP System and determined the basic service did not provide the full range of features identified as optimal for student recruitment efforts. The team later viewed a demonstration of Banner’s expanded CRM Solution which interfaces with the ERP System. The team confirmed this module provides the desired features and functionality sought in a CRM system and recommends implementation of this solution as soon as possible. The first year implementation and license cost is $104,560, with annual license renewal. The contract term is five-years. If approved, this project will commence this spring.

FUNDING: Capital funds would be drawn from FY16-17 and FY17-18 budgets. The technology planned obsolescence (replacement) fund has dollars committed annually for the replacement of 400+ desktop computers. Information Technology Services is currently capturing computer utilization data for the purpose of right-sizing the quantity and configuration of College desktop computers. Computers reaching end-of-life will be removed from inventory with excess units cascaded, as appropriate, during the right-sizing process. With this initiative underway, $330,000 dollars in planned obsolescence capital funds for FY16-17 desktop computer replacement are proposed for redeployment to support the purchase of these Ellucian solutions. FY17-18 annual capital funding will be budgeted to fund the balance of implementation costs for the Ellucian solutions. Administration presented its recommendation regarding the purchase of the Ellucian Application Hosting Service for the College’s Banner ERP System and Ellucian’s Banner CRM solution to the Finance Committee earlier in the evening. The Finance Committee will present its recommendation to the full Board.

History/Background 

Waukesha  County  Technical  College  (WCTC)  has  provided  hosting  and  support  services  for  BTC’s  Banner  Enterprise 

Resource Platform (ERP) System for the past sixteen years. This arrangement has worked well for BTC, while presenting

Analysis 

Preliminary analysis eliminated a new ERP solution due to the time, effort, and financial commitment required to migrate 

to a new  solution.   For  this  reason, a new ERP  solution was determined  to be out of  reach and  scope as a  solution.  

Members of the Information Technology Team conducted extensive evaluation of the requirements to bring the Banner 

ERP System to BTC’s Data Center as well as the requirements for migration to Ellucian’s Application Hosting Service.  Up 

to 20% of  the hosting solution  is eligible  for capital  funding  for development and  implement work. The  five‐year cost 

estimate for each option is detailed below.

Supporting Information for Ellucian AHS Recommendation 

Budget – Overall costs, both Capital Expense and Operation Expense, are lower for Ellucian’s AHS.  

Staffing – Since Ellucian’s AHS handles the day to day operation and maintenance for our Banner 

implementation, BTC would not need to hire additional staff to support these functions.  

Work Focus – BTC ITS resources would not be consumed by operational tasks associated with an on‐premise 

implementation and can instead focus on College operations, technology initiatives, and other projects as 

normal.  

Systems Maintenance/Direct path to upgrades – Ellucian AHS provides value by applying all required 

maintenance releases to the Banner system to the latest production stable versions.  In addition, as new 

technologies and enhancements to functionality become available we will receive these as part of normal 

Ellucian AHS deployment patterns.    

Security – Ellucian AHS includes additional layers of security with our production critical data – including data 

security at the individual table level.  Additionally, we have assurance that our data will be encrypted at rest as 

applicable and will help ensure compliance for PCI, FERPA, as well as requirements around limiting access to PII.  

To ensure comparable data protection for an on‐premise solution, it would require BTC to purchase the Banner 

Data Defense product, with an approximate cost of $400,000 along with an annual maintenance fee.    

Disaster Recovery – Ellucian AHS is provisioned using Amazon Web Services – which by nature of design provides 

redundancy for both systems as well as data to ensure operational continuity in the event their primary data 

center has an issue affecting service availability.   For comparable recovery with an on‐premise solution, we 

would need to provision a single recovery environment either using a cloud service; or by purchasing duplicate 

equipment to execute recovery to one of our remote campuses or a similar site.    

ITIL – Ellucian follows the ITIL Service Management guidelines which provide an enhanced level of 

documentation of both processes and procedures utilized in system operations including proper Incident 

Management as well as Service Management standards.    

Flexible and Elastic Capacity Management – Ellucian’s AHS is designed to increase systems capacity as needed.  

In the event we have a spike in number of users accessing the Banner system, we would not realize any 

degraded performance because capacity is added dynamically in real‐time.    

No internal hardware lifecycle/planned obsolescence – BTC would only need to maintain minimal hardware and 

therefore would not incur the costs associated with the planning and implementation for new hardware 

solutions every 5 years.  

Standardized Migration Path – we would be following along a similar path to migration as WCTC, which is the 

standard path prescribed by Ellucian.  With an on‐premise solution we would assume additional costs as we 

would leverage Ellucian’s Professional Services in order to guide our migration and implementation.

Blackhawk Technical College offers courses at three outreach sites in Rock and Green Counties as well as at the Beloit, Milton, and Central Campuses. One outreach site, Milton High School, has a paid part-time instructor who is also paid a flat, per-semester stipend of $250 for inspecting machinery and performing necessary maintenance. b. Annual Report on Tax Incremental Districts Located Within the Blackhawk Technical College District (Information – Renea Ranguette)

Tax Incremental Districts (TIDs) are a financing mechanism by which municipalities may make improvements in their community. Wisconsin Statutes 66.1105 outlines the process and regulations for the creation, reporting, and discontinuance of TIDs. Generally, the purpose of creating a TID is to improve an undeveloped or blighted area of the community. The municipality has the power to issue bonds and levy a tax on the incremental value to pay for the improvements. The incremental value is defined as the current property value compared to the base value of the property at the time the TID was created. The benefit of a TID to a community is that it allows the tax on the incremental value to be retained by the community rather than shared with other taxing entities. This benefit continues for the life of the TID, which can be up to 27 years depending on when the TID was created. A summary showing the status of each TID located in the BTC District is attached. For 2015, the total base value of the TIDs decreased by -0.50% (10.97% increase in 2015), while the current value increased by 12.50% (5.50% increase in 2015). The 2016 incremental value of $612,447,490 multiplied by the District’s operational mill rate of 0.57077 resulted in $349,567 captured by the TIDs. In 2016, there were no new tax districts created while one district amended (increased) its boundary and two tax districts were dissolved. Prior to the 2011 WI Act 32, BTC would capture the incremental value created by the TID at the time of TID closure. With the operational levy now capped at the prior year levy amount plus an adjustment for net new construction, the closure of tax districts no longer results in additional local tax funding for the District (e.g. no longer receive the TID revenue capture). The Department of Revenue reports information through December 2015 in the 2016 report. Activity during 2016 will be reported in future reports.

c. Review of District Board Bylaws/Policy (Discussion – Chairperson Thornton)

Seven (7) bylaws and one (1) policy are being presented to the Board for review in March: Bylaw B-210 - Officers – Language is suggested to reflect officer positions are elected annually at the organizational meeting in July and the process to fill an officer vacancy. Bylaw B-211.1 – District Board Chair – In reviewing policy documents within the Wisconsin Technical College System, a significant difference was noted in the content of this document. System-wide, policies related to the chairperson contained much greater detail in the scope and responsibilities of the position. Suggested revisions to the Bylaw are consistent with the policy documents at the majority of WTCS colleges. Bylaw B-212.2 – Vice Chair – The sole suggested revision is to add language to indicating the position is elected by the Board.

Bylaw B-212.3 - Secretary – Suggested revisions include wording to reflect the position is elected by the Board and to include the duty of providing tax levy statements to the clerks of each city, village, and town within the District. Bylaw B-212.4 – Treasurer – The sole suggested revision is to add language indicating the position is elected by the Board. Bylaw B-212.5 – Legal Counsel – No revisions are suggested.

Bylaw B-212.6 - Auditor – No revisions are suggested. Policy C-203 – Receipts of Gifts or Gratuities – No revisions are suggested.

Chairperson Thornton will facilitate discussion at the meeting. Revisions to bylaws require reading and action at two (2) Board meetings. Formal action to approve revisions for the bylaws would be scheduled for the April and May Board meetings; action to approve revisions to the policy would be scheduled for the April Board meeting.

OFFICERS B-210 The officers of the District Board shall be a Chair, a Vice Chair, a Secretary and a Treasurer. The officers shall be elected at the annual organizational meeting of the Board on the second Monday in July. The Chairperson is elected by District Board members. No person may serve as Chair for more than two (2) successive full annual terms. As the elected leader of the Board, the Chairperson shall maintain the integrity of the Board's process and represent the Board to outside parties. The Chairperson is the only Board member authorized to speak for the Board (beyond simply reporting Board decisions), other than in rare and specifically authorized instances. The Chairperson shall preside at all meetings of the Board in an efficient and effective manner and shall set the general tone for each meeting through positive leadership and will attempt to arrive at a consensus by the Board members on Board decisions. The Chairperson will stimulate discussion among the Board members, decide upon questions of order, appoint all committees unless otherwise directed by the Board, and perform other duties as imposed by law or by action of the Board. The Chairperson shall have the same rights as other members to discuss any question before the Board. The Chairperson shall have the right to relinquish the chair to offer resolutions, to make motions or to second motions. The Chairperson shall call special meetings of the Board when necessary. The Chairperson shall sign official district documents that require the signature of the office. The Chairperson shall appoint members of committees established by the Board. The Chairperson shall ensure the Board and individual Board members act consistently with the Board's own rules and policies and those legitimately imposed upon the Board from outside the College. The Chairperson shall ensure the other Board members are informed of current and pending Board issues and processes and shall cause new Board members to be oriented relative to Board policies and operations and to the College. The Chairperson is responsible for the Board/President relationship and shall communicate and interact with the President. However, since the President is responsible to the entire Board, the Chairperson has no authority to unilaterally supervise or direct the President.

SECRETARY B-212.3 The Secretary is elected by the District Board. It shall be the duty of the Secretary to keep, or cause to be kept, accurate records of the Board and minutes of its meetings. The Secretary shall sign all official district documents that require the signature of the secretary. The Secretary shall inform the Chairs of the Rock and Green County Boards of any and all vacancies on the Board. Annually, by October 31 of each year, or within ten (10) days after receipt of the equalized valuations from the Department of Revenue, whichever is later, the Secretary shall file with the clerk of each city, village, and town, any part of which is located in the District, a certified statement showing the amount of the levy and the proportionate amount of the tax to be spread upon the tax rolls for collection in each city, village, and town. In the absence of the Chair and Vice Chair, the Secretary shall call the meeting to order to select a Chair Pro Tempore. TREASURER B-212.4 The Treasurer is elected by the District Board. The Treasurer shall be the official custodian of the District’s funds. The Treasurer shall delegate the day-to-day financial operations to the Chief Financial Officer who shall act as a Deputy Treasurer. LEGAL COUNSEL B-212.5 The Board may retain legal counsel to advise the board on specific legal problems, as deemed appropriate. Such requests shall be made through the Chair of the Board and President/District Director of the College. AUDITOR B-212.6 An independent auditor shall be selected by the District Board to conduct an annual audit of the District’s financial status. The duties of the independent auditor shall be as follows: 1. To conduct such audit in accordance with generally accepted auditing standards,

legal requirements and standards set forth in the WTCS Financial Accounting Manual with specific compliance reviews. The audit shall include such tests of accounting records and such other procedures as the circumstances may deem necessary.

2. To present the audit report and management letter to the District Board and/or

Board committee for examination and appropriate action. The management letter shall address District compliance with Board policies and other WTCS Financial Accounting Manual requirements.
