AFFIDAVIT

I, Aaron Stewardson, of 1837 Main Street, Vancouver, B.C., SWEAR THAT:

1. I am Chief Operating Office of Maynards Industries Ltd. ("Maynards"), and as such

have personal knowledge of the facts hereinafter deposed to except where stated to be on

information and belief, in which case I verily believe them to be true.

I am authorized to make this affidavit on behalf of Maynards.

3.

By agreement dated December 19, 2013, Maynards entered into an auction agreement

(the "Auction Agreement") with PricewaterhouseCoopers Inc., in its capacity as receiver (the

"Receiver") of certain of the Petitioners (collectively, the "Johel Receivership Companies")

pursuant to which Maynards was engaged to sell certain equipment (the "Equipment") of the

Johel Receivership Companies.

4. Attached hereto as Exhibit "A" is a redacted copy of the Auction Agreement. The

portions of the Auction Agreement that have been redacted, and the reasons for doing so, are as

follows:

(a) Sections 6.3, 6.4 and 6.6 of the Auction Agreement specify the minimum

guaranteed amounts Maynards will pay to the Receiver in respect of the

Equipment, which are enumerated in Schedules "B" through "E" to the Auction

Agreement (together, the "Net Minimum Guarantee"). The amount of the Net

Minimum Guarantee has been redacted from Sections 6.3 and 6.4., and the

allocations of the Net Minimum Guarantee has been redacted from Section 6.6.

(b) It is my belief that if the amount of the Net Minimum Guarantee was made public,

such infonnation might enable potential purchasers to determine the lower end of

the range of values ascribed to the Equipment by Maynards, thereby potentially

resulting in lower bids for those assets. I believe it is in the best interests of the

secured lenders (as identified in Section 1.1 and Schedules "B" through "E" of the

Auction Agreement) if the sale of the Equipment under the Auction Agreement

were to proceed without any indication as to Maynards' estimated values of those

assets.

(c) Sections 5.5, 6.1, 6.4 and 8.3 detail the pricing terms of the Auction Agreement,

and constitute Maynards' competitive pricing information. The specific pricing

terms have been redacted. This information is sensitive and, if made public,

might in the future be used by Maynards' competitors to gain a competitive

advantage when making proposals to clients. There are a limited number of

providers of services similar to those offered by Maynards, and those providers

regularly compete for engagements. The more those competitors know about

Maynards' pricing, the more the potential prejudice to Maynards' business.

(d) I am also of the belief that our clients and their stakeholders benefit from a

competitive bid processes where the bidders' pricing terms on past deals are not

known to one another. I believe this encourages bids by the service providers

which include more favourable pricing terms.

5. For the reasons set forth above, I am of the view that the unredacted version of the

Auction Agreement, a copy of which is attached as Exhibit "A" to my 4th Affidavit made in these

proceedings on December 19, 2013, ought to be kept confidential. I make this affidavit in

support of an application by Maynards for an order that my 4th Affidavit be filed under seal.

MADE AMONG:

PricewaterhouseCoopers Inc., in its capacity as receiver of those companieslisted in Schedule "A" attached hereto (collectively, the "Johel ReceivershipCompanies"), having an address at 250 Howe Street, Vancouver, BC V6C 3S7

(hereinafter referred to as the "Receiver")

OF THE FIRST PART

AND:

Maynards Industries Ltd., having an address of 1837 MainStreet, Vancouver, BC VST 3B8

(hereinafter referred to as the "Auctioneer")

OF THE SECOND PART

WHEREAS:

A. On May 21, 2013, the Johel Receivership Companies, and other related companies,commenced proceedings under the Companies' Creditors Arrangement Act, R.S.C. 1985,c. C-36, as amended, in the Supreme Court of British Columbia, Vancouver Registry fileno. 133713 (the "Proceeding").

B. By Court Orders made in the Proceeding on October 29, 2013 (together, the"Receivership Orders"), the Receiver was appointed receiver over certain assets andundertakings of the Johel Receivership Companies.

C. The Receiver has requested that the Auctioneer sell the Equipment (as defined herein)and the Auctioneer has agreed to do so on the terms and conditions set forth in thisagreement.

NOW THEREFORE THIS AGREEMENT WITNESSETH that Receiver and the Auctioneeragree as follows:

1. THE EQUIPMENT OF THE SECURED LENDERS

1.1

Attached to this agreement are the following "Schedules" which are incorporated intoand form part of this agreement:

Schedule "B" Equipment subject to a security interest in favour of Canadian Western Bank

Schedule "D" Equipment subject to a security interest in favour of the following securedlenders (identified in Schedule "D" by their individual security interests):

Royal Bank of Canada;

•

Island Savings Credit Union;

•

General Motors Acceptance Corporation;

•

Resmor Trust Company;

•

VFS Canada Inc.; and

•

Wells Fargo Equipment Finance Company.

Schedule "E" Equipment subject to a security interest in favour of various secured lenderswhich may be sold by the Receiver up to 10 days preceding the auction or saleof the Equipment pursuant to the terms of this agreement (collectively, the"Pre-Sale Equipment")

2. RETAINER OF AUCTIONEER

2.1 The Receiver hereby retains the Auctioneer on an exclusive basis to carry out, and theAuctioneer hereby agrees to carry out, a sales program with respect to the equipmentenumerated in Schedules "B" through "E" (collectively, the "Equipment") in accordancewith the terms and conditions of this agreement.

2.2

The parties acknowledge and agree that the Auctioneer is an independent contractordealing with the Receiver and is not an employee of the Receiver.

3. CONDITION PRECEDENT

3.1 It is a condition precedent to this agreement that the Receiver obtain, and the Receiverwill, as soon as practicable, apply for, a Court Order in the Proceeding in a formacceptable to the Auctioneer which, among other things:

(i) authorizes the Receiver to sell any and all Equipment which the Receiverdoes not, by virtue of the Receivership Orders, already have authority tosell;

(ii)

authorizes the Receiver to enter into this agreement and carry out theterms of this agreement; and

(iii) enables the Auctioneer to deliver to any purchaser of the Equipment titleto the applicable Equipment free and clear of all liens, charges and otherencumbrances, and, following the completion of the sale any piece(s) ofthe Equipment, file a financing change statement in the British ColumbiaPersonal Property Registry to effect the discharge of any filings relating tosuch Equipment.

4. ACCESS TO PREMISES

4.1 The Receiver covenants to move all of the Equipment to 8800 North Shore Road, LakeCowichan, B.C. (the "Premises") at its own cost, if such Equipment is not presentlylocated in or around the Premises.

4.2 Commencing on the date of execution of this agreement and continuing until the earlierof (i) the date on which the Auctioneer has sold all of the Equipment (ii) February 28,2014, or (iii) the date on which the Auctioneer advises the Receiver in writing that it isunable to sell any remaining Equipment (such date is hereafter referred to as the "EndDate", and the period from the execution of this agreement until the End Date is hereafterreferred to as the "Sale Period"), the Receiver shall maintain any existing securitysystems at the Premises and shall provide the Auctioneer with rent-free access to thePremises from 9:00 a.m. to 5:00 p.m. weekdays, including without limitation for thepurposes of enabling the Auctioneer and any potential purchasers to view and inspect theEquipment, enabling the Auctioneer to sell the Equipment, and enabling any purchasersto remove the Equipment.

4.3

The Auctioneer will not be present on the Premises at any time after 11:59 p.m. on theEnd Date.

4.4 The Auctioneer will leave the Premises in the same condition as on the date of thecommencement of the Sale Period, ordinary wear and tear excepted, and the Auctioneershall be authorized to leave, and shall not be liable for any costs associated with thedestruction, deconstruction, removal or disposal of, any unsold or unclaimed Equipmentremaining on the Premises on the End Date.

5. SALE PROCESS

5.1

The Auctioneer will carry out all sales and other related activities in an orderly andprofessional manner.

5.2 Subject to section 6.7 of this agreement relating to the sale of the Pre-Sale Equipment, theAuctioneer may sell the Equipment, or any of it, at any time and in any manner which theAuctioneer, acting reasonably, deems fit, including, without limitation, by private orpublic sale, liquidation or auction.

5.3 The Auctioneer shall be permitted to use the name of any of the Johel ReceivershipCompanies for promotional purposes, including in any advertisements and marketingmaterials, in relation to the sale of the Equipment.

5.4 Immediately following execution of this agreement, the Receiver will deliver to theAuctioneer all available pertinent documents relating to the Equipment, including withoutlimitation all documents of title, operating manuals, warranties and registrations.

5.5 The Receiver acknowledges and agrees that the Auctioneer shall be entitled to includewith the sale of the Equipment certain other equipment (the "Non-Johel Equipment")being sold by the Auctioneer, and the Receiver shall permit the Auctioneer to store theNon-Johel Equipment on or around the Premises. The Receiver and the Auctioneercovenant and agree that the net commission earned by the Auctioneer from the sale ofany Non-Johel Equipment that is sold from the Premises prior to the End Date will bepaid as follows: (a) % will be paid to the Receiver within ten days of receipt of thecommission by the Auctioneer, and (b) P, % will be retained by and paid to theAuctioneer.

5.6 On or before December 16, 2013, the Auctioneer will carry out an inspection of theEquipment, not including the Pre-Sale Equipment, and will thereafter report to theReceiver if, in the opinion of the Auctioneer acting reasonably, any of the inspectedEquipment needs refurbishment and/or repairs, in which case it will be dealt with as setout in Article 8 of this agreement, or if any of the inspected Equipment cannot be soldand should be removed from the Schedules hereto, and if the latter occurs, or if for anyreason beyond the control of the Receiver and the Auctioneer, the Auctioneer is unable tosell any of the Equipment, including without limitation as a result of the destruction of ordamage to any of the Equipment, then either:

(i) the applicable piece(s) of equipment shall be removed from the applicableSchedule to this agreement and no longer comprise part of the Equipment,and the parties shall, in good faith, negotiate an adjustment to the netminimum guarantee payable in accordance with the terms of thisagreement and, in the event that, acting reasonably, the parties are unableto negotiate an adjustment to the net minimum guarantee, the matter willbe determined in accordance with the arbitration provision referred to inthis agreement; or

if any Equipment is destroyed and such destruction gives rise to an insuredclaim, then the Receiver shall pay any insurance proceeds received by theReceiver to the Auctioneer, and such proceeds shall be treated as Net SaleProceeds of such Asset and disbursed or retained by the Auctioneer inaccordance with the terms of this agreement.

6. PROCEEDS OF SALE, NET MINIMUM GUARANTEE AND AUCTIONEER'SCOMPENSATION

6.1 If any of the Equipment is sold to online buyers, then the Auctioneer may charge abuyer's premium of % of the sale price (each, an "Online Sale Charge"), and all OnlineSale Charges collected by the Auctioneer shall be paid by the Auctioneer to theapplicable third party online provider.

6.2 For the purposes of this agreement, "Net Proceeds of Sale" shall be defined as theamount actually received by the Auctioneer from the purchaser(s) of any of theEquipment after deduction of: (i) any taxes collected by the Auctioneer from suchpurchaser(s), and (ii) any Online Sale Charges collected by the Auctioneer from suchpurchaser(s).

6.3

The Auctioneer will pay to the Receiver a net minimum guaranteed amount of$: R (the "NMG"), which amount shall be payable from the Net Proceeds of Saleof the Equipment as and when they are received by the Auctioneer, provided that if theNet Proceeds of Sale of all of the Equipment are less than the NMG, the Auctioneer shallpay to the Receiver the amount of such shortfall.

6.4 From the Net Proceeds of Sale of the Equipment:

(i) the first $. R

will be paid to the Receiver on account of the NMG;

(ii) the next $ 1

shall be retained by and paid to the Auctioneer; and

(iii) of any additional amounts: (a) % will be paid to the Receiver withinten days of receipt of the Net Sales Proceeds, and (b) K % will beretained by and paid to the Auctioneer.

6.5 The Auctioneer shall be responsible for the collection of all proceeds of sale and allapplicable taxes, including all social services tax and goods and services tax. TheAuctioneer shall promptly pay to the applicable authority all taxes collected by theAuctioneer and shall confirm any such payments to the Receiver.

6.6 As among the Equipment enumerated in Schedules "B", "C", "D" and "E", the NMGshall be allocated as follows:

to Canadian Western Bank, with respect to the Equipment set out inSchedule "B", and the Pre-Sale Equipment set out in Schedule "E" whichis subject to Canadian Western Bank's first-ranking security interest, theamount of$ l

(ii) to Business Development Bank of Canada, with respect to the Equipmentset out in Schedule "C", the amount of $ R ; and

(iii) to all other secured lenders, with respect to the Equipment set out inSchedule "D", and the Pre-Sale Equipment set out in Schedule "E" whichis not already accounted for in subsection 6.6(i) above, the amount of

and, for clarity, the Auctioneer shall pay the NMG from all of the Net Proceeds of Sale ofall the Equipment to the Receiver on the basis of section 6.4 of this agreement and theReceiver shall allocate the NMG based on the allocations set forth above.

6.7

Notwithstanding any other term in this agreement, on or before the date which is ten daysprior to the date on which the Pre-Sale Equipment is to be offered for auction or

otherwise sold by the Auctioneer, the Receiver may give notice to the Auctioneer that thePre-Sale Equipment, or any piece thereof, has been sold by the Receiver and is no longersalable under this agreement, and if this occurs the parties shall, in good faith, negotiatean adjustment to the net minimum guarantee payable in accordance with the terms of thisagreement and, in the event that, acting reasonably, the parties are unable to negotiate anadjustment to the net minimum guarantee, the matter will be determined in accordancewith the arbitration provision referred to in this agreement.

7. COVENANTS, WARRANTIES, ENCUMBRANCES, INSPECTIONS ANDINQUIRIES

7.1 Except as expressly set forth in this agreement, the Equipment shall be sold by theAuctioneer to third parties on an "as is, where is" basis without any representations orwarranties whatsoever, whether expressed, implied, statutory or otherwise, and neitherthe Receiver nor the Auctioneer shall make any representations or warranties to any thirdparty purchasers with respect to the Equipment or any of them.

8. REFURBISHMENT AND/OR REPAIR OF THE EQUIPMENT

8.1 In the event the Auctioneer, acting reasonably, concludes that any of the Equipmentrequires refurbishments and/or repairs prior to sale, then the Auctioneer shall noti& theReceiver and the secured lender with the priority security interest in the Equipment (asdetermined in accordance with the Schedules hereto) (the "Repairing Secured Lender")of the necessary refurbishments and/or repairs, and provide the Receiver and theRepairing Secured Lender with an estimate of the costs (inclusive of all parts and labour)required by the Auctioneer to complete the refurbishments and/or repairs (the "RepairEstimate").

8.2 If the Repairing Secured Lender consents to the Auctioneer carrying out therefurbishments and/or repairs of the applicable Equipment as set out in the RepairEstimate, the Auctioneer shall complete such refurbishments and/or repairs, and shall beauthorized to deduct from the Net Sale Proceeds generated by the sale of that refurbishedand/or repaired Equipment the actual costs of such refurbishments and/or repairs, whichcosts shall be within 20% of the estimated cost amount set out in the Repair Estimate.

8.3 Notwithstanding any other term in this agreement, the total costs of refurbishing and/orrepairing the Equipment as payable by the Repairing Secured Lender(s) shall not exceedthe maximum amount of $ K (exclusive of taxes), unless otherwise agreed to by theparties in writing.

9. COSTS OF PRESERVATION AND INSURANCE

9.1 The Receiver is responsible for all occupational costs and will be responsible for any andall costs incurred in relation to the preservation and safeguarding of the Equipmentduring the Sale Period, including without limitation providing adequate security at thePremise during the Sale Period.

9.2

The Auctioneer will not be responsible for the following costs, even if such are payable:

(i) lease payments to third parties under any leases of the Equipment;

(ii) any and all environmental costs, except as may be incurred as a result ofthe actions of the Auctioneer with respect to the Equipment during theSale Period; and

(iii) any product warranties or liabilities.

9.3 The Auctioneer will not be held liable in the event of force majeure, including, withoutlimitation, a labour dispute, which in any way affects the conduct or timing of the sale ofEquipment, or damages the Equipment.

9.4 The Auctioneer will maintain insurance with respect to any liability which could arisefrom the Auctioneer's sales activities, naming the Receiver as beneficiary of suchinsurance and providing for coverage of not less than $5,000,000 per occurrence.

9.5

The Receiver will maintain insurance on the Equipment during the Sale Period.

10. MISCELLANEOUS

10.1 Each of the parties acknowledges and agrees that the recitals are incorporated into thisagreement, form an integral part of this agreement and are true and accurate in everyrespect.

10.2 Each of the parties hereto acknowledges and agrees that this agreement and the termshereof, including the Schedules attached to this agreement, are confidential and will notbe provided to any other party, unless otherwise required by Court Order or agreed to byeach of the parties hereto.

10.3 If any dispute arises under this agreement, such dispute will be determined by arbitrationaccording to the procedure to be agreed upon by the Receiver and the Auctioneer or,failing such agreement, by one arbitrator, in which case the provisions of the BritishColumbia Commercial Arbitration Act shall apply, and in particular the "Shorter Rulesfor Domestic Commercial Arbitration" shall apply to any such arbitration. The decisionof the arbitrator shall be final and binding upon the Receiver and the Auctioneer and thecost of the arbitration and the remuneration of the arbitrator shall be born equally by TheReceiver and the Auctioneer. The parties will request that the arbitrator render his or herdecision as soon as possible.

10.4 Each of the parties acknowledges and agrees that:

(a) subject to receiving Court approval as stipulated in section 3.1 of this agreement,it is duly authorized to enter into and be bound by the terms of this agreement andto carry out the terms of this agreement;

(b) it has consulted with and been advised by its own solicitors before entering intothis agreement, has read same and knows the contents thereof; and

(c)

all the terms and conditions of this agreement shall survive the closing of thetransactions contemplated hereby.

10.5 If the doing of any act pursuant to this agreement falls on a day on which the Receiver'soffices in Vancouver, British Columbia are not ordinarily open for business, then for thepurposes of this agreement such day shall be deemed not to be a business day and thetime for the doing of such act shall be deemed to be the next day on which such office areopen for business.

10.6 Any notice, request, instruction or other communication to be given hereunder by anyparty to the other shall be in writing and effective when delivered personally ortelecopied to the addresses and/or fax numbers set forth at the beginning of thisagreement.

10.7 No waiver by either party of any of the conditions contained in this agreement or of anybreach of any of the covenants contained in this agreement shall have effect or be bindingupon that party unless expressed in writing and any waiver so given shall extend only tothe particular condition or breach so waived and shall not limit or affect any rights withrespect to any other condition or breach or any future breach.

10.8 This agreement and the attached Schedules constitute the entire agreement between theparties relating to the subject matter hereof and supersedes all prior proposals,communications and agreements, whether written or oral. This agreement may beamended or modified only by an instrument in writing executed and delivered by theparties hereto subsequent to the date hereof.

10.9 The parties covenant to execute such further documents and do such further acts as maybe required to implement the terms of this agreement.

10.10 All stipulations in this agreement as to time are strictly of the essence.

10.11 This agreement shall be governed by the laws in effect in the Province of BritishColumbia and the parties hereby attorn to the jurisdiction of the Courts of that Province.

10.12 This agreement may be executed in counterparts by the parties hereto, and executedcounterparts may be delivered by facsimile and such execution and delivery shall be validfor all intents and purposes and the executed counterparts shall together form onedocument.

10.13 This agreement shall enure to the benefit of and be binding upon the parties hereto andtheir respective heirs, executors, administrators, successors and assigns.
