This agreement is entered between Agricola Goretti (the
Company") andAlliance Exports (Sales Rep") !t is agreed by both the
Company and SalesRep that
# The Company has appointed the Sales Rep as its representati$e
%or thesale o% all wines and other Goretti prod&cts in China
and the State o%Cali%ornia The Sales Rep agrees to &se his or
her best e%%ort in Companyso&rcing and prod&ct capabilities
The c&stomer bro&ght by Sales Rep willbe excl&si$e to
Sales Rep and the Company will not engage in any b&siness
transaction witho&t prior 'nowledge and written consent o%
the Sales RepThe Company shall not pay any commission to the Agent
%or sales madedirectly by the Company on the territories set %orth
abo$e as long as theCompany is bro&ght to Goretti by Agent
The term o% Sales Rep*s appointment shall begin on and may be
ended by the Sales Rep or by the Company at any time
and %or any reason with +, day notice in writing -owe$er all
c&stomersbro&ght by Sales Rep will be excl&si$e to
Sales Rep %or the period o% yearsa%ter the agreement is terminated
and the Company will in no way do anyb&siness directly or
