Forward looking statements involve risks and uncertainties that could cause actual results to differ materially from those anticipated, or implied including delays, operating problems or accidents, permitting problems or delays; metals price volatility, lower metals prices than anticipated and their impact on the achievement of cash flow; operating, exploration and development risks and results; changes in interpretation of geologic information; world economic and capital markets conditions; inability to raise sufficient external financing and other risks identified in our most recent Annual Report on Form 10-K and other SEC filings.

Cautionary Note to United States Investors Regarding Estimates of Measured, Indicated and Inferred Resources: We use certain terms in this presentation, such as “measured”, “indicated” and “inferred resources”, that are defined in Canadian National Instrument 43-101; however these terms are not recognized under the U.S. SEC Industry Guide 7. US investors are cautioned not to assume that any or all of measured, indicated or inferred resources are economically or legally mineable or that these resources will ever be converted into reserves. “Inferred mineral resources“ have a high degree of uncertainty as to their existence and it cannot be assumed that all or any part of an inferred mineral resource will ever be upgraded to a higher category. U.S. investors are urged to consider closely the disclosure in our Form 10-K and other SEC filings. You can review and obtain copies of these filings from the SEC’s website at http:www.sec.gov/edgar.shtml.

RIMROCK’S STRENGTHS

• Management – Rimrock’s management has experience on numerous levels. There is expert geology experience, as well as financial experience. Mr. Redfern lives in the Elko, Nevada mining area and has the capacity to give hands-on leadership for the NV projects. With the depth of knowledge and experience in capital markets and in the mining sector, we anticipate continuing to build a world class management team.

• Properties - The properties are situated near producing mines and world class gold deposits. In the case of NV we are situated in one of the most robust areas to locate gold deposits, such as the Carlin and Midas Trends, which together contain more than 100 million ounces of gold.

• Location - The properties are easily accessible, with nearby electric, water, labor and milling resources. There is excess capacity for ore processing, once we would have a deposit, to process ore. Mining friendly jurisdictions.

RIMROCK

MIDAS-HOLLISTER TYPE LOW-SULFIDATION GOLD-SILVER PROSPECT

• Rimrock has three old mercury mines, with one situated directly on top of the main gold ore target, which lies at a major dilated fault intersection along the low-sulfidation Midas gold trend

• The best gold target at Rimrock is interpreted to lie at further depth from the Newmont drillholes, following the Midas Mine gold model

• As Rimrock is directly on the Carlin Trend break, Carlin-style gold may also be present at depth.
