OTHER INFORMATION • The county is testing each home for the presence of asbestos. If asbestos is found in any home, the county will remove it.• Any home built prior to 1978, may or may not contain lead-based paint.• This is a standing structures only auction, all propane tanks are excluded from auction. • In the case of road restrictions, the county will allow structures to be temporarily stored on a different lot or if the property is large enough it can stay on the same lot as long as it does not interfere with the demolition process and/or lot cleanup. This allowance covers road restrictions only and DOES NOT cover any delay on the part of the purchaser.• The county will continue work with movers on road restrictions.• Tree issues will be dealt with on a case-by-case basis. It is on the part of the purchaser to know and address tree issues before acquiring any structures.• April 1, 2014 DEADLINE is set in stone because of the demolition crew timeline. If the demolition crew arrives to demolish a site where a structure still stands the demolition WILL start and the purchaser will be out their money with no refunds.

WITNESSETH: That the Seller agrees to sell and the Buyer agrees to purchase, upon terms and conditions hereinafter set forth the ____________________currently located at ____________________________________________, in the County of Cass (hereinafter referred to as the Property.)

The terms and conditions of such sale and purchases are as follows:

The purchase price shall be $_____________, with Cass County being responsible for removing footings, foundation, and concrete driveways and sidewalks. The total purchase price less credit for the earnest money deposit and less credits, if any, as herein specified shall be fully due and payable at the time of the signing of this Purchase Agreement.1. Buyer shall be responsible for obtaining all moving permits, including arranging for all utility lines (electric, telephone, cable,

etc.) to be moved. Buyer shall also be responsible for disconnecting any water and/or sewer lines and obtaining insurance on said Property from and after the date of this agreement. Buyer further agrees that after the ____________________ has been moved/salvaged; all debris shall be placed as specified into the basement hole.

2. Buyer agrees to perform the other terms and conditions of this contract to be kept and performed by the Buyer upon delivery of Title to the Property by the Seller, conveying the Property to the Buyer or to such other persons as the Buyer may designate. (a) “AS IS”: It is specifically agreed that the Property and all personal property may be conveyed to the Buyer are being conveyed in an “as is” condition and the Seller expressly does not make and Buyer herein waives all warranties, express or implied, including any warranties of merchantability or fitness for a particular purpose or warranty regarding quality, condition or safety, with the exception of a warranty of title as contained herein. This provision shall survive the closing of this purchase agreement regardless of whether it appears in any further documentation implementing the closing of this agreement.

PURCHASE AGREEMENT (CONT)3. DEFAULT: Should the Buyer default in completing the terms and conditions of this Purchase Agreement, the purchase price

hereunder paid by the Buyer shall be forfeited as liquidated damages as Seller’s sole remedy.4. TITLE: Seller warrants that is has good and marketable title in the Seller, free and clear of all liens, encumbrances and

defects, including state and federal regulations that would hinder Buyer’s intended use of the Property.5. MECHANICAL LIENS: Seller certifies and warrants that no person has provided labor or material for the Property within 90

days prior to closing whose claim for such labor or material has not been fully paid. 6. SELLER’S WARRANTIES AND REPRESENTATIONS: Seller warrants and represents to the Buyer as of the date of closing

as follows: (a) Seller has good and marketable title to the Property free and clear of all liens; (b) Seller has the full right, power and authority to sell, convey and transfer the Property herein and to execute, deliver and carry out the provisions of this Purchase Agreement; (c) As of the Closing Date, there shall be no liens, delinquent taxes or delinquent installments of special assessments pertaining to the Property.

7. MOVING/SALVAGE DATE: The ___________________ shall be moved/salvaged on or before April 1, 2014. Buyer and Buyer’s agents shall have the right to enter upon the Property between the date hereof and the Moving/Salvage Date, without charge and at all reasonable times, to perform all such preparatory work as is needed to relocate/salvage the structure. FEMA has ruled that any structure which is purchased to-be-moved “cannot be relocated to a site that is in the 100 year flood plain.”

8. RISK OF LOSS: Upon signing this agreement, the risk of loss or damage to the Property shall remain with Buyer until and including the day ____________________is moved/salvaged from the site.

9. ENTIRE AGREEMENT: This agreement constitutes the entire agreement by and between the parties and any other prior representations or agreements are deemed merged herein and those not specified herein do not represent any agreements or promises or covenants or representations on the part of either party hereto.

10. AMENDMENTS, MODIFICATIONS OR WAIVERS: No amendment, modification, or waiver of any condition, provision or term shall be valid or of any effect unless made in writing signed by the party or parties to be bound or a duly authorized representative and specifying with particularity the extent and nature of such amendment, modification or waiver. Any waiver by any party of any default of another party shall not effect or impair any right arising from any subsequent default. Except as expressly and specifically stated otherwise, nothing herein shall limit the remedies and rights of the parties thereto under and pursuant to this Purchase Agreement.

11. CONSTRUCTION OF AGREEMENT: Whenever the singular number is used herein, the same shall include the plural where appropriate, and the words of any gender shall include any other genders where appropriate. Captions contained herein are inserted for the purpose of convenient reference, and in no way define, limit or describe the scope of this Purchase Agreement or any part thereof.

12. BINDING EFFECT: This purchase agreement shall be binding upon and insure to the benefit of the parties hereto and their respective personal representatives, successors and assigns.

13. GOVERNING LAW: This Purchase Agreement shall be governed by the laws of the State of North Dakota.TIME is of the essence of each provision of this entire contract, and of all the conditions thereof.
