Guidelines Although there are always those exceptions, in general, the following could be used as some guidelines. They are:
1. Most M&A activities are okay. 2. Equity raises should be at a very
minimum, $5-10mm. These are small raises but if we see the
prospects of additional rounds and a great story, we will strongly consider representing them.

3. Fund (debt or LP funds) raises should be at a minimum of $20mm. Again, these are small but we generally find that when a potential client comes to us looking for $20mm, they actually need more like $50mm-$100mm.
4. Early stage companies with little or no revenue (including some start-ups with extraordinary stories) are okay. Mature companies with revenues and EBITDA are obviously preferred. Given the nature of your business, I doubt that you will be dealing with start-ups or very early stage companies.
5. Public and private companies are both okay.
6. International is okay. 7. We are industry agnostic and are
quite well versed throughout most, if not all, industries.
8. We prefer that the company has not already started any work toward a raise or has done any type of marketing in the financial markets.
9. We are the exclusive financial advisors during the engagement (as it relates to the engagement).
10. In general, our max deals seem to be around that $3-$5 billion mark. We can handle larger deals; we just don’t target them from a marketing perspective.
Procedure and Payout
1. The engagement fee charged at the beginning of the process. This fee generally ranges between $125,000 and $275,000.
2. The success fee. This fee is a percentage of the funds raised and can vary between 2% and 10% of the amount of funds raised. This percentage is split between our funding partner and Above the Standard.
