SECTION -1

GENERAL TERMS AND CONDITIONS OF CONTRACT

1. DESCRIPTION OF WORK

“Design, Detailed engineering, Development, Fabrication, Testing, supply to SDSC SHAR, Erection and Commissioning at SPP, SDSC SHAR, of " Automated Rubber Lining Machine" for 3.2 m diameter Cylindrical Cases No. 1, 2 and 3 fitted with End rings of 4 m Diameter as per the Principle, scope of work and specifications in section 3.”

2. SCOPE OF WORK AND TECHNICAL SPECIFICATIONS

2.1 The detailed scope of work and technical specifications are given in Section 3 -Technical Specification. The general terms and conditions are given below.

2.2 Detailed Engineering:

The Scope of work of detailed engineering where ever specified is working out additional fabrication details required over and above the details furnished in the applicable drawings supplied with this order.

3. SUPPLIER'S OBLIGATIONS & FUNCTIONS.

(a) SPECIFICATIONS AND DRAWINGS

The Supplier shall execute the works in compliance with the provisions of CONTRACT, good engineering practices and code requirements.

(b) APPROVAL OF TECHNICAL DOCUMENTS / DRAWINGS

Supplier shall prepare and submit to Purchaser for approval following documents and drawings:

i. Approach paper, Design and working principle.

ii. Selection of equipment and Auxiliary sub- system.

iii. Quality Assurance Plan (QAP): The QAP shall list down various stages of inspection and inspection agency namely supplier quality Control agency & 3rd party inspection agency, if engaged. Elaborate Quality Assurance Plan ( QAP) is to be prepared & furnished for review & approval

iv. Layout drawings

v. Fabrication drawings

vi. Erection Sequence Schedule along with erection drawings.

vii. No activity shall be executed unless Purchaser’s approval is obtained. The above documents / drawings shall be submitted in a format approved by Purchaser. Quality Assurance Plan shall be strictly in accordance with Quality Control Manual and Formats to be provided after the award of CONTRACT.

(c) Fabrication & SUPPLY OF EQUIPMENT.

i. “Design, Detailed engineering, Development, Fabrication, Testing, supply to SDSC SHAR, Erection and Commissioning at SPP, SDSC SHAR, of " Automated Rubber Lining Machine" for 3.2 m diameter Cylindrical Cases No. 1, 2 and 3 fitted with End rings of 4 m Diameter as per the Principle, scope of work and specifications in section 3.”

ii. Any item which may not have been specifically mentioned herein but are needed to complete the equipment / system shall also be treated as included and the same shall also be supplied and erected at no extra cost, unless otherwise specifically excluded as indicated.

iii. All these goods or material shall be supplied or used shall be new and of first quality. Where imported or partly imported goods or material are offered or intended to be used, the fact must be specifically stated and brought to the notice of Purchaser.

(d) INSPECTION AND TESTING

i. As per the Philosophy, Principle, Scope of work and technical specification in Section 3, The supplier shall identify various stages of inspection and quality control of the machine tool including sub systems, components and bought out items etc., and inform the same to SDSC, SHAR in advance. The approved QAP shall be followed during course of Manufacture, Erection & Testing.

ii. Purchaser reserves the right to inspect all phases of Supplier’s operations through its representatives and/or third party inspection agency approved by the Purchaser. Therefore it is the responsibility of the supplier to provide the necessary support for the inspection agency and get the works inspected at all stages of work as identified in quality assurance plan. The presence or absence of a Purchaser’s representative does not relieve the Supplier of the responsibility for quality control in all phases of the work. In the event that any of the work being done by the Supplier or any Sub-Supplier is found by Purchaser’s representatives to be unsatisfactory or not in accordance with the drawings, procedures, specifications, and standards the Supplier shall, upon verbal notice of such discrepancy or deficiency, take immediate steps to revise the work in a manner to conform to the relevant drawings, procedures and specifications. The Supplier shall carry out required supervision and inspection as per Quality Assurance Plan and furnish all assistance required by the Purchaser in carrying out inspection work during this phase.

iii. The authorized inspectors of the purchaser shall have access to the premises of the supplier and its sub-contractors at all reasonable times. All the equipments, instruments, tools that are necessary for the inspection shall be provided by the supplier on demand by purchaser’s own inspectors or a third party authorized by purchaser .Inspection by purchaser’s own inspectors or by third party authorized by

purchaser shall not absolve the responsibility of the supplier from proper performance of the machine and from the guarantee/warranty clauses stipulated in the contract.

iv. Pre - delivery Inspection: All the sub-components and system as a whole shall be tested for its make and dimensions as per the approved fabrication drawings; and also for its functioning as per the accepted working principle & performance and as per Section 3. Item shall be transported to SDSC SHAR only after accord of Dispatch Clearance by representative of the purchaser.

(e) DELIVERY AND STORAGE

i. Dispatch Instructions given in the Contract shall be strictly followed. Failure to comply with the instructions may result in delay in payment apart from imposing any other charges as may be deemed to fit.

ii. The Supplier shall be responsible for transporting all the equipment to site, unloading and storage. No equipment shall be delivered without obtaining dispatch clearance from Purchaser. All the equipment shall be properly packed to avoid any damage during transportation / handling / storage.

iii. Party shall undertake the responsibility of the machine and its components during transportation to Sriharikota and during erection, testing and commissioning of the same at suitable location identified by SDSC, SHAR and until handing over the machine to SDSC, SHAR after its acceptance. SDSC, SHAR will provide sheltered area for storage of the machine and its components. Supplier shall take proper care while storing the equipment and shall provide watch and ward at his own cost.

iv. First fill of hydraulic oil, lubricating oil, coolant oil & other consumables as required are to be provided in seal packed at purchaser site.

4. INSTALLATION

4.1 GENERAL

4.1.1 Supplier’s staff shall include adequate number of competent erection engineers with proven experience on similar works to supervise the erection works and sufficient skilled, unskilled and semiskilled labour to ensure completion of work in time.

4.1.2 Supplier's erection staff shall arrive at site on date agreed by Purchaser. Prior to proceeding to work, Supplier shall however, first ensure that required/sufficient part of his supply has arrived at site.

4.1.3 Certain material handling equipments are available with purchaser and the same shall be extended free of cost for carrying out unloading and erection at purchaser’s site. However party shall convey the list of material handling equipments needed for the above purpose. If the required material handling equipments is found unavailable, the supplier shall have to arrange the same by its own.

4.1.4 Piping / cable trench / embedded plate etc. required in the building shall be made available by purchaser.

4.1.5 Purchaser will make ready the foundations, trenches and provision of water supply to a place identified near the building as per the details furnished by the party.

4.1.6 Erection of equipment may be phased in such a manner so as not to obstruct the work being done by Other Suppliers and / or operating staff that may be present at that time.

4.1.7 During erection, Purchaser's engineer will visit site from time to time with or without Supplier’s engineer to establish conformity of the work with specification. Any deviations, deficiencies or evidence of unsatisfactory workmanship shall be corrected as instructed by Purchaser.

4.1.8 Supplier shall carry out work in a true professional manner and strictly adhere to the approved drawings. Any damage caused by Supplier during erection to new or existing building shall be made good at no extra cost to Purchaser.

4.1 SETTING OUT, LEVELLING AND GROUTING OF EQUIPMENT

4.2.1 Supplier shall check the civil works where the equipment is to be erected in advance for their correctness / conformity to the approved drawings for erection of equipment with respect to their lines, levels, pockets, openings, cut outs etc. and shall notify Purchaser of any major deviation.

4.2.2 Supplier shall mark precisely the centre lines and datum reference on civil works where the equipment is to be erected with reference to benchmark given by Civil Supplier. Any minor adjustment necessary to structure (on which equipment is to be erected) for making them plumb and level shall be carried out by Supplier at his cost.

4.2.3 All the grout for equipment shall be carried out using non-shrinkable grout. Surfaces receiving grout shall be prepared to receive grout. All block outs for pipes (puddle pipes), sleeves etc. shall be grouted by using cement concrete of the same grade as that of the parent structure. All associated civil works such as cutting of re-bar, chipping or dressing of foundation or widening openings in R.C.C. Work and brick work, drilling holes in concrete work or brick work shall be carried out by Supplier as part of the scope of contract.

Supplier shall maintain records pertaining to the quality of erection work in a format approved by Purchaser. Whenever erection work is complete, Supplier shall offer erected equipment for inspection to Purchaser's engineer who along with Supplier's engineer will sign such records on acceptance.

The complete construction of machine right from component level till the complete machine assembly performance tested including sub – assembly shall be properly documented with drawing, raw material, Test certificate etc.

There shall be time to time submission of information /clearance / approval by the purchaser and all comments shall be duly incorporated.

All such drawing will become part of PRODUCTION MASTER FILE which shall also contain as built drawing, Final Erection, Testing & Commissioning report done at SDSC SHAR site.

3 copies of PRODUCTION MASTER FILE shall be supplied.

4.3 EQUIPMENT ERECTION

4.4.1 Supplier shall carry out the works in accordance with the specific instructions given on the approved drawings, method statements, manufacturer’s drawings / documents or as directed by Purchaser. Equipment shall be erected in neat workmen like manner so that they are level, plumb, and square and properly aligned and oriented. Tolerances shall be as established in manufactures drawings or as stipulated by Purchaser. No equipment shall be grouted or bolted down to the foundation, until its alignment is checked and found acceptable by Purchaser.

4.4.2 Supplier shall provide all supervision, labour, tools, machines, cranes, slings ,wire rope ,D-shackle etc. ,equipments, scaffolding, rigging material and incidental material such as bolts, wedges, anchors, concrete inserts, grout material etc. required to complete the works. Supplier shall also provide at his own cost all such consumables like oxygen - acetylene gas welding rods, grinding wheels, temporary supports, shims etc. required to complete work. However free electricity shall be provided by the purchaser free of cost

4.4.3 Supplier shall take utmost care while handling instruments, delicate equipments, panels etc., and protect all such equipments on erection.

5 DRAWINGS AND O&M MANUALS

5.1 Supplier shall submit 3 hard copies & one soft copy of all the approved drawings incorporating any modification / changes made during the execution of CONTRACT. All these drawings shall be marked as 'As Built'.

5.1 Supplier shall submit 6 hard & 1 soft copy of the following documents.

5.2.1 Operations manual of the machine.

5.2.2 Programs manual.

5.2.3 Maintenance manual with drawings, circuit diagrams, interfacing instructions, trouble shooting and maintenance instructions and spares list with source of supply.

5.2.4 Lubricating chart with oil /grease type, quantity, changing interval, brand name should be indicated clearly.

5.2.5 Manuals of PLC, PC and major elements from the original equipment manufacturer (OEM) or supplier.

5.2.6 PLC back up in CD/DVD form.

5.2.7 Control system Documents On DVD

5.2 Submission of the drawings and manuals shall be a precondition for releasing of any final payment due to Supplier.

6 TRAINING

Supplier shall organize training for purchaser authorized persons by covering operation and maintenance of the "Automated Rubber Lining Machine", comprehensive programming at supplier’s premises prior to dispatch ;No. of persons – (4 Mechanical + 2 Electrical + 4 Instrumentation = 10Nos)

7 SCHEDULE OF PRICE

7.1 CONTRACT price shall include all costs of “Design, Detailed engineering, Development, Fabrication, Testing, supply to SDSC SHAR, Erection and Commissioning at SPP, SDSC SHAR, of " Automated Rubber Lining Machine" for 3.2 m diameter Cylindrical Cases No. 1, 2 and 3 fitted with End rings of 4 m Diameter as per the Principle, scope of work and specifications in section 3.”

7.1 Shop floor testing, packing, forwarding, transport to site, unloading, storage, all risk coverage, erection, commissioning, training, testing & evaluation and commissioning of equipment including associated civil work and any other cost for proper and complete execution of the CONTRACT.

7.2 Price shall be firm & fixed.

7.3 Purchaser is eligible for partial exemption of Customs Duty for imported items against as notification No. 5/2018 and 25.01.2018. Necessary exemption certificate will be provided to the suppliers against their request with details of items, quantity, etc.

8 TERMS OF PAYMENTS

8.1 Our normal payment is 100% within 30 days after completion. In case if advance is requested, maximum of 30 % of supply cost can be paid as an advance against submission of bank guarantee for an equal amount from a reputed international/nationalized/scheduled bank and shall be valid till Contract completion period. A format of Bank guarantee form shall be obtained from Department.

8.2 60% of supply cost as milestone payment against factory inspection and receipt at SDSC SHAR.

8.3 10% of supply cost, Transportation charges and Commissioning & Erection charges after successful commissioning & acceptance by purchaser and system covered under scope of

contract and against submission of Performance bank guarantee of 10% of contract value with validity till warranty period plus 2 months as claim period.

9.2 The Supplier shall inform the Purchaser within 30 days of any occurrence that is likely to cause delay in delivery. The Purchaser shall determine, in the light of circumstances reported, whether or not any respite or modification of the delivery requirements of the contract can be permitted on this account.

9.3 An extension of the time limit for execution or postponement of delivery shall be granted only in the respect of delay, which is not attributable to the fault or the negligence of the Supplier. An extension of the time limit for execution shall be granted to the supplier to the extent that he establishes force majeure events or that any action or inaction on the part of the Purchaser makes the execution of the Contract impossible within the limit specified thereon. In other case and with due regard to the justification provided, the Purchaser may grant respites.

10 LIQUIDATED DAMAGES

In the event of the Supplier failing to complete the work within the delivery period specified in the contract agreement or any extension agreed thereto, the Purchaser shall reserve the right to recover from the Supplier as liquidated damages, a sum of 0.5 percentage per week or part thereof of the undelivered portion of the total contract price of equipment or work. The Total liquidated damages shall not exceed the 10 percentage of the total Contract price.

11 EXTENSION OF TIME

11.1 If the completion of deliveries of equipment, work is delayed due to reason of Force Majeure the Supplier shall without delay give notice to the Purchaser in writing of their claim for an extension of time. The Purchaser on receipt of such notice may agree to extend the Contract period or delivery date as may be reasonable but without prejudice to other terms and conditions of the Contract.

11.2 Both parties shall keep a record of the circumstances referred to above which are responsible for causing delays in the execution of the services and shall give notice to the other party of any such cause as soon as it occurs. An event of Force Majeure, where so ever it occurs, provided it affects either party in fulfilling its obligations under this contract, shall justify the affected party's claim of Force Majeure. Should one or both the parties be prevented from fulfilling their contractual obligations by a state of Force Majeure lasting continuously for more than a month, the parties shall consult with each other regarding the future execution of the contract.

(a) IGST

As per the guiding principles conveyed by the Ministry of Finance, Dept. of Revenue Notification No. 47/2017-Integrated Tax(Rate) dated 14/11/2017, supply to SDSC SHAR, ISRO invites GST of 5%.However, the vendors have to clearly indicate the %age GST applicable clearly, against each case in their tenders.

(b) INCOME TAX

Income tax at the prevailing rate as applicable and if applicable from time to time shall be deducted from the supplier's bills as per Income Tax Act and a certificate issued (TDS Certificate).

13 RISK COVERAGE

The Supplier shall arrange comprehensive risk coverage at his own cost covering the value of equipment including transportation to the site from manufacturer’s works, storage at site, fabrication, erection, testing and commissioning at site. The period of such coverage shall be up to contractual completion period or any extension granted by Purchaser thereof.

14 SECURITY DEPOSIT

14.1 Within 10 days from the date of receipt of Purchase order , supplier shall deposit the security deposit @ 10% of order value to the Accounts officer, SatishDhawan Space Centre SHAR, Sriharikota as detailed above by any of the following modes.

(a) By a crossed demand draft in favor of Accounts officer, SatishDhawan Space Centre SHAR drawn on SBI and payable at Sriharikota.

(b) By an acceptance bank guarantee. The bank guarantee shall be from a nationalized/schedule bank and as per our format attached.

14.2 The security deposit (bearing no interest) shall be held by the Purchaser as security till satisfactory completion, testing and handing over of all the system and for the due performance of all suppliers’ obligations under the contract as per delivery period or extension granted thereof by the Purchaser plus 2 months.

14.3 In case of breach of contract, the Security deposit shall stand forfeited in addition to other relief available to the Purchaser under this contract.

15 PACKING AND FORWARDING

15.1 The quoted price is inclusive of packing and forwarding charges

15.2 The Supplier shall arrange to have all the material suitably packed as per the standards & statutes and as specified in the contract. Unless otherwise provided for in the contract, all containers (including packing cases, boxes, tins, drums, and wrappings) used by the Supplier shall be non-returnable.

16 WARRANTY

The supplier shall provide twelve months warranty for the entire system for a defect liability, after final official handing over at his cost. During this period supplier has to provide and adhere to the following:

16.1 This period shall include maintenance, replacement of defective/failed parts at free of cost.

16.2 Supplier has to attend unlimited breakdown calls.

16.3 Purchaser will not provide any transport/accommodation for this purpose.

16.4 Upon oral or written notification of defects in or malfunctioning of the goods during the warranty period which require corrective action, Supplier shall send the necessary personnel to job site to supervise and assume responsibility for repairs and/or replacement, if necessary, of the defective goods or material at his own cost. If Supplier does not, within seven (7) days after receipt of notification, take steps to correct the breach, Purchaser may do so at the cost and expense of Supplier. Supplier shall reimburse Purchaser all expenses incurred by Purchaser to repair or replace malfunctioning or non-conforming goods.

16.5 Purchaser has no obligation to discover defects, patent or otherwise, and this shall be sole responsibility of Supplier. Inspection and clearance for shipment by Purchaser’s inspectors or Inspection agency appointed by Purchaser shall not relieve Supplier of any of his obligation and duties under the terms and conditions herein.

16.6 Where defects in items are remedied under warranty, the period for which the warranty operates shall be extended by such period, as the items were not available to the Purchaser. Where defects items are replaced by new ones, the full warranty period stipulated in the contract shall apply to such replacement items as from the date of their delivery.

16.7 Supplier shall obtain similar warrantee from each of his sub-suppliers. However, the overall responsibility shall lie with the Supplier.

17 GUARANTEES:

The Supplier shall guarantee that the equipment furnished by him are in conformance with the requirement of the specifications.

Goods covered by the contract shall be free from defects in design, materials or workmanship for a period of twelve months from the date of successful commissioning & acceptance by Purchaser.

18 PERFORMANCE BANK GUARANTEE

The supplier shall guarantee for the performance of the contract by providing bank guarantee in favour of the Purchaser for an amount equivalent to 10 %( ten percent) of the total value of this PO valid till the warranty period of the PO. The performance bank guarantee shall be submitted by the supplier with in fifteen days from the date of accepting the equipment as per the PO. The format for the performance bank guarantee shall be obtained from Purchaser.

19.1 If the documents supplied by the Purchaser are marked 'restricted use' the Supplier shall take all necessary steps to ensure that the requirements of the contract or any specification, plan, drawing, pattern, sample or information supplied by, or on behalf of, the Purchaser in connection therewith shall not be disclosed to any person other than a person employed or engaged by the Supplier, whether under sub-contract or otherwise, for the performance of the contract.

19.2 Supplier shall guarantee that all information and data received during execution of Contract from Purchaser shall be classified as confidential within the meaning of the Official Secrets Act and will not be divulged to any third party without prior written permission of Purchaser. All drawings & documents shall be returned after execution of work.

19.3 Automated Rubber Lining Machine shall be patented by purchaser and supplier shall have no claim on the design, development and ownership of this machine.

20 ARBITRATION

In the event of any question, dispute or difference arising under these conditions of any condition in the purchase order or in connection with this contract, (except as to any matters the decision of which is specially provided for by these conditions) the same shall be referred to the sole arbitration of the Head of the Purchase office or of some other person appointed by him. The arbitration shall be conducted with in India as per Arbitration & Conciliation Act 1996 and the applicable language shall be English. The arbitrator may be a Retired Judge or a Government Servant or any other responsible person, that he had to deal with matter to which the contract is related or that in the course of his duties, he has expressed views on all or any of the matters in dispute or differences. The award of the Arbitrator shall be final and binding on the parties of this contract.

21 APPLICABLE LAW AND JURISDICTION

The laws of India shall govern this contract for the time being in force. The Courts of Andhra Pradesh, India only shall have jurisdiction to be with and decide any legal matters or disputes what so ever arising out of the contract.

22 FORCE MAJEURE

Should a part or whole work covered under this agreement be delayed due to reasons of Force Majeure which shall include legal lockouts, strikes, riots, civil commotion, fire accident, quarantines, epidemic, acts of God and Government, embargoes, the completion period for work, equipment referred to in this agreement shall be extended by a period not in excess of the duration of such Force Majeure. The occurrence shall be notified by either party within reasonable time.

23 GENERAL

All the working personnel shall comply with code of conduct during there stay inside the SHAR campus.

23.2 SAFETY

Supplier shall follow the safety regulations / codes or safety instructions issued by PURCHASER and shall take necessary measures at his own cost.

23.3 POWER SUPPLY

Electrical power provided by the purchaser during installation is NOT chargeable subjected to availability & approval. Reasonable quality of normal power will be made available at one point (415V, 3 phase, 50 Hz). However, onward distribution shall be done by the supplier.

All electrical installation by the supplier shall be as per safety regulation & standard and will be subjected to purchaser inspection & approval.

23.4 WORK RULES

Generally, NO work shall be carried out during night or public holidays unless a written permission is obtained from Purchaser.

23.5 SITE CLEARANCE

Upon completion of work, Supplier shall remove all his equipment and material from the site within one month or time mutually agreed. Supplier at all times shall keep site in clean condition and remove all unwanted material at regular intervals. In case supplier fails to remove all his equipment and material within the mutually agreed time it is deemed that Purchaser will arrange to remove the same at the supplier’s cost besides imposing penalty for failure.

23.6 ACCOMMODATION

Supplier shall make his own arrangement for accommodation & canteen facility for all its staff, technicians, labor & workers. Transportation shall be arranged by Supplier at his own expenses for entire staff.

Very limited accommodation may be provided by Purchaser to senior Executive ( who visit the site from time to time ) supervisory staff of the Supplier on chargeable basis subject to availability

The indented "Automated Rubber Lining Machine" are to be erected inside a facility in SPP, SDSC SHAR, Sriharikota, The place ”Sriharikota” is 20 km East of Sullurupeta ( nearest town ) which is 80 km North of Chennai, Tamilnadu, INDIA.

SDSC SHAR, Sriharikota is prohibited place .Hence, no contractor, working personnel will be allowed to stay and they have to be accommodated in Sullurupeta by his own arrangement.

The contractor may have to transport working personnel on day to day basis by his own arrangement. Location of the site is worked out to be 23 km from Sullurupeta.

The contractor personnel has to under go security checks by security force i.e. CISF

23.7 MEDICAL FACILITIES

No medical facilities will be provided by Purchaser at site for Supplier's site personnel. Supplier shall make his own arrangement at his own expenses for medical facilities for site personnel.

23.8 WORK PROGRAMME

The supplier along with proposal shall give a preliminary programme schedule for executing the contract as per the scope of work. Upon award, supplier shall prepare a detailed programme schedule for review / approval by Purchaser. Supplier as per exigencies of work shall revise and update programme periodically.

Monthly progress review meeting will be conducted alternatively at purchaser / supplier site

23.9 SUB-CONTRACTS

26.9.1 Whole of the work shall not be subcontracted.

26.9.2 The portion of the work for which the supplier is not expert, shall be sub -contracted to proven / reputed OEM in that field. Such sub- contract if any shall be given with prior approval of the purchaser including choice of subcontractor.

26.9.3 The supplier shall be responsible for the proper execution of any sub-contract placed by him in connection with this contract.

26.9.4 Unless otherwise authorized by the Purchaser, the conditions of the sub-contracts shall be secured to the Purchaser any rights provided for it under the terms of the main contract.

26.9.5 Written permission, if given, shall not relieve Supplier from his obligations under the Contract and he shall take full responsibility for all work done by Sub-Suppliers. Supplier shall be responsible for transmitting pertinent data of all Contract terms and conditions to Sub-Suppliers. Supplier shall furnish to Purchaser copies of all un-priced sub-orders showing promised delivery dates and places.

23.10 CHANGES AND MODIFICATION TO SPECIFICATIONS, DESIGNS, DRAWINGS AND QUALITATIVE / QUANTITATIVE REQUIREMENTS.

i. Supplier shall obtain approval for the designs and drawings from the Purchaser before initiating the action for procurement / fabrication.

ii. Change in make/model for bought item is NOT allowed unless approved by purchaser.

iii. Purchaser is free to modify the designs or drawings during design review. Party has to carryout one time modifications at each stage with out any extra cost and obtains the approval from Purchaser. Detailed Engineering design review to meet overall specification of the machine & sub system.

iv. The Purchaser reserves the right at any time to modify the Quantitative Requirement, Specifications, patterns or drawings relating to the work covered by the contract. The Supplier shall inform the Purchaser, within 15 days, of any objection/reservation to the modifications required.

v. Unless the Purchaser directs otherwise, the Supplier shall in either case, submit within a reasonable time limit to be specified by the Purchaser, an estimate of the effect of any such modification in the cost of performance of the contract and/ or on the delivery schedule.

23.11 Any amendment to the PO, which may be necessary in this respect, will be established within a reasonable time in the form of an Amendment to PO to be signed by both parties.

23.12 ACCEPTANCE AND REJECTION

ACCEPTANCE AND REJECTION:

On completion of the work or part of the work as specified in the PO, the representative of the Purchaser referred to, shall check as soon as possible, but in any event within the month of notification of readiness for acceptance that the work performed complies with the PO requirements as regards quantity and quality.

In the event of rejection of any of the articles, whereby the Supplier feels himself aggrieved, he may within eight days of the receipt of notification of rejection and before such articles have been removed from the place of inspection, give the Purchaser notice of objection. Such objection shall be considered by a Board of Appeals of the Purchaser. The Purchaser shall, without prejudice to the arbitration clause in the PO, take a decision upon presentation of the Board's findings.

On completion of tests, the members of the Inspection Organization of the Purchaser or Inspection agency appointed by Purchaser shall prepare a report, which must be countersigned by the Supplier.

23.13 SUSPENSION

i. Purchaser may notify the Supplier to suspend performance of any or all of his obligations under the PO. Such notice will specify the reasons for suspension and the effective date of suspension. Supplier there upon shall suspend the performance of such obligations until ordered in writing to resume performance of PO by Purchaser.

ii. If Supplier’s performance or his obligations remain suspended or the rate of progress is reduced, then, the time of completion will be suitably extended and all costs incurred by Supplier as a result of suspension or reduction in rate of progress will be paid to Supplier provided that the suspension or reduction in the rate of progress is not by reasons of Supplier's default or breach of PO terms and conditions.

23.14 CANCELLATION

GENERAL RULE:

The Purchaser shall have the right at any time to cancel a PO either wholly or in part by giving written notice by registered mail. From the time of receipt of the written notice the Supplier shall undertake to observe the instructions of the Purchaser as to the winding up of the works under PO both on his own part and on the part of his sub-suppliers.

WITHOUT FAULT OF SUPPLIER:

In the case of cancellation of a PO by the Purchaser without any fault of the Supplier, the Supplier shall on receipt of Purchaser's instructions forthwith take the necessary steps to implement them. The period to be allowed to implement them shall be fixed by the Purchaser after conclusion with the Supplier and, in general, shall not exceed three months.

Subject to the Supplier confirming, Purchaser shall take over from the Supplier at a fair and reasonable price all finished parts not yet delivered to the Purchaser, all unused and undamaged material, bought-out components and articles in course of manufacture in the possession of the supplier and property obtained by or supplied to the Supplier for the performance of the contract, except such material, bought-out components and articles in course of manufacture as the supplier shall, with the agreement of the Purchaser, elect to retain.

WITH FAULT OF SUPPLIER:

The Purchaser reserves the right, after full consideration of all relevant circumstances, including the observations of the supplier, to cancel a contract in any of the following circumstances.

(a) In the event of the Supplier's failure to meet

(i) The Technical requirements of the Supplier.

(ii) The Progress and/or delivery requirements.

(b) If the Supplier has not observed the provisions of the PO concerning the disclosure and use of information provided by the Purchaser.

(c) If the Supplier fails to comply with the provisions of the PO concerning the equipment, supplies and technical documents made available by the Purchaser.

(d) If the Supplier transfers his PO without the Purchaser's authorization or concludes sub-contracts against the Purchaser's explicit directives.

(e) In the event that Supplier unjustifiably repudiates the PO or fails to ship or dispatch all or part of the goods ordered for reasons other than those attributed to the Purchaser’s actions or as provided in the Force Majeure clause, the Purchaser may, by giving an appropriate notice in writing to the Supplier, fix a Date of Essence by which the Supplier shall complete the dispatch in full. If the Supplier fails to do so, the Purchaser, in addition to his right to recover Liquidated Damages in terms of the PO, shall also have the right to cancel this PO and make substitute purchases from other sources. If the goods are in a partial state of fabrication, Purchaser may have the fabrication completed by other means, in which event Supplier shall be liable to Purchaser for the additional expenses incurred thereby, but shall not have any claim on savings, if any, in such cases.

In the event of such cancellation, the Purchaser shall unless otherwise specified in the PO, only pays.

(f) In the case of a fixed-cost PO for the supply of equipment or material. The contractual value of items delivered and accepted under the contract before receipt of notification of cancellation, or to be accepted under the special conditions of cancellation.

(g) In the other cases.

A fair and reasonable price in respect of such work as has been carried out prior to the receipt by the Supplier of notification of cancellation.

Section 2: PREPARATION OF BIDS- INFORMATION TO BIDDERS 1.1. VALIDITY OF OFFER

Bid shall remain valid for acceptance for a period of 6 (Six) months from the due date of submission of the Bid. The Vendor shall not be entitled during the said period to revoke or cancel his Bid or to vary the Bid except and to the extent required by Purchaser and communicated in writing. In such cases, unless otherwise specified, it is understood that validity is sought and provided without varying either the quoted price or any other terms and conditions of Bid finalized till that time.

1.2. COST OF BIDDING

All direct and indirect costs associated with the preparation and submission of Bid (including clarification meetings and site visit, if any), shall be to Vendor's account and the Purchaser will in no case be responsible or liable for those costs, regardless of the conduct or outcome of the Bid process.

1.3. SCHEDULE OF PRICES

The schedule of prices shall be read in conjunction with all the sections of proposal document.

For Composite contract, the composite prices quoted by the Vendor shall be firm and fixed for the completion of the work, unless stated otherwise. The price must be filled in the format for ‘Schedule of Prices’ Annexure-I.

1.4. DOCUMENTS COMPRISING THE BID

PART – I TECHNICAL AND UNPRICED COMMERCIAL BID

Technical bid shall be submitted online and the following documents shall be attached along with the technical bid. If sufficient space is not available for on line submission, the same in hard copy form shall be sent to SDSC SHAR by courier/ post to reach before the tender opening date, failing which the on-line bid will not be considered for evaluation. No document with price information shall be attached along with the technical bid.

(f) Data sheets for all the equipment available enclosed in proposal duly filled, signed, & stamped.

(g) Audited balance sheet including profit and loss account for the last three financial years showing annual turnover.

(h) Latest copy of last 3 years income tax returns filed.

(i) Latest solvency certificate for an amount of Rs. 25 Lakhsissued from anynationalized/scheduled bank.

(j) Organization chart for the proposed work with bio data of key personnel

(k) Schedule Bar chart.

(l) Execution Plan.

(m) Any other relevant document, Vendor desires to submit.

. 1.5 PRE-QUALIFICATION CRITERIA

a. The bidder shall have completed commissioning of Special purpose machines(SPM) of

worth Rs. 80 Lakhs vide single order, or, shall have commissioned 2 Nos. of SPM each

of not less than worth 60 Lakhs, or, shall have commissioned 3 Nos. of SPM each of

not less than worth 40 Lakhs ,or, Party should have commissioned at least 5 Nos. of

SPM's of total worth 120 Lakhs, wherein single order should be at least of Rs. 10 lakhs

or above.

b. The bidder shall have minimum 5 years of experience in developing special purpose machines for various applications.

c. The bidder shall have a minimum turnover of Rs.100Lakhs in average in the last 3 years. A documentary proof in this regard may be produced.

d. Bidder shall have covered shop floor of size 20m x 6m in order to assemble and demonstrate the functioning of machine. Suitable handling provision at the shop floor for placing test piece on roller stand, assembly of boom, etc in-order to complete assembly of Rubber lining Machine and execution of machine performance test is necessary.

e. Bidder has to produce the preliminary configuration of the "Automated Rubber Lining Machine" in his technical offer. Purchaser reserve right to accept or reject any such offer on basis of the technical concept in his technical offer.

f. Party shall be called for discussion about the configuration and design discussion about the development of the said machine. On basis of the outcome of the discussion, party may be advised to submit the revised offer. However his offer may be rejected if found not meeting our specifications and principles.

1.6 PART – II PRICE BID

Price bid shall be filled in on line and no scanned copy should be attached to technical bid. No deviations to the terms and conditions, assumptions, conditions, discounts etc. shall be stipulated in price bid. Purchaser will not take cognizance of any such statement and may at their discretion reject such bids.

2. BID EVALUATION 2.1. The bid which does not satisfy the pre-qualification criteria as mentioned in 1.5 or

elsewhere in the document shall be summarily rejected and shall not be considered for further evaluation.

2.2. The offer shall be in line with the scope of work as specified in tender document. Part/Spilt offer of the same is NOT acceptable.

2.3. Approach paper submitted by party shall be evaluated after opening of technical bid.Purchaser may request Vendor for any clarification or suggest any technical modification on the bid. Purchaser may ask upon additional documents which is to be complied with; otherwise offer will be deemed incomplete.

2.4. Techno-commercial discussion shall be arranged with party, if needed. party shall depute his authorized representatives for attending discussions. The representatives attending the discussions shall produce authorization from his organization to attend the discussion and sign minutes of meeting on behalf of his organization if required. The authorized representative must be competent and empowered to settle/decide on all technical and commercial issues.

2.5. Party may ask for technical discussion and visit to SDSC SHAR for the same purpose.

2.6. The complete scope of work is defined in this Proposal document in " Technical Specification Section 3". Only those Vendors who undertake total responsibility for the complete scope of work as defined in each part of the Proposal document shall be considered. However purchaser reserves right to accept individual items or full quantity against any item.

2.7. In case Bid does not fully comply with the requirement of Proposal document, Vendor has to stipulate deviations to the clauses of the proposal in Schedule of deviations. In the event of these deviations are unacceptable to the Purchaser, the Bid will be rejected.

2.8. Purchaser may ask Vendors to re-submit the price bid if the considerable modifications is implied on the technical offer.

2.9. Performance of Vendor on similar works executed/ under execution shall be taken into consideration before selecting the Vendor for opening his price bid.

2.10. Purchaser reserves right to visit client’s site for verification/validation.

2.11. The time schedule for completion is given in the Proposal document. Vendor is required to confirm the completion period unconditionally.

2.12. Purchaser reserves the right to accept a bid other than a lowest and to accept or reject any bid in full or part without assigning any reasons. Such decisions by the Purchaser shall bear no liability on the Purchaser whatsoever consequent upon such decision.

2.13. Purchaser shall not be obliged to furnish any information / clarification to unsuccessful Vendors as regards to non acceptance of their Bids.

Section-3 Technical Specification Development of "Automated Rubber Lining Machine"

1. Rubber Lining Practice and Philosophy of "Automation of Rubber Lining"

(A) Introduction

"Hardware Insulation and lining (HIL) Facility" is located in SPP entity of SDSC SHAR where Lining

of Un-Vulcanized tailor formulated Rubber sheets of 2mm and 1mm thickness and approximate

850mm to 900mm width is carried out at the inner surface of the Cylindrical Object,

manually.Object are of three kind as described below:

(1) Object 1 : A cylindrical case of Diameter 3.2m and fitted at both the end with "End Rings" of 4m

dia and 350 mm width for handling purpose. The end to end length of object with two end rings is

8.9m .The effective lining length in cylindrical region is 8.1m.

(2) Object 2 A Cylindrical case of Diameter 3.2m having truncated dome at one end and fitted at

both the end with "End Rings" of 4m Outer diameter and 350mm width for handling purpose. Total

end to end length of objectfitted with two end rings is 9.1 m. The effective lining length in cylindrical

region is 7.5m.

(3) Object 3 : A Cylindrical case of Diameter 3.2m having truncated dome at one end and fitted at

both the end with "End Rings" of 4m Outer diameter and 350mm width for handling purpose. Total

end to end length of objectfitted with two end rings is 3.7 m. The effective lining length in cylindrical

region is 2m.

Automation of the manual lining of the inner surface in the cylindrical region alone, by developing an "Automated Rubber Lining machine" is considered in the Scope of Tender. Domed section shall be insulation lined manually as per existing procedures.

(B) Current Methodology and Process steps in Rubber Lining:

(1) Lining of Rubber sheet of 2mm thick and 1mm thick having width of approximately 900mm

is to be carried out on the cylindrical inner surface.

(2) Procedure of laying 2mm/1mm thick Rubber sheet on the case: The Primer applied

inner surface of object is applied with 1st coat of rubber solution and a 2nd coat of rubber

solution is applied after a time gap of 2 hours. Rubber lining can be started 1 hour after 2nd coat

solution application. Rubber solution is applied on one side of the rubber sheet meant for lining.

Simultaneously the identified surface of hardware for initial lining is also applied with a cote of

rubber solution The solution coated surface is allowed to dry for some time (5 to 10 min approx)

and then solution applied surface of sheet is placed on the solution applied surface of object and

then the top surface of the sheet is rolled ,sector by sector , to attain sound bonding. Following

similar procedure, the Rubber sheet is laid on the other regions of the hardware surface. An

overlap of about 15 mm is given between the adjacent Rocasin sheet to ensure complete coverage

of surface to be laid upon. The extra thickness as well as un bonded rubber at overlap sheet edges

are trimmed to achieve smooth rubber joint. The joint is rolled again to get smooth surface. Thus,

following the above procedure, the entire inner surface is laid with rubber sheet which forms the

rubber base layer.

(3) Subsequent Rubber layer of 2mm thick or 1mm thick is laid over the previously laid layer by

following the procedure mentioned in above paragraph 2.

(4) Total profile of rubber lining varies based on the type of hardware and also differs at different

section of the same hardware. This is achieved by laying required number of layers of 2mm thick

and 1mm thick sheet.

(5) Rubber sheet has to be suitably tapered, at the edges and ends, at an angle of 30° to 50° to

facilitate lap joint with adjacent layer.

(6) Air is likely to get entrapped in the form of bubble in beneath the layer and has to be removed

by piercing during or after completion of the respective layer.

(7) Rubber solution is made by soaking the Rocasin Rubber pieces in a binary solution of Toluene

and Ethylene Di-Chloride for a period of at least 12 hours and then stirred to achieve the rubber

solution.

(8) Rubber sheets of 2mm thick and 1mm thick are procured in Rolls where rubber sheets are

wound along with cora cloth to avoid bonding/sticking of the sheets within roll.

(9) Applying adhesive, Rubber sheet laying and rolling are done manually.

(C) Principle and outline of the automation

Designing and fabrication of special equipment to automate the entire rubber lining processwhich

consists of the following.

(1) Automation of the Sheet Preparation:

(i) Rubber Roll Receipt : The un-vulcanized rubber sheet are received in rolls9spool) , where

Rubber sheet is wound along with cora cloth to ensure inter layer separation between rubber

sheets and to facilitate easy unwinding of the sheetwhen ever required.

(ii) Automated Unwinding of Rubber Sheet from roll (along with Cora cloth) to be established

(iii) Automated separation of cora cloth by winding it alone on the separate spool, in the

continuous mode, while unwinding is in progress.

(iv) Un wound Rubber sheet to rest on the moving table(conveyor) or on a rotating Roller where

automated trimming is to be carried out.

(v) Sheet Preparation: The sides of the rubber sheets needs to be made perfectly straight and

also a taper cut of 30° to 50° on sides is needed for joining two adjacent sheets. Side trimming,

side taper cutting is to be carried out in continuous mode (on conveyer or Roller) by introducing

suitable automated trimming mechanism.

(2) Development of prepared Rubber Sheet handling system. Prepared sheet has to be wound

up in a spool which can be mounted on the "Rubber lining setup" as a rubber sheet source for

lining. This consists of the following.

(i) Re winding of the rubber sheet by inserting a suitable release cloth during the

winding of sheet on the core of a bobbin, in the continuous mode.Release cloth is inserted

between sheets to avoid sheet to sheet sticking in the spool

(ii) The above steps shall completes the making of Rubber Sheet Bobbin. The machine

is to be developed to achieve the Bobbin formation shall be named as "Bobbin Making

Machine". (Figure No. 3)

(iii) The Bobbin shall be fitted on the rubber lining setup and act as the source of rubber

sheet during automated rubber lining operation.

(3) Roller stand for rotating Object whose inner surface is to be Rubber lined. (Figure No. 1 & 2).

(4) Development of BOOM which can be moved longitudinally throughthe Hardware and to be

fixed at both the end during rubber lining. (Indicative Figure No. 1&2). Boom should have Slide

Rail,guides, Drive, etc to mount the (i) carriage unit for carrying the "rubber sheet Bobbin” and(ii)

Rubber lining setup. Carriage and Lining unit shall be able to be positioned at any location along

the boom by automated moving system.

(5)Carriage unitshall have arrangement for "Bobbin mounting" and “Rubber lining setup mounting”

forexecuting the following operations in continuous mode.

Unwinding andFeeding of the Rubber sheet(along with nylon release cloth below to it)

Automate "rubber solution coating" on the Rubber sheet while it is unwound from Bobbin.

Rubber solution coating on Object surface being rubber lined

Allowing dryingof the solution coated surface by forced convection and limiting sheet feed speed

as well as Object rotational speed to carryoutlining while coated surface attain a state suitable for

lining.

i. Separationof the nylon cloth from the rubber sheet and rewinding in a separate spool.

ii. Positioning and pressing of the rubber sheet on to the Object inner surface by primary roller.

iii. Subsequent rolling along the circumferential direction by set of secondary rollers.

iv. Rolling along the axial direction. (Indicative Figure No. 7)

v. Pricking of the insulation to remove the entrapped air, if any, manually.

vi. Re Rolling of the entire or the selected zones by operating secondary roller rolling , while

discontinuing the rubber sheet feed as well as primary roller rolling.

vii. Re -starting the Rubber lining at the adjacent circumferential band, having 5-20 mm overlap

with the previously laid layer axially.

viii. Trimming of the extra bonded/ rubber sheet at the overlap region oriented

circumferentially as well as axially. (Indicative Figure No. 6).

(2) SCOPE OF WORK AND TECHNICAL SPECIFICATIONS

The details of Vendor’s scope of work:

“Design, Detailed engineering, Development, Fabrication, Testing, supply to SDSC SHAR, Erection and Commissioning at SPP, SDSC SHAR, of " Automated Rubber Lining Machine" for 3.2 m diameter Cylindrical Cases No. 1, 2 and 3 fitted with End rings of 4 m Diameter.

Rubber Lining Machine consists of the following subsystems namely

I) Roller Stand (SWL 30 T) - (Shall be provided as Free issue)

II) Bobbin Making setup

III) BOOM, Guideways,Rail and Drive

IV) Carriage Unit

V) Rubber Lining Setup

VI) Trimming setup

VII) PLC & SCADA system along with a software with single license.

VIII) Test Piece (for conducting performance test)

Note: The Sub-systems II to VI stipulated above and their functioning as well as functioning of the whole Automated Rubber lining Machine described in this document,is one among many concept of the Automated Rubber Lining Machine. The given concept is for illustration only with asole objective to describe the requirement. The said concept mayor may not be workable and hence Party has sole responsibility to design a workable concept which may ultimately result in an entirely new concept of Developing the "Automated Rubber Lining Machine". The "Rubber Lining Machine" is intended to be working with Roller Stand (Subsystem No. I) which shall be provided by Department as free issue for this purpose.

I) Roller stand(Rotator): It consists of a Drive Roller set and 2 Nos. of idler roller sets. These

roller sets are arranged such that, each one of the above cylindrical objects can be positioned and

rotated at desired angular velocity in range of 0 to 10 Rotation per Hour to synchronize with

Rubber sheet feed rate. Roller stand with encoder mounted on motor shall be provided by department as free issue. Interfacing of the roller standwith above subsystems II to VIII of "Rubber Lining Machine" is in the scope of the party. Rotational motion control of roller is to be

establishedthrough SCADA with PLC and Drive. Schematic of Roller stand and rubber lining

machine is shown in Figure-1 and Figure-2. II) "Bobbin" and "Bobbin Making Setup":Design, detailed engineered,development and

fabrication is in the scope of Party.Bobbin preparation has to be realized in the continuous mode

by Bobbin Making setup which shall perform thefollowing functions.

(i)Unwinding of Rubber Sheet along with Cora cloth (from the roll) followed by separation of cora

cloth winding it on the separate spool, in the continuous mode.

(ii)Preparation of Rubber Sheet, obtained by the continuous unwinding of roll, by an automated

machine setup,in the following manner (a)Side trimming (b) Side taper cutting at 30° to 50 ° (c)

End trimming (d)End taper cuttingat 30° to 50 ° (Note: Side trimming is needed to attain straight

sheet edges and uniform width of sheet. End trimming is needed to limit the length of the sheet per

bobbin. The taper cutting on the sheet is to facilitate smooth joint with the adjacent layer).

For the above, the following is to be developed and realized.

(iia)Trimming (vertical cutting)by mechanized tool on each side of continuous moving rubber

sheet. These tools shall be adjustablealong the perpendicular direction of the Sheet. Nominal

spacing between two trimming tool shall be 850mm and each tool shall have provision for

adjustment by 100mm in both side, from nominal, respectively in perpendicular direction. After

adjustmentit should be possible to achieve sheet of 650mm to 1050mm width. Preferred width of

sheet shall be set during the trials and also prior to the Rubber lining operations as per the process

requirement.

(iib) Taper cutting by mechanized tool on each side for chamfer cutting at a side of trimmed

continuous rubber sheet. Tool shall be of adjustable type to create the chamfer of 30° to 50° at

both the sides of sheet. Preferred chamfer shall be set during the trials and also prior to the

Rubber lining operations as per the process requirement.These tools shall be adjustable along the

perpendicular direction of the Sheet. Nominal spacing between two chamfering tool shall be

850mm and each tool shall have provision to fix in as well as out, by 100mm respectively in

perpendicular direction. After the adjustment,it should be able to achieve side chamfered sheet of

650mm to 1050mm width.

(iic) An end trimming tool to cut the sheet along the perpendicular direction of the length.

(iid) An end Taper cutting tool to impart 30° to 50° to the sheet leading edge along the width of

the sheet. It shall be adjustable to impart required taper.

(iii) Winding the prepared rubber sheet with a releasecloth on the core of the Bobbin, which

completes the making of the Bobbin.Suitable Bobbin shall be made up of Low weight Aluminum

alloy to minimize weight.

(vi) An Indicative schematic of "Bobbin Making Machine” is shown in figure-4. Hence, party has to

realize a workable "Bobbin" and "Bobbin Making Machine" with desired level of performance. Also

the prepared Bobbin should be compatible with the Carriage unit and shall achieve desired level of

accuracy in "Rubber Lining Machine".

(vii) 2 Nos. of Bobbins of sheet carrying capacity -30 m long sheet and 850mm(+/- 200mm) wide

sheet, are also to be fabricated and supplied by party.

(III) BOOM Slide Rail and Drive:

(i) Boom, a heavy duty Section of MS/Al Alloy of suitable length to enable rubber lining of all the

objects, shallbe provided with guide ways to move on the double column (or any alternate

arrangement) and it should move in/out throughthe object cylindrical shell parallel to the

object longitudinal axis and has to be supported and locked at other end of the object, before

start of the Automated Rubber lining operation. It shall be driven by an automated motor with

VVFD and interfaced to PLC and SCADA. All the material and service needed for

commissioning boom and its drive system, which includes laying of rails, guides, anchoring,

grouting,etc are in the scope of Party. Boom shall be balanced against self weight by support

at One end also apart from the Two ends.

(ii) Boom shall have linear bearing guides and rack, etc on which the carriage assembly can be

mounted and moved by geared motor, rollers etc. Proper practice of fabrication is to be

adopted in-order to achieve smooth movement of boom as well as smooth and jerk free

movement of Carriage unit on Boom. Boom has to be designed for L/900 deflection criteria.

(iii) Schematic arrangement of Boom is depicted in figure 1 &2 , is only indicative and intended to

provide preliminary clarity about the scope. As the design of boom has the bearing on the

overall performance of the rubber lining machine, the boom has to be designed keeping the

functional requirement of the Rubber Lining Machine as a whole.

(IV)Carriage Unit :

(i)Carriage unit carrying "Bobbin" as well as "Rubber Lining setup" ,has to be mounted on

Boomand shall be able to move and position along the boom and locked firmly during rubber

lining operation.

(ii) To the extent possible carriage unit shall be made of light materials (aluminum alloy) having

high strength like Al 6061 T6, Al 6082 T6, etc to reduce the load of carriage unit. Also

carriage unit need to be assembled and de-assembled by operators frequently, light weight of

Carriage unit is essential. If inevitable, the use of steel materials are permitted with prior

permission from purchaser only.

(iii) Bobbin wound with rubber sheet with release cloth is mounted on Carriage unit. The Bobbin

iscoupled to an Electric motor, Encoders, etc to enable a control rotation of the Bobbin and

thereby defined feed of Rubber Sheets for Rubber lining on the Case.Motion of carriage unit

is to be executed with VVFD and controlled by SCADA & PLC. Positional accuracy of

carriage unit shall be at least 2mm and has to be acquired by means of encoder & PLC. This

shall be finalized during detailed engineering.

(V) Rubber Lining Setup:Rubber Lining Setup consisting of the following:

(i) Rollers, Tensioning arrangements, conveyers, etc to feed the unvulcanizedrubber sheet

during rubber lining operation. Rubber sheet is fed along with the nylon release clothshall minimize

the chance of deformation of the rubber sheet during the feeding process. Feeding mechanism

of Rubber sheet shall be designed considering the plastic state with low strength of rubber sheet.

Gripping of rubber sheet shall be designed considering soft and permanent deformable nature of

the rubber sheet.

(ii) Rubber solution handling and stirring in lid closed container

(iii) Rubber solution coating on Object case innersurface/Interior rubber surface.

(iv) Rubber solution coating on Rubber sheet being lined.

(v) Drying of "rubber solution coated sheet" as well as "rubber solution coatedObject inner

surface" by forced convection and Dryer, to obtain state favorable for lining.

(vi) Rubber Sheet positioning, alignment and pressing against the object surface being lined, by

primary roller. Pneumatic pressure shall be utilized to operate the primary roller movement &

contact force on the rubber sheet being lined. Precise control of the pressure (contact force) to be

established by servo valve, Pressure transmitter, PLC & SCADA system.

(vii) Sheet Rolling in circumferential direction using the multiple rollers (secondary rollers) as 2nd

course of lining for consolidation and entrapped air removal. Pneumatic cylinders (non friction type)

shall be used to obtain controlled force in primary as well as secondary roller. Suitable spring

compression shall also to be included if required.Precise control of the pressure (contact force) to

be established for secondary roller also through servo valves, pressure transmitter, PLC & SCADA

system.

(viii) Secondary Rollers are to be arranged such that they remove the entrapped air while rolling

is done. Suitable Nos. of Rollers with independent degree of freedom and force application, are to

be arranged in-order to cover the entire width(650mm to 1050mm) in single lining.A probable way

of rolling the Rubber sheet by using a series of 9 to 10 Nos. of cylindrical roller of 50mm diameter

and 110mm width(approx). A few of these roller together can also be pressed by smooth and near

zero friction type pneumatic cylinders precisely upon the lined sheet. The above procedure is

iterative and has to be finalized during trials. Party has to come up with workable proposal of lining

by rollers considering precise requirement of realizing defect free insulation lining of the object.

(ix)To impart the desired speed to the rubber sheet conveying roller, conveyers, feeding rollers,

Bobbin, Coating mechanism, etc are to be driven by individual servo motors and drives. Pressure

setting and maintaining for each and every pneumatic cylinder shall be effected through servo

pressure valve, Pressure transmitter and PLC. Cylinders from the "Airpel corporations" can be a

probable cylinder chosen for least friction type, however responsibility of selecting required cylinder

is in the scope of party. Cylinders of Other brand and make can also be used after prior permission

from department.

(x) Release cloth separation mechanism is to be incorporated to remove the release cloth from

the sheet-cloth composite at appropriate time before Roller pressing.

(xi) An axial rolling of the lined surface by incorporating a roller which reciprocate on the surface

along the longitudinal line may also be considered if needed.(Figure 7)

(xii)After completion of lining of a circumferential band, the carriage unit is repositioned along the

length of the boom and a new band is lined with an overlap of the approx 5mm to 20 mm.(Fig 7)

Rerolling

(xiii) Entrapped air below the lined sheet, if any shall be pierced out manually and then

Pressed & Re-rolled on the pierced location by using secondary roller. Hence secondary

rolling shall be enabled to operate independently even when the primary roll pressing

and sheet feeding is not in operation.

(xiv) Any one or few of the Secondary roller shall also be able to perform the rolling

independently to carryout rolling at the selected zones.

(xv) Positioning of the secondary roller at any spot is to be done in automatic mode through

SCADA & PLC, etc.

(xvi) After completion of trimming (described in following clause), joint surface shall be

rerolled to achieve a defect free joint by selecting the suitable secondary roller. Selection

of secondary rollers, rolling operation shall be automated through SCADA &PLC, etc.

.

(VI) Trimming setup:

(i) Extra projected unlined sheet as well as extra lined thickness at interface of the two

bands are to be trimmed by suitable trimming/skiving mechanism.

(ii) Similarly, Extra projected unlined sheet as well as extra lined thickness at interface

of the same band(axial overlap) is to be trimmed.

(iii) The trimmed joint surface shall be rerolled to achieve a defect free joint.

Trimming setup shall be operated by Automated control through PLC &SCADA, etc.

Precise positioning of trimming roller, etc. with respect to the trimming location is to be

established by plc, encoder, etc.

(VII)PLC & SCADA system along with a software with single license:

The PLC and SCADA systems are meant for controlling the sub systems mentioned in the above from I to VI. The main screen in SCADA shall consists of overall layout of Automatic Rubber lining machine and the important process parameters are to be displayed in the respective locations. The SCADA system shall consists of sub screens for

(i) Roller Stand (SWL 30 T)

(ii) Bobbin Making setup

(iii) BOOM, Guide ways, Rail and Drive

(iv) Carriage Unit

(v) Rubber Lining Setup

(vi) Trimming setup

The total process sequence is to be animated in the respective screensincluding the

unwinding of Rubber sheet from roll, separation of Cora cloth and the trimming

process.

The movement of sub systems like Roller stand, Bobbin setup. Boom, carriage unit

etc are precisely controlled through PLC with the help of absolute encoders and

VVFDs.

The supplier shall prepare the configuration diagrams for each sub system and sent

for department approval for further process. Report generation , Trending the

movement patterns , diagnostic features , Input output simulation etc shall be

provided in the SCADA system.

The supplier shall supply the programming unit along with the necessary softwares

for development of application program, SCADA etc

(VIII) A test Piece/ article (similar to Rocket hardware as given in figure 1 & 2) of size 3.2 m Diameter and 3 to 4 m length shall be fabricated to carry out performance test for demonstration of working of Rubber Lining rubber lining machine. This test article shall have suitable provisions to facilitateits positioning on the roller stand and rotate at desired speed. It shall be designed to maintain its geometry under operating condition.Configuring,Sizing, design, Procurement of Material and Fabrication of this test piece is in the scope of the supplier.

Performance Test with a Test Piece: Acceptance of the "Automated Rubber lining Machine system" will be based on the successful demonstration of Automated Rubber Lining at Party's site as well as at SDSC SHAR.

Note: 1. Roller stand shall be provided as free issue to party's site on request from party.

Transportation to supplier's site shall be in department scope. Un-Loading of Roller Stand

from Trailer shall be in Party's scope. Party has to submit bank guarantee of the value of

roller stand.(Approximately Rupees Twenty five Lakhs)

2. Roller Stand shall be Transported to SDSC SHAR by party, after completion of

fabrication and testing of the "Rubber Lining Machine" at party's site. All the responsibility

and cost toward Loading of roller stand on trailer with suitable packing and Transportation to

SDSC SHAR shall be in Party's scope. All the transit insurance, etc shall be borne by the

party

3. After approval of Configuration, Design and fabrication drawings or thereafter during the course of Development or Fabrication or Testing or Commissioning or Trials at SDSC SHAR, if it is noticed that certain modification in the "Development of Rubber Lining Machine" is required to be carried out in-order to obtain the desired performance of the said machine, party shall be responsible to carried out such modifications.

4. Rubber shall be supplied in the sheet form, having sheet width 1000mmapprox, and

variable width (sheet side edges are not straight). Thus the Rubber sheet,to be lined, is

needed to be trimmed at the sides to acquire the straight side edges and to be loaded on to

an intermediate arrangement or Bobbin, spool, etc for laying. This rubber is unvulcanized

rubber and cannot take any load and get deformed on application of even minor load.

Thinning of such rubber is not acceptable and hence to be avoided. The system shall take

care of the same.

3. WORKS UNDER PURCHASER’S SCOPE

The purchaser shall provide the following facilities/material free of cost to the contractor for lining

operations at Vendor's site.

3.1 Roller stand (with provision of interface with the PLC and Drive by profibus cable) shall be

provided as free issue to party's site on request from party. Transportation to supplier's site shall

be in department scope. Un-Loading of Roller Stand from Trailer shall be in Party's scope.Party

has to submit bank guarantee of the value of roller stand.

3.2 Rocasin Rubber for trials shall be provided as free issue on Non returnable basis to Supplier's

site

At SDSC SHAR

3.3 Roller stand( with provision of interface with the PLC and Drive by profibus cable) at SDSC

3.4 Rocasin Rubber and Chemicals like TCE, EDC, Toluene, etc shall be provided at SDSC SHAR

for carrying out trials.

3.5 Compressed air delivery to the machine.

3.7 EOT crane for items handling, however belts, slings, Dee Shackles, etc shall be arranged by

party

4. VENDOR's RESPONSIBILITIES

(i) Generation of the Configuration and Submission of Preliminary design Report about design and functioning of Rubber Lining Machine for Department Review.

(ii) Generation of the Final Configuration, Detailed Design, Detailed Engineering and Submission of final design drawings and reports about functioning of Rubber Lining Machine for Department Review.

(iii) Fabrication and Assemble of components/subsystem at vendor site.

(iv) Demonstration of functioning of individual components/subsystem at Vendor site.

(v) Demonstration of functioning of Complete " Rubber Lining Machine" at Vendor site.

(vi) Interfacing of "Roller Stand" with the "Rubber Lining Machine"

(vii)Erection &Commissioning of "Rubber Lining Machine" at SDSC SHAR.

(Viii) Demonstration trials, parameter and setting finalization and Acceptance of "Rubber Lining Machine" (along with roller stand)at SDSC SHAR.

(iX) Solvents such as Trichloroethylene, Toluene, Ethylene dichloride, etc for preparing rubber

solution for trials purpose at party's site. (Rubber solution is made by desolving 1 Kg of rubber

in 2 Kg of Toluene and 2 Kg of Ethylene dichloride)

(X) Supply of sufficient quantity of consumables and spares to operate "Automated Rubber

Lining Machine" in 2 shifts of operations for One year from the date of acceptance.

5. SCOPE OF INSPECTION ,TESTING AND ACCEPTANCE 5.1 Factory Acceptance Tests (FAT)

General: On the basis of guidelines specified in this specification VENDOR shall submit their own testing, installation, commissioning and acceptance procedure. The procedure shall include purpose of test, test definition, results expected and acceptance criteria. All the procedures have to be reviewed and approved by Department.

a) Party shall produce the material test certificates for all the raw materials used in

fabrication. Certificates shall be from government approved test house only during various stages of fabrications.

b) Party shall carryout DP, UT and Radiography test where ever applicable to qualify the fabricated components of the machine applicable as per the standards and produce the certificates.

c) Raw Material Inspection shall be carried out at the Vendor’s works for compliance of the raw materials to the specified standards.

d) Bought out components shall be inspected either at Vendor’s works or at the Supplier’s premises for compliance with the Specifications.

e) Fabricated components shall be inspected at the Vendor’s works for compliance with the component drawings. Sub-Assemblies shall be inspected at the Vendor’s works for compliance with the Sub-Assembly drawings and for performance requirements.

f) Full Assembly of the Automated Rubber Lining Machine shall be inspected at the Vendor’s works after Shop assembly and at Purchaser’s premises after site assembly for compliance with the Assembly Drawings, performance requirements and design criteria.

g) Performance of the individual sub systems and complete system of Automated Rubber Lining machine shall be demonstrated.

h) Vendor shall demonstrate functional integrity of the various I&C items covered in this specification. No material or equipment shall be transported until all required tests are completed & the system is ready for shipment by Purchaser.

i) Purchaser reserves the right to involve and satisfy himself at each and every stage of testing. They shall be free to request specific tests on equipment considered necessary by them, although not listed in this specification. The cost of performing all tests shall be borne by the Vendor.

j) Vendor to note that acceptance of any equipment or the exemption of inspection testing shall in no way absolve the Vendor of the responsibility for delivering the equipment meeting all the specified requirements.

k) It shall be Vendor's responsibility to modify and/or replace any item if the specified functions are not completely achieved satisfactorily during FAT.

l) Vendor shall submit QAPs for all fields & panel mounted instruments, panels and all other items covered in the specification to Purchaser/ Consultant for approval. The FAT for the items shall be performed in accordance with the approved QAPs.

m) Testing and FAT for the Control Panel shall in general include the following minimum tests and reports shall be forwarded to the Purchaser:

i. Quality control test which shall be carried out to assure quality of all components. ii. Visual check of all instruments, IS isolator/multiplier, etc. mounted in the panels. iii. High voltage test as per relevant IS standard iv. Megger test v. Functional testing. This shall include the simulation of each item in the Control

Panel supplied & wired by the Vendor and achieving the functional requirements as called for in the specifications. Checking of logic in the Control Panels shall be carried out.

(n) After the Vendor has performed the tests satisfactorily, the Vendor shall perform tests on the Control Panel to be witnessed by Purchaser as per approved QAP. Vendor shall notify the Purchaser at least one week prior to Factory Acceptance Test.

(o) All test certificates for testing instruments shall have calibration certificates from approved

test house, valid for minimum 6 months.

5.2 Site(SHAR)Acceptance Tests (SAT)

(a) At site, Vendor shall perform tests on individual equipment at the end of mechanical erection completion in the facility. Testing and evaluation of individual components and complete Automatic Rubber Lining Machine shall be carried out by the Vendor to meet the functional requirements of each individual equipment and systems. (b) Insulation Lining Trials shall be carried out on the Test load(fabricated under the scope of this tender) (c) Insulation Lining Trials shall be carried out on the dummy Object-2 provided by department.

(d) Full integrated Site Acceptance Test shall be performed before hand over of total system

to the PURCHASER. The test shall demonstrate functionality of the entire I&C system supplied & erected by the Vendor. The Vendor shall provide all personnel, test facilities, equipment and tools etc. for the same. All test instruments shall have calibration certificates from approved test house, valid for minimum 6 months. A test procedure is required for approval 2 weeks prior to the schedule start.

(e) Tests on cables

i. Check details are in accordance with the specification. ii. Check for physical damage. iii. Megger test between each core and armour/sheath. iv. Continuity check including screen continuity v. Terminations in the instrument, Control Panel etc. supplied & erected by the Vendor.

(f) It shall be ensured that erection Control Panel shall be as per approved layout drawings.

Checking for tagging/identifications of Control Panel shall be done. Checks for continuity and termination of all power signal & control cables as per approved drawings shall be carried out. Control Panel supplied & erected by the Vendor shall be checked at site by carrying out the following tests:

i. Visual & Mechanical testing. ii. Checking of incoming power supply to the Control Panels. iii. Switching on the incoming supply to Control Panels.

(g) Tests on electrical installation

i. Checking of closing, tripping, supervision and interlocking of control devices. ii. Checking operation of all alarm circuits.

(h) Test on complete control system.

i. On completion, the functioning of the complete control system shall be tested to

demonstrate its correct operation in accordance with the Specification. ii. For control system testing, the Vendor may provide temporary means to simulate

operating conditions, but the system will not be finally accepted until correct operation has been demonstrated to the satisfaction of the Purchaser when the complete Plant is operating.

5.3 Instrument Calibration. (a) The services of factory trained instrumentation technicians, tools and equipment for field

calibration of each instrument to its specified accuracy in accordance with the manufacturer’s specifications and instructions for calibration shall be provided.

(b) Each instrument shall be calibrated at 0 %, 25 %, 50 % and 100 % of span using test

instruments to simulate inputs and read outputs that are rated to an accuracy of at least 4 times greater than the specified accuracy of the instrument being calibrated.

(c) Such test instruments shall have accuracies traceable to the National Bureau of

Standards as applicable. (d) A written report on each instrument in the format required by the Purchaser shall be

provided to the Purchaser certifying that it has been calibrated to its published specified accuracy. This report shall include a listing of the published specified accuracy and permissible tolerance at each point of calibration. The report shall be certified by the Engineer. 5.4 System Validation

(a) The services of factory trained and field experienced instrumentation engineer(s) shall be

provided to validate each system and verify that it is operational and performing its intended functions as per specifications.

(b) Each system shall be validated by simulating inputs at the first element in loop (i.e. sensor) of 0 %,25 % ,50 % ,75 % and 100 % of span, or on/off and verifying loop output devices (i.e. indicator, alarm etc.).

(c) During system validation, provisional settings shall be made on position, levels, pressure,

temperature, alarms etc. (d) Correct operation of controllers shall be verified by observing that the final control element

moves in the proper direction to correct the process variable as compared to the set point. (e) All logic sequences shall be verified to operate in accordance with the specifications. (f) All defects and malfunctions disclosed by tests shall be corrected immediately. New parts

and materials shall be used as required and approved and tests shall be repeated.

(g) A report certifying completion of validation of each instrument system indicating the errors observed during the validation and any provisional settings made to devices shall be provided. The report shall be made in the format required by the Purchaser and shall be certified by the Purchaser when he approves it.

5.5 Final Operational Testing and Acceptance.

(a) Upon completion of instrument calibration and system validation, all systems shall be

tested under process conditions. (b) The testing shall include, but not limited to all specified operational modes, taking process

variables to their limits (simulated or process) to verify all alarms, failures, interlocks and operational interlocks between systems and/or mechanical equipment.

(c) Any defects or malfunctions shall be immediately corrected using approved methods and

materials and the tests shall then be repeated.

(d) Upon completion of final operational testing, a report shall be submitted, indicating that the total control system provided meets all the functional requirements specified herein. This report shall be made in the format required by the Purchaser. The Purchaser shall certify this report when he approves it and it shall constitute final acceptance of the control system

6. Erection, Commissioning, Trials, Final Acceptance and Training at SHAR.

(a) Erection of all the above subsystems at “Hardware Preparation Facility” at SPP, SDSC

SHAR is to be executed by supplier using his own resources and man-power. (b) Automated Rubber Lining Machine shall be commissioned by supplier’s engineers at

SHAR. Commissioning Procedure shall be carried out in a methodical sequence as follows i. Start-up, ii. Initial running, iii. Operability adjustment, iv. Stable operation v. Final adjustment

(c) After the entire installation work has been completed, the party shall make all required adjustments until all guaranteed performance requirements are met. All instruments, services required for the above tests shall be furnished by the Vendor. The test reports shall be handed over for Purchaser’s approval before handing over the plant. (d) If the stipulated performance requirements are not fulfilled, the party shall make good the deficiency by providing it in every case, by altering and/ or replacing the parts or the whole equipment / system free of charge to the PURCHASER immediately. All rejected equipment shall be removed from the site at Vendor’s expense.

(e) The Party shall conduct operation trials which include Rubber lining ofTest Load as

well as Rubber lining on dummyObject 2. The Vendor shall carry out all such operation trials as advised by the DEPARTMENT to ensure that design specifications are met and all equipment / system performs satisfactorily to meet guaranteed performance. Dummy Object 2 shall be provided by the SHAR

(f) SDSC SHAR shall carry out process trials using actual hardwares. Vendor shall

depute his supervisors during such process trials to assist the DEPARTMENT to ensure that design specifications are met and all equipment / system performs satisfactorily to meet the guaranteed performance. Duration of process trial could be maximum 3 months from the date of completion of satisfactory operation trial runs.

(g) Supplier shall depute their Technical team to provide Training to the Purchaser’s

personnel. 7. Apart from the Scope of Supplier, the following are included in the supply

(a) Painting of the all the Sub-systems of "Automated Rubber Lining machine"as per standards.

(b) One lot of base plates, foundation bolts, nuts and washers etc. required for each equipment

(c) Counter flanges with bolts, nuts, washers and gaskets for all equipment at all terminal points of piping/equipment covered under Vendor’s scope of supply.

(d) One lot of auxiliary steel & supporting steel for supporting the equipment including

painting. (e) Grouting of equipment, Temporary piping, fittings, flanges, strainers, supports etc.

required for testing, cleaning etc. should be provided at no extra cost. (f) First fill of all lubricants and consumables (g) One set of commissioning and start – up spares. (h) One set of minimum required spares may be needed during commissioning. (i) One set of maintenance tools may be needed during commissioning.

(j) Necessary consumables and spares needed for running Automated Rubber lining Machine for 1 year in 2 shift of operation.

Guarantee from nationalized/scheduled bank or by Demand Draft valid till warranty period plus sixty days as claim period.

completion of the contract period plus sixty days towards claim period for faithful execution of the contract. 12.BANK GUARANTEE FOR FIM: Supplier has to submit Bank guarantee for equal value of Free Issue of Materials (FIM) issued by the Department from Nationalised / Scheduled Bank valid till receipt and acceptance of supply and satisfactory accounting of FIM plus sixty days as claim period.

13.The delivery period mentioned in the tender enquiry, IF ANY, is with the stipulation that no credit will be given for earlier deliveries and offers with delivery beyond the period will be treated as unresponsive. 14.The Department will have the option to consider more than one source of supply and final orders will be given accordingly.

15.The bidders should note that conditional discounts would not have edge in the evaluation process of tenders. 16.Non-acceptance of any conditions wherever called for related to Guarantee/ Warranty, Performance Bank Guarantee, Security Deposit, Liquidated damages are liable for disqualification. 17.Wherever installation/ commissioning involved, the guarantee/warrantee period shall reckon only from the date of installation and

commissioning. 18.Purchase/Price Preference will be extended to the MSMEs under the Public Procurement Policy for MSMEs formulated under the Micro, Small and Medium Enterprises Development Act, 2006 and instructions issued by Government of India from time to time. Vendors who would like to avail the benefit of MSME should clearly mention the same and submit all the documentary evidences to substantiate their claim along with tender itself.

19.The drawings, specifications, end use etc., given by the Centre/Unit along with the tender enquiry are confidential and shall not be disclosed to any third party. 20.SPECIAL CONDITIONS FOR SUBMITTING QUOTATIONS IN FOREIGN CURRENCY BY THE INDIAN AGENTS

The Tenderer should submit the following documents/information while quoting:- a)Foreign Principal's proforma invoice/quote indicating the commission payable to the Indian Agent and nature of after sales service to be rendered by the Indian Agent. b)Copy of Agency agreement with the Foreign Principal and the Indian Agent, precise relationship between them and their mutual

interest in the business. c)Registration and item empanelment of the Indian Agent. d)Agency Commission will be paid only Indian Currency.

e)Compliance of the tax laws by the Indian Agent. 21. High Sea Sales- Against High Sea Sale transactions: a.Offers shall be on all inclusive basis including delivery upto Sriharikota at the risk and cost of the supplier. Customs Clearance is the responsibility of the supplier and at his cost and risk.

b.100% payment will be made within 30 days after receipt and acceptance of the items at our site. c. GST as applicable d.Customs Duty Exemption Certificate and other relevant documents required for Customs clearance will be provided.

e.High Sea Sales Agreement furnished by the supplier in accordance with the terms and conditions of our purchase order will be signed and issued by SDSC-SHAR. 22.The following information/ documents are to be submitted wherever applicable.

4.GST Registration details. 5.In case of MSME, registration details / documents from Competent Authority. 23.EXCLUSION OF TENDERS

The following tenders shall be summarily rejected from the procurement process a.Tenders received from vendors who have not qualified in terms of their registration. b.Tenders received against publishing of a limited tender in the CPP portal.

c.Tenders of vendors who have been removed from the vendor list or banned/debarred from having business dealings. d.Unsolicited tenders from vendors. e.The tenders which materially depart from the requirements specified in the tender document or which contain false information.

f.The tenders which are not accompanied by the prescribed Earnest Money Deposit. g.The tenders of vendors who have not agreed to furnish Security Deposit, Performance Bank Guarantee and Liquidated Damages. h.The validity of the tenders is shorter than the period specified in the tender enquiry.

i.The tenders received from vendors or their agents or anyone acting on their behalf, who have promised or given to any official of the Centre/Unit/Department, a gratification in any form, or anything of value, so as to unduly influence the procurement process. j.The tenders received from vendors, who, in the opinion of the Centre/Unit, have a conflict of interest materially affecting fair competition.

k.The tenders received from Indian agents on behalf of their foreign Principals/OEMs (in cases where the Principals/OEMs also submit their tenders simultaneously for the same item/product in the same tender).

l.In case two or more tenders are received from an Indian agent on behalf of more than one foreign Principal/OEM, in the same tender for the same item/product. m.If a firm quotes ‘NIL’ charges / consideration, the bid shall be treated as un-responsive and will not be considered.
