A Presentation on Corporate Social Responsibility (CSR)

Policy of UJVNL

Every company having-

(i) net worth of rupees five hundred crore or more, or;(ii) turnover of rupees one thousand crore or more or;(iii) a net profit of rupees five crore or more during

immediately preceding financial year

shall constitute a Corporate Social ResponsibilityCommittee of the Board consisting of 3 or moredirectors, out of which at least 1 director shall be anindependent director.

UJVNL falls within the ambit of Corporate Social Responsibility (CSR)

� The Board of every company shall ensure that thecompany spends, in every financial year, at least 2%of the average net profits of the company made duringthe three immediately preceding financial years, inpursuance of its Corporate Social ResponsibilityPolicy.

� Any fund that is left unutilized in any financial year,shall be carried forward to the next year as per theprovisions of The Companies Act, 2013.

� For the purposes of this section “average net profit”shall be calculated in accordance with the provisionsof section 198 of The Companies Act, 2013.

� ‘Net Profit’ mean net profit before tax as per booksof the accounts calculated as per provisions ofSection 198 of the Act.

� 2% of C.S.R. spending is calculated as 2% of theaverage net profit made by the UJVNLin a block of3 years.

� For purpose of first CSR reporting of UJVNL, thenet profit mean average of annual net profit of thepreceding three financial years ending on or before31stMarch, 2014.

� CSR Committee is a Sub-Committee of the Board and is constitutedby Board of Directors having minimum three members of the Boardout of which one must be independent director.

� In Pursuant to The Companies Act, 2013, Managing director, UJVNLwill be a permanent member of CSR Committee and the CompanySecretary, UJVNL is the Secretary of the CSR Committee.

� At present the CSR Committee of UJVNL consists of following 4members:-

The "Corporate Social Responsibility Rules, 2013 ofUJVN Limited was approved by the Board ofDirectors in their 75th meeting held on 27.06.2015and was implemented in UJVNLfrom financial year2014-15.

� All items that are enumerated in Schedule VII of The Companies Act,2013 and as amended till date can be undertaken by UJVNL undertheCSR Policy and shall formessential part of this policy.

� Out of the aforesaid list, the company prepares a list of CSRProjects/programmes which the company plans to undertake duringthe implementation year by specifying modalities of execution in theareas/sector chosen and implementation schedule for the same. Thefocus shall be to integrate the business models with social andenvironmental priorities and processes in order to create shared value.

� After the approval of statutory limit of 2% by the CSR Committ ee, itis within the full powers of Managing Director to spend such amounton such schemes and in such areas as have been specified by CSRCommittee.

The following items can be undertaken under CSR Policy of UJVNL :-

(i) eradicating hunger, poverty and malnutrition, promoting preventive health care andsanitation and making available safe drinking water;

(ii) promoting education, including special education and employment, enhancing vocationskills especially among children, women, elderly and the differently abled and livelihoodenhancement projects;

(iii) promoting gender equality, empowering women, setting up homes and hostels forwomen and orphans; setting up old age homes, day care centresand such other facilitiesfor senior citizens and measures for reducing inequalitiesfaced by socially andeconomically backward groups;

(iv) ensuring environmental sustainability, ecological balance, protection of flora and fauna,animal welfare, agroforestry, conservation of natural resources and maintaining qualityof soil, air and water;

(v) protection of national heritage, art and culture including restoration of buildings andsites of historical importance and works of art; setting up public libraries; promotionand development of traditional arts and handicrafts;

(vi) measures for the benefit of armed force veterans, war widows and their dependents;

(vii) training to promote rural sports, nationally recogni sed sports, paralympic sports andOlympic sports;

(viii) contribution to the Prime Minister’s National Relie f Fund or any other fund set up bythe Central Government for socio-economic development andrelief and welfare of theScheduled Castes, the Scheduled Tribes, other backward classes, minorities and women;

(ix) contributions or funds provided to technology incubators located within academicinstitutions which are approved by the Central Government;

(x) rural development projects, Slum area development;

(xi) Contribution to the Swachh Bharat Kosh set up by the Central Government for thepromotion of sanitation;

(xii) Contribution to the Clean Ganga Fund set up by the Central Government forrejuvenation of river Ganga.
