The annual TIBCO NOW global conference went virtual for the first time in September 2020. It attracted 4× the number of attendees typically brought by a physical event. TIBCO NOW 2021 (“Conference”) Rules and Guidelines

Participation as a Sponsor is on a first-come, first-serve basis. To provide the best exposure for sponsors, please read, sign, and email back the guidelines below along with your sponsorship agreement. The guidelines are intended to maximize the experience for all.

   01 Cancellation policy: If Sponsor cancels before Thursday, August 5, 2021, Sponsor will be refunded 50% of the contracted sponsorship fee. No refunds will be given for cancellations received after Thursday, August 5, 2021. All cancellations must be sent via email to [email protected].

   02 Payment Terms: Sponsorship fees are due within 30 days from Sponsor’s receipt of invoice or by Thursday, August 26, 2021, whichever occurs first. If Sponsor fails toprovide timely payment when due, TIBCO may decline or terminate Sponsor’s participation at the Conference.

   03 TIBCO must pre-approve all Sponsor content and materials for use at the Conference, including but not limited to any booth content or breakout session presentation materials. All such content and materials must be submitted to TIBCO in accordance with the deadlines provided by TIBCO; otherwise, approvals may be delayed or not provided. TIBCO is permitted to share the presentation material with attendees during and after the Conference.

   04 If Sponsor purchases a virtual booth, a standardized digital exhibit station and branding will be provided by TIBCO. No customized displays are allowed unless such option is noted in the sponsorship package. Sponsor is not allowed to alter its digital standardized booth.

   05 All Sponsors (including its virtual booth staff) must register for the Conference in order to gain access to the Conference. Sponsors can register by either using the complimentary Conference passes provided in their sponsorship package or purchasing additional Conference passes.

   06 All digital exhibit stations, sponsored networking opportunities and speaking sessions must be properly staffed as described in the sponsor packet provided prior to event. If Sponsor fails to staff as described in the Sponsor packet, TIBCO may deny Sponsor’s participation at future TIBCO events.

   07 Sponsor must act appropriately at all times when interacting with Conference attendees. If TIBCO, in its sole discretion, deems a Sponsor’s behavior to be inappropriate, TIBCO may remove Sponsor’s digital exhibit from the Conference without providing any refunds and the Sponsor may be denied participation in future TIBCO events.

   08 Sponsor may not host any events, meetings or other functions (“Sponsored Events”) during the Conference. If Sponsor hosts any Sponsored Events during the Conference, TIBCO has the right to terminate the Sponsor’s contract and any future sponsorship opportunities, without providing refunds.

   09 Sponsor shall indemnify, defend, and hold TIBCO, its vendors, the hosted platform, and the affiliates and subsidiaries of the foregoing (each, an “Indemnified Party”), harmless from and against any and all claims, losses, costs, liabilities, and expenses, including reasonable attorneys’ fees (“Claim”), resulting from Sponsor’s participation in the Conference, provided the (i) Sponsor receives prompt written notice of such Claim from the Indemnified Party; (ii) Sponsor has the right to control the defense of such Claim and any related settlement negotiations; and (iii) at Sponsor’s expense and request, Indemnified Party provides reasonable assistance, information, and authority necessary for Sponsor to perform its obligations.

   10 Sponsor grants to TIBCO a limited, non-exclusive, perpetual, worldwide license to use Sponsor’s name and logo (hereinafter collectively referred to as the “Sponsor Marks”) to identify Sponsor at the Conference and use the Sponsor Marks solely in connection with the activities authorized under this Agreement. The Sponsor Marks are and shall remain, at all times, the sole and exclusive property of the Sponsor. No rights or interest in the Sponsor Marks shall transfer to TIBCO beyond the terms and conditions of this limited license.

   11 Sponsor acknowledges and consents that TIBCO may, itself or have third parties on its behalf, take photos or make recordings, including but not limited to audio, video, and/or photographic recordings (“Images”) during the Conference. TIBCO may, at its sole discretion, edit, mix, and/or transfer in whole or in part, any such Images to productions (“Productions”) and broadcast, internally or externally, by any means including, without limitation, over the Internet or otherwise use the Productions, as a whole or in segments, for information, training, promotional, marketing, or any other business purpose of TIBCO. Sponsor grants to TIBCO a limited, non-exclusive right and license to incorporate the Sponsor Marks into such Productions.

   12 TIBCO reserves the right to cancel or postpone all or part of Conference at its sole discretion and for any reason, including but not limited to: any government restrictions, laws, ordinances, or regulations; pandemic, hurricanes, earthquakes, disasters, other adverse weather conditions, or acts of God; war, terrorism, strikes or other labor disputes; third party failures or other causes outside of a TIBCO’s control. TIBCO will provide Sponsor with written notice prior to cancellation and will provide Sponsor a full refund of sponsorship fees already paid to TIBCO. Should circumstances arise that result in the postponement of the Conference, Sponsor will have the option to either receive a full refund or transfer sponsorship to the same event at the new date.

   13 Sponsor acknowledges that, during the performance of this Agreement, it may learn or receive Confidential Information from TIBCO. For purposes of this Agreement, Confidential Information is any information of TIBCO’s, or its customers or licensees, that is designated as confidential or otherwise is of a confidential nature. Sponsor agrees to keep such confidential information confidential and not disclose it to any non-party to the Agreement. Sponsor shall not use the Confidential Information except for the benefit of TIBCO and in furtherance of the performance of this Agreement.

   14 This Agreement shall be governed by and construed in accordance with the laws of the State of California as if performed wholly within the state and without giving effect to the principles of conflict of law. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act are excluded from application hereto.
