COMMENTS

At its meeting of June 18, 2015, the Board of Recreation and Park Commissioners (Board) approved the proposed amendment to Contract No. 3417 between the Department of Recreation and Parks (Department) and URS Corporation (Contractor), which is due to expire February 16, 2016, to extend the length of the contract for as-needed environmental site assessment services by three years. The term of the original agreement was three years with a maximum compensation of $7,000,000 annually. The Department has expended $1.68 million on Contract No, 3417 to date. The amendment increases the term of the agreement by three years for a new total of six years. The maximum annua! compensation remains at $7,000,000. The Contractor is not guaranteed a contract minimum or maximum.

The Department has utilized as-needed specialized environmental consultants to provide expertise not available within the Department in order to meet the U.S. Environmental Protection Agency’s Standards and Practices for All Appropriate Inquiries (40 Code of Federal Regulation (CFR) Part 312) when it acquires property for park use. Funding for projects will be provided from various funding sources, including, but not limited to, Proposition K, Proposition 40 and Quimby.

In accordance with Charter Section 1022, the Board has determined that the work can be performed more economically or feasibly by independent contractors than by City employees. The Department has indicated that it does not have in its employment personnel with sufficient time or necessary expertise to complete the work.

In accordance with Los AngeJes Administrative Code Section 10.5(b)(2), Council approval of the proposed agreement is required because the term exceeds three years and the estimated annual payments by the City may exceed $141,949. To the best of our knowledge, the Contractor has complied with all standard provisions for City contracts.

RECOMMENDATION

That City Council approve and authorize the President and Secretary of the Board of Recreation and Park Commissioners to execute the proposed amendment to Contract No. 3417 with URS Corporation to provide as-needed environmental site assessment services at the Department's various park locations for a three-year term with a maximum allowable compensation of $7,000,000 annually, subject to the approval of the City Attorney.

FISCAL IMPACT STATEMENT

The proposed amendment will be funded on a project-by-project basis from various funding sources, subject to the availability of funds. There is no additional impact to the General Fund. This recommendation complies with the City’s Financial Policies in that one-time revenue will be used to fund one-time expenditures.

AND URS CORPORATION FOR AS-NEEDED ENVIRONMENTAL SITE ASSESSMENT SERVICES

This Amendment to the Agreement to Contract No. 3417 is made and entered into thisby and between the City of Los

Angeles, a municipal corporation, acting by and through its Board of Recreation and Park Commissioners (hereinafter referred to as CITY) and URS Corporation {hereinafter referred to as CONTRACTOR).

WITNESSETH

WHEREAS, Department of Recreation and Parks (DEPARTMENT) and CONTRACTOR have previously entered into CONTRACT No. 3417 which is due to expire on Feb ruary 19, 2016; and

WHEREAS, the DEPARTMENT has a continuing need forthe services of CONTRACTOR with respect to on-going projects; and

WHEREAS, the Board of Recreation and Park Commissioners (BOARD) as the contract awarding authority finds pursuant to Charter Section 371(c)(2) that competitive bidding is not practicable or advantageous as it is necessary for the DEPARTMENT to be able to call on contractors to perform this work as-needed and on a temporary and occasional, but frequent, basis without engaging in a new competitive process for each individual project to be performed; however, from among as-needed contractors each individual project is assigned on the basis of availability of an as-needed contractor to perform the work, the price to be charged and the unique expertise of the as-needed contractor; and

WHEREAS, the BOARD as the contract awarding authority finds pursuant to Charter Section 372 that obtaining competitive proposals or bids for each individual project for which work maybe performed pursuant to this agreement is not reasonably practicable or compatible with the DEPARTMENT’S interests of having available as-needed contractors who are assigned various projects on the basis of availability, price and expertise, and that it is therefore necessary to have several as-needed contractors for this type of service available when called upon by the DEPARTMENT to perform services; and

WHEREAS, the DEPARTMENT finds pursuant to Charter Section 1022 that it does not have, available in its employ, personnel with sufficient time or the necessary expertise to undertake these specialized professional tasks such as document control, project management, project scheduling, and financial management in a timely manner, and, it is therefore more feasible, economical and in the DEPARTMENT’S best interest, to secure these services by contract; and

WHEREAS, CONSULTANT is available and willing to perform the balance of the services required by DEPARTMENT with respect to the CONTRACT under the same terms, covenants and conditions as are contained in CONTRACT No. 3417-

NOW, THEREFORE, in consideration of the premises and of the terms, covenants and considerations set forth herein and in Contract No. 3417 the parties hereto covenant, agree and represent as follows:

SECTION 2 - TERiVi OF CONTRACT is hereby amended to read:2.

The term of this Agreement shall be for the period commencing upon execution of the same by the parties hereto and expiring not later than six (6) years after said execution (February 20, 2013); subject, to earlier termination by DEPARTMENT as hereafter provided in the Standard Provisions for City Contracts, PSC-10, TERMINATION.

3. All other terms and conditions of the CONTRACT shall remain unchanged.

Find that RAP does not have personnel available in its employ with sufficient time or the necessary expertise to undertake these specialized professional tasks in a timely manner, and pursuant to Charter Section 1022 it is more feasible, economical and in the Department’s best interest to secure these services by contract;

Direct the Board Secretary to transmit the proposed Amendmentto Contract No. 3417 to the Mayor in accordance with Executive Directive No. 3, and concurrently to the City' Attorney for review and approval as to form; and,

Upon receipt of necessary approvals, authorize the Board President and Secretary to execute the Amendment to the Agreement.

SUMMARY:

On February 20,2013, RAP entered into an environmental site assessment contract with URS for as- needed environmental site assessment services. The term was for three (3) years, expiring on February 19, 2016, for an amount not-to-exceed Seven Million Dollars ($7,000,000.00) annually. Hie amount for the services is outlined in the “Notice to Proceed” (NTP) for each individual project.

RAP staff and URS have been working on the site assessment and the design solutions for the clean­up of Chatsworth Park South. URS supported Department staff in the completion of the California Department of Toxic Substances Control (DTSC) approved Remedial Action Plan for the site and prepared the final plans foTthis rehabilitation project. To date, eighteen (18)NTPs have been issued for a total amount of One Million, Nine Hundred Twenty' Thousand, Eight Hundred Fifty' Four Dollars ($l-,980s854.00). One Million. Six Hundred Eighty-Five Thousand, Four Hundred

Seventeen Dollars ($1,685,417.00).The Chatsworth Park South - Rehabilitation Project is recommended for award for construction on June 18,2015. The construction project is scheduled to be completed in the Fall of 2016 and the site assessment and environmental close-out documentation will follow. This schedule will go beyond the current contract term with URS.

It is to the RAP’s advantage to maintain continuity and have the same environmental team through both the construction process and environmental close-out process. The Department does not have available personnel to support thi s proj ect in a timely manner through the construction and close-out process. This proposed Amendment to Contract No. 3417 will allo w URS to continue working on this project Therefore, staff recommends that the contract be amended to allow time for die completion of this project.

Ill’s proposed Amendment to Contract No. 3417 is recommended in compliance with all RAP and City procedures; policies and laws applicable to the award of contracts. Principals of the firm are not employees or officials of the City, are free to make recommendations or perform the sendees specified in the contract, and have no authority with respect to the City’s decisions relating to the project beyond fulfilling the provisions of the proposed Amendment to Contract No. 3417.

FISCAL IMPACT STATEMENT:

All compensation for services performed under this contract is funded by the project and therefore, there will be no fiscal impact to the RAP’s General Fund.
