How to Become a Sponsor We are very pleased you have expressed an interest in becoming a sponsor (“you” or “Sponsor”) at one or more summits of the 2020 Mastercard Global Risk Leadership Summit Series (each, a “Summit”). If you wish to become a sponsor, please complete and submit this Sponsorship Agreement to Mastercard. If you are accepted as a sponsor, Mastercard will return a fully executed copy of the Agreement, along with an invoice for the amount due. Upon acceptance by Mastercard, this document shall form a legally binding agreement between you and Mastercard regarding your sponsorship. This Agreement will not be deemed to constitute an endorsement by Mastercard of Sponsor’s products or services.

Please note: In the event that you do not wish to become a Sponsor and/or you are not accepted as a Sponsor, Mastercard reserves the right to deny you access to one or more Summits.

Assignment of Sponsor Booth Space Mastercard will assign booths at its discretion and reserves the right to assign or relocate exhibit areas or reconfigure the exhibition area at its sole discretion. Sponsor’s booth assignment shall be conditional until full payment of all amounts is made. The booth space assigned to Sponsor is for the use of the named Sponsor only. Booth assignments may not be changed by a Sponsor without prior approval from Mastercard. Badges All exhibitor badges issued by Mastercard for Sponsor and its attendees are for the sole use of such personnel identified in advance to Mastercard. Sharing of badges is not permitted.

Payment and Terms Mastercard will invoice Sponsor the applicable Summit fees. Fees are dependent on the sponsorship package requested by you and agreed upon by Mastercard. Payment is due within 30 days of receipt of the invoice from Mastercard, or if an invoice is sent less than 30 days from the date of the Summit due to Sponsor’s registration date, payment is due upon receipt.

Acceptable methods of payment are all major credit cards.

Additional Sponsor attendees must register for each summit and will be invoiced by Mastercard for the additional attendee fee. Make certain to select “Additional Exhibitor“ during the registration process.

Please note: Sponsor shall be responsible for any and all taxes required under law, as well as any and all wire transfer or other banking fees that may be charged by your financial institution or payment service provider.

Cancelation Policy In the unlikely event that Mastercard cancels one or more sessions, of or the entirety of the Summit, Mastercard will refund the applicable fees paid by Sponsor within 45 days of such cancelation and will not be held responsible for other costs or expenditures incurred by the Sponsor or any of its attendees or exhibitors.

Mastercard may terminate all or part of this Agreement for any reason or no reason by providing written notice to Sponsor. In such event, Mastercard will refund the applicable fees paid by Sponsor within 45 days of such termination and will not be held responsible for other costs or expenditures incurred by the Sponsor or any of its attendees or exhibitors. All cancelations by Sponsor are required to be made in writing to globalrisk@mastercard.com. Cancelations submitted 30 days prior to the first day of the applicable Summit will receive a 100 percent refund of the Sponsor fees paid for such Summit. Cancelations submitted less than 30 days of the applicable Summit are nonrefundable. If the original Sponsor registrant is unable to attend, Sponsor may send a replacement attendee from the same Sponsor. It is the responsibility of the original Sponsor registrant to notify Mastercard, in writing, three business days prior to the event confirming that they will not be able to attend and would like to send a replacement.

Force Majeure If the performance by either party of any non-monetary obligation under this Agreement is delayed or prevented in whole or in part by any cause not reasonably within its control (including without limitation Acts of God, unusually severe weather, interruption of transportation, war, civil disturbances, acts of terrorism whether actual or threatened, accidents, labor disputes, acts of any governmental body, failure or delay of third parties, or other causes similar to those enumerated), such party shall be excused, discharged and released of performance to the extent such performance is so limited or prevented without liability of any kind. Nothing herein contained shall be construed as requiring either party to accede to any demands of labor or labor unions, suppliers, or other entities which it considers unreasonable.

Insurance Sponsor, its vendors, and sub-contractors each agree to obtain and maintain appropriate commercial liability insurance for the Summit to cover equipment, staff and any damage or injuries that may occur involving Sponsor’s exhibits and property.

Security In no event will Mastercard be responsible for theft, loss, or damage to Sponsor’s products, exhibit space, property, or display. Sponsor agrees it is wholly responsible for protecting its property on the venue’s premises. Mastercard will provide security in the exhibit space when it is closed.

Liability Mastercard assumes no risk or liability in connection with your role as a Sponsor and the sole liability of Mastercard is the return of Sponsor’s fees in accordance with this Agreement.

Public Communications/Press Release Mastercard does not object to Sponsor’s issuance of press release or other public communication regarding its participation in the Global Risk Leadership Summit, provided that a draft of any such press release or other public communication is submitted to and approved by Mastercard in advance of use. Such approval is at Mastercard’s discretion. Mastercard does not have any obligation to approve or participate with Sponsor in any joint press events.

Data and Content Usage and Privacy Policy Mastercard may provide to Sponsor the contact information of other sponsors, general attendees, or speakers that attend the Summit, or speaker Summit materials. As between Mastercard and Sponsor, Sponsor agrees to keep such contact information and materials confidential, only use the contact information for the purpose of networking and marketing opportunities with such other Summit participants, and not disclose such contact information or materials to any third parties. Please refer to Mastercard’s Privacy Policy available on the Summit website, which forms a part of this Sponsorship Agreement.

Conduct As a Sponsor at a Mastercard event, you agree to conduct yourself in a professional manner and to comply with such reasonable requirements that are imposed by Mastercard in connection with the Summit.

Sponsor also agrees to the following:• Comply with the requirements for set up and break down, which are distributed

approximately three weeks to the applicable Summit in the Sponsor package. The booths will be manned during the breaks and sessions as outlined in the onsite details. Schedule of events is subject to change.

• Provide all requested documentation and files by the designated deadline set forth in the Sponsor package.

• Not to showcase or distribute materials that are of a competitive nature to Mastercard.

Important note: Please select the desired package and Summits where indicated below, sign and date this Agreement and return it to Mastercard. Sponsorship is not confirmed until Mastercard has countersigned this Agreement, confirmed package availability, and returned a fully executed agreement to you. Sponsorship opportunities are limited. Mastercard selects sponsors, and activities of sponsors, at its sole discretion.

Miscellaneous

The validity, interpretation and performance of this Agreement will be governed by and construed in accordance with the laws of the State of New York, without regard to such state’s conflict-of-laws or similar provisions that would mandate or permit application of the substantive law of any other jurisdiction. All disputes arising out of or relating to this Agreement will be subject to the jurisdiction and venue of the state and federal courts located in New York County, New York. The parties to this Agreement consent and submit to the jurisdiction of such courts for purpose of each such dispute.

This Agreement (including any attachment to this Agreement) may not be modified or amended except by an instrument in writing signed by duly authorized representatives of the parties to this Agreement. Accordingly, no course of conduct will constitute an amendment or modification of this Agreement (including any attachment to this Agreement).

Mastercard’s rights or remedies under this Agreement are cumulative to any other rights or remedies that may be granted to it by law. Mastercard retains all rights not expressly and exclusively conveyed in this Agreement.
