Chairman’s ReportDear Members,On behalf of the Board of Directors I proudly present the Annual Report of Club Toukley RSL for the 2018-2019 financial year. Once again the Club, through sound financial management and careful strategic planning has managed to attain a pleasing operational profit for the year, despite operating under tough economic conditions.One of the greatest strengths of the Club over recent years has been our stable, unified and committed Board of Directors and Management team. Your Board are focused on achieving our corporate objectives and are working to implement all the elements of our adopted strategic plan. The introduction of Triennial elections from this year will assist in ensuring this continues. The Triennial Rule is a rotating system whereby one third of the Board is up for election each year and these Directors are elected for three year terms. The Triennial Rule is recommended as best practice in the industry and offers a number of benefits including greater stability and continuity of the Board, greater ability to prepare and implement strategic plans and greater opportunity to pass on valuable knowledge between Directors. We are looking forward to our elections this year, sharing our existing knowledge and experience and also the opportunity presented from the expansion of the Board skill set, backgrounds and experience from welcoming new Director’s into our fold.Our General Manager, Trevor Haynes continues to lead from the front, surrounding himself with a strong, experienced and committed management team who are not only supportive of his management, but are also fully capable in their roles, allowing him to concentrate on the strategic direction and future planning of the Club. I thank Trevor for his efforts and dedication over the past twelve months. The Club Limited continues to enjoy an outstanding relationship with the Toukley RSL Sub Branch, led by President Bob Wilson and his committee. The Sub Branch have once again worked tirelessly throughout the year, not just supporting our veterans and their families but also enacting some major improvements to our Cenotaph area, which is looking amazing with new bronze statues and improved landscaping.ZIVA eats and pizza continues to go from strength to strength. Our Executive Chef Alex Patterson and new Head Chef Jake Silk were again named finalists in the

prestigious Chef’s Table competition, after taking out first place in both 2017 and 2018, competing against the best Club Chef’s in NSW. ZIVA was also the 2018 winner of the Restaurant and Caterers Awards for Excellence for the Best Restaurant in a Pub, Club or Tavern in Regional NSW, and we are looking forward to the 2019 awards ceremony, hoping to take out the award again in November.We are extremely proud of the efforts of Alex, Jake and the entire ZIVA team for the outstanding quality of food they continue to produce.As part of our adopted strategic plan, the Club has placed a renewed emphasis on engagement with and assistance to our local community. Part of our dedication to this pursuit is the recent adoption of the Club Toukley Care Crew, a group of dedicated staff volunteers who will be adopting charities and causes close to their heart, on both a local and wider level. I encourage members to also support these initiatives and get involved.In addition to this, your Club continues to contribute financially to our local community, with well over $200,000 being donated to various sporting, community and welfare groups through donations, sponsorship of local sporting clubs and Club Grants funding in 2019.We are honoured to have been nominated this year in the Clubs and Community Awards which recognizes the outstanding social contributions made by clubs in their local communities under the Health and Wellbeing category for our support of the “Club Toukley says NO to violence against women and children” campaign. Our members have been instrumental to this initiative with a large percentage of you contributing a voluntary $1 in addition to your membership fee which is donated to the Northern Women’s Health Centre at Wyong. The funds raised to date have assisted the Centre to employ an additional counsellor to help women in need. In closing, I would like to take this opportunity to thank my fellow Board members and the Management team for the great support they have afforded me throughout the year as Chairman. A special mention must go to long standing Board member William (Bill) Baldry who has decided to retire his role on the Board of Directors at our AGM, I thank you for your valuable contributions and devotion to the role over the past thirty years. Your experience on the Board has been invaluable, and on a personal level I thank you for your advice and friendship.And finally, to all our members, thank you for your continued support to our wonderful Club and I look forward to seeing you soon.Ken Piper - Chairman of Directors

General Manager’s ReportIt is a difficult task to operate any successful business, particularly a Club that is so entwined in the social fabric of the community, without the support and dedication of its staff and members. We hear time and time again that it is our staff that provide the experience which causes our members to keep returning. In all that we do, our Corporate Vision, “To deliver outstanding service and contemporary facilities in a sustainable and safe venue that is recognised in the community as relevant and socially responsible”, is what drives the Club to be outstanding and punching above our weight.Members know they can receive similar products from other businesses. You have choices. Though, be it our exclusive discount offering which is embedded into our membership card providing deals with up to two hundred local businesses, our award winning ZIVA eats and pizza restaurant or our active Sub Branch, who continue to make improvements to the Cenotaph, members have come to know and expect a unique experience when they visit our Club. It is the shared values of Club Toukley RSL staff and its Members that enables us to stand alone in delivering great experiences and products.We have an exciting new entertainment offering on the horizon for our members as we strive to deliver a greater experience even when you are not at the Club. The world of entertainment and social gaming is now increasingly digital, so to provide members with the most up-to-date products, your Board has invested in an online social media entertainment and games platform called Clubs4Fun. This investment has been made in association with other selected state wide Clubs. Clubs4Fun will be branded ‘Play City’ and members will have access to a wide variety of exciting options including crosswords, fun games and trivia along with the more traditional games associated with the Club.In order to have access to the free Play City App and play these games, you must be a financial member of Club Toukley RSL. Members will be able to earn loyalty points that can be redeemed at the Club in the normal way, so we encourage you to get involved to experience the digital world of entertainment and access even more rewards

Importantly, I need to ensure members that this product is not a form of gambling. You cannot win or lose money, but you are guaranteed to have lots of fun. It is my honour to present to you my 2019 Annual Report of Club Toukley RSL. As in recent times, unless you have notified us otherwise, members receive the Annual Report in electronic format thereby, allowing the Club to take advantage of available technology and reduce our environmental footprint with unnecessary printing. In future years, if you would prefer a traditional hard copy report, you are invited to contact the Club’s Welcome Desk staff and have your records updated.At the Special General Meeting held in February, members passed an important milestone in the Clubs history when you adopted a resolution to convert the Club’s property assets from core to non-core assets. The purpose of the resolution was to allow the Board to explore development opportunities which allows us to remain relevant to our members and future generations as well as to create a profitable business model should traditional Club revenues diminish over time.Whilst I now report on our financial results for 2019, it is more evident of the need for the Club industry to diversify into other revenue streams to protect the losses of traditional revenues such as gaming.The Club attained a strong financial result for the period under review, but there is no denying that the reduction in reported revenue compared to last year’s profit is directly caused by a decline in poker machine revenue. This has had a significant impact on the reported financial KPI’s.This is not at all doom and gloom, the Club has a social conscience and realises our responsibility to lessen reliance on poker machines, and is therefore working toward a target of poker machine revenue contribution being no greater than 50%. In addition to this, despite a reduction in profit, the Club still managed to increase its net cash flow and reduce a significant amount of debt.

Broad Financial Review:Below is a summary of the financial performance.

Our membership numbers continue to stay strong as members enjoy the great benefits and value options associated with being a part of Club Toukley RSL.RSL Sub Branch:The Sub Branch continues to make improvements to the Cenotaph, which proudly sits in quiet memory of the sacrifices of so many before us. The latest upgrade has been to fortify the site by replacing the decaying sandstone with granite and a permanent fixture of an eternal flame. The Cenotaph is more than a reminder,

and a place to commemorate it is a landmark in Toukley, something for the population to be proud of, and place for refection on the past. It is also the final resting place of currently some 411 veterans ashes interred at this most sacred site.ZIVA eats and pizza:ZIVA continues to break records and grow in reputation and popularity, becoming a dining destination for residents across the northern end of the Central Coast. Our new Head Chef Jake Silk now supports Executive Chef Alex Patterson in leading and mentoring the team. Jake also plays an integral role in the development of new menus released three times a year and competed as a finalist alongside Executive Chef Alex in this year’s ClubsNSW Chef’s Table Competition, defending our Gold Award wins of the previous two years. In late 2018 ZIVA was awarded “Best Regional Restaurant in a Pub, Club or Tavern” in the Restaurant and Caterers Awards for Excellence and has been nominated as a finalist again in 2019. This is another testament of the commitment of our staff. Great work team.Community:Once again our Club exceeded statutory requirements in regards to community support. There are so many community projects, charities, sporting clubs and schools that are benefited by Club Toukley, that there are too many to list here. The organisers of such groups know who they are. We maintain our effort of making an effective and measureable difference in our community, with our resistance against domestic and family violence. The Club has adopted its support of the White Ribbon movement, standing up for and speaking out against men’s violence against women. In addition to playing our role in education and awareness about domestic violence in our community, we are providing financial support of the Northern Women’s Community Centre at Wyong. Some of the assistance the centre provides domestic violence victims includes counselling services, legal advice, parenting courses and self-esteem groups. A large proportion of our members have voluntarily donated an additional $1.00 when renewing their membership to the Club to assist this worthy cause. In addition to promoting White Ribbon and supporting the Northern Women’s Health Centre in Wyong, the Club is investing in opportunities where staff can make a

difference by getting involved in other worthy causes on a voluntary basis. Concept Master Plan:At our 2018 Annual General Meeting and subsequent Special General Meeting members were introduced to a Concept Master Plan for the Club. The Concept Master Plan investigated the possibility of developing a retirement village on a portion of the land under a joint venture arrangement of a long term lease. The Club is currently further developing this concept and studying the potential value of such a development. Members will be updated as the plan progresses.Close:To our leaders, Chairman Ken Piper, Assistant General Manager Debbie Condon, Executive Chef Alex Patterson and Sub Branch President Bob Wilson, thank you for your support and leadership of the team.As General Manager, I have been lucky enough to enjoy the support of a stable, unified and committed Board. This of course has been critical to the Club’s success. Congratulations to the committees of each of our Sub Clubs who have conducted their events in the spirit of competition and mateship.To those members, staff and friends who have lost a loved one throughout the year, you hold our deepest sympathy.See you in the Club,

Resolutions for 2019 Annual General Meeting: Director’s Benefits for 2019-2020o First Ordinary Resolution: That the members hereby

approve the provision of an honorarium to the Chairman not exceeding $13,000 (inclusive of 9.5% superannuation guarantee levy - if applicable) until the next Annual General Meeting

o Second Ordinary Resolution: That the members hereby approve the provision of honorariums to the Senior Deputy Chairman not exceeding $8,000 (inclusive of 9.5% superannuation guarantee levy - if applicable) and the Junior Deputy Chairman not exceeding $8,000 (inclusive of 9.5% superannuation guarantee levy - if applicable) until the next Annual General Meeting

o Third Ordinary Resolution: That the members hereby approve an honorarium to the other four (4) Directors not exceeding $6,000 (inclusive of 9.5% superannuation guarantee levy - if applicable) per Director until the next Annual General Meeting.

o Fourth Ordinary Resolution: That the members hereby approve the provision by the Club of the following benefits for each of the Directors of the Club until the next Annual General Meeting:

1. Club Uniform2. Dry-cleaning expenses of the Club uniform not

exceeding $1503. Reserved car parking spaces4. A meal not exceeding $40 for each Director when

attending Board meetings when that meeting coincides with a normal meal time

5. Refreshments immediately after a Board meeting not exceeding $15 per Director per meeting

6. The reasonable cost of a meal and refreshments for Directors attending a Directors End of Term Dinner not exceeding $120 per Director and for Directors attending a Christmas Dinner including receiving a Christmas Hamper not exceeding $100 per Director

o Fifth Ordinary Resolution: That the members hereby approve former Directors being allowed to wear their Club uniform in the Club after the expiration of their term in office

o Sixth Ordinary Resolution: That the members hereby approve and agree to the reasonable costs incurred by the Club until the next Annual General Meeting in relation to the following:

1. Professional development and education for Directors until the next Annual General Meeting and not exceeding $300 per Director

2. Directors and their spouses/partners attending industry activities and functions and other similar events as approved by the Board from time to time not exceeding $200 per person

3. The reasonable cost of a meal and refreshments for spouses/partners of Directors attending a Directors End of Term Dinner not exceeding $120 per Directors spouse/partner and for spouses/partners of Directors attending a Directors Christmas Dinner not exceeding $50 per Directors spouse/partner.

As Business Manager for the Department of Finance, I provided strategic advice to the Assistant Secretary, overseeing governance associated with delivering and implementing the whole of Australian government information technology and telecommunications. I also led the procurement, contract and financial management activities of our team. Our team received recognition for better practice and innovation by the Institute of Public Administration Australia and was recipient of two Secretary’s awards for collaboration, innovation and excellence in service delivery. At the National Gallery of Australia, I provided strategic advice to the Assistant Director. I oversaw the systems and processes used by the program for the delivery of products and services to clients. Working with the team, I led a change program designed to deliver efficiencies and increase capacity in the publishing department. This change program saw the merge of three business units and creation of the Imaging and Publishing Services department. As Head of Imaging and Publishing Services, I led the change that delivered the revitalization of the Gallery’s print and digital publishing program along with the amalgamation of three physically and technically diverse teams. As a result, the team was able to deliver the Gallery’s biggest publishing program since 2002. As Commercial Operations Manager at the Australian War Memorial, I provided strategic management and oversaw its retail and associated commercial activities. My achievements include negotiating commercial publishing arrangements for Memorial manuscripts; development of a merchandising program based on the Memorial’s National Collection; establishment of an ongoing business relationship with the Department of Veterans’ Affairs for supply of commemorative publications and delivered average growth in revenue and profit of 11% per year.
