beM-vindo A liSboAWe are thrilled to be in Lisbon for the 2018 IADC Annual Meeting and we look forward to sharing this beautiful, sun-kissed city with all of you. Lisbon is awash with water and light. The majestic Tagus River borders Lisbon on the south as it flows west into Lisbon’s wide and welcoming port on the mighty Atlantic Ocean. Although Lisbon is one of the oldest cities in the world, it pulses with life, mixing the old with the most modern. We know you will love it here and we invite you to explore the art, architecture, history, culture, geography, and lifestyle of beautiful Portugal.

Our General Convention Chairs, Donna Lamontagne and Tom Patriarca, the planning team, staff, and CLE Committees have created an action-packed Annual Meeting. The CLE Steering Committee, led by Steven Rosenhek, has planned sessions addressing trademark insurance lawsuits; artificial intelligence; mass tort litigation and talc; multi-party and multi-contract disputes; blockchain; cross-border insolvency; challenging the economic damages expert; and the “nice factor” in litigation. The IADC Committees will present important sessions of interest including: in-house legal department convergence; inclusive education – European style; opportunities created by litigation; coverage in opioid litigation; responding to environmental disasters; mass torts; data breach under GDPR; third-party financing; whistleblowers; and more.

We are very pleased to announce that José Manuel Barroso, President of the European Commission from 2004 to 2014 and Prime Minister of Portugal from 2002 to 2004, has agreed to be our Open Forum speaker on Sunday, July 8. IADC member and Open Forum Chair, Manuel P. Barrocas, will introduce Mr. Barroso and we thank Manuel for his help in planning our Lisbon meeting and in engaging Mr. Barroso.

Our theme party will be an Arraial. The pronunciation of this word might be something for some of us to practice. Arraials are traditional, local festivals celebrating Portuguese culture and history with food, music, and dancing. This party will take place at the botanic garden greenhouse, a short walk from our hotel, and it promises to be an amazing evening.

Our gala will be held on Wednesday, July 11 at the Pátio da Galé, black tie optional. This elegant venue sits on the Praça do Comércio, an iconic square in Lisbon. This square is known locally as Terreiro do Paço, since it is where the paço (palace) once stood before the infamous earthquake destroyed much of Lisbon in 1755. It is a beautiful square and Pátio da Galé will be a welcoming and exciting space for our gala. Before dinner, we will listen to our guest musicians who will offer us some traditional Portuguese music including Fado, the singing of destiny and longing.

Thank you to everyone who has worked so hard to create this wonderful meeting.

Open FOrum – mr. JOsé manuel BarrOsOSunday, July 8 10:15 - 11:30 a.m.

Mr. José Manuel Barroso is chairman and non-executive director of Goldman Sachs International and an advisor to the firm.

He joined Goldman Sachs in London in 2016 after an established career in EU and Portuguese politics.

Having first been elected to the Portuguese Parliament in 1985, Mr. Barroso served as state secretary for home affairs, state secretary for foreign affairs and cooperation, and minister for foreign affairs in successive governments. In 1999, he was elected president of the Social Democratic Party and became the leader of the opposition. In 2002, he was elected Prime Minister of Portugal and in 2004 he was nominated as President of the European Commission. He remained in the Presidency for two five-year terms where he played an influential role in the passing of the Treaty of Lisbon, responding to the financial crisis, and incorporating new members in the European Union, as the EU went from 15 to 28 countries between 2004 and 2014.

On behalf of the EU, Mr. Barroso received the Nobel Peace Prize in 2012 and gave the acceptance speech together with the President of the European Council.

His academic positions have included visiting professor at Georgetown University. Most recently, he was visiting professor of International Economic Policy and a policy fellow at the Woodrow Wilson School, at Princeton University. He is also a visiting professor at the Catholic University of Portugal and at the Graduate Institute of International and Development Studies in Geneva.

Mr. Barroso has been awarded numerous honorary degrees and has received more than 60 decorations, prizes, and honors, including Portugal’s Grã-Cruz da Ordem Militar de Cristo and Grande Colar da Ordem do Infante Dom Henrique.

He graduated in Law from the University of Lisbon and completed a master’s degree in Political Science and a diploma in European studies at the University of Geneva.

As a corporate law department matures, a byproduct of its growth is often an outside counsel network that is too large. An outside counsel network that is not the right size can result in inconsistent work product and positions being advanced in court; difficulty quickly communicating changes about the corporation to outside counsel; duplicate work being performed; and the inability to develop deep, trusted relationships with each outside law firm. An over-sized outside counsel network also can be detrimental to outside counsel, as the volume of work awarded may be small and distributed in piecemeal fashion as a result of a lower quality relationship with in-house counsel. This program brings together well-respected consultants who have extensive experience partnering with corporate legal departments on convergence initiatives, and in-house counsel who have undertaken such initiatives. The opioid epidemic has led to an explosion of lawsuits by states, counties, cities, and Native American nations against pharmaceutical manufacturers and distributors of opioid drugs as well as pharmacies. The allegations of these suits run the gamut from negligence and product liability to claims under consumer fraud statutes and the False Claims Act. These cases raise novel issues for insurers and their insureds alike, and they have given rise to significant coverage litigation. In this presentation, we will examine recent decisions and pending cases affecting insurance coverage for opioid litigation. We will discuss the ways in which courts are addressing claims based on the types of allegations in the underlying complaints and will provide guidance for what to expect as the courts refine the law in this emerging coverage arena.

With the implementation and enforcement of the General Data Protection Regulation (GDPR), companies that collect information about EU residents may face requirements to notify individuals about a release of their personal information. Most U.S. states have had such requirements in place for many years and have actively enforced such requirements. Yet, the two notification models are very different. Learn how to address both EU and U.S. data breach notification requirements. The program will address what is on the horizon in class action breach litigation. Although denounced by many, class action breach litigation has been successful in identifying organizations that neglected to keep systems current (e.g. Wyndham Worldwide and the “WannaCry” exploit). In-house lawyers for product manufacturers understand that litigation from dissatisfied customers has become part of “doing business.” Single claims, or even dozens of claims, do not cause sleepless nights. However, the mass tort proceeding that follows a warnings label modification, a design or manufacturing process change, or a product withdrawal can be “bet-the-company” litigation. The mass tort business model has moved beyond the U.S. border to Canada, parts of Europe, and Australia. However, procedural and substantive differences in these jurisdictions have produced uneven results. This panel will examine this “world of difference” in mass torts; attempt to predict the future in these jurisdictions based on the current economic, political, and legislative climates; and identify which aspects of these varying legal systems could be used to develop a mass tort system that provides for the fair and efficient adjudication of meritorious claims.

First timers programAll members who are attending their first Midyear or Annual Meeting are part of the First Timers Program. If you are a First Timer, you will be assigned a member Host who will reach out to you before the meeting and answer any questions you have and onsite will introduce you to people. First Timers are identified as such on their badges, so people know to introduce themselves and make you feel welcome! There is a First Timers orientation on the first day and a reception later in the week where you will be able to meet people. Our First Timer Chairs for the Annual Meeting are Michael and Lori Airdo.

In the eternal spirit of Ferdinand Magellan and Portugal’s leadership during the Age of Discovery and Exploration, our book selection is Astrophysics for People in a Hurry by Neil deGrasse Tyson, a New York Times best seller. We are sure you will find it interesting, enlightening, and accessible. Dr. Tyson is an American astrophysicist, author, and science communicator. He is the Director of the Hayden Planetarium at the Rose Center for Earth and Space in New York City, which is part of the American Museum of Natural History.

The book discussion will be led by Book Review Chairs Brian and Michele O’Connell.

We will then be joined by a special guest, Derek A. Kopon, Ph.D., from the Harvard Smithsonian Center for Astrophysics, Cambridge, Massachusetts. Dr. Kopon has more than 14 years of experience designing and building optical and infrared telescopes for flight and ground based applications. He is now designing and building instruments that will be part of the Giant Magellan Telescope (GMT), currently under construction in the Chilean Andes. Upon achieving first light in 2023, the GMT will be the largest optical and infrared telescope in the world. Derek will explain what the telescope “sees” in terms of light, time, and space, and the origins of the universe and how this knowledge explains our existence and our place in the cosmos. tram 28What cable cars are to San Francisco and red double-decker buses are to London are what trams are to Lisbon. Tram 28 in particular takes riders on a tourist-friendly route, not only passing through some of the city’s most notable neighborhoods including Graça, Baixa, and Bairro Alto, but to popular attractions, such as St. George’s Castle and Alfama. Along with a scenic route, the cars themselves are also considered to be part of the experience. Many of Lisbon’s trams, including some used on the Tram 28 route, are the same that were used in World War II. alFamaSome visitors choose to take Tram 28 through the Alfama neighborhood because it’s so hilly, but whether you choose to burn some calories or contend with the tram crowds, a visit to the picturesque Alfama is a must. With a history that dates back to the Moors, Alfama is characterized by narrow, cobblestone streets that wind past dozens of quaint shops, cozy little restaurants, and traditional Fado clubs, all of which are housed within historic yet well-preserved architecture. Popular city attractions like St. George’s Castle, Sé Cathedral, and Feira de Ladra are also located in Alfama. Travelers come in droves to bear witness to the neighborhood’s famed charm (and some street art), and say this is the best place to get to know Lisbon. Visitors also say this isn’t an attraction to breeze through, but rather take your time with and get lost in. Ditch the map and let yourself wander the colorful streets, grab a drink alfresco in an alleyway, or seek out one of the neighborhood’s many vantage points, including the popular Miradouro de Santa Luzia or the Miradouro Sophia de Mello Breyner Andresen.

FátImaFátima is a central Portuguese town that’s home to the Sanctuary of Fátima, a Catholic pilgrimage site. The Capelinha das Aparições marks the spot

where the Virgin Mary allegedly appeared in 1917. Other sacred sites include the Basílica de Nossa Senhora do Rosário, with its golden angels, and the modern church of Igreja da Santíssima Trindade. The Museu de Arte Sacra e Etnologia exhibits religious artifacts. There is no need to hire a car to travel between Fátima and Lisbon, as there is an excellent and inexpensive bus service that is safe and the recommended means of travel. Rede Expressos is the largest coach operator in Portugal, and the journey from Lisbon to Fátima only will take 90 minutes. Bus tickets must be purchased in advance and can be bought online at www.rede-expressos.pt/en/ or from Sete Rois bus station. Online tickets can be purchased up to 30 days in advance and passport information must be entered to process the transaction. The Rede Expressos website details the latest timetable, which often has seasonal variations.

santa Justa elevatOr (elevadOr de santa Justa)For some sweeping views of Lisbon – particularly St. George’s Castle, Rossio Square, and the Baixa neighborhood – you might want to take a ride on the Elevador de Santa Justa. Designed by Raoul Mesnier du Ponsard (a former student of Gustave Eiffel – creator of

the Eiffel Tower), this neo-Gothic elevator is more than a century old and used to be powered by steam. While the exterior is almost entirely wrought iron, inside visitors will find two old-fashioned cabins that take visitors up to the nearly 150-foot-tall vantage point.

parque eduardO vIINamed after English King Edward VII who visited Lisbon to celebrate the Anglo-Portuguese Alliance in 1903, Parque Eduardo VII is the largest urban oasis in Lisbon. Only a short walk from the EPIC SANA Lisboa, the park is laid out in a former quarry and adorned with formal box hedges, statues, and ponds. The park is punctuated by a magnificent monument of Marquês de Pombal, the prime minister who rebuilt Lisbon after the devastating 1755 earthquake that destroyed much of the city. Located on high land, go for a stroll or get your heart pumping by jogging through the park while taking in some of the best views of the city. Younger children will also enjoy the public playgrounds located throughout the park.

gulBenkIan museum (museu CalOuste gulBenkIan)Less than 50 years old, the Gulbenkian Museum hangs a world-renowned collection of art. The late Calouste Gulbenkian, a former oil tycoon and distinguished art collector, amassed 6,000 works of art in his lifetime, donating it all to Portugal upon his death. The diverse selection on display includes art of all kinds from all over the world, including Egyptian statues; European paintings from masters Rubens and Rembrandt; and Chinese porcelain, just to name a few. lIBertY avenue (avenIda da lIBerdade)The Avenida da Liberdade is the capital’s grandest avenue and main boulevard for designer shops, restaurants, and trendy bars. The area boasts classic 19th-century Portuguese architecture and includes two central plazas, full of charming water features and grand statues. The walk along the length of the Avenida da Liberdade is recommended for visitors as it is a great way to discover and experience Lisbon.

entrY requIrementsLisbon is a member of the European Union, but entry from non-European Union countries is not a problem. There are a few things however, regarding entry and customs regulations, of which one should be aware.

entering portugalPortugal is a member of the European Union and the Schengen Convention. EU citizens require an official ID to enter Portugal. Citizens from non-EU countries are advised to obtain information about the regulations governing entry into Lisbon applicable to their country before starting their trip. While there are no border controls between Schengen countries, it is still mandatory to carry an ID.

CustOms regulatIOnsFor EU citizens, the regulations applicable within the European Union apply. Travelers from non-European countries require a valid passport that entitles them to a three-month stay in Portugal. Visitors from these countries may only import “personal travel goods” customs-free, i.e. such goods as they need on a temporary basis for their personal use or consumption or to exercise their profession.

CurrenCYAs a member of the European Union, Portugal is also part of the Economic and Monetary Union – which introduced the Euro as the common currency.

atmsATMs are widely used in Portugal. You will find outdoor venues at most branches of Portuguese banks. Please check with your local bank if your bank card is equipped with the necessary codes. A four-digit PIN is also required to access an ATM.

CredIt CardsCredit cards, although accepted in hotels, major restaurants, and stores, are less used for purchases in small shops, cafes, or grocery stores.

aIrpOrt Lisbon Portela Airport (LIS) is the main international gateway to Portugal and is one of the largest airports in Southern Europe. The airport is conveniently located a short 15-minute drive from the EPIC SANA Lisboa.

transpOrtatIOn tO/FrOm tHe epIC sana lIsBOaCity taxis and Uber are easily accessible at the airport just outside the airport doors. The average rate for a transfer from the airport to the hotel is €20.00, depending on the fare at that time. An additional surcharge may apply in the event of excess luggage.

Private transfers can be arranged in advance with prices ranging from €55.00 depending on the size of the vehicle and number of travelers and/or luggage. To make private airport transfers in advance, please email [email protected].

You can also take the metro or train to EPIC SANA Lisboa from the airport.

attIreMeetings and Events: Resort casual (slacks, shorts, golf shirt, button down/blouse) is appropriate for CLE and Committee Meetings. Please note that it can be cool in meeting rooms. The Welcome Reception and Theme Party, and other receptions call for comfortable and casual dress. The final night’s Gala is black tie optional.

easY paYment OptIOnsFor your convenience, all registration and activity fees may be paid by check, wire transfer, Visa, American Express, or MasterCard. If paying by check, please make sure it is in U.S. currency and mail it to the International Association of Defense Counsel, 303 West Madison, Suite 925, Chicago, IL 60606. IadC CanCellatIOn pOlICYA CASH REFUND, less a $150 processing fee, will be made if a written notice of cancellation is received by the IADC office more than thirty (30) days prior to the first day of the meeting. No reason for the cancellation need be provided for a timely notice of cancellation.

NO CASH REFUND will be made if notice of cancellation is received by the IADC office thirty (30) days or less prior to the first day of the meeting. However, if special circumstances arise before the meeting which prevents attendance, a member may request a future meeting credit. The request need to be in writing and submitted to the IADC office. It should be directed to the Finance Committee’s attention and note the special circumstance which caused the cancellation. The credit request can only apply to meeting registration fees (not air, hotel, activity, tour or special event fees) and, if approved, will be valid for use toward any IADC meeting for one (1) year from the date of the meeting for which credit is requested. A $150 processing fee will be deducted from the total future meeting credit.

All future meeting credit requests will be considered by the Finance Committee and the decision of that Committee will be final.
