ARTICLE I - NameThe name of this association shall bethe “Connecticut Nursery and Land-scape Association, Inc.”ARTICLE II - Association ObjectivesThe Association is organized and oper-ated as a nonprofit corporation with nopart of its net earnings inuring to indi-vidual members. In furtherance of thenursery industry in the State of Con-necticut the Association shall endeavorto promote the general welfare of itsmembers by:1. The cultivation of acquaintanceshipbetween the nurserymen of the State.2. Fostering and promoting a greateruse of nursery products.3. The improvement and standardiza-tion of nursery products.4. The advancement of lawful and fairtrade practices, customs and usages.5. Cooperation with allied interests.6. Promoting the arbitration of dis-putes.7. The compilation and dissemination ofscientific information to members.8. The study of business methods andstandards for recommendation to anduse by members.9. Gathering, analyzing and disseminat-ing information of general interest, andby securing and presenting the views ofthe members to the public, the govern-mental agencies and to other organiza-tions.10. Cooperating with governmentalagencies in molding policies on legisla-tive and administrative matters in theinterest of the public and the industry.11. Promoting the exchange and sale ofnursery stock.

12. The exhibition of plants, fruits, flow-ers or other articles produced by orused in the industry.13. Engaging in any lawful activitieswhich will enhance the efficient andeconomic progress of the industry andapprise the public of its scope and char-acter.ARTICLE III - MembershipSECTION 1. Regular Members: Thereshall be two classes of Regular mem-bers.A. Class 1. Any concern actively en-gaged in the nursery business in theState, more than 50% of whose grossvolume is derived from the sale of nurs-ery stock and related products and/orservices essential to garden living, andin good standing with the trade shall beeligible for this membership. Each con-cern shall have one vote.B. Class 2. Any concern engaged in thesale of nursery stock and related prod-ucts and/or services essential to gardenliving in the State, but whose incomefrom such items is less than 50% of itsgross volume, shall be eligible for thismembership. Such firms must be ingood standing with the nursery trade.These concerns shall have no votingprivileges. In the case where the head-quarters of a multiple outlet concernapplying for membership is located outof State, full membership eligibility isgranted to the in-state branch orbranches of that concern, to whicheverClass applies.SECTION 2. Associate Members: Associ-ate members are those engaged in sub-ordinate positions with member firms,and may cast the vote for their organi-zation as specified in Section 1, and mayhold office. Firms are entitled to Associ-ate Members in accordance with thedues schedule. Firms may have addi-tional Associate Members by payingthe Associate Member Fee in addition

to Annual Dues.SECTION 3. Allied and Affiliate Mem-bers:A. Allied Members: Those eligible for Al-lied Membership shall be members ofout-of-state Nurserymen’s Associationsand those professions or businesseswhich supply manufactured material orservices to Regular Members.B. Affiliate Members: Departments ofmunicipalities, government agencies,educational institutions and non-horti-cultural businesses having staff person-nel who deal with horticulturalproducts and grounds maintenance areeligible.C. These members have no voting privi-leges.Section 4. Senior Members.Any individual, sixty years old or older,who has been a regular or associatemember of the Association for morethan ten years, is eligible to become aSenior Member. To obtain this privi-lege, the member must be in goodstanding with the nursery trade andmust be approved by the Board of Di-rectors. Senior Member dues will beset by the Board of Directors at a ratethat is less than Regular Members, butno less than the cost of member serv-ices. Senior Members will have no vot-ing privileges. SECTION 5. Honorary Members: Hon-orary Members may be elected in anopen meeting of the Association. Theyshall not be required to pay dues, andshall have no vote.SECTION 6. Education/Research Mem-bers: Those eligible for Education/Re-search Membership shall be personscurrently teaching and/or involved in re-search related to the nursery industry.These members must renew theirmembership each year by respondingto a membership renewal notice. Suchmembers shall have no voting privi-leges.SECTION 7. Student Members. Any stu-dent enrolled in a high school or colle-giate horticultural course of study, withrequired participation on a Associationcommittee. SECTION 8. Annual Dues: The annualdues shall be set and determined by theBoard of Directors. Any changes shallbe subject to approval by the voting

members at the annual meeting, pro-vided that notice of any changes hasbeen sent to each member by the Sec-retary at least ten days prior to themeeting. The Association annual yearfor payment of dues is July 1 throughJune 30. Dues notices will be mailedJune 1 and dues are due and payable onJuly 1.SECTION 9. Assessments: In case ofemergency requiring such action, theBoard of Directors may assess Active(Firm) members an amount not to ex-ceed fifty percent (50%) of the annualdues. This amount shall be billed as ad-ditional dues, with explanation, by voteof a majority of the Board. Members ofthe Association wishing to contributemore than the stipulated amount of as-sessment may do so on a voluntarybasis.SECTION 10. Election of Membership:All individuals, partnerships or corpora-tions holding membership as abovecomprised at the time of adoption ofthese By-Laws shall constitute themembership of this Association, andthereafter any individual, partnership orcorporation eligible to membershipunder these By-Laws on making writtenapplication therefore, may be electedto membership by a majority vote ofthe Board of Directors.SECTION 11. Termination of Member-ship:1. Any membership may be suspendedor terminated for cause. Sufficientcause for such suspension or termina-tion shall be:(a) Non-payment of dues by October 1of the dues year will result in termina-tion of membership and Associationservices.(b) Non-payment of special assess-ments voted by the Board of Directorswithin six months of effective date ofBoard action.(c) Violation of any of the provisions ofthe By-Laws, of any agreement, rule orpractice properly adopted by the Asso-ciation or any other conduct prejudicialto the interests of the Association. Suchsuspension or termination shall be byvote of the Board of Directors after duenotice and opportunity for hearing. Sus-pended members may be reinstatedupon vote of the Board of Directors.

2. The membership of any individual,partnership or corporation shall be au-tomatically terminated when the own-ership or control of such member firmchanges hands, unless upon notice ofsuch change of ownership or controlthe Board of Directors approves thecontinuation of such membership uponthe same or a revised basis.ARTICLE IV - Officers and DirectorsSECTION 1. Officers - The officers of thisassociation shall be a President, Vice-President, a Secretary and a Treasurerelected from the membership.SECTION 2. There shall be a Board of Di-rectors, up to nine in number, who shallbe the governing body of the associa-tion. They shall decide all matters ofpolicy affecting the association. Theboard shall be composed of the Presi-dent, Vice-President, Secretary andTreasurer, immediate past President,plus no less than two, nor more thanfour, directors elected from the mem-bership.SECTION 3. The said officers and Boardof Directors shall be elected by ballot atthe annual meeting. Directors may notserve as a director for more than fouryears in succession without becomingan officer. Vacancies of officers or direc-tors shall be filled by the Board of Direc-tors until the next annual meeting. Onlyone representative of a member firm iseligible to serve on the Board of Direc-tors at any given time.SECTION 4. The Board of Directors shallhave power to employ a work secretarywho shall be known as Executive Secre-tary. His duties shall be to attend allmeetings of the Board of Directors andassociation meetings, to write, printand distribute the CNLA Bulletin, to col-lect dues, issue membership certifi-cates, and any other duties required bythe Board of Directors. His compensa-tion is to be set by the Board of Direc-tors. The Treasurer is to pay bills anddraw orders on all funds under his juris-diction.SECTION 5. There shall be a NominatingCommittee composed of three mem-bers, the chairman to be appointed bythe President, and two members to beelected from the floor, to serve for theensuing year. The Nominating Commit-tee shall take into consideration the

guidelines posted after these By-Laws.The Nominating Committee shall makeavailable its slate of officers and direc-tors to the members at least 45 days inadvance of the annual meeting. Addi-tional nominations may be presentedby signed petition of at least 15 mem-bers, filed with the Executive Secretaryat least 30 days before the AnnualMeeting, who shall then inform themembers. Voting shall take place at theannual meeting, or by a written ballotapproved by the Board of Directors.Candidates for President, Vice-Presi-dent, and Treasurer shall have firstserved on the Board of Directors priorto their election.Section 6. The Directors shall attend allmeetings of the Board of Directors,using their best judgment and expertisein managing the Association's affairs.The Executive Secretary shall notify theBoard when a particular Director hasmissed three consecutive meetings. ADirector may be removed for cause bythe Board of Directors upon an affirma-tive vote equal to at least two-thirds ofthe entire Board.ARTICLE V - CommitteesSECTION 1. The President, Vice-Presi-dent, Secretary and Treasurer shall beex-officio members of all committeeswith power to vote.SECTION 2. The President may appointcommittees as necessary and as re-quired by Article IV and Article IXSECTION 3. The activities and responsi-bilities of the committees shall be de-termined by the President with theapproval of the Board of Directors.ARTICLE VI - MeetingsSECTION 1. One annual meeting shall beheld in the month of December or Janu-ary, at which time the election of offi-cers shall be held and the reports ofofficers and standing committees shallbe submitted to the membership.SECTION 2. A summer meeting shall beheld. Necessary business may be pre-sented at this meetingSECTION 3. The Board of Directors shalldecide the time and place of the winterand summer meetings.SECTION 4. Any significant change inthe traditional format of either meetingmust be brought to the attention ofand ratified by the membership at a

regular meeting at least one year be-fore such change would take place.SECTION 5. A Special Meeting of the As-sociation may be called by the Presi-dent. The President shall call a SpecialMeeting at the request, in writing, oftwenty members in good standing,after a lapse of ten days and notifica-tion of all members.SECTION 6.10% of the voting member-ship shall constitute a quorum at anymeeting.SECTION 7. Four members of the Boardof directors shall constitute a quorumat any Board of Directors meeting.SECTION 5. A quorum must be presentat any meeting at which business istransacted or a vote taken comittingthe Association to any proposal or ac-tion.ARTICLE VII - Impeachment of OfficersAn officer may be impeached by theunanimous vote of the other officers orby a petition signed by five membersand may be removed from office by atwo-thirds vote of the members afterhe has been accorded a hearing uponthe impeachment charges.ARTICLE VIII - AmendmentsThe By-Laws of this Association may beamended by a two-thirds vote at anymeeting, provided that notice of saidamendment has been sent to eachmember by the Secretary ten days priorto the meeting.ARTICLE IX - Order of BusinessThe Order of Business at Associationmeetings shall be:1. Call to Order2. Roll Call3. Reading of the Minutes4. Reading of Communications, Bills,etc.5. Reports of Officers6. Reports of Standing Committees7. Reports of Special Committees8. ProgramARTICLE X - Parliamentary AuthorityRobert’s Rules of Order shall be the As-sociation’s final authority on all ques-tions of procedure and parliamentarylaw not covered by the By-Laws.ARTICLE XI. Conflict of Interest. An officer, director or member shall ab-stain from participating in and votingon any matter brought before the Asso-ciation in which he/she has a direct fi-nancial interest.ARTICLE XII. Dissolution. If the Association is dissolved, all re-maining assets after payment of credi-tors are to be distributed to charitable,educational, or scientific organizationsinvolved in the field of horticulture.

Guidelines For the Nominating Commit-tee (adopted November 17, 1997)Each year at the Annual Meeting, theNominating Committee must present aslate of officers and directors to themembership. Although members of theBoard of Directors must be nominatedeach year, under normal circumstances,most of the members of the Board willalready be serving. Usually, each officerwill step up one position: Secretary be-comlng Treasurer, Treasurer becomingVice-President, then President and re-maining on the Board as Past President.The person nominated for Secretary willnormally be one of the seated directors,with consideration given to seniority,provided this person is willing to committo being an Officer of the Association forfive years. The Bylaws state that a personcannot remain a director for more thanfour successive years without becomingan officer. The person or persons to benominated for a position as director shallbe selected from the membership, usu-ally a person who has served as a chair-man of one of the more activecornmittees of the Association or hasproved an interest in the Association insome other way. The Nominating Com-mittee should seek input from theseated Board of Directors regardinggood candidates, as the Board should beaware of the merit of the various com-mittee chairmen or other memberswhose interest in the Association makesthem worthy of joining the Board.Asamended thru January 1998.
