Dear Colleagues and Friends:

¡Bienvenidos! It is my pleasure to welcome you to Jersey City, New Jersey for the HNBA’s 3rd Annual Corporate Counsel Conference. This is a particularly special event because we are celebrating 40 years since the founding of the HNBA. On behalf of the HNBA Board of Governors, I would like to thank Miguel Alexander Pozo and Nuris Portuondo for serving as Co-Chairs, and for their leadership in bringing us to New Jersey, organizing this outstanding program and securing record-levels of financial support for an HNBA Mid Year Conference. I also want to express my appreciation to our President in the Region, Anna Maria Tejada, and local affiliate the Hispanic Bar Association of New Jersey for all their work and hospitality.

Our Midyear Corporate Counsel Conference has grown consistently and considerably this year, becoming a landmark HNBA event. This would not be possible without the generous support of our corporate sponsors, who have continued to support us in spite of the economic downturn affecting so many companies and law firms across the country. A big “Thank You” to all our sponsors!

We see that this event fills a void, and it would not be such a success without buy-in from both our HNBA membership and from Corporate America. I am very proud that our organization has continued to build upon the foundation laid three years ago, and we continue to strengthen the relationships between in-house counsel and HNBA members, as these relationships are mutually beneficial.

During the next few days, you will enjoy exceptional continuing legal education (CLE) panels that showcase the skills and talent of HNBA members and partners. In addition, you will have unmatched professional development and networking opportunities – participants will meet colleagues from across the country, with expertise in a variety of fields of law.

Since I took office in September 2011, launching “The Year of the Advocate,” we have successfully worked to further the interests of the profession, the community, and children. Our Judicial and Executive endorse-ments program continues to grow, as we recruit a broad and highly qualified bench of candidates, and have seen a greater number of candidates nominated and confirmed by this administration, most recently Judge Adalberto Jordán, to the U.S. Court of Appeals for the 11th Circuit. We have also launched several pro-bono opportunities, namely our Veterans Initiative, through which we strive to gather our membership to assist Latino veterans – and veterans in general – as they return home and require legal aid. Finally, in Dallas we assisted the children of Mercy Street, and we will continue initiatives with charities in each of the cities we visit. In Washington, D.C. we will hold Law Day activities in conjunction with our annual Legislative Day and Advocacy Summit.

We also continue the valuable work of the HNBA Standing Commission on the Status of Latinas in the Legal Profession, which will present a very important panel during this conference. These are just a few of the HNBA initiatives over the last six months; as we look forward to the next six months, we encourage you to stay involved in the HNBA through our substantive law Sections and Committees. We hope to see you at the HNBA Legislative Day and Advocacy Summit on May 8-10, 2012 in Washington, DC, and the 37th Annual Convention and fourth Judicial Summit on August 22-25, 2012 in Seattle, WA.

Finally, I congratulate the law school teams participating in the 17th Annual Uvaldo Herrera National Moot Court Competition. The future of our Association and the legal profession is brighter due to your accom-plishments and participation in the HNBA. I would also like to acknowledge the work of Tom Dupree of the law firm of Gibson Dunn & Crutcher LLP who authored our moot court problem this year, ensuring an exceptional educational experience for HNBA law students participating in our event. A sincere thank you to all our generous sponsors for their record-breaking support of this conference, all the programs I mention here would not be possible without your commitment. Dear Fellow HNBA Members:

I am delighted to welcome you to Jersey City, New Jersey for the HNBA 3rd Annual Corporate Counsel Midyear Conference and 17th Annual Uvaldo Herrera Moot Court Competition. Under the leadership of conference co-chairs Miguel Alexander Pozo and Nuris Portuondo, in cooperation with our local affiliate the Hispanic Bar Association of New Jersey ably led by Dan Mateo and HNBA Regional President Anna Maria Tejada, this event promises to be our best Midyear to date. The relationship and cooperation with our local affiliates is one of the most important to the HNBA, and I want to thank the HBA-NJ and the members of the Midyear Planning Committee for their outstanding efforts and commitment in putting together this program. In addition, the Latina Commission led by Carrie Ricci and Mercy will be providing their Executive Leadership Program.

The HNBA continues to be The National Voice of the Hispanic Legal Community® due to your partnership with the HNBA on our programs that allow us to give back to the community. For 17 years, the HNBA has held a National Moot Court Competition. This year is particularly poignant as it will be the first one to be held after the passing of our friend and champion of this program, Mssr. Uvaldo Herrera. Uvaldo was a dear friend and visionary who is dearly missed, but his vision of having an annual program to allow Hispanic students to compete against the best in the country lives on. This year the HNBA Legal Education Fund, the HNBA’s only 503(c)(3) entity affiliated with the HNBA, will once again be provid-ing scholarships to the law students competing in the moot court competition. The HNBA recently raised tens of thousands of dollars at the HNBA’s 2nd Annual Tennis & Golf Tournament in Miami, FL, once again led by HNBA Regional President Teresita Chavez-Pedrosa.

As we celebrate the 40th Anniversary of the HNBA, let us all look forward to continue building the foundation for the future!

By all accounts, it is an event that leaves participants and attendees wishing to return next year for more of the exceptional programming, networking and business opportunities, and camaraderie for which the HNBA is recognized. The programming this year is no exception and we trust that you will experience another very memorable and enriching few days.

I am incredibly proud of where we are as an organization as we celebrate the 40th Anniversary of the HNBA. I feel privileged to have been part of its leadership over the last three years and the great deal that we have accomplished. It is with both great excitement and a heavy heart that this marks my last HNBA national event serving as its Executive Director. While I will be moving on to an international organization, I will never forget the exceptional minds, leaders and friends that I am honored to have worked with as part of the HNBA. The HNBA has a valiant mission that is much greater than any of us individually, and I have witnessed it become stronger and larger through our collective work. As a product of its long history and the work of individuals who led the organization through key chapters, the HNBA now enjoys far-reaching national prominence and provides invaluable assistance to attorneys, students and to the community. I am so proud of what we have accomplished and I look forward to the HNBA’s ever-brighter future.

I remain an ever-committed member and advocate of the HNBA, and I know that the incredibly talented and motivated team in the national office will carry on with our important work, continuing to thrive under the strong and visionary leadership of Benny Agosto, Jr., Peter Reyes, and the HNBA Board of Governors. Saludos! As HNBA National Finance Director, and on behalf of the HNBA National Finance Committee,welcome to the HNBA’s 3rd Annual Midyear Corporate Counsel Conference. In 1972, a few Latino lawyersdreamed about transforming the legal profession by: (1) providing a national voice for Latino lawyers; and(2) championing issues important to the Latino community. In those early days, we advocated for thenomination of a Latino/a to the U.S. Supreme Court. Some 37 years later, that dream became reality.

Today, as we reflect and celebrate our 40th Anniversary, we reaffirm our mission. We also assume equallyambitious, but no less attainable goals. One such goal is to leave a financial legacy in the communitieswhere we live and work. In 2012, with the vision of HNBA National President Benny Agosto, Jr., theleadership of the HNBA Board of Governors, and the help of all of you, the HNBA will provide $100,000 inscholarships to Latino students across our 19 Regions.

President Agosto has charged us with ensuring that we have the resources to fulfill that pledge. We arealso tasked with establishing a roadmap to ensure the HNBA’s financial sustainability. Comprised ofnational Latino leaders, we have taken our marching orders to heart. In fact, in the last six months, wehave secured renewed commitments from our “pillar” sponsors, namely Target and Wal-Mart. We havealso established strategic partnerships with Avis, Goldman Sachs, JPMorgan Chase, MetLife, Microsoft, andUPS, to name a few. You will hear details in the next few days and coming weeks. Indeed, as we open the2012 Midyear Conference, we proudly report that we have exceeded our fundraising goal. Without yourtremendous support this achievement would not have been possible.

Moreover, you will note that our Midyear Conference has a different feel this year. Among the manyhighlights, it will feature four conference days, instead of three, and offer 50% more continuing legaleducation (CLE) panels. Additionally, we will unveil our inaugural “Corporate Speed Networking PilotProgram.” This unique, HNBA-variation on the speed networking concept, will foster meaningfulrelationships between our members and corporate America. At a time when resources remain scarce, our members and sponsors deserve an even greater return on their investments. Rather than rest on ourlaurels, we created this Pilot Program. It is one more way that we are creating value. Similarly, our SeattleConvention team has already laid the foundation for our most ambitious Annual Convention, to date.

Question Presented: Whether the court of appeals correctly determined that law enforcement agents’ warrantless use of a tracking device (GPS) on respondent’s vehicle to monitor its movements on public streets violated the Fourth Amendment.Background:Defendant Luis Rodriguez is charged with one count of conspiracy to distribute cocaine, in violation of 21 U.S.C. § 846. According to the Government, Rodriguez and his co-conspirators obtained and sold large quantities of cocaine and cocaine base throughout West Carolina and neighboring states.

As part of their investigation into the alleged conspiracy, law enforcement agents utilized a number of investigative techniques, including installation of an electronic tracking device on Rodriguez’s vehicle. The investigation ended on October 24, 2005, with searches pursuant to warrants. At that time, drugs, drug paraphernalia, firearms, and significant quantities of cash were seized from an alleged “stash house.”

Globalization poses certain challenges. As U.S. corporations continue to do business and/or expand their operations abroad, the likelihood of disputes will continue to rise. Taking calculated business risk becomes more challenging since U.S. bankruptcy law may not apply abroad. This panel will discuss what happens when a contracting party (a JV, supplier, borrower, etc.) files for an insolvency proceeding in a foreign market and how to avoid related pitfalls. The panel will also cover the new Chapter 15 of the Bankruptcy Code that allows for coordination of foreign bankruptcy proceedings in the U.S. under the guidance of U.S. Bankruptcy Courts.

2012 MOOT COURT COMPETITION PROBLEM

United States of America v. Luis Rodriguez

QUESTION PRESENTED: Whether the court of appeals correctly determined that law enforcement agents’ warrantless use of a tracking device (GPS) on respondent’s vehicle to monitor its movements on public streets violated the Fourth Amendment.

BACKGROUND:

Defendant Luis Rodriguez is charged with one count of conspiracy to distribute cocaine, in violation of 21 U.S.C. § 846. According to the Government, Rodriguez and his co-conspirators obtained and sold large quantities of cocaine and cocaine base throughout West Carolina and neighboring states.

As part of their investigation into the alleged conspiracy, law enforcement agents utilized a number of investigative techniques, including installation of an electronic tracking device on Rodriguez’s vehicle. The investigation ended on October 24, 2005, with searches pursuant to warrants. At that time, drugs, drug paraphernalia, firearms, and significant quantities of cash were seized from an alleged “stash house.”

UVALDO HERRERA

Uvaldo Herrera was born in Pinos Altos, an isolated village in the desert of Durango, Mexico. He came to the United States when he was 11 years old, speaking only Spanish. He later mastered not only the English language, but became a lawyer and leader in the legal profession and had positive impact on the lives of many law stu-dents, lawyers, and on the development of U.S. law. After growing up in the Chicago area, Uvaldo graduated from the University of Illinois and the DePaul University College of Law.

In 1998, he joined the corporate legal department of State Farm Insurance Company, where he served in a variety of positions. Uvaldo gave of his time and talents through-out his life to a multitude of organizations. The HNBA is incredibly blessed that it was one of the many organizations Uvaldo granted his time and efforts. Uvaldo served with distinction on the Board of Governors of the Hispanic National Bar Association for over a decade. He was elected HNBA Vice President of Programs and served as the HNBA’s General Counsel.

In recognition of his leadership, dedication, and service to law students and the law, the Hispanic National Bar Association named its celebrated national moot court competition, the Uvaldo Herrera National Moot Court Competition. The Hon. Jimmie V. Reyna, an HNBA Past President and current Circuit Judge on the U.S. Court of Appeals for the Federal Circuit, noted, “With Uvaldo’s passing, we who had the privilege of working with him have lost a dear friend, the legal profession has lost a great leader, and America has lost a contributor whose positive influence will endure beyond generations to come.” Uvaldo was well known for his clever wit, calm demeanor, and gentle and powerful inner strength. He is survived by his wife, their daughter, Isabela, and his two sons, Brent and Bre.

Juan A. Arteaga Simpson ThatcherAssociateMr. Arteaga is a litigation associate at Simpson Thatcher’s New York City office. Through his work in the firm’s pro bono practice, Mr. Arteaga has served as counsel for New York State inmates in state court appeals and collateral proceedings, as well as federal habeas corpus proceedings and appeals. Significantly, Mr. Arteaga was successful in overturning the sentence of a client falsely convicted of murder. He is a recipient of the InMotion Commitment to Justice Legal Team Award and is the author of Juvenile (In)Justice: Congressional Attempts to Abrogate the Procedural Rights of Juvenile Defendants, 102 Colum.L.Rev.1051. Before entering private practice, Mr. Arteaga served as a law clerk to the Honorable Roger L. Gregory of the United States Court of Appeals for the Fourth Circuit.

Marlene S. Gomez Ballard SpahrAssociateMs. Gomez is a litigation associate at Ballard Spahr’s Philadelphia, Pennsylvania office and a member of the firm’s Climate Change and Sustainability Initiative and the Environment and Natural Resources Group. She has lectured on issues involving green technology and published two articles: Dredging and Subaqueous Lands and Speed Kills: Buyers Risk Liability and Harm for Former Meth Lab. Ms. Gomez led the Ballard Spahr team that performed the due diligence on Justice Elena Kagan for the HNBA’s Judicial Endorsement Committee and prepared the final Committee Report. She has also provided legal assistance to veterans and asylum seekers, and participates in the “Wills for Heroes” legal clinics. Ms. Gomez has served on the Board of the Hispanic Bar Association of Pennsylvania for the past seven years and is a past president of the Hispanic Bar Association of Pennsylvania’s Legal Education Fund, a 501(c)(3) organization dedicated to providing scholarships to local Latino law students.

Krista Contino KrahnSenior Law Clerk Honorable Jimmie V. Reyna, Circuit Judge of the United States Court of Appeals for the Federal CircuitMs. Krahn is currently a senior law clerk to the Honorable Jimmie V. Reyna, Circuit Judge of the United States Court of Appeals for the Federal Circuit. Prior to becoming Judge Reyna’s law clerk, she practiced intellectual property and founded her own law practice. She has provided counseling and legal analysis to Fortune 500 companies and national non-profit organizations. While residing in Minnesota, Ms. Krahn was an active member of the Minnesota Hispanic Bar Association and received their “Outstanding Service Award.” She is also actively involved in the HNBA, having chaired both the marketing and logistics committees for the 35th HNBA Annual Convention in Minnesota and served as HNBA Deputy Regional President. Ms. Krahn presently serves as the HNBA National Information Technology and Communications Director. She has also served the community by assisting green card holders with their citizenship applications. Ms. Krahn is also devoted to assisting this country’s veterans, having formed a Veteran’s Law Society to help veterans understand resources available to them. She also tutors enlisted service people and veterans in their community college classes.

Flor BermudezLamda Legal Defense FundYouth in Out-of-Home Care Staff AttorneyFlor Bermudez is the Youth in Out-of-Home Care Staff Attorney for Lambda Legal in New York City, the oldest and largest national legal organization committed to achieving full recognition of the civil rights of lesbians, gay men, bisexuals, transgender people and people with HIV. In her current position, she advocates for adequate treatment and competent, sensitive and informed services for lesbian, gay, bisexual, transgender and questioning youth who are involved with child welfare, juvenile justice and homeless services systems. She travels around the country presenting at legal and social services conferences and conducts trainings for the adults who work with LGBTQ youth in out-of-home care. Prior to joining Lambda Legal, Ms. Bermudez spent four years at Esperanza del Barrio in New York City as the founding executive director and staff attorney. She was also a Skadden Fellow and in that capacity served as a staff attorney at Mothers on the Move and the Urban Justice Center.

Christian A. GarzaCitgo Petroleum CorporationSenior Corporate CounselMr. Garza is currently Senior Corporate Counsel at Citgo Petroleum Corporation in Houston, Texas. Mr. Garza is an accomplished civil litigator in both domestic and international matters, having man-aged cases in AAA arbitration, mediation, and federal and state court. He has also defended CITGO in complex commercial litigation such as nationwide class actions, price discrimination, maritime, real estate and marketing litigation. Mr. Garza is a Past President of the Hispanic Bar Association of Houston and a past Scholarship Committee Chair for the organization. He is also a past Member of the Texas Bar Association’s Nominations Committee. Mr. Garza presently serves on the Board of Directors for Big Brothers Big Sisters of Greater Houston and is Deputy Regional President of the National Hispanic Bar Association. Richard J. MontesMauro Lilling NapartyPartnerMr. Montes is a partner at Mauro Lilling Naparty in Great Neck, New York where he focuses on appellate practice. He was recently victorious on an appeal of a toxic tort action brought against the City of New York by plaintiffs who claimed they developed cancer as a result of their exposure to various carcinogens emanating from the Pelham Bay Landfill in the Bronx. Mr. Montes is a frequent lecturer on the revised New York CPLR Article 50-A for structuring judgments and has published in the areas of medical malpractice and litigation strategy. He is also the principal blogger for the New York Appellate Law Blog, MLN’s blog dedicated to providing the latest significant tort and insurance coverage decisions in New York’s Appellate Courts. Mr. Montes has served as President, Secretary and Treasurer of the Long Island Hispanic Bar Association. During his presidency, he launched a Know Your Rights Project, consisting of multiple Spanish Language seminars in Suffolk and Nassau Counties. Mr. Montes is currently the President of the Long Island Hispanic Bar Association Community Service Fund, which promotes the Long Island Hispanic community’s legal, educational and charitable missions.
