This change wants to reflect tho-se factors that distinguish the selection and quality of the product that our company commits to produce and supply.In this year 2011 we are presenting a renewed price-list with presentation changes that give more attention to the needs of our clients, in order to help them in the choice of a wood flooring that expresses their desire and personality.Three characteristics distinguish our 2011 Price List:
We produce in Italy...We have decided to propose a price-list in which all characteristics of our products are indicated with names and adjectives of common use to help our clients under-stand better all the alternatives available. For example, in the description of our fini-shes and of our selections we will not use names such as “TOPLaq” or “Elegance” but “Lacquered” and “Uniform Selection.” We have a simple price list, but definitely user friendly.We help our clients in making choices.The consultation of our price-lists begins with wood and color research. We start with oak and all its possible chromatic variations. For each essence you will easily see all formats and finishes available. We think that this approach helps the selection process for many clients.

Why Bio?“Natural Architecture,” “ecological,” “bio-architecture,” and “sustainable construction” are expressions that we use more frequently and that are becoming a major part of our normal day to day life. However, they also refer to general concepts that are not known to many and are generally collected under one name BIOCONSTRUCTION, or BIOECOLOGICAL CONSTRUCTION

Biological Architecture is to be considered as the radical re-reading of architecture itself, therefore the way to project and construct. An architecture able to create places where to live in equilibrium with the environment and with the coexistence of man-kind.What does it mean and why this necessity ?The availability of new material and modern construction technologies have determi-ned a technological revolution, permitting architectural possibilities before unthinka-ble, though, at the expense of a strong environmental impact. To this we may add that all these new solutions used in the construction field are not always in equilibrium between mankind and his living environment. In fact, heating, air-conditioning, air circulation systems and material with harmful emissions determine negative impact on our domestic micro-climate, affecting the quality of life, with consequences to-wards our health.
Bio-ecological Architecture permits a different approach towards construction and towards the material used to project and construct housing spaces. Concepts such as “health protection” (release of toxic substances inside housing envi-ronments), “environmental protection,” “development sustainability,” “energy conser-vation,” and “use of renewable raw material ” have become fundamental values of a new project culture and of a new construction practice that positions man and nature at the centre of its own project.
Lets talk about parquet… lets talk about LuxentiWood, intended as a natural raw material, renewable and easily disposed of, is the most appropriate material for the creation of a vital and equilibrated environment, thanks to its natural physical and technical characteristics as also its strong isolating and hygroscopicity power. Wood is a precious resource thanks to its workability, that consents many uses and that makes it ideal for various projects. Wood, a noble raw material, finds total synergy with the Luxenti evolution research towards the use of natural finishes.

B I O L O G I C A L OIL
The Luxenti Biological Oil Oil is eco-compatible and made exclusively with vegeta-ble products and applied advanced technology that determines the quality in terms of time and reduced maintenance.
100% air dried natural oil, dries thanks to a natural oxidative process; it therefore does not contain chemical components (accelerators, catalyst, etc.) It is a product that is absolutely ecological and very long lasting, obtained from vegetable extracts.
The oiling is obtained through an application of a selection of oils that penetrate de-eply into the wood fiber, as to protect the wood from the inside. To improve such im-pregnation of the wood fiber, Luxenti uses its own oil technology in order to increase the durability of the parquet flooring.After the absorption and drying phases are complete, this oil grants the following characteristics:
- hydro-oil-repellent property- good protection and less maintenance in time- excellent treading resistance Biological oil finish highlights the naturalness of wood and touch sensation.
The oil finish perfectly mixes with the image of wood as “live” material, because it does not create a superficial film, but maintains the original transpiration. Wood con-tinues to live and breathe at home, finding a natural equilibrium with the surrounding environment and giving its contribution to protecting the health of the people that live there. Oil gives parquet a warmer and more welcoming tonality, offering sensations of absolute naturalness. With an oiled wood flooring people rediscovers the pleasure of walking barefoot or sitting on the ground. The floor is best suited for children, healthy, warm,robust and not at all intimidated by their creativity and desire to explore.

Our bio-compatible oil treatment is certified by a primary German laboratory accor-ding to the DIN 53160/1-2 norm as resistant to coffee, cola and wine stains.

SIMPLICITY IN THE CARE OF LUXENTI OILED PARQUET
The cure of our biological oil floor does not need complicated solutions or devices. Following a simple maintenance program, oiled parquet will have an unlimited life-time:
- for daily cleaning, use a specific detergent (Luxenti detergent), diluted in water and used with a well wrung cloth;- for a regenerating operation, that gives light and liveliness, all you have to do is nebulixe, once a year, the specific product (Luxenti maintenance Oil) with a spray and a cloth.
The advantages of a Luxenti biological oiled parquet
- possibility to repair local scratches, traces, abrasions without the repair being visible;- possibility to repair signs of wear and keep your floor always young and beautiful;- an extended lifetime of your parquet and less needs for invasive operations, as san-ding and lacquering are not necessary: with simple maintenance your parquet will live forever.

OAK (Quercus petraea) is a deciduous oak-tree of first height (the tree may grows up till or over a height of 30mt), belonging to the family of the Fagaceae. It is a ring-porous wood with big characteristic medullary rays.Oak belongs to our culture, it is the most popular European wood, mainly because it can be employed for various uses. It allows surface effects and chromatic solutions impossible with other woods.Oak wood is valuable and is used, other than producing furniture, in construction, for beams and parquet, in shipyards and for the construction of staves for barrels.

Lacquered effect oil is a vintage finish with an microporous oil effect that confers an extraordinary naturalness: a mix of natu-ralness and convenience with a minimum need for maintenance.
This is a high resistant finish, product of an accurate lacquering that gives high resi-stance to abrasion and protects the surface of the wood in time, with a minimum need for maintenance.

Luxenti offers an acrylic lacquering without solvent emissions. The acrylic lacquering is a special Solvent Free photopolymer lacquer enriched with an antibacterial. The particular abrasion resistance and the lac-quer flexibility guarantee the best possible protection against use and bumps or scratches. The antibacte-rial protection stops fungus, bacteria or mould that cause stains, smells and deterioration of the product.

Luxenti offers an acrylic lacquering without solvent emissions. The acrylic lacquering is a special Solvent Free photopolymer lacquer enriched with an antibacterial. The particular abrasion resistance and the lac-quer flexibility guarantee the best possible protection against use and bumps or scratches. The antibacte-rial protection stops fungus, bacteria or mould that cause stains, smells and deterioration of the product.

Coming from Africa, Afrormosia is an exotic wood particularly precious and rare from the family of the leguminosae papilionaceae. The tree arrives to a considerable height (30/45 mt with a diameter even bigger than 1, 50 mt). Since it is a solid wood with peculiar aesthetics characteristics it is in particular appreciated for the production of parquet but also for fine joinery, exclusive furniture, sculptures, infixes and interior design. It has a delicate texture and a regular fiber often braided.

This is a very noble wood, with a delicate grain and a warm color that make it naturally elegant. Cabreuva is a precious wood with good mechanical characteristics of stability and hardness. When “raw” it emanates a pleasant smell of “incense”.

Cherry is a specie of the temperate zones with two timbers of special interest: european cherry, very diffused in Europe and in Asia Minor and Black American Cherry of the est of the United States. Ameri-can Cherry is called also Black Cherry for its nice brown red color and intense flaming, that makes the flooring decidedly elegant. Doussiè is widespread in the African forest belt that goes from Sierra Leone to Angola. Doussiè is a solid wood, ideal for the production of parquet. Its elegant brownish color with red-gold shadings makes it an appreciated wood, but its principal asset lies in its capacity to support different temperatures and climatic conditions: for this reason it is used for both under floor heating flooring and external structures that are therefore exposed to every season and every natural atmospheric agent.

Is one of the most valuable topical woods, native to the monsoon forest of Myanmar (Birmania) and Thailand. Teak today is cultivated in many tropical countries that go from Indonesia to Africa to South America. Noble wood for antonomasia, it offers warm and soft colors together with an elegant and light texture. Thanks to its resistant to atmospheric agents it is largely used in marine environment, it has a long high durability specially if finished with our biological oil. It has a nice and smooth surface.

The maintenance of LUXENTI parquet finished with Biological Oil (smooth or bru-shed) is made up of various operations all very simple, that must be done with due care and regularity.This is an indispensable condition to maintain in time the charac-teristics and beauty of your flooring.
Maintenance treatment exalts the beauty of wood protecting it and prolonging its duration. With the passing of time your flooring will become increasingly resistant thanks to the protective layer that is obtained using our maintenance products.
First maintenance treatment and correct maintenance of oiling finishes.
At the end of laying the flooring will present, unavoidable signs of processing (such as dust, dirt and stains). After having removed dust and eventual processing dirt with a vacuum cleaner with a brush adapt to wood flooring, it is advisable to finish the new flooring with LUXENTI Maintenance Oil, to give the surface of the wood a major homogeneity and the right protection, showing itself in all its splendour. Maintenance oil is the perfect product for the treatment of your new flooring preparing it for day to day use. This finishing touch adds to strengthen use resistance and it can be done following simple suggestions detailed in each instruction sheet that comes with all maintenance products.
Normal cleaning
All floorings need superficial cleaning that guarantee the highest level of hygiene and the best surface protection. To remove dust from your flooring simply use a broom or vacuum cleaner with a brush adapt for parquet flooring. To wash your flooring we recommend the use of LUXENTI Detergent,a product specially adapt for the regular cleaning of oiled finished parquet. Thanks to its nutritional properties it quickly closes wood pores protecting the wood from dirt and from the penetration of liquids.

Extraordinary Cleaning
LUXENTI Maintenance Oil is also ideal for proper maintenance of thesurface, allowing the restoration of the protective layer and the attenuationof scratches and wear of the floor, especially in areas with heavytraffic. We recommend the periodic application, usually every 6months - 1 year, but if exposed to heavy wear, more frequently.
HOW TO DO IT....1. Clean your flooring with LUXENTI deter-gent, 120 ml in 10 lt of water. The flooring must be perfectly dry.
2. 1. Maintenance oil is ready for use. Ap-ply oil on small surfaces with a humid cloth or with a nebulizer. Spread our in small amounts, uniformly , in the sense of the grain. For bigger surfaces we recommend the use of a mono-disk floor machine.
3. 1. 1 liters of Maintenance is enough for about 70 sqm.
4. It is important that Maintenance oil is absorbed by the wood, by polishing it. Continue to polish until the surface appears saturated and uniform.
5. The flooring must not appear humid and there must not be an excess of oil on the surface after the polishing. Proceed in sta-ges, until you have completely finished all the flooring
6. Drying time: from 6 to 12 hours, depen-ds on the temperature and the aeration .
IMPORTANT!- For 10 days after you have finish off your flooring with maintenance oil,clean only with a broom or with a vacuum cleaner, do not wash!
WE RECOMMEND THE USE OF LUXENTI SPECIFIC PRODUCTS

To maintain the good state of you wood flooring we recommend to:
• provide door mat (always kept clean) in front of your entrance, to clean the sole of your shoes form dust and abrasive particles;
• for everyday cleaning remove dust with a moistened cloth and detergent;• treat your flooring periodically (see table below) with protective products of the
TOP CARE Line.
The periodicity of the protective treatment depends on the intensity of use of your parquet.
1 - TOP CARE SIGILLANTE (SEALING) after layingEasy to use, the SIGILLANTE product stops water (or other liquids) from penetrating through the joints of pre-finished parquet, sealing is guaranteed. It hardens and lasts a long time. The surface must be treated a little at a time and it isimportant that the surface is perfectly dry and without residues (dust, dirt, grease). After the application, allow to work until completely dry and afterwards proceed with a light final cleaning with a white cloth.
It must not remain on the surface.The flooring may be used after about one hour after the application, while its complete function (use of mats, maintenance, etc.) is possible after about 8/10 days.Note: the product given in excess dries in patches.
2 - TOP CARE PULENTE (CLEANER): ideal for dirty or very dirty floors. This detergent restores and donates the original brightness to your parquet. The surface must be treated a little at a time . After the application it is necessary leave the product act for a short time without drying. Then rinse with water and dry with a soft cloth until eventual product residues are eliminated.
3 - TOP CARE DETERGENTE (DETERGENT):for the maintenance of your parquet.Water resistant, this product is applied on the surface only after it has been cleaned for all impurities (with a vacuum cleaner or a cloth). It is not necessary to dry or po-lish after the application. Do not rinse or walk on the flooring until it is completely dry.
Important: do not mix TOP CARE with other products.

Carried out with due care and regularity, it consents to preserve in time the characteristics and beauty of your wood flooring and guarantees continuity of the treatment system. UV Oil treated parquet donates to the environment a particular natural atmosphere. To enjoy for a long time UV oiled flooring, it must be preserved from the beginning. The flooring will become more resistant, with the pas-sing of time, as a consequence of the protective film that develops with maintenance.First maintenance treatment and correct maintenance of UV oil finish.At the end of laying the flooring will present, unavoidable signs of processing (such as dust, dirt and stains). After having removed dust and eventual processing dirt with a vacuum cleaner with a brush adapt to wood flooring, it is advisable to finish the new flooring with LUXENTI Maintenance Oil, to give the surface of the wood a major homogeneity and the right protection.Maintenance oil is the ideal product for curing your new floor and preparing it for day to day use. This finishing touch adds to strengthen use resistance and it can be done following simple suggestions detailed in each instruction sheet that comes with all maintenance products.Maintenance oil is, also, ideal for the correct maintenance of the superficial finish; permitting the revival and attenuating the effects of scratches and use, mainly in tho-se zones where the floor is used more. We advised a periodic application that goes from 6 months to 1 year, but if the flooring is strongly used then we suggest a more frequent application.
To refresh and affect a right maintenance of UV oil flooring it is possible to use LUXENTI Maintenance Paste.
MAINTENANCE OF PARQUET TREATED WITH OIL EFFECT
HOW TO DO IT....1. Clean the flooring with LUXENTI Inten-sive Cleaner, 125 ml in 5 liters of water. Leave the flooring dry for 8 hours, it must be perfectly dry, before proceeding.2. Shake thoroughly the bottle of mainte-nance oil . Apply about 1 dl of oil for about 8 sqm with a cotton cloth or use a mono-disk floor machine for bigger areas.3. It is very important that the Maintenance Oil is absorbed into the wood, by polishing it. Continue to polish the surface until the wood appears saturate and uniform.4. Dry the flooring with clean cotton clo-ths before proceeding with the successive phase. The flooring must not seem humid and there must not be any excess of oil on the surface after polishing. Proceed per stages. In case of the use of a mono-disk floor machine the surface will pre-harden after 4 hours at 20°C and may be used with caution. A hand polished floor may be used after 24 hours.

NORMAL CLEANINGEvery flooring needs a superficial cleaning that guarantees the highest level of hy-giene and the best protection. Remove dust with a broom or a vacuum cleaner with special brushes for parquet. To wash the flooring we recommend the use of LUXENTI Soap, product especially suitable for the regular cleaning of UV oil parquet, thanks to its nutritive properties it rapidly closes wood pores protecting it from dust and the penetration of liquids.
DEEP CLEANINGIf the floor is very dirty, we suggest using LUXENTI Pulitore Intensivo (Intensive Clea-ner) and afterwards using LUXENTI Sapone (Soap). It is possible to do maintenance on very dirty floors with Maintenance Pasta (Paste).
TO REMOVE STAINS.To remove very resistant stains, we suggest LUXENTI Pulitore Intensivo (Intensive Cleaner).
HOW TO DO IT...125 ml of Soap is diluted in 5 liters of warm water.
HOW TO DO IT...Dilute 150 ml of Intensive Cleaner in warm water. Leave the solution in contact with the surface to dissolve dirt. Rub the surface with a brush or wipe manually or if the floor is very dirty use a floor cleaning machine. Dry with a cloth and always dry twice to avoid that water remains on the surface.
WE RECOMMEND THE USE OF LUXENTI SUR-FACE PRODUCTS.
Risk of auto-combustion ! All cloths soaked with oil must be wet with water and disposed in a closed container.

All characteristics indicated above of stability and installation refer to the wood species and not to the formats and kind of product. Norma-tive references: UNI EN 1534/2000 (Brindell Hardness), Uni EN 1910/2201 (Dimensional Stability).Oxidation considered is that of each wood specie. Oxidation occurs in the phase after installation and may take from a few days to several months. Oxidation means the chromatic change of each specie due to the combination of the action of light and oxygen together. One should talk about photoxydation, but the term oxidation has become of general use.During oxidation of CABREUVA and DOUSSIE’ Africa, different chromatic changes may occur to each single element. At the moment of in-stallation Teak presents variegations and natural marks that after contact with light tend to disappear.Some wood species, mainly WENGE’, IROKO and DOUSSIE’, may contain mineral concretions with colors that go from whitish to lemon yellow. Ideal for those who love the naturalness of wood, with mixed flamed and twisted grains and with color contrast. Possible presence of sapwood. All natural characte-ristics are provided in function of the wood specie.
Regular grain, mainly strip-grain or semi-striped grain with little flaming inserted.The general aspect is uniform and the color characteristic of the specie with homoge-nous tones. Possible presence of small, sound and isolated knots without fiber variation.

Selection criteria and classificationPre-finished parquet refers to precise European norms transposed in Italy that deter-mine technical and selection specifications. The norm is the UNI EN 13489 – Pre-finished multilayer Parquet.The norm defines 3 selection ( ) called “classes” the differences depending on each wood specie and also different between them for natural characteristics and chromatic criteria. However the peculiarity of high durability and resistance of the parquet remains unchanged and constant.The norm provides specific limits for each class: each producer however is given the faculty to use “free classes” with the obligation to determine and underline all the tolerances established.The selections are made according to the UNI EN norm in force. Maximum cure is made in the division of the shades of color, but in any case the shade of each sample is to be considered only indicative and non-binding.Selections with knots and sapwood not provided for in the price lists may be delivered on request and according to the availability with prices to be agreed upon, always particularly advantageous.

StorageParquet must be kept in their original packaging in a perfectly dry room where there is no condensation or dampness rising from the flooring.
Room conditions and under flooringWood is a natural fiber, alive and sensible by nature to all climatic variations. According to the conditions in which it is laid it may have different reactions. In particular it is affected by humidity variations with possible dimensional changes. The achievement of an optimal par-quet installation is obtained in environmental and under flooring conditions without humidity, which must be controlled beforehand as to avoid withdrawal problems (slits) or swelling problems.
Humidity measuring of the laying surface (cement or anhydride screed) is obtained with a special instrument an electric or carbide hygrometer. The humidity of the under flooring, in case of cement screed must not be higher than 1, 5-1, 7%, in an anhydride screed it must not be higher than 0, 2%. The room temperature must be between 18° and 25°C and the humidity must be between 40% and 60%. Keeping these values is recommended for your health.
It is indispensable that the environment is acclimatized, that is with all windows and doors fitted in and the painting carried out and dried.
The following conservation of the wood flooring depends mainly on a healthy and balanced environment. In many households the humidity control is often ignored. In winter time the functioning of the heating system determines a very dry climate which may lead to shrinkage events. In summer time, mainly with coolers (not conditioners) a very humid climate may be determined which may cause wood swelling.It is therefore appropriate to adopt the necessary precautions to avoid that critical conditions for your parquet are determined.
Laying SurfaceCement or anhydride screeds represent the support on which your parquet will be installed. Before laying it is necessary to proceed with some important verifications of the quality of your screed.Uniformity:the screed must have the same thickness all through the extension of the flooring to avoid cracks and slits;The surface perfectly flat and smooth.Consistency : the surface must be compact, it must not create dust or crumble.Thickness: the thickness must be enough to guarantee rigidity and resistance. For example an adapt thickness for a cement screed is 4 to 7 cm and for an anhydride screed from 2, 5 to 5 cm. Seasoning: every screed needs an appropriate time to season and harden and reach its right hygrometric equilibrium.

Other laying surfacesPre-finished parquet is particularly adapt for laying on pre-existing flooring, such as tiles, ceramics, marble. For laying on these kinds of flooring it is necessary to carry out necessary precautions, such as the use of specific products and instruments.
KINDS OF LAYING
Glued layingThis kind of installation is particularly adapt for well levelled and consistent under flooring, it requires the use of bi-component or mono-component polyurethane glues. The glue is spre-ad on the under flooring to glue the parquet elements.
Floating layingThis kind of laying is made only with three layer parquet because its structure guarantees a major stability. The laying requires the use of an underfloor soundproof mattress , generally in propylene. There are different densities in relationship to the insulation required. The ele-ments may be fixed with a thin layer of humidity resistant glue which is applied to the groove joint of each element.This kind of laying is adapt to any kind of under flooring or flooring and is useful in case one wants to change the flooring without removing or ruining the pre-existing floor.
Laying on underfloor heatingPre-finished parquet is adapt for this kind of under flooring as long as certain criteria are respected:• thickness of each element not more than 15mm;• use only species that are recommended for this kind of installation;• glued installation is the ideal, but glue must be appropriate for this kind of installation;• in case of floating installation we recommended the use of a specific underfloor mattress
because it is fundamental to reduce thermal conductivity resistance;• we recommended not to exceed the temperature of 28°C on the surface of the flooring.
Completed the seasoning of the under-flooring and after having duly verified the humidity, proceed with the heating of the screed for at least 2/3 weeks increasing gradually the tempe-rature up till reaching the operating temperature. The procedure of cooling is also to be done gradually. Before installation the heating system must be turned off for at least 4 to 5 days.After laying, at each start, the system must be put into operation increasing gradually the temperature.
During winter time, when the system is on, to avoid slits in the parquet, we recommended to monitor the air humidity checking that it oscillates between 40% and 60%; in case the values are lower it is possible to correct the room humidity by using a humidifier that main-tains the humidity in its correct values.
General terms and conditions of sale and delivery of COSMO INDUSTRIE S.p.A.
1. General notes1.1 These general terms and conditions of sale and delivery shall apply to all sale contracts concluded by Cosmo Industrie S.p.A. (hereinafter called COSMO). All terms and conditions set by the buyer which contrast with these general terms and conditions of sale and delivery shall not be binding upon COSMO, even where they constitute an integral part of the order.1.2 These general terms and conditions of sale and delivery of COSMO shall apply even if not mentioned when the contract is entered into, such as - by way of example, however not exhausti-vely- when the order proposals are received by telephone, word of mouth, fax, mail, e-mail or by the Internet.1.3 Any collateral agreements, changes, amendments or additions to the contract or to the general terms and conditions of sale and delivery of COSMO are only valid if confirmed by COSMO in writing.1.4 Acceding to these general terms and conditions of sale shall mean for the Buyer neither the assignment of any exclusivity right, nor the establishment of any relationship of franchise, com-mission or agency and shall not give the Buyer the right to use the brand COSMO and its derivatives in any form whatsoever.
2. Order offers and proposals2.1 Offers made by COSMO shall always be regarded as not obliging and are valid for 30 days.2.2 Order proposals of customers obtained by Cosmo through agents, brokers or other dealers shall not be binding upon Cosmo and shall only become effective when COSMO accepts the order proposal in writing (order confirmation).2.3 Should the order confirmation by COSMO be, even partially, dissimilar from the order proposal, it shall be binding upon the Buyer who has not communicated this dissimilarity to COSMO in writing within 8 days of the order confirmation being received.
3. Dimensions, quantity, seasoning, samples and colors3.1 The dimensions of items, even if specified in the order confirmation, shall be regarded as indicative.3.2 The quantity required by the Buyer, even if specified in the plan, shall always be regarded as indicative. For no reasons, it will be possible to deliver parts of boxes or parcel. When reckoning the quantity to be delivered, the whole original parcel will always be taken into account, with a rounding up.3.3 Seasoning: seasoning of wood flooring may vary according to the floating. Unless specifically agreed upon, seasoning may range between 7 and 9%. Under pain of loss of all his rights, the Buyer is obliged to check the degree of humidity of materials on delivery. No complaint shall be admissible if lodged after that time or, however, against materials whose original packages have been tampered with or opened.3.4 Samples, any indication of weights, measures, dimensions, colors, tones and other information reported in catalogues, brochures and products list shall be regarded as general information and they are only indicative and not binding, since the various batches may differ in veining, colors and dimensions. When completing orders which have been already processed and/or sub-sequent orders of the same products, some aesthetic differences may occur, the latter shall in no way be used to dispute the products.
4. Delivery and shipment4.1 Delivery of products and materials shall mean that taking place, to all intents and purposes, in the COSMO plant when delivering the goods to the carrier. Consequently, even if goods are sold “free at destination” or “franco domicile” of the Buyer, they are transported at his own risk and any liability of COSMO terminates when delivering the goods to the carrier.
5. Terms of delivery, partial delivery5.1 Terms of delivery are indicative only and not binding, unless explicitly agreed upon in writing and reported on the order confirmation.5.2 Every single order or delivery shall be regarded as being autonomous and separate from any other order or delivery.5.3 COSMO reserves the right to process orders also through partial deliveries. If the Buyer intends to refuse any partial delivery of goods, he shall declare it beforehand in writing on the order proposal.5.4 If the delivery of the ordered goods is not possible or, anyway, is made more expensive because of reasons beyond its will, COSMO will be entitled to rescind, by notice in writing to the Buyer, the contract which had been entered into with the order confirmation by COSMO.5.5 Unless the contrary is expressly agreed upon in writing, if COSMO processes an order after the set deadline for delivery, the Buyer will not be entitled to ask for the rescission of the contract, except when the delay is such to result in a serious breach of the contract.5.6 Should the Buyer wish to rescind the contract because of a delay in the delivery, he shall invite COSMO, in writing, to process the order, or the part of order not processed yet, within a reaso-nable time of no less than 15 days. The contract shall be considered as rescinded if COSMO has not carried out the delivery by the granted term .5.7 Unless the Buyer has communicated beforehand, in compliance with art. 5.3, that he will only accept the complete execution of the order, in no case the Buyer shall be entitled to refuse or to delay the payment of goods delivered, on the basis of an order only partially executed.5.8 Any arising circumstance of force majeure suspends the expiry of delivery date for the whole duration of the circumstance itself .
6. Payments6.1 The place of payment is by the registered office of COSMO, based in Contrada San Nicola, 3 in Sulmona (AQ), also when issuing bank drafts and cash orders, i.e. bills of exchange.6.2 All amounts of invoices and debit notes are net and without any additional discounts.6.3 Methods of payment are those declared in the invoice and/or debit note (or in the accompanying document) sent to the Buyer.6.4 The Buyer may only have access to a line of credit for delayed payments if the analysis carried out by Credit Office – which is in charge of examining the documents sent by the Buyer for the opening of the line of credit – will be successful. COSMO reserves, to its unchallengeable judgement, the right to set the amount of the line of credit and the terms of payment offered to the Buyer.6.5 Any acceptance by COSMO of bills of exchange, I-owe-you, endorsed bills or bank cheques shall be regarded as “under reserve” and without any novation of the debt; collection and discount fees shall always be charged to the Buyer.
7. Default on payments7.1 The non-payment of an invoice or a debit note by the deadline, any request for deferring payments or any other events resulting in a default on the side of the Buyer, cause the lapse of the terms agreed upon for the payment of products, thus making every credit due to COSMO by the Buyer immediately payable; if so, COSMO will be furthermore entitled to suspend the delivery of those products not delivered yet.7.2 The non-payment even of a single invoice by the deadline furthermore allows COSMO to reduce the amount of the line of credit offered to the Buyer.7.3 Moreover, in the event of a non-payment or delay in the payment on the side of the Buyer, COSMO is allowed to immediately rescind any ongoing contract, without any compensation for the Buyer or any other technicalities but a simple notice sent by registered mail or fax.7.4 Every single order or delivery shall be regarded as being autonomous and separate from any other order or deliver. Any disputes arising between the Buyer and COSMO shall, in no case, result in the suspension of the payment of other invoices or of that part of the invoice which is not in dispute.7.5 The incomplete delivery of an order shall not give the Buyer the right to refuse the payment of what has been delivered. Except for the case provided for under art. 5.3, COSMO is allowed to issue partial invoices according to the deliveries carried out.7.6 Should the Buyer ask COSMO to provide additional services apart from sale, such as installation and/or implementation of products, the payment of invoices relating to the price of products shall in no case depend on the completion of services of installation or implementation of products.7.7 Unless the contrary is expressly agreed upon in writing, a total or partial default on payment by the deadline set for the payment shall result in the immediate start of interest on arrears based

on the average official discount rate valid at that time, increased by 5%, however within the limits set forth by the Law n.108, 7 March 1996.
8. Price8.1 Unless otherwise agreed upon in writing, the price of products is that indicated in the price list valid when receiving the order and it shall be intended as goods delivered ex works and not including V.A.T.8.2 The validity of price is subject to possible changes in the cost of raw materials, hire charge, transport, port charges, manpower, as well as exchange rates. Any variation in the above-mentioned items will give COSMO the right to revise prices indicated in the order proposal or confirmation, according to the extent and incidence of the above-mentioned increase in price. The Buyer has anyway the right to withdraw from buying if he considers this as too expensive a revision, waiving any claim for damages or whatever against COSMO.8.3 The price includes the standard package and loading on means of transport by the plant of COSMO.8.4 In case of DDP or Free Domicile transport freight will be as per following tables. Customer will extra-pay any stock or insurance fees.
9. Ownership reservation9.1 COSMO reserves the ownership right of sold products until the whole sale price has been paid.9.2 In the event of a default in the payment of the whole sale price, COSMO will be entitled to ask for the prompt return of the concerned products, to which it will follow the refund of the shares of sale price already received by COSMO itself
10. Complaints10.1 Materials shall be tested on delivery. Any complaints, including those related to the degree of humidity, color and tone, shall be lodged, under penalty of expiration, by registered mail with a form of acknowledgement addressed to COSMO within 8 days of the goods being received and, anyway, before starting the installation. Complaints shall indicate in details faults, defects and failures to comply which are being disputed.10.2 Hidden faults and/or defects shall be reported, under penalty of expiration, within 8 days after being discovered. Complaints shall be lodged by registered mail with a form of acknowledge-ment addressed to COSMO and shall indicate in details faults, defects and failures to comply which are being disputed.10.3 Complaints relating to faults, defects and failures to comply of products belonging to a supply does not invalidate the latter but only apply to those products turned out to be defective, faulty and failing to comply.
11. Guarantee11.1 The guarantee by COSMO shall not apply if the Buyer cannot prove the proper use and maintenance of products after their fitting.11.2 Should the delivered products turn out to have any irregularity or defect over the following 12 years of risk transfer COSMO is liable for, COSMO undertakes, if it thinks fit, to supply for free to the Buyer “ex works” products of the same kind and quality of those which turned out to be defective or failing to comply with what agreed upon or to grant an adequate reduction in price.11.3 More relevant complaints on the side of the Buyer, notably those relating to possible compensations or contract rescission and loss or damage resulting from the use and installation of products, are expressly excluded, regardless of the legal basis they rely upon.
12. Personal data processing12.1 COSMO, as the “Owner” of processing, guarantees maximum confidentiality of the Buyer’s personal data and the full compliance with the provisions under the Legislative Decree no. 196/2003 and following modifications.12.2 In accordance with art. 13 of the Legislative Decree no. 196/2003, providing for the “protection of persons and other entities regarding the processing of personal data”, COSMO informs that the Buyer’s personal data will also be processed by means of information technology systems and through the help of third parties connected with the business organisation, exclusively for purposes related to the execution of contract.12.3 Purposes related to the execution of contract shall notably mean all those functions which are connected with and being used as a means for the processing of purchase order, such as the management of the information technology system, payment control, management of delivery and complaints.12.4 COSMO, as the owner of the Buyer’s personal data processing, furthermore informs that a more detailed informative note relating to the processing of data, the list of rights recognized to the Customer in accordance with art. 7 of the Legislative Decree no. 196/2003 and the list of entities designated by COSMO, that are responsible for data processing, is available upon request in writing.12.5 With reference to provided data, the Buyer will be entitled to exercise the rights provided for under art. 7 of the Legislative Decree no. 196/2003 (access, rectification, integration, deletion, objection etc.) by applying to the “owner” or to the entities that are “Responsible” for data processing.
13. Jurisdiction and Applicable law13.1 It is agreed upon that any litigation or dispute arising from or related to sale contracts concluded by COSMO, i.e. to the interpretation, execution and validity of the contracts themselves and to these general terms and conditions of sale and delivery, shall exclusively be under the jurisdiction of an Italian judge and the relevant court will exclusively be that of Sulmona. However, COSMO reserves the right to initiate a proceeding before the judicial authorities relevant for the territory where the Buyer is based.13.2 Sale contracts concluded by COSMO are ruled by and interpreted according to the Italian laws. The United Nations Convention on Contracts for the International Sale signed in Vienna in 1980 shall not apply to the sale contracts concluded by COSMO through the present contract and to the cont
