DECLARATION OF APPLICANTRelease of Credit Information. The signing of this application authorizes BFG Supply Company, LLC to perform credit investigation(s) of the Applicant. Applicant authorizes any references to release information necessary for BFG Supply Company, LLC to make an informed credit decision. BFG Supply Company, LLC, is authorized to make all inquiries deemed necessary to determine the credit worthiness of Applicant including with any third parties with which the Applicant has or is conducting business and any additional third parties that BFG Supply Company, LLC deems relevant. BFG Supply Company, LLC is hereby authorized to answer questions about its credit experience with Applicant and to provide information regarding its credit experience with Applicant. If the undersigned individual is not the Applicant, but an authorized representative of Applicant, then the undersigned individual recognizes that his or her individual credit history may be a factor in the evaluation of the credit history of Applicant and hereby authorizes BFG Supply Company, LLC, to perform the necessary credit investigation and make all inquiries deemed necessary to determine the creditworthiness of the undersigned individual.Grant of Security Interest. To secure payment and performance of all obligations now existing or hereinafter arising, Applicant hereby grants BFG Supply Company, LLC, a continuing security interest in all inventory, equipment, and goods manufactured by or distributed by BFG Supply Company, LLC, whenever sold, consigned, leased, rented or delivered, directly or indirectly, to or for the benefit of Applicant by BFG Supply Company, LLC, wherever located, now owned and hereafter acquired, including but not limited to all BFG Supply Company, LLC brand products and any replacement products, parts, accessories and supplies including repossessions and returns, all proceeds from the sale, lease or rental thereof and all existing or subsequently arising accounts and accounts receivable and supporting obligations which may from time to time hereafter come into existence during the time any obligations to BFG Supply Company, LLC, remain outstanding (the “Collateral”). Applicant agrees to execute and deliver to BFG Supply Company, LLC, upon BFG Supply Company, LLC’s request, such instruments and assurances as BFG Supply Company, LLC deems necessary or desirable to establish, confirm and maintain perfection of BFG Supply Company, LLC’s rights and interest in the Collateral. In connection with the security interest granted by Applicant, BFG Supply Company, LLC may file and/or record any financing statements and/or fixture filings deemed necessary by BFG Supply Company, LLC to protect its rights and interests in the Collateral. Applicant hereby authorizes BFG Supply Company, LLC to file all financing, continuation and amendment statements and such other documents as BFG Supply Company, LLC deems necessary or desirable to protect its right, title and interest in the Collateral. In addition, Applicant hereby ratifies its authorization for BFG Supply Company, LLC to have filed in any jurisdiction any financing statements or amendments thereto if filed prior to the date hereof. Applicant authorizes BFG Supply Company, LLC to file a Uniform Commercial Code (the “UCC”) Financing Statements in the filing office of any jurisdiction(s) BFG Supply Company, LLC,deems to be appropriate pursuant to the UCC.Covenants of Applicant. Applicant will maintain the Collateral in original condition but for the ordinary wear and tear and will insure the Collateral against all expected risks. Applicant will not subject the Collateral to any adverse encumbrance or lien, or sale or other transfer other than as approved in writing by BFG Supply Company, LLC. Applicant will not locate the Collateral at any location other than as known to BFG Supply Company, LLC. Applicant will promptly advise BFG Supply Company, LLC of any change of Applicant’s name or business nature, location, and business openings and closings.Events of Default. The following constitute Applicant defaults: (i) non-payment in timely fashion of Applicant’s indebtedness to BFG Supply Company, LLC, (ii) bankruptcy, insolvency or assignment for the benefit of creditors or (iii) misrepresentation or breach in respect of any provision of this or any agreement between BFG Supply Company, LLC and Applicant. In the event of default, BFG Supply Company, LLC may declare all unpaid balances due and payable and/or may require Applicant to assemble the Collateral and make it available to allow BFG Supply Company, LLC to take possession or dispose of the Collateral. Applicant further agrees to pay all reasonable attorneys’ fees and all other costs and expenses incurred by BFG Supply Company, LLC, in the collection of any obligation of Applicant under this Credit Agreement or related to any amounts that are or become due from Applicant to BFG Supply Company, LLC.Miscellaneous. The information contained herein is submitted by Applicant for the purpose of obtaining credit. Applicant expressly agrees to make payment in full to BFG Supply Company, LLC for any purchases made from BFG Supply Company, LLC in accordance with the terms of all invoice(s) issued by BFG Supply Company, LLC. Should Applicant default in any such payment, Applicant expressly agrees to pay a late charge on any amounts in default of 2% per month (annual rate 24%), and, all amounts owed to BFG Supply Company, LLC by Applicant may, at the option of BFG Supply Company, LLC, become immediately due and payable. The terms and conditions of sale are subject to and will be construed in accordance the terms and conditions of sale in effect for BFG Supply Company, LLC and with the laws of the State of Ohio. BFG Supply Company, LLC and Applicant expressly agree that original jurisdiction of any dispute arising under or pursuant to this Credit Application or any amounts due or that are or become due from Applicant to BFG Supply Company, LLC shall lie in the Common Pleas Court of Geauga County, State of Ohio, except in the event BFG Supply Company, LLC, in its sole discretion, elects to cause any dispute to be adjudicated by binding arbitration. This Agreement and any purchase order between the parties constitute the entire agreement of the parties hereto with respect to the subject matter hereof and shall be deemed to supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Severability. This Agreement is intended to be in compliance with all laws and regulations. In the event that any one or more of the provisions or terms contained in this Agreement should be adjudged to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions and terms contained in this Agreement shall not in any way be affected or impaired thereby, and shall be otherwise valid, legal and enforceable.

GUARANTYIn consideration of credit being extended by BFG Supply Company, LLC to the Applicant identified above, whether Applicant be an individual or individuals, a proprietorship, a partnership, a corporation, or other entity, the undersigned guarantor or guarantors (collectively, the “Guarantors”) each hereby (jointly and severally if more than one) unconditionally guarantee to BFG Supply Company, LLC the faithful payment, when due, of all obligations of the Applicant to BFG Supply Company, LLC together with all fees and expenses incurred in a suit to enforce this Guaranty. The Guarantors each hereby expressly waive (i) all notice of acceptance of this guaranty, (ii) all notice of extensions of credit to Applicant, (iii) presentment and demand for payment, (iv) protest and notice to the Guarantors of dishonor or default by Applicant, and (v) all other notices to the Guarantors and all defenses given to sureties or guarantors at law or in equity other than payment. By signing below, the Guarantors authorize BFG Supply Company, LLC to make all inquiries deemed necessary to determine the creditworthiness of the Guarantors. BFG Supply Company, LLC, is authorized to answer questions about its credit experience with the Guarantors and to provide information regarding its credit experience with the Guarantors. The Guarantors acknowledge that execution of this guaranty is a material part of the consideration upon which BFG Supply Company, LLC, is relying on to extend credit to the Applicant, that this guaranty is executed as an inducement to BFG Supply Company, LLC to consummate such extension of credit, and that this Guaranty is in the Guarantors’ interest and to the Guarantors’ direct or indirect benefit.

INSTRUCTIONS REGARDING UNIFORM SALES & USE TAX CERTIFICATE

To Seller’s Customers:

In order to comply with the majority of state and local sales tax law requirements, the seller must have in its files a properly ex-ecuted exemption certificate from all of its customers who claim a sales tax exemption. If the seller does not have this certificate, it is obliged to collect the tax for the state in which the property or service is delivered.

If the buyer is entitled to sales tax exemption, the buyer should complete the certificate and send it to the seller at its earliest conve-nience. If the buyer purchases tax free for a reason for which this form does not provide, the buyer should send the seller its special certificate or statement.

Caution to Seller:

In order for the certificate to be accepted in good faith by the seller, seller must exercise care that the property or service being sold is of a type normally sold wholesale, resold, leased, rented or incorporated as a ingredient or component part of a product manufac-tured by buyer and then resold in the usual course of its business. A seller failing to exercise due care could be held liable for the sales tax due in some states or cities. Misuse of this certificate by seller, lessee, or the representative thereof may be punishable by fine, imprisonment or loss of right to issue certificate in some states or cities.

1. Alabama: Each retailer shall be responsible for determining the validity of a purchaser’s claim for exemption.

2. Arizona: This certificate may be used only when making purchases of tangible personal property for resale in the ordinary course of business, and not for any other statutory deduction or exemption. It is valid as a resale certificate only if it contains the purchaser’s name, address, signature, and Arizona transaction privilege tax (or other state sales tax) license number, as required by Arizona Revised Statutes § 42-5022, Burden of proving sales not at retail.

4. The state of Colorado, Hawaii, Illinois, and New Mexico do not permit the use of this certificate to claim a resale exemption for the purchase of a taxable service for resale.

5. Connecticut: This certificate is not valid as an exemption certificate. Its use is limited to use as a resale certificate subject to Conn. Gen. State §§12-410(5) and 12-411(14) and an regulations and administrative pronouncements pertaining to resale certificates.

6. District of Columbia: This certificate is not valid as an exemption certificate. It is not valid as a resale certificate unless it con-tains the purchaser’s D.C. sales and use tax registration number.

7. Florida: The Department will allow purchasers to use the Multistate Tax Commission’s Uniform Sales and Use Tax Certificate-Multijurisdiction. However, the use of this uniform certificate must be used in conjunction with the telephonic or electronic authorization number method described in paragraph (3)(b) or (c) of rule SUT FAC 12A-1.039.

Georgia: the purchaser’s state of registration number will be accepted in lieu of Georgia’s registration number when the pur-chaser is located outside Georgia, does not have nexus with Georgia, and the tangible personal property is delivered by drop shipment to the purchaser’s customer located in Georgia.

A. This certificate is not valid as an exemption certificate. Its use is limited to use as a resale certificate subject to the provisions of Title 18, California Code of Regulations, Section 1668 (Sales and Use Tax Regulation 1668, Resale Certificate).

B. By use of this certificate, the purchaser certifies that the property is purchased for resale in the regular course of business in the form of tangible personal property, which includes property incorporated as an ingredient or component part of an item manufactured for resale in the regular course of business.

C. When the applicable tax would be sales tax, it is the seller who owes that tax unless the seller takes a timely and valid resale certificate in good faith.

D. A valid resale certificate is effective until the issuer revokes the certificate.

Hawaii allows this certificate to be used by the seller to claim a lower general excise tax rate or no general excise tax, rather than the buyer claiming an exemption. The no tax situation occurs when the purchaser of imported goods certifies to the seller, who originally imported the goods into Hawaii, that the purchaser will resell the imported goods at wholesale. If the lower rate or no tax does not in fact apply to the sale, the purchaser is liable to pay the seller the additional tax imposed. See Hawaii Dept. of Taxation Tax Information Release No. 93-5, November 10, 1993, and Tax Information Release No. 98-8, October 30, 1998.

Use of this certificate in Illinois is subject to the provisions of 86 Ill. Adm. Code Ch.I, Sec. 130.1405. Illinois does not have an exemption on sales of property for subsequent ease or rental, nor does the use of this certificate for claiming resale pur-chases of services have any application in Illinois.

The registration number to be supplied next to Illinois on page 1 of this certificate must be the Illinois registration or resale number; no other state’s registration number is acceptable.

“Good faith” is not the standard of care to be exercised by a retailer in Illinois. A retailer in Illinois is not required to determine if the purchaser actually intends to resell the item. Instead, a retailer must confirm that the purchaser has a valid registration or resale number at the time of purchase. If a purchaser fails to provide a certificate of resale at the time of sale in Illinois, the seller must charge the purchaser tax.

While there is no statutory requirement that blanket certificates of resale be renewed at certain intervals, blanket certificates should be updated periodically, and no less frequently than every three years.

Kentucky:

Maine does not have an exemption on sales of property for subsequent lease or rental.

Maryland: This certificate is not valid as an exemption certificate. However, vendors may accept resale certificates that bear the exemption number issued to a religious organization. Exemption certifications issued to religious organizations consist of 8 digits, the first two of which are always “29”. Maryland registration, exemption and direct pay numbers may be verified on the website of the Comptroller of the Treasury at www.marylandtaxes.com.

Michigan: Effective for a period of three years unless a lesser period is mutually agreed t and stated on this certificate. Cov-ers all exempt transfers when accepted by the seller in “good faith” as defined by Michigan statute.

Minnesota: A. Does not allow a resale certificate for purchases of taxable services for resale in most situations. B. Allows an exemption for items used only once during production and not used again.

Missouri: A. Purchases who improperly purchase property or services sales tax free using this certificate may be required to pay the tax, interest, additions to tax or penalty. B. Even if property is delivered outside Missouri, facts and circumstances may subject it to Missouri tax, contrary to the second sentence of the first paragraph of the above instructions.

Nebraska: A blanket certificate is valid 3 years from the date of issuance.

New Mexico: For transactions occurring on or after July 1, 1998, New Mexico will accept this certificate in lieu of a New Mexico nontaxable transaction certificate and as evidence of the deductibility of a sale tangible personal property provided:

a) this certificate was not issued by the State of New Mexico;b) the buyer is not required to be registered in New Mexico; andc) the buyer is purchasing tangible personal property for resale or incorporations as an ingredient or component part into a manufactured product.

1. Kentucky does not permit the use of this certificate to claim a resale exclusion for the purchase of a taxable service.2. This certificate is not valid as an exemption certificate. Its use is limited to use as a resale certificate subject to the provisions of Kentucky Revised Statute 139.270 (Good Faith).3. North Carolina: This certificate is not valid as an exemption certificate or if signed by a person such as a contractor who in-tends to use the property. Its use is subject to G.S. 105-164.28 and any administrative rules or directives pertaining to resale certificates.

Ohio: A. The buyer must specify which one of the reasons for exemption on the certificate applies. This may be done by circling or underlining the appropriate reason or writing it on the form above the state registration section. Failure to specify the exemption reason will, on audit, result in disallowance of the certificate.

B. In order to be valid, the buyer must sign and deliver the certificate to the seller before or during the period for filing the return.

Oklahoma would allow this certificate in lieu of a copy of the purchaser’s sales tax permit as one of the elements of “prop-erly completed documents” which is one of the three requirements which must be met prior to the vendor being relieved of liability. The other tow requirements are that the vendor must have the certificate in his possession at the time the sale is made and must accept the documentation in good faith. The specific documentation required under OAC 710-:65-7-6 is:

A) Sales tax permit information may consist of: (i) A copy of the purchaser’s sales tax permit; or (ii) In lieu of a copy of the permit, obtain the following: (I) Sales tax permit number; and (II) The name and address of the purchaser;B) A statement that the purchaser is engaged in the business of reselling the articles purchased;C) A statement that the articles purchased are purchased for resale;D) The signature of the purchaser or a person authorized to legally bind the purchaser; andE) Certification on the face of the invoice, bill or sales slip or on separate letter that said purchaser is engaged in reselling the articles purchased.

Absent strict compliance with these requirements, Oklahoma holds a seller liable for sales tax due on sales where the claimed exemption is found to be invalid, for whatever reason, unless the Tax Commission determines that purchaser should be pursued for collection of the tax resulting from improper presentation of a certificate.

Pennsylvania: This certificate is not valid as an exemption certificate. It is valid as a resale certificate only if it contains the purchaser’s Pennsylvania Sales and Use Tax eight-digit license number, subject to the provisions of 61 PA Code §32.3.

Rhode Island allows this certificate to be used to claim a resale exemption only when the item will be resold in the same form. They do not permit this certificate to be used to claim any other type of exemption.

South Dakota: Services which are purchased by a service provider and delivered to a current customer in conjunction with the services contracted to be provided to the customer are claimed to be for resale. Receipts from the sale of a service for resale by the purchaser are not subject to sales tax if the purchaser furnishes a resale certificate which the seller accepts in good faith. In order for the transaction to be a sale for resale, the following conditions must be present:

(1) The service is purchased for or on behalf of a current customer;(2) The purchaser of the service does not use the service in any manner; and(3) The service is delivered or resold to the customer without any alteration or change.

Texas: Items purchased for resale must be for resale within the geographical limits of the United States, its territories and possessions.

Washington: Resale certificates will be replaced by reseller permits issued by Department of Revenue, effective January 1, 2010.

Wisconsin allows this certificate to be used to claim a resale exemption only. It does not permit this certificate to be used to claim any other type of exemption.

TERMS & CONDITIONS OF SALEPrices are F.O.B. your BFG warehouse or F.O.B. thefactory unless otherwise stated. Prices are subject tochange without notice. Prices at time of shipment willprevail. For current quotation, please call your servic-ing BFG warehouse or field sales representative. All quotations are subject to change regardless of expira-tion date.

TERMSPayment terms are stated on your invoice. Discounts may be offered on certain products in certain situations and will be specified on the invoice. These discounts, if offered, are only available on invoices paid and received into the BFG office within the terms specifi-cations via cash or check. Buyer is responsible for mail time. A finance charge of 2% per month (24% annu-ally) will be assessed immediately on invoices not paid within invoice term date. Payments received towards balance will first be applied to finance charges unless otherwise stated. BFG reserves the right to charge the maximum amount of interest allowed by law. Accounts may be placed on C.O.D. status until past due bal-ances (including interest charges) are paid and a credit line is reestablished. In the event BFG must employ a collection agency or attorney to collect any past due account, customer shall pay any and all collection and/or attorney fees.

PAYMENTSVISA, MasterCard, and Discover are acceptable pay-ments at the time of purchase. Payments made after a finalized sale that require (or per request) a change in terms will be charged a 3% convenience fee. CREDIT APPLICATION AND TAX EXEMPT FORMSCredit can be established by submitting a completed BFG Supply Co. credit application. Allow three to four weeks for complete processing. In addition, a tax exempt form for your state must be on file with BFG Supply Co. or taxes will be charged on all purchases. The credit application must be completed in its entirety to avoid processing delays. Failure to provide all infor-mation will result in declining the application.

INVOICES/STATEMENTSProduct will be invoiced on the date product is shippedfrom BFG or when delivery information is received

from a manufacturer shipping direct. Monthly state-ments are also sent at the beginning of each month. Statements are reminders of invoices open. It does not grant an additional amount of time to remit payment. Please follow the terms indicated on your individual invoice. Missing invoices or problems on your account may be directed to the Burton, OH, office for copies and resolutions. All of these documents may be mailed, faxed, or e-mailed. RETURNSAny merchandise being returned must be accompanied by a Returned Merchandise Authorization (RMA) number obtained from BFG’s office and an original BFG invoice. BFG drivers will not pick up merchan-dise to be returned without an RMA in hand. Stock items may be returned within 30 days if they are in the same condition as when delivered. A restocking charge of 20% will be assessed on all returns unless merchan-dise is defective or shipped in error. Items which are special ordered, made to customer specifications, and/or nonstock items MAY NOT be returned for credit due to their special nature.

DELIVERIESBFG delivers to customers in designated delivery areasaccording to an established daily routing schedule.Although we do our best to run the same routes on thesame days each week, unavoidable circumstances mayarise which prevent us from adhering to our normalschedule. Please note that we will do our best to makesure you receive the product you need when you need it. BFG delivery charges vary by location. Please con-tact your local BFG service center for pricing. Some orders may be shipped via Fed-Ex/UPS/Speedee at the buyer’s expense and are subject to an additional $7.50 per order handling charge. No orders may be shipped via UPS for a C.O.D. purchase. These orders must be prepaid. Advanced payment arrangements must be made with your local BFG Service Center for all BFG truck deliveries.BFG drivers do not carry cash. DAMAGE CLAIMSDamage in shipment claims on items shipped via Fed-Ex/UPS/Speedee must be made within 48 hours of receipt of the merchandise. Immediately upon receipt of truck shipments, examine the shipment carefully before signing the freight bill. If damage or shortage is evident, do not accept shipment without notation on the freight bill by the driver. Failure to do so may prevent you from filing a claim with the carrier. If you need assistance regarding damage claims, please contact your nearest BFG service location.

RECOMMENDATIONSAll recommendations made by BFG are compiled fromrecognized horticultural sources. We are not responsiblefor damage or failure due to any recommendations given by BFG Supply Co. or its personnel.
