Explanation of Terms

GII THCH THUT NG

1. Net leased area the Leased Area is the floor area of the leased area, including all fixtures, furniture, doors and windows, power system, wiring, fire control equipment, structural columns inside the leased area, but not including exteriors of partition (Details in Annex VII), bulkhead separating the area for lease from the area generally used or with adjacent leased area of Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam.

2. Rental counted areas are 25.50 m2 (Suite: 1304 - 13FL) in Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam.2. Contract term is the term commenced from the valid date of the Contract as regulated at Article 12.

3. Thi hn hp ng l thi hn bt u k t ngy Hp ng pht sinh hiu lc cho n khi kt thc hp ng theo qui nh ti iu 12.4. Leased term is the term of the Office Leased Contract as regulated at Clause 11.1 of this Contract.

4. Thi hn thu l thi hn ca hp ng thu vn phng theo quy nh ti iu 11.1 ca hp ng ny.5. Starting date is the date that the leased term is started, specifically on 2nd of Jan, 20095. Letter of Invitation for the Contract Extension is a written statement sent by Party A to Party B in accordance with regulations as included in Clause 11.3 of this Contract.

New rental and New service charge are the rental and the service charge as specified in the Letter of Invitation for the Contract Extension sent by Party A to Party B in accordance with regulations as included in Clause 11.3 of this Contract. The new rental shall be counted on the basis of the market price of offices for lease in Hanoi at time of sending the Letter of Invitation for the Contract Extension.

Business time is the time lasting from 7:30 am to 18: 00 pm daily from Monday to Friday and from 8:00 am to 12:00 am on Saturday, except Saturday afternoon from 12h onwards, Sunday and public holidays as regulated by the Laws of Vietnam.

10. 1.1 Party A agrees to lease to Party B with a leased areas Suite 1304 13FL in Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam for purpose of Party Bs office.

Total net leased areas: 25.50 m2

1.2. Diagram of the entire leased area is described in details in Annex I of this Contract the leased area part is marked in red color on the drawings.

Article 2. Office Rental

2.1.Office Rental: USD 735.00/month (in words:Seven hundred and thirty five US dollars for 01workstation only and 02 workstaions for visitor)..Gi thu:USD 735.00 /thng (Bng ch: By trm ba mi nm -la M cho (01)mt ngi lm vic v 02 khch hng trong mt thng).2.2.Rental is included 5% of tax .

Free Capuccino, Espresso, Coffee, Green Teas, Black Teas, Services at door upon request or self-services at Pantry Room. Free Fruits At Reception counter. Free meeting room usage (Subject to reservation & availability)

Free photocopy 200 pages per month

Free incoming faxes service and delivery at door

Phone answering by Tenants name

Auto- divert Phone call to system Landline and Cell phone, Overseas. Diverting services are chargeable subjected to Government Post Office

High speed Wifi Internet service is chargeable

Provide one coming direct line to each company with 03 extensions for (01Digital and 02 analog sets)

Provide Carpet, door, blind window.

Provide Imported Working tables, chairs and files cabinets.

iu 3.Tin nghi v dch v khc

Party B shall be entitled to use comforts and other services provided by Party A in accordance with regulations. Details in Annex IV.

Bn B s c php s dng cc tin nghi v dch v khc do Bn A cung cp, theo ng cc qui nh ca ni quy trong Ph lc IV ca Hp ng ny.

3.2.By notification to Party B prior to 01 (one) month, Party A shall be entitled to provide, amend or revoke comforts and other services provided to Party B if it is found necessary for the operation and maintenance of Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam /or the leased area.

3.3. Party A shall provide services - comforts to Party B:

Costs of power for Party B on the leased area.

Sanitation at the leased area.

Maintenance expenses for the leased area.

Article 4. Payment

iu 4.Thanh ton

4.1 The monthly rental is USD 735.00 even in word seven hundred and thirty five US Dollars even.This amount is calculated as following:

Rental:

(USD 735.00 x 01 months ) = 735.00 USD)

The party B shall pay to party A the rent for the next quarter in the last week of the preceding month after receiving payment notice from Party A. (Party B pays for bank fee)

Bn B phi thanh ton tin thu cho Bn A vo tun cui ca Thng trc cho Thng tip theo ngay sau khi nhn c thng bo thanh ton t Bn A (Bn B phi t chu ph Ngn hng).

4.2 The Rent shall be paid by Party B to Party A as specified in Article 4.1 upon receiving Party A payment notice. If the Rent or any sums payable by Party B under this Agreement remain unpaid by Party B at the expiration of 14 (fourteen) days after becoming payable as specified in Article 4.1, Party B shall pay interest on any such unpaid sums at the rate of 2,9% per month calculated from day to day from the date when the unpaid sums become due until the date of payment thereof, in addition to any other remedies as may be available to Party A under this Agreement.

4.3 Payment of charges for extra comforts and other services shall be made later for each month as regulated at Article 4.2.

In case payment is done by Vietnam Dong, the Rental, Service charges and other fee, convenience fees will be converted from USD into Vietnam Dong at the selling exchange rate fixed by Bank of Party A at the time of issuing invoice for each month.

Article 5. Deposit

iu 5.t cc5.1.In order to all articles in this contract are obeyed and implemented, Party B will pay a deposit to Party A; including but not limited to payment for any items that Party B has to pay to Party A including payment for any compensation required Party B for Party A at any arising problem related to the rental area.

5.2. Deposit of USD 1,470.00 even in words: One thousand four hundred and seventy US Dollars even, equivalent to 02 (Two) months of rental and shall be paid by Party B to Party A by cash within 03days after signing the contract. If it is necessary, this deposit will be corrected in order to equivalent to 02 (Two) months of rental.

5.3. Party A will return Party B this deposit without interest within 30 (thirty) days from leased area is handed over to Party A with being cleaned up, repaired, recovered as primitive state as required in this contract; or within 30 (thirty) days from date of all disputes between Party B and Party A have been solved. Disputes including but not limited to unpaid items, such as rental, comforts service charge and other services, tax and any repairing or replacing costs for damaged, badly maintained or inadequate equipment/ furniture as stated in the final Inventory Report stipulated in this contract, and any compensation paid by Party B to Party A in event of the breach of the contract.

Cc tranh chp khng gii hn i vi cc khon cha thanh ton nh: tin thu, ph dch v c nh, ph dch v tin nghi v cc dch v khc, thu, v bt k chi ph sa cha hoc thay th cho thit b/ c b hng, bo qun km hoc b thiu nh ghi trong Bin bn kim k cui cng qui nh trong Hp ng ny v bt k mi khon bi thng Bn B phi tr Bn A trong trng hp vi phm Hp ng theo quy nh trong Hp ng ny.

5.4.In case there is any deduction of Party A to the deposit during leasing period, and when there is requirement from Party A, Party B shall compensate immediately an equivalent amount for the deduction. In the event of late compensation, beside the amount shall be paid by Party B in order to ensure a sufficient deposit, Party B shall bear an obligation of paying 2,9% interest rate per day for this late payment.

5.5. Party A has the right to issue debit notes to Party B due to damages caused by Party B and Party B shall have to pay Party A according to this contract.

5.5 Bn A c quyn a ra thng bo cc khon n ca Bn B do thit hi m Bn B gy ra v phi tr cho Bn A theo Hp ng ny.

5.6. When term of contract is over and the parties have completed all their obligation and sign on Liquidation Report, the deposit without interests shall be returned to Party B with the type of currency as paid from Party B to Party A before.

Article 6. Hand-over

iu 6.Bn giao

6.1.On the date of receiving the leased area, Party B and Party A shall come to an agreement to make an inventory about facilities/furniture consisted in the leased area - Initial Inventory.

6.2. Initial Inventory signed by the parties shall be enclosed hereto and included in Annex VII. After signing the Initial Inventory, Party B shall receive the leased area officially.

6.3. Party B shall not rebuild or change the construction or rearrange the leased area, this including and not limited to the rearrangement the front of the Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam and interior decoration/ or not to make any alterations in or additions to the leased Area / or Party As furniture fixtures and fittings therein without the prior written consent of Party A.

When the contract is ended, if there is request from Party A, the changes agreed by Party A shall be dismantled or restored as primitive state. In this case Party B shall restore the leased area according to primitive state with reasonable attrition ratio taken into account. Every work of restoration shall be at the expense of Party B.

Nhng thay i ca Bn B m c s ng ca Bn A phi c d b hoc khi phc li theo ng tnh trng ban u khi kt thc Hp ng ny, khi Bn A c yu cu. Trong trng hp ny, Bn B s khi phc li phn Din tch cho thu theo ng hin trng ban u, c tnh n t l hao mn hp l. Mi cng vic khi phc s do Bn B chu trch nhim thanh ton.6.4.In returning the leased area, when this contract is ended, if there is no requirement of dismantling or restoring in accordance with primitive state of Party A, every changed and repaired thing shall become Party As properties and Party A shall not refund Party Bs expenses.

Khi tr li phn Din tch thu, nu Bn A khng c yu cu phi d b hoc khi phc li theo ng tnh trng ban u khi kt thc Hp ng ny th mi sa cha, thay i s tr thnh ti sn ca Bn A v Bn A khng phi bi hon chi ph cho Bn B.

6.5.Party B shall notify Party A immediately about every damages at leased area, any change may affect Party As properties or any repair of the leased area.

Bn B phi thng bo cho Bn A ngay v mi hng hc ti phn Din tch thu, mi thay i c th nh hng n ti sn ca Bn A hoc bt k sa cha thay i i vi phn Din tch thu.

6.6.Within 07 (seven) days before expiry date of the contract, Party B and Party A shall make a Final Inventory Report (Final Inventory Report) listing concretely every items which need to be repaired or replace damaged, badly maintained or inadequate facilities/furniture in the leased area, excluding reasonable accepted attrition.

6.7.All the costs of repairing those damages, depending on reasonable attrition situation, shall be paid by Party B to Party A within 10 (ten) days after the date of Final Inventory Report or the deposit shall be deducted by Party A according to the above Article 5.

Article7.Insurance

iu 7.Bo him

7.1. Party B shall purchase insurance for the whole leased period for the leased area at a reliable Insurance Company accepted by Party A.

7.1 Bn B s mua bo him cho ton b Thi hn thu i vi phn Din tch cho thu ti mt Cng ty Bo him tin cy c chp nhn bi Bn A.

7.2. Insurance obligation including:

(i) Party B has an obligation of purchasing insurance for Party A, people working in the leased area and/ or Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam and next-door Tenants as well as third parties against losses of men and equipment happening to those and arising from the use of the leased area of Party B, and,

(ii)Any/every loss, damage or injury arising from or relating to fire.

ii) bt k/mi mt mt, thit hi hoc thng tch pht sinh t/hoc lin quan n ho hon;

7.3 Insurance policy shall be signed within 30 (thirty) days prior to starting date of the leases term, the insurance period must cover the whole leases term.

7.4 Hp ng bo him phi c k trong vng 30 (ba mi) ngy trc Ngy bt u Thi hn thu vi thi hn bo him m bo cho ton b Thi hn thu.

7.4 One copy of insurance policy taken out by Party B as determined above shall be given to Party A within 30 (thirty) days from the starting date of the leases term.

7.4 Mt bn sao (copy) ca hp ng bo him do Bn B thc hin theo quy nh trn s c Bn B giao cho Bn A trong vng 30 (ba mi) ngy k t Ngy bt u ca Thi hn thu.7.5 At the requirement in writing of Party A, Party B will provide Party A immediately with the newest invoice for paying insurance fee proving the completion of insurance obligations according to the regulation of this Article.

iu 8.Ra vo

8.1.If there is the reasonable notice in advance, Party A has the right to go in and check the Leased Area at anytime in whatever circumstances Party A finds imperative. Party B will accept to let Party A and its Agents, manpower and employees go in and out the leased area to:

(i)Consider, check the leased Area and enumerate the list of furniture in the leased area;

(ii) In the case, after the inspection, if finding violating the commitment, causing broken-down, damage and loss (due to poor maintenance), removing the forbidden equipment or changing on their own initiative, fitting more equipment without the approval of Party A and when Party A sends or leaves the document informing, requiring Party B to repair, replace or remove within 15 days from the date of issuing the notice but Party B does not meet the requirement of Party A, Party A will by itself carry out that work of repairing, replacing or removing and Party B will bear all related expenses (according to the invoice for payment of Party As agents or contractors);

- Trong trng hp, sau khi thanh tra nu pht hin thy hnh vi vi phm cam kt nh gy hng hc, h hao (do bo tr km), dch chuyn thit b khng uc php di di hoc t thay i, gn thm thit b m khng c s ph duyt ca Bn A v khi Bn A gi hoc li vn bn thng bo, yu cu Bn B phi sa cha, thay th hoc g b, nu trong vng mi lm (15) ngy k t ngy gi thng bo m Bn B khng p ng yu cu ca Bn A th Bn A s tin hnh cc cng vic sa cha, thay th hay di di v mi chi ph lin quan n cng vic sa cha, thay th hay di di (theo ho n thanh ton ca cc bn i l hay cc nh thu ca Bn A) s do Bn B chi tr;

(iii)Implement the activities of maintenance, repair, replacing, supplementing or renew or any other work for the leased area which Party A finds suitable or necessary with any part of Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam; or

-Thc hin hot ng bo tr, sa cha, thay th, b sung, lm mi hoc thc hin nhng cng vic vic cho din tch thu m Bn A thy l ph hp hay cn thit vi bt k phn no ca to Tr S Cng Ty Lin Kt Kinh Doanh, Ta thp Bc ti 09 Ph o Duy Anh, Qun ng a, H Ni, Vit Nam; hoc

(iv)To lay or fix in or lead through the leased area all pipes or ducts for water, sewerage, air-condition and conduit boxes for wires, cables and other apparatus, electricity and telephone as the Party A may from time to time require to be laid for the general purposes of Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam or otherwise and to do such repairs or other work;

(v)Checking matter relating to the development of the remaining part of Bizlink Co., H.O., North Asia Tower, 9 Dao Duy Anh Street, Dong Da District, Hanoi, Vietnam or the assets, land of the adjacent leased areas, including the right to build or expand the wall fence of the Leased area;

The expense for retuning the initial actual state, if Party B does not make the payment, Party A will deduct from the deposit.

8.2.Sau khi kt thc hp ng thu vn phng, Bn B c trch nhim phi tr li hin trng ban u ca din tch thu cho Bn A tr trng hp nu ti iu 6.4 trong Hp ng ny. Chi ph cho vic tr li hin trng ban u nu Bn B khng thanh ton th Bn A s tr vo tin t cc. Article 9. Rights and obligations of Party A

iu 9.

Quyn v ngha v ca Bn A

9.1. Rights of Party A

9.1 Quyn ca Bn A

9.1.1.Receiving enough the rental amount, convenience fee and other payables or deposit on the Annex and fully as agreed.

9.1.1. Nhn tin thu, ph dch v c nh, ph tin ch v cc khon ph dch v khc hay tin t cc ng k hn v y nh tha thun.

Party A and prospective tenants or occupiers within 03 (three) calendar months immediately preceding the expiration of the Term or any renewed term, have the right to inspect the leased Area and to exhibit where Party A shall think fit a notice indicating that the leased Area are to become vacant which notice Party B shall not remove or conceal.

9.1.2. Bn A v nhng ngi c th thu v nhng ngi c th c php chim hu trong vng ba (03) thng trc khi ht thi hn hoc bt k thi hn gia hn no, c kim tra din tch thu v Bn A c php trng by ni m Bn A thy thch hp mt thng bo ghi rng din tch thu sp trng cho thu m Bn B s khng tho b hay che khut thng bo .

Party A may assign all or part of its rights or transfer all or part of its obligations under this Agreement but Party A has to notify by written word to Party B within 60days after completion of transaction and Party A has to obligations to provide Party B the business license of the new owner consequent upon the sale of part or whole of the Bizlink Co., H.O. or the leased Area or otherwise.

9.1.3. Bn A c th u nhim ton b hay mt phn quyn ca mnh hoc chuyn nhng ton b hay mt phn cc ngha v ca mnh theo hp ng ny m khng cn phi c s ng trc hay thng bo trc cho Bn B cho d l do vic bn mt phn hay ton b Tr S Cng Ty Lin Kt Kinh Doanh hoc din tch thu hoc do vic g khc.

Party A has the right to unilaterally suspend the implementation of the lease contract and require compensation for the damage when Party B has one of the following behaviors:

9.1.4. Bn A c quyn n phng nh ch thc hin hp ng thu v yu cu Bn B bi thng thit hi khi Bn B c mt trong cc hnh vi sau:

Party B does not make the payment of the rent, convenience fee, deposit or any payables within this Contract and does not correct the violation within 05 (five) days as from receiving the document informing of that violation; and/or

Bn B khng tr tin thu, ph dch v c nh, ph tin ch v cc khon ph dch v khc, tin t cc hay bt k khon phi tr no c cp trong Hp ng ny v khng chnh sa vi phm trong vng 05 (nm) k t khi nhn c vn bn thng bo v vi phm ; v/hoc

Party B uses the office for the wrong purpose of leasing and/or;

Bn B s dng vn phng khng ng mc ch thu v/hoc

- Party B and/or any agents, employees or invited guests of Party B do not conform to any obligations stipulated in the Regulations given by Party A and then it does not overcome and correct the violation within 10 (ten) days (including Sundays and public holidays of Vietnam) as from receiving the document informing of that violation, or behaviors of violation of Party B happened again and/or;

- Party B corrects, changes or lets other person re-rent the whole or a part of the leased area.

Bn B sa cha, thay i hoc cho ngi khc thu li ton b hoc mt phn din tch thu.

When Party B has one of the behaviors stipulated in item 9.1.4 above, Party A will have one or following rights:

9.1.5. Khi Bn B c mt trong cc hnh vi quy nh ti mc 9.1.4 nu trn, Bn A s c mt hoc ng thi cc quyn sau:

- Party A may by itself carry out correcting those violations caused by Party B by the expenditure advanced by Party A and then it requires Party B to return these expenses by it; and/or

-Bn A c th s t tin hnh sa cha nhng vi phm do Bn B gy ra bng kinh ph do Bn A ng trc ri sau yu cu Bn B hon tr nhng chi ph ny cho mnh, v/hoc Propose the relevant authorities of Vietnam:

- ngh cc c quan c thm quyn ca Vit Nam:(i) To expel Party B and other people belonging to Party Bs powers from the Leased Area, and /or

i. Trc xut Bn B cng mi ngi khc thuc quyn hn ca Bn B ra khi Phn Din Tch Thu, v/ hoc(ii) To require Party B to make payment of damage compensation to Party A including but not limited to, all rental amounts which Party B must pay in the remaining Rental Time of the contract, expenses for the necessary repair, legal fee and any other related fees which Party A requires Party B to pay as a compensation for violating the Contract;

ii. Yu cu Bn B tr cho Bn A khon bi thng thit hi, bao gm nhng khng gii hn, ton b khon Tin Thu m Bn B phi tr trong Thi Hn Thu cn li ca Hp ng, cc khon chi ph dnh cho vic sa cha cn thit, chi ph php l v bt k khon ph no khc lin quan m Bn A yu cu Bn B phi tr nh mt khon bi thng vi phm Hp ng;

(iii) Claim Party B for any compensation according to the law of Vietnam;

To complain and ask for damage compensation.

iii. Yu cu Bn B bt k khon bi thng no theo php lut ca Nh nc Vit Nam;

Khiu ni i bi thng thit hi.

9.2. Obligations of Party A

9.1 Ngha v ca Bn A

9.2.1Delivering the offices to Party B in accordance with the contract.

9.2.1 Giao nh cho Bn B theo ng hp ng;

9.2.2Implementing the periodical maintenance with Bizlink Co., H.O., other conveniences and services as well as all equipment provided by Party A within the leased Area.

9.2.2 Thc hin bo dng nh k vi Tr S Cng Ty Lin Kt Kinh Doanh, cc tin nghi v dch v khc cng nh mi thit b do Bn A cung cp trong phm vi phn Din tch thu;

9.2.3Ensuring for Party B to use the leased Area stably without any illegal obstacles interruptions from Party A or any legal entity or agent authorized by Party B.

9.2.3 Bo m cho Bn B s dng phn Din tch thu mt cch n nh m khng b mi ngn cn, gin on bt hp php no t pha Bn A hay bt k php nhn hoc i l do Bn B y quyn.

To keep insured the Bizlink Co., H.O. (excluding furniture, fittings, fixtures, goods, showcases and merchandise in the Leased Area) from and against loss or damage by fire or such other risks as Party A may in its absolute discretion deem fit.

9.2.4 Duy tr bo him cho Tr S Cng ty Lin Kt Kinh Doanh Tr dng c c, trang thit b, hng ho v k t trong din tch thu i vi vic b mt mt hoc thit hi do ho hon hoc nhng ri ro khc m Bn A c th cho l cn thit theo quyt nh ring ca mnh.

To keep the roof and the main drains and pipes, all external walls, all load bearing walls, structures and all common parts of building including entrances, car park, staircases, landings, corridors, passages, service road clean and in good repair including the repainting and redecorating of the same or any part thereof at such times and in such manner as Party A shall not be liable for any loss and/or injury sustained by Party B its servants agents contractors licensees and visitors through the neglect default or misconduct of Party As cleaning contractors agents servants and/or licensees.

9.2.5 Gi cho mi nh h thng thot nc,h thng ng dn chnh, ton b tng ngoi,tng chu lc,cc kt cu v tt c cc phn chung ca To nh bao gm li ra vo, bi xe, cu thang, mt t, hnh lang, li i, ng phc v c sch s v trong tnh trng tt k c sn v trang tr li nh cc phn chung hay bt c phn no ca cc phn chung vo cc thi im v theo cch m Bn A phi chu trch nhim cho bt k tn tht v hoc tn thng no m Bn B, nhn vin, nhng ngi i din, nh thu, i din, ngi c php v khch thm ca Bn B phi chu do s bt cn, vi phm hoc hnh vi sai tri ca cc nh thu, i din, ngi phc v v/hoc ngi c php lm cng vic v sinh ca Bn A.

As far as practicable to provide electricity and water in the manner hereinafter stated in the Annex II.

Notwithstanding anything herein contained and providing Party A is not guilty of any act of willful default or gross negligence Party A shall not be liable to Party B nor shall Party B have any claim against Party A or be entitled to withhold any Rent to Party A in respect of:

any loss whatsoever including loss of profit or business, loss of life, loss, injury or damage to person or property, or for any disruption or inconvenience suffered by Party B or any other person because of any defect or breakdown of electric power, (including surge, reduction or variation in supply), or water supplies, or any other service provided in the Bizlink Co., H.O.; or

i) Cc tin ch

any loss of profit or business, loss of life, or for injury or damage to person or property, or for any disruption or inconvenience suffered by Party B or any other person caused by fumes, smoke, fire or the overflow of water from anywhere within the Bizlink Co., H.O. or in any way attributable to fire, storm, tempest, flood, force majeure or accident; or

ii) Chy v nc trn

for any loss of profit or business, loss of life or injury or damage to person or property or for disruption or inconvenience suffered by Party B or any other person caused by the act, neglect or default of other tenants and occupants of the Bizlink Co., H.O. and their employees, contractors and visitors; or

iii) Cc hnh vi ca nhng ngi thu khc, ca nhn cng, nh thu v khch ca h

i vi bt k s tn tht li nhun, hoc kinh doanh, thit mng hoc tn thng hoc thit hi no v con ngi hoc ti sn hoc s gin on hay bt tin m Bn B hoc bt c mt c nhn phi gnh chu do s bt cn hay thiu st ca nhng ngi thu v ngi khc ang s dng Tr S Cng ty Lin Kt Kinh Doanh hoc nhn cng, nh thu, v khch n thm ca h gy ra; hoc

(iv) Security

for the security or safekeeping of the Leased Area or any contents therein. In particular, the provision by Party A of watchmen and caretakers shall not create any obligation on the part of Party A as to the security of the Leased Area or any contents therein. The responsibility for the safety of the Leased Area and the contents thereof shall at all time rest with Party B.

Article 10. Rights and obligations of Party B

10.1.Rights of Party B

10.1.1 Quyn ca Bn B

10.1.1.Receiving the leased offices in accordance with the agreement;

10.1.2.Being allowed to use the services and conveniences as agreed;

10.1.3.Being allowed to unilaterally suspend the implementation of the contract requires compensating for the damage when Party A did not implement one of the obligations stipulated in item 9.2.

10.2.Obligations of Party B

10.2 Ngha v ca Bn B

10.2.1Using the leased area for the right purpose as agreed Only using the leased area for working offices. Especially, it is not allowed to use the leases Area for accommodation;

10.2.2 Making full payment of the rent, convenience fee and deposit fully and on Annex as agreed;

10.2.3 Making compensation to Party A and ensuring for Party A not to be involved in any and all responsibilities, obligations, damages, punishment, complaints and cost including fee and legal lawyer cost paid by Party A or incurred related to: (i) all injuries to human or the damage caused by the negligence or deliberately by Party B, agents, employees or invited guests of Party B;

10.2.3 (ii) not implementing or not conforming to any provision, regulation or condition specified in this Article or this lease Contract of Party B, agents, employees or invited guests of Party B;

(ii) Vic khng thc hin hay khng tun th bt k iu khon, quy nh hay iu kin no nu trong iu ny hay Hp ng thu ny ca Bn B, i l, nhn vin hoc khch mi ca Bn B;10.2.4 During the continuance of the Term, to be wholly responsible for:

(i) any loss, damage or injury caused to any person or property directly or indirectly through the operation of or the defective or damaged condition of any part of the interior of the Leased Area or any machinery, fixtures, fittings, wiring or piping for which Party B is responsible to repair or to keep in good condition, or otherwise arising out of Party Bs occupation of the Leased Area;

i) Bt k tn tht, thit hi hay tn thng no gy ra cho bt c ngi hoc ti sn no mt cch trc tip hay gin tip do s hot ng hoc tnh trng hng hc hay h hi ca bt c phn no trong ni tht ca Din tch thu hoc bt k my mc, c, trang thit b, dy in hay ng dn no m Bn B c trch nhim sa cha hoc gi trong tnh trng tt hay s c khc pht sinh t vic s dng Din tch thu ca Bn B.

(ii) any loss, damage or injury caused by or owing to the spread of fire, smoke or fumes or the leakage or overflow of water from the Leased Area or any part thereof, through the act or neglect of Party B or its servants, agents, contractors, licensees, partners or customers;

(iii) any loss, damage or injury caused any act neglect or omission of Party Bs contractors, employees, invitees or licensees, as if it were the acts neglect or omission of Party B; and

iii) Bt k tn tht, thit hi hay tn thng no gy ra do hnh ng, s bt cn hay thiu st ca nhn cng, khch mi hoc ngi c php ca nh thu ca Bn B, nh th nhng hnh ng, s bt cn hoc thiu st l ca Bn B; v

(iv) making good by payment and indemnifying Party A against all costs, claims, actions and legal proceedings whatsoever made upon Party A by any person in respect of any such loss, damage or injury;

iv) Chu trch nhim thanh ton tin v bi hon cho Bn A vi mi chi ph, yu cu, hnh ng v cc kin tng do bt k ngi no gy ra cho Bn A lin quan ti bt k tn tht, thit hi hay tn thng no nu trn.

(v) compelling all agents, employees or invited guests working in the leased Area to conform to this lease contract and the regulations of Bizlink Co., H.O.;

v) Bt buc mi i l, mi nhn vin hoc khch mi lm vic trong phn Din tch thu tun th Hp ng thu ny v cc Ni quy ca Tr S Cng Ty Lin Kt Kinh Doanh;

(vi) Party B will not re-rent all or a part of the leased Area and also not re-transfer this lease Contract to other Tenants.

vi) Bn B s khng c cho thu li tt c hay mt phn phn Din tch thu v cng khng chuyn nhng li Hp ng thu ny.

10.2.5 With the self-bear expense and cost, Party B has obligation to install perfectly the interior as soon as possible after the lease Contract is signed and carrying out all work mechanically for the leased Area on the commence date. Not implementation of Party B for this work does not mean that Party B will be removed any obligation above, including the payment of rent specified in the Article 4.

During the period that Party B assembles and finishes interiors, Party B shall pay money for the electricity used actually with the meter installed by Party A.

The technical drawings for finishing Party Bs office interiors shall be provided by Party B to Party A after the two parties signing the office lease.

Party B shall maintain properties and materials brought to the Bizlink Co., H.O. by Party B for finishing office interiors on its own.

10.2.6 Vi chi ph v ph tn t chu, Bn B c ngha v lp t hon thin ni tht cng sm cng tt sau khi Hp ng thu c k kt v tin hnh mi cng vic thuc v c hc i vi phn Din tch thu vo ngy bt u. Vic Bn B khng tin hnh nhng cng vic ny khng c ngha l Bn B s c bi min bt k mt khon ngha v no trn y, trong bao gm c khon thanh ton tin thu v ph dch v c nu trong iu 4.

Trong thi gian Bn B lp t hon thin ni tht s thanh ton tin tin in s dng thc t v c cng t tnh ring do Bn A lp t.

Cc bn v kt cu k thut phc v cho vic hon thin ni tht vn phng ca Bn B s c bn Bn B cung cp cho Bn A sau khi hai bn k hp ng thu vn phng.

Bn B phi t bo qun ti sn, vt liu cho vic hon thin ni tht vn phng m do chnh Bn B mang n Tr S Cng Ty Lin Kt Kinh Doanh.

10.2.6 Party As relating staff/ representative/ responsible officer shall notify about the use of leased area outside working hours before 30 (thirty) minutes in regular case or 4 (four) hours in special case.10.2.7 Thng bo trc 30 (ba mi) pht i vi trng hp thng thng hoc 4 (bn) gi i vi trng hp c bit vi nhn vin/ngi i din/cn b ph trch c lin quan ca Bn A v vic s dng din tch thu lm vn phng ngoi gi kinh doanh.

Article 11. Term of contract - extension

iu 11.Thi hn hp ng Gia hn

11.1. Term of contract: is the period starting from the date the contract comes into on 2nd of Jan, 2009 and ending on 30th of June , 2009.11.1Thi hn hp ng: Thi hn bt u Hp ng c hiu lc t ngy 02 thng 01 nm 2009 v kt thc hp ng vo ngy 30 Thng 06 nm 2009.11.2. Termination prior to term of the contract: this contract can be terminated before the end of contract term according to documentary agreement between the parties.

In case Party B wants to terminate the contract before the term of the contract, Party B shall notify Party A before 30 (thirty) days from the desired expiry date. Besides, the termination prior to term of the contract between the parties shall be considered legal if Party A show its acceptance by document and inform Party B.

11.2 Chm dt trc thi hn: Hp ng ny c th c chm dt trc thi hn theo s tho thun bng vn bn ca cc Bn. Trong trng hp Bn B mong mun chm dt trc thi hn th Bn B phi gi thng bo ti Bn A trc 30 (ba mi) ngy so vi ngy mong mun chm dt Hp ng. Ngoi ra, vic chm dt trc thi hn ca Hp ng gia cc Bn trong Hp ng ny ch c coi l hp php nu nh Bn A th hin s chp thun bng vn bn v thng bo ti Bn B.

In the event of legal termination, Party B shall pay Party A 20% of the total rental of the office lease for the remaining leasing period. Party A shall have the obligation of returning the deposit without interest to be counted to Party B. Within 15 (fifteen) days before Liquidation Report being signed by the parties, every financial obligation between them must be completed.

Trong trng hp chm dt trc thi hn hp php, Bn B s phi thanh ton cho Bn A 20% ca tng s tin thu vn phng cho thi gian thu cn li. Bn A c ngha v hon tr li tin t cc khng tnh li cho Bn B. Trong vng 15 (mi lm) ngy trc khi cc Bn k bin bn thanh l Hp ng, mi ngha v v ti chnh gia cc Bn phi c hon thnh.In the event of illegal termination, Party B shall pay Party A 20% of the total rental of the office lease for the remaining leased period and all the deposit shall belong to Party A.

Trong trng hp chm dt trc thi hn khng hp php, Bn B s phi thanh ton cho Bn A 20% ca tng s tin thu vn phng cho thi gian thu cn li ng thi ton b khon tin t cc s thuc v Bn A.

In case Party A wants to terminate the contract prior to the term of the contract, Party A shall notify Party B before 30 (thirty) days from the desired expiry date. Ngoi ra, vic chm dt trc thi hn ca Hp ng gia cc Bn trong Hp ng ny ch c coi l hp php nu nh Bn B th hin s chp thun bng vn bn v thng bo ti Bn AIn this case, Party A shall compensate Party B the 20% of the total rental of the office lease for the remaining leasing period and return all the deposit to Party B.

Trong trng hp ny bn A phi bi thng cho bn B s tin bng 20% ca tng s tin thu vn phng v ph dch v c nh cho thi gian thu cn li ng thi tr li ton b khon tin t cc cho Bn B.11.3. Contract extension: within 02 (two) months prior to expiry date of the contract, Party A shall send a letter of extension to Party B. Letter of extension shall include contents as follow:

- Leasing price;

- Period of lease;

- Service charge;

- Method of payment (if any);

- Other conditions (if any).

11.3 Gia hn hp ng: Trong vng 02 (hai) thng trc Ngy ht hn, Bn A s gi cho Bn B mt Th mi gia hn hp ng. Th mi gia hn hp ng s bao gm nhng ni dung sau: Gi thu;

Thi hn thu;

Ph dch v;

Phng thc thanh ton (nu c);

-iu kin khc (nu c).

In case Party A dose not send Letter of extension to Party B, this contract shall be terminated on its expiry date.

11.3.1 Trng hp Bn A khng gi Th mi gia hn hp ng cho Bn B, hp ng ny s chm dt hiu lc ti Ngy ht hn.

11.3.2 Within 01 (one) month prior to expiry date, Party B shall reply to the Letter of extension of Party A in written text. If there is no reply from Party B to Party A within the period, Letter of extension shall be invalid and the contract shall be terminated on expiry date as a matter of course.

11.3.2Trong vng 01 (mt) thng trc Ngy ht hn, Bn B phi c vn bn tr li Th mi gia hn hp ng ca Bn A. Nu Bn B khng tr li Bn A theo thi hn trn, Th mi gia hn hp ng s ht hiu lc v Hp ng s ng nhin chm dt hiu lc vo Ngy ht hn.

11.3.3 If Party B agrees to the contract extension, the parties shall sign a new contract or a revision of this contract.11.3.3 Nu Bn B ng gia hn hp ng, cc bn s k mt hp ng mi hoc s k mt bn sa i ca hp ng ny.

Article 12. Validity of the contract

iu 12.Hiu lc ca hp ng

12.1. This Lease comes into force from the signing date and shall be terminated by the following cases:

(i) Leasing period is over without the extension as regulated in the clause 11.3 stated above.

(ii) Area of the lease is damaged completely and can not be made use of.

(iii) Force majeure occurring as stipulated in the Article 13 bellow, prevents the parties from performing this Lease during 03 (three) months consecutively.

Article 13. Force Majeure

iu 13.Trng hp bt kh khng

In this contract, the bellowed circumstances are considered as force majeure:

- Intervention from relating government agencies.

- Natural calamity, war, riot, rebel, revolution, repression, embargo, strike or agreed action by worker, shortage of labor, shortage of material, responsibility omission by sub-constructor, undone or late delivery.

- Decisions, instructions by relating government agencies.

- Other circumstances according to regulation of law.

Article 14. Applicable law and resolution of disputes

iu 14.Lut p dng v gii quyt tranh chp

14.1. This lease is regulated by the law of Socialist Republic of Vietnam.

14.1 Hp ng Thu ny chu s iu chnh ca lut php nc Cng Ho X Hi Ch Ngha Vit Nam.14.2. Every dispute, contradiction arising from or relating to this Lease shall be resolved through negotiation between the parties.

14.2 Mi tranh chp, mu thun pht sinh t hoc c lin quan n Hp ng thu ny trc ht s c cc Bn gii quyt thng qua thng lng. 14.3.In case the two parties fail to negotiate, an authorized court in Hanoi appointed by Party A or Vietnam International Arbitration Center shall settle the dispute and contradiction.

iu 15.Ni quy

15.1. Party B, agents, staff and Party Bs guest commit to follow regulations attached hereto.

15.1 Bn B, cc i l, nhn vin v khch mi ca Bn B cam kt tun th Ni quy nh km theo Hp ng ny.15.2. Party A have right to notify Party B in written text before 30 (thirty) days to about the implementation and/or carrying out the amendment, supplementary, acceptance or omission of these regulations if found necessary to the operation and maintenance of Bizlink Co., H.O. and/or leased area.

15.2 Bn A c quyn thng bo bng vn bn trc 30 (ba mi) ngy cho Bn B v vic tin hnh v/hoc a ra v sau sa i, b sung, chp nhn hoc bi b nhng Ni quy ny khi xem xt thy cn thit i vic hot ng v duy tr Tr S Cng ty Lin Kt Kinh Doanh v/ hoc Phn Din Tch Thu.15.3. The regulation pa shall complement the above articles and conditions written in this Lease and in any case shall not affect the validity of articles and conditions stated in this Lease. In case there are contradictions between these regulations with articles and conditions hereof, articles and conditions of the contract shall be applied.

16.1 Every announcement or information exchanged by the parties hereto shall be in document via letter or fax and sent to each other and to the relating third party using below addresses or other addresses informed by the parties as regulated in this article.

17.1. The titles of the articles here of are to help keeping track of the contract easily without affecting or changing any details of the articles.

If one party requires the other to carry out any obligation according to the contract at any time but one party do not implement as required, this shall not affect the right of requiring the obligation to be executed at any time in the future. If one party dispenses the other from repairing, making good any breach of any articles in this contract, this shall not be deemed as dispensation from making good any similar or completely different breach occurring after that.

This contract and enclosed appendices hereto shall become an official agreement between the parties and completely replace any agreements, understandings, arrangement, exchanged information or documents representing the prior intention concerning this contract of the parties. Every amendment, supplementary of the contract shall be invalid if they are not in written text and signed and sealed by representatives of the parties hereto.

In the event of any discrepancies or contradictions between the English and the Vietnamese versions, the one in Vietnamese shall be applied.

17.6. In case legal costs arise, they shall be at the expense of each party itself.

Party A shall charge Party B USD 110.00 (in words: one hundred and ten US Dollars) per parking lot for 4-7 seats car per month and USD 200 (Two hundreds US Dollas) per parking lot for lorry per month and USD 6.00 (in words: Six US Dollars) per parking lot for motorbike and bicycles per month.

1.1.Maintaining repairing renewing (where appropriate) cleaning repainting and redecorating to such standard as Party A may from time to time consider adequate:

Providing air-conditioning between the hours of 7h 30 a.m. and 18h p.m. on weekdays from Mondays to Friday and from 8h to 12h on Saturdays (Sundays and public holidays excepted as Vietnam law);

1.8.Supplying, providing, purchasing, maintaining, renewing, replacing, repairing and keeping in good and serviceable order and condition all fixtures and fittings, bins, chutes, containers, receptacles, tools, appliances, materials and other things which Party A may deem desirable or necessary for the maintenance upkeep or cleanliness of the Tower (including removal or collection of wastepaper or sewerage or refuse);

2.The cost of operating and supplying the services of and maintaining repairing, overhauling or renovating the stand-by generator, boilers, water tanks and plumbing apparatus, lightning conductor equipment, sprinkler system, electrical and mechanical equipment and other apparatus plant and machinery in the Tower or required in connection with any of such services.

2. 6.The cost of employing such staff as Party A may in its absolute discretion deem necessary for the control, management and maintenance of the Bizlink Co., H.O. including engineers, maintenance staff, reception staff, security staff, night watchmen and attendants and all other incidentals expenditure in relation to such employment (including but without limiting the generality of such provision the payment of any statutory or other insurance health pension welfare and other payments, contributions, taxes, premiums) and the cost of entering into any contracts for the carrying out of all or any of the said duties and services that Party A may at its absolute discretion deem desirable or necessary and the provision of uniforms, working, clothes, tools, appliances, cleaning and other materials, bins, receptacles, fixtures and fittings and other equipment for the proper performance of their duties and for the general management security maintenance and cleanliness of the Bizlink Co., H.O. and all parts thereof.

7. 8.The amount of any turnover tax, value added tax, deemed profit tax or any other similar tax or taxes payable in respect of the provision of services by Party A.

9.Such sum in each year as Party A may decide to set aside as a fund to cover repairs, renovations, replacements and maintenance of a substantial but infrequent and irregular nature of the Bizlink Co., H.O. and the plant, machinery and electrical and other apparatus therein including air-conditioning, plant and fire fighting equipment and depreciation of the said plant, machinery and electrical and other apparatus and any replacements thereof.

9. 11. The cost to Party A of complying with any statutory requirements in respects of the Bizlink Co., H.O. made for the benefit or protection of the occupiers.

1. Without a prior written consent from the Landlord, the followings items are not allowed to be erected in or upon Bizlink Co., H.O.:

d. any air-conditioning plant, machinery or equipment other than that installed in the Area by the Landlord.

e. additional locks bolts or other fittings to the entrance doors of the area.

The Landlord or his authorized agents shall have absolute discretion in granting or refusing such approval. Any approval to be granted shall be subject to such conditions as the Landlord or his authorized agents may think fit.

The Landlord or his authorized agents shall have the right to remove at the cost and expenses of the Tenant, any items above which shall be affixed or put up or displayed without the prior approval of the Landlord or his agents.

4. No Tenant shall change or in any way alter the standard entrance doors provided by the Landlord for access to the Area without the prior approval of the Landlord or his agents.

The Landlord reserves the right to prescribe the weight and position of all safes and any heavy articles which must be placed so as to distribute the weight.
