As you may be aware, new Anti-Money Laundering Regulations are now in force. These regulations affect both

estate agents and auctioneers and there is a requirement for Seel & Company to confirm the identity of its clients

and buyers.

In order to comply with such regulations, all buyers will have to provide Seel & Company Auctions with proof of

identity for a current residential address with effect from January 2004. The following are the only documents

acceptable at the auction venue and must be presented in all cases. These documents may be photocopied as

part of the auction control process.

IDENTITY DOCUMENTS

1) Current Passport or UK driving licence.

AND

2) A utility bill, building society or bank statement, credit card bill or other form of ID,issued within the previous three months, providing proof of residency at thecorrespondence address.

If a bidder is acting as an agent on behalf of another party, they will be required to provide the above detailed

documents for themselves as agent and also for the principal as well as providing the usual letter of authority

from the party authorising them to bid on their behalf.

If the bidder is acting on behalf of a company, the detailed documents will still be required along with written

authority from the company.

The ggeenneerraall ccoonnddiittiioonnss apply except to the extent that they are varied by eexxttrraa ccoonnddiittiioonnss, the ssppeecciiaallccoonnddiittiioonnss or by an aaddddeenndduumm.

11.. TThhee lloott

1.1 The lloott, including any rights granted and reserved, is described in the ssppeecciiaall ccoonnddiittiioonnss.

1.2 The lloott is sold subject to all subsisting tteennaanncciieess, but otherwise with vacant possession onccoommpplleettiioonn.

1.3 The lloott is sold subject to all matters contained or referred to in the ddooccuummeennttss (except financialcharges: these the sseelllleerr must discharge on or before ccoommpplleettiioonn) and to such of the following asmay affect it, whether they arise before or after the ccoonnttrraacctt ddaattee and whether or not they aredisclosed by the sseelllleerr or are apparent from inspection of the lloott or from the ddooccuummeennttss:

(a) matters registered or capable of registration as local land charges

(b) matters registered or capable of registration by any competent authority or under theprovisions of any statute

(c) notices, orders, demands, proposals and requirements of any competent authority

(d) charges, notices, orders, restrictions, agreements and other matters relating to town andcountry planning, highways or public health

(e) rights, easements, quasi-easements, and wayleaves

(f) outgoings and other liabilities

(g) any interest which overrides, within the meaning of the Land Registration Act 2002

(h) matters that ought to be disclosed by the searches and enquiries a prudent buyer wouldmake, whether or not the bbuuyyeerr has made them

(i) anything the sseelllleerr does not and could not reasonably know about

and where any such matter would expose the sseelllleerr to liability the bbuuyyeerr is to comply with it andindemnify the sseelllleerr against liability.

1.4 The sseelllleerr must notify the bbuuyyeerr of any notices, orders, demands, proposals and requirements ofany competent authority of which it learns after the ccoonnttrraacctt ddaattee but the bbuuyyeerr must complywith them and keep the sseelllleerr indemnified.

1.5 The lloott does not include any tenant’s or trade fixtures or fittings.

1.6 Where chattels are included in the lloott the bbuuyyeerr takes them as they are at ccoommpplleettiioonn and thesseelllleerr is not liable if they are not fit for use.

1.7 The bbuuyyeerr buys with full knowledge of:

(a) the ddooccuummeennttss whether or not the bbuuyyeerr has read them

(b) the physical condition of the lloott and what could reasonably be discovered on inspectionof it, whether or not the bbuuyyeerr has inspected it.

1.8 The bbuuyyeerr is not relying on the information contained in the ppaarrttiiccuullaarrss or in any replies topreliminary enquiries but on the bbuuyyeerr’’ss own verification of that information. If any informationis not correct any liability of the sseelllleerr and any remedy of the bbuuyyeerr are excluded to the extentpermitted by law.

22.. DDeeppoossiitt

2.1 The amount of the deposit is the greater of:

(a) any minimum deposit stated in the ccaattaalloogguuee (or the total pprriiccee, if this is less than thatminimum), and

(b) 10% of the pprriiccee exclusive of VVAATT..

2.2 The deposit:

(a) must be paid to the aauuccttiioonneeeerrss by cheque or banker’s draft drawn on a UK clearing bankor building society (or by such other means of payment as they accept)

(b) is to be held as stakeholder unless the ssppeecciiaall ccoonnddiittiioonnss provide that it is to be held asagent for the sseelllleerr.

2.3 Where the aauuccttiioonneeeerrss hold the deposit as stakeholder they are authorised to release it and anyinterest on it to the sseelllleerr on ccoommpplleettiioonn or, if ccoommpplleettiioonn does not take place, to the personentitled to it under the ccoonnddiittiioonnss.

2.4 If a cheque for the deposit is not cleared on first presentation the sseelllleerr is entitled to treat theccoonnttrraacctt as at an end and bring a claim against the bbuuyyeerr for breach of contract.

2.5 Interest earned on the deposit belongs to the sseelllleerr unless the ccoonnddiittiioonnss provide otherwise.

33.. TTrraannssffeerr ooff rriisskk aanndd iinnssuurraannccee

3.1 From the ccoonnttrraacctt ddaattee the sseelllleerr is under no obligation to insure the lloott and the bbuuyyeerr bears allrisk of loss or damage unless:

(a) the lloott is sold subject to a tteennaannccyy that requires the sseelllleerr to insure the lloott or

(b) the ssppeecciiaall ccoonnddiittiioonnss require the sseelllleerr to insure the lloott.

3.2 If the sseelllleerr is to insure the lloott then the sseelllleerr:

(a) must produce to the bbuuyyeerr on request relevant insurance details

(b) must use reasonable endeavours to maintain that or equivalent insurance and pay thepremiums when due

(c) gives no warranty as to the adequacy of insurance

(d) must, at the request of the bbuuyyeerr, use reasonable endeavours to have the bbuuyyeerr’’ss interestnoted on any insurance policy that does not cover a contracting purchaser

(e) must, unless otherwise agreed, cancel the insurance at ccoommpplleettiioonn

(f) is to hold in trust for the bbuuyyeerr any insurance payments that the sseelllleerr receives in respectof loss or damage arising after the ccoonnttrraacctt ddaattee

and the bbuuyyeerr must on ccoommpplleettiioonn reimburse to the sseelllleerr the cost of insurance (to the extent itis not paid by a tenant or other third party) from and including the ccoonnttrraacctt ddaattee

3.3 If under a tteennaannccyy the sseelllleerr insures the lloott then unless otherwise agreed with the bbuuyyeerr thesseelllleerr is to pay any refund of premium.

(a) to the bbuuyyeerr or

(b) if the ssppeecciiaall ccoonnddiittiioonnss so state, to each tenant in the proportion that the tenant payspremiums under its tteennaannccyy, first deducting any arrears of premium due from that tenant.

3.4 Section 47 of the Law of Property Act 1925 does not apply.

3.5 Unless the bbuuyyeerr is already lawfully in occupation of the lloott the bbuuyyeerr has no right to enter intooccupation prior to ccoommpplleettiioonn.

44.. TTiittllee

4.1 Unless ggeenneerraall ccoonnddiittiioonn 4.2 applies, the bbuuyyeerr accepts the title of the sseelllleerr to the lloott as at theccoonnttrraacctt ddaattee and may raise no requisition or objection except in relation to any matterfollowing the ccoonnttrraacctt ddaattee.

4.2 The bbuuyyeerr may raise no requisition or objection to any ddooccuummeennttss made available before theaauuccttiioonn but in relation to any of the ddooccuummeennttss that is not available before the aauuccttiioonn thefollowing provisions apply:

(a) if the lloott is registered land the sseelllleerr is to give to the bbuuyyeerr within five bbuussiinneessss ddaayyss ofthe ccoonnttrraacctt ddaattee an official copy of the entries on the register and title plan and of alldocuments noted on the register that affect the lloott

(b) if the lloott is not registered land the sseelllleerr is to give to the bbuuyyeerr within five bbuussiinneessss ddaayyssan abstract or epitome of title starting from the root of title mentioned in the ssppeecciiaallccoonnddiittiioonnss (or, if none is mentioned, a good root of title more than 15 years old) andmust produce to the bbuuyyeerr the original or an examined copy of every relevant ddooccuummeenntt

(c) the bbuuyyeerr has no right to object to or make requisitions on any title information morethan seven bbuussiinneessss ddaayyss after that information has been given to the bbuuyyeerr.

4.3 Unless otherwise stated in the ssppeecciiaall ccoonnddiittiioonnss the sseelllleerr sells with full title guarantee exceptthat:

(a) all matters recorded in registers open to public inspection are to be treated as within theactual knowledge of the bbuuyyeerr and

(b) any implied covenant as to compliance with tenant’s obligations under leases does notextend to the state or condition of the lloott where the lloott is leasehold property.

4.4 If title is in the course of registration title is to consist of certified copies of:

(a) the ddooccuummeennttss sent to the Land Registry

(b) the application to the Land Registry

and a letter under which the sseelllleerr or its conveyancer agrees to use all reasonable endeavours toanswer any requisitions raised by the Land Registry and to instruct the Land Registry to send thecompleted registration documents to the bbuuyyeerr.

4.5 The ttrraannssffeerr is to have effect as if expressly subject to all matters subject to which the lloott is soldunder the ccoonnttrraacctt.

4.6 The sseelllleerr does not have to produce, nor may the bbuuyyeerr object to or make a requisition inrelation to, any prior or superior title even if it is referred to in the ddooccuummeennttss.

55.. TTrraannssffeerr

5.1 Unless a form of ttrraannssffeerr is set out in the ssppeecciiaall ccoonnddiittiioonnss::

(a) the bbuuyyeerr must supply a draft ttrraannssffeerr to the sseelllleerr at least ten bbuussiinneessss ddaayyss before theaaggrreeeedd ccoommpplleettiioonn ddaattee and the engrossment (signed as a deed by the bbuuyyeerr if condition5.2 applies) five bbuussiinneessss ddaayyss before that date or (if later) two bbuussiinneessss ddaayyss after thedraft has been approved by the sseelllleerr and

(b) the sseelllleerr must approve or revise the draft ttrraannssffeerr within five bbuussiinneessss ddaayyss of receiving itfrom the bbuuyyeerr.

5.2 If the sseelllleerr remains liable in any respect in relation to the lloott (or a tteennaannccyy) followingccoommpplleettiioonn the bbuuyyeerr is specifically to covenant in the ttrraannssffeerr to indemnify the sseelllleerr againstthat liability.

5.3 The sseelllleerr cannot be required to transfer the lloott to anyone other than the bbuuyyeerr, or by more thanone ttrraannssffeerr.

66.. CCoommpplleettiioonn

6.1 CCoommpplleettiioonn is to take place at the offices of the sseelllleerr’’ss conveyancer, or where the sseelllleerr mayreasonably require, on the aaggrreeeedd ccoommpplleettiioonn ddaattee. The sseelllleerr can only be required to completeon a bbuussiinneessss ddaayy and between the hours of 0930 and 1700.

6.2 The amount payable on ccoommpplleettiioonn is the balance of the pprriiccee adjusted to take account ofapportionments plus (if applicable) VVAATT and interest.

6.3 Payment is to be made in pounds sterling and only by:

(a) direct transfer to the sseelllleerr’’ss conveyancer’s client account and

(b) the release of any deposit held by a stakeholder.

6.4 Unless the sseelllleerr and the bbuuyyeerr otherwise agree ccoommpplleettiioonn takes place when both havecomplied with their obligations under the ccoonnttrraacctt and the total payment is unconditionallyreceived in the sseelllleerr’’ss conveyancer’s client account.

6.5 If ccoommpplleettiioonn takes place after 1400 hours for a reason other than the sseelllleerr’’ss default it is to betreated, for the purposes of apportionment and calculating interest, as if it had taken place onthe next bbuussiinneessss ddaayy.

6.6 Where applicable the ccoonnttrraacctt remains in force following ccoommpplleettiioonn.

77.. NNoottiiccee ttoo ccoommpplleettee

7.1 The sseelllleerr or the bbuuyyeerr may on or after the aaggrreeeedd ccoommpplleettiioonn ddaattee but before ccoommpplleettiioonn givethe other notice to complete within 10 bbuussiinneessss ddaayyss (excluding the date on which the notice isgiven) making time of the essence.

7.2 The person giving the notice must be rreeaaddyy ttoo ccoommpplleettee.

7.3 If the bbuuyyeerr fails to comply with a notice to complete the sseelllleerr may, without affecting any otherremedy the sseelllleerr has:

(a) rescind the ccoonnttrraacctt

(b) claim the deposit and any interest on it if held by a stakeholder

(c) forfeit the deposit and any interest on it

(d) resell the lloott and

(e) claim damages from the bbuuyyeerr.

7.4 If the sseelllleerr fails to comply with a notice to complete the bbuuyyeerr may, without affecting any otherremedy the bbuuyyeerr has:

(a) rescind the ccoonnttrraacctt and

(b) recover the deposit and any interest on it from the sseelllleerr or, if applicable, a stakeholder.

88.. IIff tthhee ccoonnttrraacctt iiss bbrroouugghhtt ttoo aann eenndd

If the ccoonnttrraacctt is rescinded or otherwise brought to an end:

(a) the bbuuyyeerr must return all papers to the sseelllleerr and appoints the sseelllleerr its agent to cancelany registration of the ccoonnttrraacctt

(b) the sseelllleerr must return the deposit and any interest on it to the bbuuyyeerr (and the bbuuyyeerr mayclaim it from the stakeholder, if applicable) unless the sseelllleerr is entitled to forfeit thedeposit under general condition 7.3.

99.. LLaannddlloorrdd’’ss lliicceennccee

9.1 Where the lloott is leasehold land and licence to assign is required this condition applies.

9.2 The ccoonnttrraacctt is conditional on that licence being obtained, by way of formal licence if that iswhat the landlord can lawfully require.

9.3 The aaggrreeeedd ccoommpplleettiioonn ddaattee is to be not earlier than the date five bbuussiinneessss ddaayyss after the sseelllleerrhas given notice to the bbuuyyeerr that the licence has been obtained.

9.4 The sseelllleerr must:

(a) use all reasonable endeavours to obtain the licence at the sseelllleerr’’ss expense and

(b) enter into any authorised guarantee agreement properly required.

9.5 The bbuuyyeerr must:

(a) promptly provide references and other relevant information, and

(b) comply with the landlord’s lawful requirements.

9.6 If within three months of the ccoonnttrraacctt ddaattee (or such longer period as the sseelllleerr and bbuuyyeerr agree)the licence has not been obtained the sseelllleerr or the bbuuyyeerr may (if not then in breach of anyobligation under this condition) by notice to the other rescind the ccoonnttrraacctt at any time beforelicence is obtained. Rescission is without prejudice to the claims of either sseelllleerr or bbuuyyeerr forbreach of this condition 9.

1100.. IInntteerreesstt aanndd aappppoorrttiioonnmmeennttss

10.1 If the aaccttuuaall ccoommpplleettiioonn ddaattee is after the aaggrreeeedd ccoommpplleettiioonn ddaattee for any reason other than thesseelllleerr’’ss default the bbuuyyeerr must pay interest at the iinntteerreesstt rraattee on the pprriiccee (less any ddeeppoossiittpaid) from the aaggrreeeedd ccoommpplleettiioonn ddaattee up to and including the aaccttuuaall ccoommpplleettiioonn ddaattee.

10.2 The sseelllleerr is not obliged to apportion or account for any sum at ccoommpplleettiioonn unless the sseelllleerr hasreceived that sum in cleared funds. The sseelllleerr must pay to the bbuuyyeerr after ccoommpplleettiioonn any sum towhich the bbuuyyeerr is entitled that the sseelllleerr subsequently receives in cleared funds.

10.3 Income and outgoings are to be apportioned at aaccttuuaall ccoommpplleettiioonn ddaattee unless:

(a) the bbuuyyeerr is liable to pay interest and

(b) the sseelllleerr has given notice to the bbuuyyeerr at any time up to ccoommpplleettiioonn requiringapportionment on the date from which interest becomes payable.

10.4 Apportionments are to be calculated on the basis that:

(a) the sseelllleerr receives income and is liable for outgoings for the whole of the day on whichapportionment is to be made

(b) annual income and expenditure accrues at an equal daily rate assuming 365 days in a yearand income and expenditure relating to a period of less than a year accrues at an equaldaily rate during the period to which it relates

(c) where the amount to be apportioned is not known at ccoommpplleettiioonn apportionment is to bemade by reference to the best estimate then available and further payment is to be madeby sseelllleerr or bbuuyyeerr as appropriate within five bbuussiinneessss ddaayyss of the date when the amount isknown

(d) rent payable in arrear for a period that includes the day of apportionment is to beapportioned for that period as if paid in advance.

1111.. AArrrreeaarrss

11.1 The sseelllleerr retains the right to receive and recover oolldd aarrrreeaarrss.

11.2 While any aarrrreeaarrss due to the sseelllleerr remain unpaid the bbuuyyeerr must:

(a) try to collect them in the ordinary course of management but need not take legalproceedings, distrain or forfeit the tteennaannccyy

(b) pay them to the sseelllleerr within five bbuussiinneessss ddaayyss of receipt in cleared funds (plus interestat the iinntteerreesstt rraattee calculated on a daily basis for each subsequent day’s delay inpayment)

(c) on request, at the cost of the sseelllleerr, assign to the sseelllleerr or as the sseelllleerr may direct theright to demand and sue for oolldd aarrrreeaarrss, such assignment to be in such form as the sseelllleerr’’ssconveyancer may reasonably require

(d) if reasonably required, allow the sseelllleerr’’ss conveyancer to have on loan the counterpart ofany tteennaannccyy against an undertaking to hold it to the bbuuyyeerr’s order

(e) not release any tenant or surety from liability to pay aarrrreeaarrss or accept a surrender of orforfeit any tteennaannccyy under which aarrrreeaarrss are due; and

(f) if the bbuuyyeerr disposes of the lloott prior to recovery of all aarrrreeaarrss obtain from the bbuuyyeerr’’sssuccessor in title a covenant in favour of the sseelllleerr in similar form to this condition 11.

11.3 Where the sseelllleerr has the right to recover aarrrreeaarrss it must not without the bbuuyyeerr’’ss written consentbring insolvency proceedings against a tenant or seek the removal of goods from the lloott.

1122.. MMaannaaggeemmeenntt

12.1 This condition applies where the lloott is sold subject to tteennaanncciieess.

12.2 The sseelllleerr is to manage the lloott in accordance with its standard management policies pendingccoommpplleettiioonn.

12.3 Unless set out in the ssppeecciiaall ccoonnddiittiioonnss the sseelllleerr must consult the bbuuyyeerr on all managementissues that would affect the bbuuyyeerr after ccoommpplleettiioonn, such as an application for licence or a rentreview under a tteennaannccyy, a variation, surrender, agreement to surrender or proposed forfeiture of atteennaannccyy, or a new tenancy or agreement to grant a new tenancy and:

(a) the sseelllleerr must comply with the bbuuyyeerr’’ss reasonable requirements unless to do so would(but for the indemnity in paragraph (c) expose the sseelllleerr to a liability that the sseelllleerr wouldnot otherwise have, in which case the sseelllleerr may act reasonably in such a way as to avoidthat liability

(b) if the sseelllleerr gives the bbuuyyeerr notice of the sseelllleerr’’ss intended act and the bbuuyyeerr does notobject within five bbuussiinneessss ddaayyss giving reasons for the objection the sseelllleerr may act as thesseelllleerr intends, and

(c) the bbuuyyeerr is to indemnify the sseelllleerr against all loss or liability the sseelllleerr incurs throughacting as the bbuuyyeerr requires, or by reason of delay caused by the bbuuyyeerr.

1133.. RReenntt ddeeppoossiittss

13.1 This condition applies where the sseelllleerr is holding or otherwise entitled to money by way of rentdeposit in respect of a tteennaannccyy. In this condition ‘rent deposit deed’ means the deed or otherdocument under which the rent deposit is held.

13.2 If the rent deposit is not assignable the sseelllleerr must on ccoommpplleettiioonn hold the rent deposit on trustfor the bbuuyyeerr and, subject to the terms of the rent deposit deed, comply at the cost of the bbuuyyeerrwith the bbuuyyeerr’’ss lawful instructions.

13.3 Otherwise the sseelllleerr must on ccoommpplleettiioonn pay and assign its interest in the rent deposit to thebbuuyyeerr under an assignment in which the bbuuyyeerr covenants with the sseelllleerr to:

(a) observe and perform the sseelllleerr’’ss covenants and conditions in the rent deposit deed andindemnify the sseelllleerr in respect of any breach

(b) give notice of assignment to the tenant and

(c) give such direct covenant to the tenant as may be required by the rent deposit deed.

1144.. VVAATT

14.1 Where the ccoonnddiittiioonnss require money to be paid the payer must also pay any VVAATT that ischargeable on that money, but only if given a valid VVAATT invoice.

14.2 Where the ssppeecciiaall ccoonnddiittiioonnss state that no VVAATT eelleeccttiioonn has been made the sseelllleerr confirms thatnone has been made by it or by any company in the same VVAATT group nor will be prior toccoommpplleettiioonn.

1155.. TTrraannssffeerr aass aa ggooiinngg ccoonncceerrnn

15.1 Where the ssppeecciiaall ccoonnddiittiioonnss so state the sseelllleerr and the bbuuyyeerr intend the sale to be treated as atransfer of a going concern and this condition applies.

15.2 The sseelllleerr confirms that the sseelllleerr or a company in the same VVAATT group:

(a) is registered for VVAATT and

(b) has, where necessary, made in relation to the lloott a VVAATT eelleeccttiioonn that remains valid.

15.3 The bbuuyyeerr::

(a) is registered for VVAATT, either in the bbuuyyeerr’’ss name or as a member of a VVAATT group

(b) has made, or will make before ccoommpplleettiioonn, a VVAATT eelleeccttiioonn in relation to the lloott

(c) is to give to the sseelllleerr as early as possible before the aaggrreeeedd ccoommpplleettiioonn ddaattee evidence ofthe VVAATT registration and that a VVAATT eelleeccttiioonn has been made and notified in writing toHM Revenue and Customs

(d) must not revoke the VVAATT eelleeccttiioonn..

and if it does not produce the relevant evidence at least two bbuussiinneessss ddaayyss before the aaggrreeeeddccoommpplleettiioonn ddaattee, general condition 14.1 applies at ccoommpplleettiioonn.

15.4 The bbuuyyeerr confirms that after ccoommpplleettiioonn the bbuuyyeerr intends to:

(a) retain and manage the lloott for the bbuuyyeerr’’ss own benefit as a continuing business as a goingconcern subject to and with the benefit of the tteennaanncciieess, and

(b) collect the rents payable under the tteennaanncciieess and charge VVAATT on them

15.5 Unless the sseelllleerr obtains agreement to the contrary from HM Revenue and Customs

(a) the sseelllleerr must on or as soon as reasonably practicable after ccoommpplleettiioonn transfer to thebbuuyyeerr all VVAATT records for the lloott and

(b) the bbuuyyeerr must keep those records available for inspection by the sseelllleerr at all reasonabletimes.

15.6 If, after ccoommpplleettiioonn, it is found that the sale of the lloott is not a transfer of a going concern then:

(a) the sseelllleerr’’ss conveyancer is to notify the bbuuyyeerr’’ss conveyancer of that finding and provide aVVAATT invoice in respect of the sale of the lloott and

(b) the bbuuyyeerr must within five bbuussiinneessss ddaayyss of receipt of the VVAATT invoice pay to the sseelllleerrthe VVAATT due and

(c) if VVAATT is payable because the bbuuyyeerr has not complied with this condition 15, the bbuuyyeerrmust pay and indemnify the sseelllleerr against all costs, interest, penalties or surcharges thatthe sseelllleerr incurs as a result.

1166.. CCaappiittaall aalllloowwaanncceess

16.1 This condition applies where the ssppeecciiaall ccoonnddiittiioonnss state that there are capital allowancesavailable in respect of the lloott.

16.2 The sseelllleerr is promptly to supply to the bbuuyyeerr all information reasonably required by the bbuuyyeerr inconnection with the bbuuyyeerr’’ss claim for capital allowances.

16.3 The value to be attributed to those items on which capital allowances may be claimed is set outin the ssppeecciiaall ccoonnddiittiioonnss.

16.4 The sseelllleerr and bbuuyyeerr agree:

(a) to make an election on ccoommpplleettiioonn under Section 198 of the Capital Allowances Act 2001to give effect to this condition, and

(b) to submit the value specified in the ssppeecciiaall ccoonnddiittiioonnss to HM Revenue and Customs forthe purposes of their respective capital allowance computations.

1177.. MMaaiinntteennaannccee aaggrreeeemmeennttss

17.1 The sseelllleerr agrees to use reasonable endeavours to transfer to the bbuuyyeerr, at the bbuuyyeerr’’ss cost, thebenefit of the maintenance agreements specified in the ssppeecciiaall ccoonnddiittiioonnss.

17.2 The bbuuyyeerr must assume, and indemnify the sseelllleerr in respect of, all liability under such contractsfrom the aaccttuuaall ccoommpplleettiioonn ddaattee.

18.1 This condition applies where the sale is a relevant disposal for the purposes of part I of theLandlord and Tenant Act 1987.

18.2 Unless the ssppeecciiaall ccoonnddiittiioonnss state otherwise the sseelllleerr warrants that the sseelllleerr has compliedwith sections 5B and 7 of that Act and that the requisite majority of qualifying tenants has notaccepted the offer.

1199.. SSaallee bbyy pprraaccttiittiioonneerr

19.1 This condition applies where the sale is by a pprraaccttiittiioonneerr as agent of the sseelllleerr.

19.2 The pprraaccttiittiioonneerr has been duly appointed and is empowered to sell the lloott.

19.3 The pprraaccttiittiioonneerr and the pprraaccttiittiioonneerr’’ss partners and staff have no personal liability in connectionwith the sale or the performance of the sseelllleerr’’ss obligations. The ttrraannssffeerr is to include adeclaration excluding the personal liability of the pprraaccttiittiioonneerr and of the pprraaccttiittiioonneerr’’ss partnersand staff.

19.4 The lloott is sold:

(a) in its condition at ccoommpplleettiioonn

(b) whether or not vacant possession is provided

(c) for such title as the sseelllleerr may have and

(d) with no title guarantee.

and the bbuuyyeerr has no right to rescind the contract or any other remedy if information providedabout the lloott is inaccurate, incomplete or missing.

19.5 Where relevant:

(a) the ddooccuummeennttss must include certified copies of the charge under which the pprraaccttiittiioonneerr isappointed, the document of appointment by the lender and the pprraaccttiittiioonneerr’’ss acceptanceof appointment, and

(b) the sseelllleerr may require the ttrraannssffeerr to be by the lender exercising its power of sale underthe Law of Property Act 1925.

19.6 The bbuuyyeerr understands this condition 19 and agrees that it is fair in the circumstances of a saleby a pprraaccttiittiioonneerr.

2200.. TTUUPPEE

20.1 Unless the ssppeecciiaall ccoonnddiittiioonnss state that TTUUPPEE applies then the sseelllleerr warrants that there are noemployees whose contracts of employment will transfer to the bbuuyyeerr on ccoommpplleettiioonn.

20.2 If the ssppeecciiaall ccoonnddiittiioonnss state that TTUUPPEE applies then:

(a) the sseelllleerr has informed the bbuuyyeerr of those employees whose contracts of employmentwill transfer to the bbuuyyeerr on ccoommpplleettiioonn

(b) not less than five bbuussiinneessss ddaayyss before the aaggrreeeedd ccoommpplleettiioonn ddaattee the bbuuyyeerr mustconfirm to the sseelllleerr that the bbuuyyeerr has offered to employ those employees on the sameterms as, or better terms than, their existing contracts of employment

(c) the bbuuyyeerr is to keep the sseelllleerr indemnified against all liability for those employees afterccoommpplleettiioonn.

2211.. EEnnvviirroonnmmeennttaall

21.1 This condition only applies where the ssppeecciiaall ccoonnddiittiioonnss so provide.

21.2 The sseelllleerr has made available such reports as the sseelllleerr has as to the environmental condition ofthe lloott and has given the bbuuyyeerr the opportunity to carry out investigations (whether or not thebbuuyyeerr has read those reports or carried out any investigation) and the bbuuyyeerr admits that thepprriicceetakes into account the environmental condition of the lloott..

21.3 The bbuuyyeerr agrees to indemnify the sseelllleerr in respect of all liability for or resulting from theenvironmental condition of the lloott..

2222.. SSeerrvviiccee cchhaarrggee

22.1 This condition applies where the lloott is sold subject to tteennaanncciieess that include service chargeprovisions.

22.2 No apportionment is to be made at ccoommpplleettiioonn in respect of service charges.

22.3 Within two months after ccoommpplleettiioonn the sseelllleerr must provide to the bbuuyyeerr a detailed servicecharge account for the service charge year current on ccoommpplleettiioonn showing:

(a) service charge expenditure attributable to each tteennaannccyy

(b) payments on account of service charge received from each tenant

(c) any amounts due from a tenant that have not been received

(d) any service charge expenditure that is not attributable to any tteennaannccyy and is for thatreason irrecoverable.

22.4 In respect of each tteennaannccyy, if the service charge account shows that:

(a) payments on account (whether received or still then due from a tenant) exceedattributable service charge expenditure, the sseelllleerr must pay to the bbuuyyeerr an amount equalto the excess when it provides the service charge account

(b) attributable service charge expenditure exceeds payments on account (whether thosepayments have been received or are still then due), the bbuuyyeerr must use all reasonableendeavours to recover the shortfall from the tenant at the next service chargereconciliation date and pay the amount so recovered to the sseelllleerr within five bbuussiinneessssddaayyss of receipt in cleared funds

and in respect of payments on account that are still due from a tenant ccoonnddiittiioonn 11 (aarrrreeaarrss)applies.

22.5 In respect of service charge expenditure that is not attributable to any tteennaannccyy the sseelllleerr mustpay any incurred in respect of the period before aaccttuuaall ccoommpplleettiioonn ddaattee and the bbuuyyeerr must payany incurred in respect of the period after aaccttuuaall ccoommpplleettiioonn ddaattee. Any necessary monetaryadjustment is to be made within five bbuussiinneessss ddaayyss of the sseelllleerr providing the service chargeaccount to the bbuuyyeerr.

22.6 If the sseelllleerr holds any reserve or sinking fund on account of future service charge expenditure:

(a) the sseelllleerr must assign it (including any interest earned on it) to the bbuuyyeerr on ccoommpplleettiioonnand

(b) the bbuuyyeerr must covenant with the sseelllleerr to hold it in accordance with the terms of thetteennaanncciieess and to indemnify the sseelllleerr if it does not do so.

2233.. RReenntt rreevviieewwss

23.1 This condition applies where the lloott is sold subject to a tteennaannccyy under which a rent review dueon or before the aaccttuuaall ccoommpplleettiioonn ddaattee has not been agreed or determined.

23.2 The sseelllleerr may continue negotiations or rent review proceedings up to the aaccttuuaall ccoommpplleettiioonnddaattee but may not agree the level of the revised rent or commence rent review proceedingswithout the written consent of the bbuuyyeerr, such consent not to be unreasonably withheld ordelayed.

23.3 Following ccoommpplleettiioonn the bbuuyyeerr must complete rent review negotiations or proceedings as soonas reasonably practicable but may not agree the level of the revised rent without the writtenconsent of the sseelllleerr, such consent not to be unreasonably withheld or delayed.

23.4 The sseelllleerr must:

(a) give to the bbuuyyeerr full details of all rent review negotiations and proceedings, includingcopies of all correspondence and other papers, and

(b) use all reasonable endeavours to substitute the bbuuyyeerr for the sseelllleerr in any rent reviewproceedings.

23.5 The sseelllleerr and the bbuuyyeerr are to keep each other informed of the progress of the rent review andhave regard to any proposals the other makes in relation to it.

23.6 When the rent review has been agreed or determined the bbuuyyeerr must account to the sseelllleerr forany increased rent and interest recovered from the tenant that relates to the sseelllleerr’’ss period ofownership within five bbuussiinneessss ddaayyss of receipt of cleared funds.

23.7 If a rent review is agreed or determined before ccoommpplleettiioonn but the increased rent and anyinterest recoverable from the tenant has not been received by ccoommpplleettiioonn the increased rent andany interest recoverable is to be treated as aarrrreeaarrss.

23.8 The sseelllleerr and the bbuuyyeerr are to bear their own costs in relation to rent review negotiations andproceedings.

2244.. TTeennaannccyy rreenneewwaallss

24.1 This condition applies where the tenant under a tteennaannccyy has the right to remain in occupationunder part II of the Landlord and Tenant Act 1954 (as amended) and references to notices andproceedings are to notices and proceedings under that Act.

24.2 Where practicable, without exposing the sseelllleerr to liability or penalty, the sseelllleerr must not withoutthe written consent of the bbuuyyeerr (which the bbuuyyeerr must not unreasonably withhold or delay)serve or respond to any notice or begin or continue any proceedings.

24.3 If the sseelllleerr receives a notice the sseelllleerr must send a copy to the bbuuyyeerr within five bbuussiinneessss ddaayyssand act as the bbuuyyeerr reasonably directs in relation to it.

24.4 Following ccoommpplleettiioonn the bbuuyyeerr must:

(a) with the co-operation of the sseelllleerr take immediate steps to substitute itself as a party toany proceedings

(b) use all reasonable endeavours to conclude any proceedings or negotiations for the renewalof the tteennaannccyy and the determination of any interim rent as soon as reasonablypracticable at the best rent or rents reasonably obtainable

(c) if any increased rent is recovered from the tenant (whether as interim rent or under therenewed tteennaannccyy) account to the sseelllleerr for the part of that increase that relates to thesseelllleerr’’ss period of ownership of the lloott within five bbuussiinneessss ddaayyss of receipt of cleared funds.

24.5 The sseelllleerr and the bbuuyyeerr are to bear their own costs in relation to the renewal of the tteennaannccyy andany proceedings relating to this.

2255.. WWaarrrraannttiieess

25.1 Available warranties are listed in the ssppeecciiaall ccoonnddiittiioonnss.

25.2 Where a warranty is assignable the sseelllleerr must:

(a) on ccoommpplleettiioonn assign it to the bbuuyyeerr and give notice of assignment to the person whogave the warranty

(b) apply for, and the sseelllleerr and the bbuuyyeerr must use all reasonable endeavours to obtain, anyconsent to assign that is required. If consent has not been obtained by ccoommpplleettiioonn thewarranty must be assigned within five bbuussiinneessss ddaayyss after the consent has been obtained.

25.3 If a warranty is not assignable the sseelllleerr must on ccoommpplleettiioonn:

(a) hold the warranty on trust for the bbuuyyeerr

(b) at the bbuuyyeerr’’ss cost comply with such of the lawful instructions of the bbuuyyeerr in relation tothe warranty as do not place the sseelllleerr in breach of its terms or expose the sseelllleerr to anyliability or penalty.

2266.. NNoo aassssiiggnnmmeenntt

The bbuuyyeerr must not assign, mortgage or otherwise transfer or part with the whole or any part ofthe bbuuyyeerr’’ss interest under this ccoonnttrraacctt.

2277.. NNoottiicceess aanndd ootthheerr ccoommmmuunniiccaattiioonnss

27.1 All communications, including notices, must be in writing. Communication to or by the sseelllleerr orthe bbuuyyeerr may be given to or by their conveyancers.

27.2 If a communication is delivered by hand or is otherwise proved to have been received then it isgiven when delivered or received. If delivered or received after 1700 hours on a bbuussiinneessss ddaayy it isto be treated as received on the next bbuussiinneessss ddaayy.

27.3 If a communication is to be relied on that is not delivered by hand or otherwise proved to havebeen received it must be sent by first-class registered or recorded delivery post to the address ofthe person to whom it is to be given as specified in the ssaallee mmeemmoorraanndduumm. Such acommunication will be treated as received on the second bbuussiinneessss ddaayy after it has been posted.

GENERAL CONDITIONS OF SALE - Applicable to lot 6

IINNTTEERRPPRREETTAATTIIOONN

11 In these Conditions of Sale and the Special Conditions of Sale:-

11..11 The following expressions shall (unless the context requires otherwise) have the samemeaning hereinafter assigned to them that is to say:-

11..11..11 "the Standard Conditions of Sale" means the Standard Conditions of Sale (Fourth Edition)

11..11..22 "the Special Conditions" means the Special Conditions of Sale hereinafter appearingrelating to the Property including any terms and conditions relating to the Propertyreferred to in any addendum to these conditions made available for inspection by theAuctioneer (whether or not actually inspected by the Buyer)

11..11..33 "the Property" means the Property described in the Special Conditions

11..11..44 "the Auctioneer" means the Auctioneer described in the Special Conditions

11..11..55 "the Seller" means Abbey National PLC whose registered office is situate at 2 TritonSquare, Regent's Place, London NW1 3AN.

11..22 "Buyer" shall include the person who signs the attached form of Memorandum on behalfof a company or firm and who shall be bound by these Conditions and Memorandum inhis personal capacity in the event of failure by such company or firm to comply with thisagreement

CCOONNDDIITTIIOONNSS OOFF SSAALLEE

22 These General Conditions of Sale incorporate the Standard Conditions of Sale so far asthey are not varied hereby or inconsistent herewith. The Property is also sold subject tothe Special Conditions. Where there is a conflict the Special Conditions shall prevail.

22..11 The following Standard Conditions of Sale shall not have effect:- Conditions 2.2.6.,3.1.3.,4.1,. 4.4.2., 4.6.5., 5.1.1, 5.1.2, 6.1.1., 6.3.1., 6.3.2., 6.3.5., 7.1.2., 7.3.3., 8.1.3., 8.3.3.and 10.

22..22 The Standard Conditions of Sale shall have effect with the following amendments:-

22..22..11 The Contract rate shall be 10% above the base rate of Barclays Bank PLC from time totime

22..22..22 The maximum time limit to perform any step in Standard Condition 4.3.1. shall be 3working days. The same time limit applies to the Buyer's right to raise requisitions thatthe Seller has supplied incomplete evidence to its title.

22..22..33 Standard Condition 6.8.2. shall be varied by substituting the word "Ten" with the word"Five".

22..22..44 The Buyer will effect insurance cover against all risks from the date hereof unless theproperty is leasehold and the property is insured by the landlord or another third party

TTHHEE AAUUCCTTIIOONN

33..11 The Sale is subject to a reserve price unless otherwise stated.

33..22 The Auctioneer may at his absolute discretion refuse any bid and regulate the bidding inany manner the Auctioneer wishes.

33..33 If there is a dispute about a bid the Auctioneer may resolve the dispute or re-start theauction at the last undisputed bid. The Auctioneer's decision in the event of a dispute isfinal.

33..44..11 For the avoidance of doubt this contract shall become binding when the Auctioneerknocks down the Property to the Buyer. The Buyer shall be required to pay a deposit andsign a Memorandum of Sale stating his name and address or the name and registeredaddress of the person or limited company on whose behalf he is acting save thatsignature of such Memorandum of Sale or payment of a deposit shall not be a pre-condition of entering into a binding contract. A letter of authority will be required to beproduced to the Auctioneer when signing on behalf of a Buyer.

33..44..22 If the Buyer refuses to sign the Memorandum of Sale or pay a deposit the Auctioneerreserves the right to re-offer the property for sale as if it had not been knocked down orat the Auctioneer's option sign the Memorandum of Sale on behalf of the Buyer.

33..55 The Auctioneer reserves the right to sell the Property in separate lots.

33..66 The Auctioneer or some other person authorised by the Auctioneer may bid both up to and over the reserved price.

DDEEPPOOSSIITT

44..11 A deposit of ten per cent of the purchase price shall be paid to the Auctioneer as agentfor the Seller. A minimum deposit of £2000 shall be paid.

44..22 In the event that any cheque given as the Deposit shall be dishonoured upon presentationor the Buyer fails to pay the Deposit on the date hereof then without notice the Sellershall if it so chooses have the right to deem the conduct of such Buyer as repudiation ofthe Contract between the Buyer and the Seller and the Seller may resell without noticeand/or take steps which may be available to it as a consequence of the Buyer's breachbut without prejudice to any claims it may have against the Buyer for breach of theContract between the parties or otherwise.

DDEEDDUUCCIINNGG TTIITTLLEE

55..11 "The evidence of registered title is :-official copies of the register and of any title plan and copies or abstracts of anydocuments or any part thereof noted on the register so far as they respectively affect theland to be dealt with (except charges or incumbrances registered or protected on theregister which are to be discharged or overridden at or prior to completion) provided thatnothing shall give the Buyer a right to a copy or abstract of a settlement filed at the LandRegistry; and copies abstracts and evidence (if any) in respect of any subsisting rights andinterests appurtenant to the registered land as to which the register is not conclusive, and

of any matters excepted from the effect of registration as the Buyer would have beenentitled to if the land had not been registered; and additionally in the case of a leaseholdproperty with a copy of the lease.

55..22 Where the Special Conditions state the title to be unregistered title shall commence withthose documents specified in the Special Conditions.

EEXXIISSTTIINNGG IINNCCUUMMBBRRAANNCCEESS

66..11 Where the Special Conditions state the title to be registered the Property is sold subjectto and with the benefit of (as appropriate) such of the entries in the Register of the TitleNumber referred to in the Special Conditions as are not capable of being overreached bya sale by the Seller. A copy of the Official copy of the Registers and title plan havingbeen made available for inspection at the offices of the Seller's Conveyancers and at theoffices of the Auctioneer the Buyer shall be deemed to purchase with full knowledge ofthe contents thereof whether he has inspected the same or not and notwithstanding anyincomplete or inaccurate statements thereof in the Special Conditions and shall raise norequisition or objection with regard thereto.

66..22 Where the Special Conditions state the title to be unregistered the Property is sold andwill be conveyed subject to and with the benefit of (as appropriate) any rights easementsexceptions reservations agreements declarations covenants conditions and other matterscontained mentioned or referred to in the documents specified in the Special Conditions.A copy or abstract of such rights easements exceptions reservations agreementsdeclarations covenants conditions and other matters having been made available forinspection at the offices of the Seller's Conveyancers and at the offices of the Auctioneerthe Buyer shall be deemed to purchase with full knowledge of the contents thereofwhether he has inspected the same or not and notwithstanding any incomplete orinaccurate statement thereof in the Special Conditions and shall raise no requisition orobjection with regard thereto.

DDOOCCUUMMEENNTTSS RREEFFEERRRREEDD TTOO

77..11 Where any document is referred to in the Special Conditions copies or abstracts thereofmay be inspected at the office of the Seller's Conveyancers and at the office of theAuctioneer (or may be supplied at the discretion of the Seller's Conveyancers and on eachand every occasion the same are so supplied only on payment of their copying charges)prior to the date of the sale and whether or not the Buyer has inspected the same theBuyer shall be deemed to purchase with full knowledge thereof and shall raise noobjection or requisition with regard thereto.

77..22 A copy of the Standard Conditions of Sale having been made available for inspection atthe office of the Seller's Conveyancers and at the office of the Auctioneer the Buyer shallbe deemed to purchase with full knowledge of the contents thereof (whether he hasinspected the same or not).

CCAAPPAACCIITTYY OOFF SSEELLLLEERR

88 Subject to the terms of these General Conditions of Sale, the Standard Conditions ofSubject Sale and the Special Conditions of Sale the Seller is to transfer the Property withlimited title guarantee.

PPOOSSSSEESSSSIIOONN

99 Vacant possession of the Property shall be given to the Buyer on completion exceptwhere stated in the Special Conditions. The Seller shall not clear any items from theproperty and vacant possession shall be deemed to be given notwithstanding thepresence of such items.

CCOOMMPPLLEETTIIOONN

1100..11 The completion date ("the Completion Date") shall be the date specified in theAuctioneer's Memorandum of Sale signed by or on behalf of the Buyer or if none isspecified, the Completion Date shall be 14 days from the date hereof or earlier byarrangement between the parties at or before 1.00 pm and if completion shall take placeafter that time completion shall be deemed to have taken place on the next working day.Completion shall not be deemed to have taken place until the funds are received by theSeller's Conveyancers bank. Standard Conditions 6.1.2. and 6.1.3. shall be variedaccordingly.

1100..22 If completion would otherwise take place on a Public Holiday under the provisions of thisclause completion shall take place on the working day immediately before such PublicHoliday.

1100..33 The Seller's Conveyancers shall provide an executed engrossed Transfer in the form of theLand Registry TR2, with limited title guarantee, on completion. The Buyers shall pay theSellers fees of £30.00 including VAT. It is the responsibility of the Buyer's Conveyancers tofurnish the Seller's Conveyancers with the Buyer's full names in sufficient time for theTransfer to be executed prior to completion.

1100..44 The Seller shall be entitled to decline to transfer the property to any person other thanthe Buyer.

1100..55 On the Completion Date the Buyer shall in addition to the balance of the purchasemonies and any other sums due to the Seller together with interest thereon pay any feesdisbursed by the Seller in respect of the local search and any other searches ordocuments which have been supplied to the Buyer.

1111..11 The Property is sold subject to all matters registered or registerable (whether registered ornot) in any Local Land Charges Register and the requirements orders notices proposalsdemands and requests of any Public or Local Authority which affect or relate to theProperty whether arising before or after the date hereof and all the financial and otherrestrictions liabilities and obligations arising therefrom.

1111..22 For the purpose of Section 6(2)(a) of the Law of Property (Miscellaneous Provisions) Act1994 all matters recorded in registers open to public inspection are to be consideredwithin the knowledge of the Buyer.

1122..11 If the Property is subject to the payment of rent, chief rent, ground rent, service charge,insurance premium or any other sums properly payable by the Seller whether under thelease of the Property ("the Lease") or howsoever arising the Seller shall use reasonableendeavours to obtain details of any such sums prior to the Completion Date and willdeliver to the Buyer such receipts acknowledgements or accounts as the Seller isreasonably able to obtain and the Seller shall be responsible for any such sums whichrelate to a period prior to the Completion Date provided that demands for such sums arereceived by the Seller prior to the Completion Date BUT IT IS HEREBY AGREED (subjectto paragraph 12.2 of this condition) that the Seller shall not be responsible for any sumsfor which demands are received after the Completion Date whether or not they relate toa period prior to the Completion Date. The Buyer shall not be entitled to delaycompletion on the grounds that the Seller's Conveyancers are unable to produce a clearground rent receipt.

1122..22 Where interim service charge payments are paid on account under the terms of the Leaseand final accounts are made up after the end of an accounting period and it is anticipatedthat there shall be a deficit or a surplus in the account giving rise to a liability for excessservice charge or an entitlement to a credit on the account (as the case may be) then anapportionment shall be made according to the best estimate available.

1122..33 Any apportionment made under paragraphs 12.1. and 12.2. of this condition shall be finaland binding upon the parties (and if no apportionment is made it shall be deemed to bean apportionment for the purposes of this condition) and the Buyer shall indemnify theSeller in respect of all proceedings actions claims demands and other liability (whetherarising before or after completion) for the sums referred to in this condition and all otherobligations whatsoever arising in respect of or in connection with the Property andwhether arising under the Lease or otherwise.

1122..44 All apportionments are to be made with effect from the Completion Date.

1122..55 Any sums paid in advance in respect of future work not commenced by the CompletionDate or which are held in a general sinking fund shall be reimbursed to the Seller oncompletion and any sums to be paid after the Completion Date shall be the responsibilityof the Buyer.

1122..66 If the Licence to Assign is not in the possession of the Seller's Conveyancers at theCompletion Date then completion shall take place within ten working days after theSeller's Conveyancers have notified the Buyer's Conveyancers in writing that the Licenceto Assign is in their possession. If the Licence to Assign has not come into the possessionof the Seller's Conveyancers within two months of the Completion Date either party shallbe entitled to rescind the Contract by serving notice in writing on the other party or theirConveyancers and the Seller shall (whether the Licence to Assign is not in the possessionof the Seller's Conveyancers for any reason other than due to the default of the Seller orthe Seller's Conveyancers or the party under the Lease entitled to grant the Licence toAssign) be entitled to forfeit and keep the deposit and accrued interest.

1122..77 The Buyer shall enter into any Licence to Assign Deed of Covenant or any other documentwhich may be required by any term of the Lease under which the property is held to beentered into by any proposed Assignee or Transferee with any party to the Lease or asreferred to therein and all costs of whatsoever nature in complying with suchrequirements shall be the responsibility of the Buyer.

1122..88 No express or implied covenant is given by the Seller to the Buyer that there is nosubsisting breach of any conditions or tenant's obligation contained within the Lease andthe Transfer to the Buyer shall contain an acknowledgement on behalf of the Buyer tothis effect.

1122..99 The Buyer shall within five working days of the date hereof supply to the Seller'sConveyancers such references and details of referees as may be required to enable theSeller to apply for a Licence to Assign where this is necessary.

CCOOSSTTSS UUPPOONN SSEERRVVIICCEE OOFF NNOOTTIICCEE TTOO CCOOMMPPLLEETTEE

1133 In the event that due to the Buyer's failure to complete on the Completion Date theSeller's Conveyancers serve a Notice to Complete under Standard Condition 6.8. theBuyer shall pay on completion (in addition to the balance of purchase monies and anyother sums due to the Seller together with interest thereon) the sum of £125.00 plus VATtowards the Seller's legal costs of and incidental to the preparation and service of the saidNotice and recalculation of the amount payable on completion.

FFUURRTTHHEERR AASSSSUURRAANNCCEE

1144..11 The covenant implied by paragraph (1)(b) of Section 2 of the Law of Property(Miscellaneous Provisions) Act 1994 is hereby limited so that any costs incurred by theSeller in complying with the said paragraph shall be the responsibility of the Buyer.

1144..22 The words "at his own cost" in Section 2(1)(b) of the Law of Property (MiscellaneousProvisions) Act 1994 are replaced by the words "at the Buyer's cost".

DDIISSCCHHAARRGGEE OOFF CCOONNTTRRAACCTT

1155 If the Seller shall become free to resell the Property whether by reason of the dischargeor recission of this contract or otherwise the Buyer shall forthwith on demand (if notbefore) effect the cancellation of any entry against the Property with regard to thiscontract which may have been made whether under the Land Charges Act 1972 and/or inthe Registers of Title referred to in the Special Conditions of Sale pursuant to the LandRegistration Act 1925 (as the case may be) and shall indemnify the Seller against alllosses or expenses occasioned by a failure to effect such cancellation.

1166 It is hereby agreed between the parties hereto that this agreement constitutes the entireagreement between the parties hereto for the sale and purchase of the Property and thatit may only be varied or modified in writing and that no representation warranty orstatement whether written oral or implied hereto made by or on behalf of one party to

the other shall be capable of being treated as forming part of this agreement or as aninducement by the Seller to the Buyer to enter into this agreement or as a collateralwarranty in relation to the subject matter hereof or the grounds upon which the Buyershall base any claim against the Seller but such agreement and acknowledgement shallnot extend to the written replies of the Seller's Conveyancers to any enquiries beforecontract raised by the Buyer's Conveyancers.

1177..11 The Seller reserves the right to withdraw the Property from sale at any time before theauction (whether on the scheduled date hereof or before) or before the same is actuallysold in auction.

1177..22 The Seller reserves the right to sell any part of the Property by private treaty before theauction.

1177..33 The Seller reserves the right to alter or add to the particulars of sale relating to theProperty and the Special Conditions at any time prior to the sale.

1188.. The Buyer shall be deemed to have fully considered and to have full knowledge of and tohave accepted the items set out at the front of this catalogue and described "notices toprospective purchaser".

1188..22 The Buyer hereby declares that he is not a staff member of the Seller any subsidiaries orthe Auctioneer or the Seller's Conveyancers or the agents selling the Property nor relatedto such either by blood or by marriage.

1188..33 Delivery of a Memorandum of Sale for the Property signed for or on behalf of the Buyertogether with a draft and/or cheque in respect of the deposit for the Property shallconstitute a Warranty and undertaking by the Buyer and the persons (if any) signing onbehalf of the Buyer

1188..33..11 That the persons (if any) so signing on behalf of the Buyer have the express authority soto sign and to bind the Buyer.

1188..33..22 That the cheque and/or draft will be paid on first presentation and such payment will bemade within not more than five days after presentation.

1199 The following are expressly excluded from the sale:-

1199..11 Chattels

1199..22 Any fixtures and fittings subject to any lien or hire purchase loan or credit agreement.

1199..33 The Seller does not own any chattels that may be at the property. Any such chattels maybe removed before completion, but not by the Buyer. If there are any such chattels in theproperty at completion, the Seller does not purport to sell them and does not give anytitle guarantee in respect of them. The Seller, however, shall not be liable to remove thembefore completion.

1199..44 Any security shuttering fixed to the exterior or interior of the property is not the propertyof the Seller and is not included in the sale.
