Minutes of the 11th Annual General Meeting of the Association of Multimodal Transport Operators of India
held on September 08, 2010 at 4.00 p.m. at Hotel Ritz, Churchgate, Mumbai
The Eleventh Annual General Meeting of the Association was held on Wednesday, September 08, 2010 at 4.00 p.m., due to lack of quorum the meeting was adjourned to 4.30 p.m. at Aiyna Khana, Hotel Ritz, Churchgate, Mumbai under the Chairmanship of President, Mr. Tushar Jani, which was attended by Members, the list of whom is appended to these minutes as Annexure. Since Mr. Shantanu Bhadkamkar, Hon. Secretary was unable to attend the meeting, Mr. Shashi Tanna, Hon. Treasurer read the Agenda for the meeting and requested the President to give the Welcome address. Agenda Item No. 1 : Welcome Address by the President, Mr. Tushar Jani At the outset President, Mr. Tushar Jani, extended a warm welcome to all members at the 11th Annual General Meeting of the Association. Mr. Tushar Jani, President of AMTOI, in his address to the members at the Annual General Meeting detailed the work done by the Association in the last year as well as briefed members on various matters. He stated that details of the achievements have been mentioned in the Annual Report.
• STP • GRF • AMTOI accepted the secretariat of GRF • AMTOI plans – Conference, Training programme • DGS office – renewal – taking up issue very proactively • MMTG Act for amendment given for submission • CTPAT presentation was held • Rotterdam Rules – will bring change
He advised members that lack of infrastructure continued to be a major constraint in our country. He also stated that there was a lack of understanding in the EXIM trade and training is required for the same. He advised members

that regulation of charges is surely not required and even STP would not solve all the issues. He went on to emphasise that GRF would improve the image of service providers. The President recorded his gratitude to all the members of the Managing Committee for their support and cooperation. He thanked the Vice President, Mr. Anand Sheth for providing his office space and also thanked the Special Invitees from various other Associations for contributing to the Association and the AMTOI Secretariat for their continued support and co-operation. With this he concluded his welcome address.
Agenda Item No. 2 : To confirm the Minutes of the last Annual General Meeting held on September 29, 2009 The minutes of the last Annual General Meeting held on September 29, 2009 were read, confirmed and signed. “RESOLVED that the Minutes of the 10th Annual General Meeting held on September 29, 2009 as circulated to the members and presented before the meeting are approved and adopted.” Proposed by : Mr. Ravi Gandhi, M/s. Agenda item No.3 : To adopt the audited Balance Sheet as on March 31, 2009 and the Income and the Expenditure Account for the year ended March 31, 2009 and the Auditor’s report thereon, including the Annual Report The Hon. Treasurer, Mr. Shashi Tanna briefed the members on the Balance Sheet and Income and Expenditure Account for the year ended March 31, 2010 and the Auditor’s report. After due discussions and deliberations on the accounts the same were approved and the following resolution was passed: “RESOLVED that the Annual Accounts together with the Managing Committee Report and Auditors’ Report of the Association for the year ended March 31, 2010 presented before the meeting and circulated to the members be and are approved and adopted”. The Hon. Treasurer thereafter briefed the members on the Consumer Court case with Corporation Bank. He informed the members that it is expected that the case will reach its conclusion in a short time and the Association hopes to recover the maximum possible dues. Agenda Item No. 4 : To adopt the Secretarial Report for the Term 2009-2010 The President expressed his view that since the Secretarial Report was briefed in the welcome speech, it can be approved & passed.
“RESOLVED that the Secretarial Report as presented before the meeting and circulated to the members be and is hereby approved and adopted.”

Agenda Item No. 5 : To announce results of the Election of Managing Committee Members for the year 2010 The Vice President informed the members that in response to circular dated August 14, 2010 sent to all members, the Association had received nomination forms of: 1. Mr. Shashi Tanna, M/s. Links Cargo Agencies Pvt. Ltd. 2. Mr. R. K. Rubin, M/s. Transcon Freight Systems Pvt. Ltd. As the Association had only two nomination forms for two posts of Managing Committee Members, the following two members were elected unopposed: 1. Mr. Shashi Tanna, M/s. Links Cargo Agencies Pvt. Ltd. 2. Mr. R. K. Rubin, M/s. Transcon Freight System Pvt. Ltd.

Agenda Item No. 6 : To appoint Auditors for the year 2010-2011 The Hon. Treasurer informed the members that the present Auditors M/s. B.M. Mehta & Co. hold office until the conclusion of the Annual General Meeting and are recommended for re-appointment. The Auditors have given their consent for re-appointment. The General Body confirmed appointment of M/s. B M Mehta & Co.

Carried : Unanimously Agenda Item No. 7 : Any other matter with the permission of the Chair
a) Mr. Tushar Jani, President, briefed the house that AMTOI should look at purchasing their own office premises. To a query from a member as to what should be the budget, he replied that the budget would be between 75-100 Lacs. He also advised members that funds can be collected by offering a life membership to a restricted number of members and also a discounted membership scheme wherein members can make advance payment of membership fees.
b) To a query from a member with regards to MTO’s being a member of AMTOI, Mr. Jani replied that the association would be undertaking a drive to make MTO’s who currently are not members, to join AMTOI as member. It was decided that an AMTOI Brochure would be prepared and sent to such MTO’s wherein activities of the association would be detailed. Mr. Jani also stated that this was the case with Custom House Agents. AMTOI has also represented to the Ministry of Shipping that all MTO’s be obliged to become members of the Association.
c) The members discussed that associate membership of association can and should be increased and necessary efforts should also be made in this direction.
d) A suggestion was made that more training program on general Multimodal related topics should be held to help members and their employees.

e) On a query whether AMTOI should have standard trading conditions Mr. Jani stated that the Multimodal Bill of Lading issued under the MMTG Act 1993 itself gave the terms and conditions and hence separate standard trading conditions were not required.
f) The President Mr. Tushar Jani announced that after being in the chair as President for the last 3 years he was not going to continue as President and hence he would like to record his gratitude to all the members of the association and the managing committee members for their faith in him and support and co-operation extended to him while he was the President. He also requested members to continue their whole-hearted support to the association and the future President and managing committee.
Agenda Item No 8 : A Vote of Thanks by the Hon. Secretary Mr. Shashi Tanna, Hon. Treasurer, in his Vote of Thanks extended thanks to all the members who attended the Annual General Meeting on behalf of the entire Managing Committee. He also recorded a Vote of Thanks to the Government Departments, Customs Officials, Press, Auditors, Special Invitees of various other Associations on the AMTOI Managing Committee. He concluded by thanking the Managing Committee Members and the AMTOI Secretariat for their continued support and co-operation. There being no other business, the meeting ended with a Vote of Thanks to the Chair. The President, Mr. Tushar Jani thereafter invited all the members to join for High Tea. Chairman Hon. Secretary

ANNEXURE “A”
Formation of the AMTOI Trust | AMTOI Foundation (Or call it by any other name, relating it to AMTOI)
Explanatory Note
The Association of Multimodal Transport Operators of India (AMTOI) was formed with the object of organising Multimodal Transport Operators at the national level and improving the quality of their services. The (ordinary) members of the Association are ‘Multimodal Transport Operators’ registered with the Directorate General of Shipping, Mumbai, under the Multimodal Transportation of Goods Act, 1993. In addition, the membership comprises of Associate Members, including stakeholders in the multimodal transport such as Shipping Lines, Ports, CFS, Cargo Consolidators etc.
AMTOI is registered as a non-profit making body under the Indian Companies Act. The activities of the Association are managed by the elected Managing Committee comprising of 7 members elected by the Ordinary Members, Special Invitees, invited by the Managing Committee, and Members of Extended Board nominated by the Invitee Associations. The Committee also gets guidance from the Board of Advisors consisting of the representatives of Government / Public Sector Organizations.
The Association has two-tier membership viz. Ordinary members who are registered as MTOs and Associate members who are not MTOs but are involved in operations connected with multimodal transport.
• AMTOI Managing Committee proposes that in the greater interest of members as also of developing Multi-Modalism in India, certain corresponding activities such as AMTOI Awards, Multimodal Transport Day celebrations, Educational Initiatives, Training Programs, etc, which are synergistic with the AMTOI’s objectives be carried out by the formation a Foundation / Trust for AMTOI
• It is further proposed that Assets be protected by delimiting and distributing it in an associate entity by formation of a Trust in the form of charitable trust under Bombay Public Trust Act 1950.
• Trust settled by a settlor, namely The Association of Multimodal Transport Operators of India (AMTOI) by a Trust Deed
• Besides individuals, a body of individuals or an artificial person such as an association of persons, an institution, a limited company, a Hindu undivided family through it's karta, can also form a trust.
The Managing Committee is of the opinion that the formation of AMTOI Foundation will further enhance the activities of the association, while protecting it’s assets. On approval from the General Body a memorandum of association along with rules and regulations, will be filed with the Registrar of Society and The Charity Commissioner, for formation of the above.

EXPLANATORY NOTE ON CREATING ADDITIONAL TWO LAYERS OF MEMBERSHIP IN AMTOI
Explanatory Note
The matter concerning creation of two categories of membership was discussed at the last Annual General Meeting and has been discussed during the Extra/Special Managing Committee Meeting held on 18th June 2011. In consideration of the same, two additional membership categories have been proposed to be created as follows:
I. To have 15 Patron Members on payment of Rs.7.5 lac (Life Membership) and 25 Term (Gold) Members (for a period of 15 years only) on payment of Rs.2.5 lac.
II. The Patron Members will enjoy the benefits like prominent display of
their name in the Association, display of their name in all AMTOI Day Events and all other AMTOI events, AMTOI Website, Annual Report. Further, Patron Members will get three additional couple invitation over and above the standard invite for AMTOI Day/ events. They will also get reserved seats in AMTOI events and a distinctive membership certificate will be offered. They will not be required to pay any Membership fees for Life.
III. Term (Gold) Members will enjoy the benefits of display of their name in
AMTOI Website, AMTOI Day, Annual Report and will get two additional couple invite over and above the Standard invite for AMTOI Day / events for a period of 15 years. They will not be required to pay Membership Fees for the next 15 years.
The Patron and Term Members will always be invited and treated as a special guest in all AMTOI activities.

12. SUB-COMMITTEE ACTVITIES
AMTOI ANNUAL DAY The AMTOI Annual Day was held on 20th August 2010 which was attended by a wide cross section of the Maritime Fraternity. The Chief Guest at the event was Secretary, Ministry of Shipping, Mr. K. Mohandas. AMTOI felicitated Mr. Hajara - Chairman of The Shipping Corporation of India, Mr. L D Parekh – Chairman of Parekh Group, Mr. Mukesh Oza – President of Samsara Group and Mr. Shashi Kiran Shetty – Chairman & Managing Director of Allcargo Global Logistics Ltd for their stellar contribution to the Multimodal Industry. The AMTOI Interactive website was launched on the Annual Day at the hands of Dr. Satish Agnihotri - Director General of shipping.

The Grievances Redressal Forum headed by AMTOI in collaboration with other industry bodies i.e. Federation of Freight Forwarders’ Association in India, The Container Shipping Lines Association (India), Mumbai And Nhava-Sheva Ship-Agents Association, Federation of Ship Agents Association of India, Bombay Custom House Agents Association, Air Cargo Agents Association of India and Consolidators Association of India was launched and members of the forum presented a white paper to Mr. K. Mohandas. Keeping with the tradition, the event was full of fun and frolic along with a spectacular dance performance and prizes and gifts, the highlight of which was a grand prize of TATA NANO CAR.
FULL DAY CONFERENCE The committee has planned a full day conference on Multimodal transport beyond door to door. The conference details would be announced shortly which would be very interesting and informative. This conference would be jointly held in collaboration with the office of Director General of Shipping.
TRAINING PROGRAMS
A workshop on insurance for MTO’s was held on 15th June, 2011, at Chennai which saw a large attendance from Members in Southern India. The topics, covered during the workshop, were Risk cover for Multimodal Transport Operators, liability coverage for MTO’s and claims handling. Similar workshops are planned at different locations in the country.
CHAPTERS
AMTOI launched its Chennai Chapter on 1st June 2011. This launch was preceded by an Interactive Session held at Chennai on 2nd Feb,2011 at which the response was over whelming from both Members and Non Members and the shipping fraternity. The Association has been able to also generate a large number of members from Southern Region due to launch of this chapter. The Regional Committee at Chennai has Mr. K S Shankarraman of Agil Freight Logistics Pvt Ltd as Convenor.

MMTG ACT AMTOI continues to pursue various amendments in the MMTG ACT and various working group meetings have been held to pursue the said amendment. The salient points where amendment are being sought are:- a) Introduction of definitions for “CAPITAL” , “CUSTODIAN” and
“TURNOVER”
b) Terming the document a Multimodal Transport Bill of Lading
c) Registration of all persons issuing a Bill of Lading
d) Change of turnover and capital requirement
e) Longer validity of the license
f) Renewal within a fixed time-frame
g) Multimodal Bill of Lading to cover all modes Multimodal, combined and port to port shipment
h) Obligations of cargo owners under WPM Protocol
i) MTO to have general lien
j) Requirement of MTO’S to be members of the approved association
DRAFT SHIPPING TRADE PRACTICES ACT
Further to the final draft agreed in the working group, AMTOI, has requested to delete two inclusions which were not agreed in the working group to the Ministry of Shipping, these being the introduction of criminal penalties and minimum fines.
MULTIMODAL TIMES
The Multimodal Times is being reintroduced in a new format and its 1st edition would be launched at the 12th Annual General Meeting. This would be a bi-monthly Newsletter.
CUSTOM PTFC Various issues have been represented to the different Custom Commissionerates’ to ease the day to day operational difficulties of our

members. The Sub-Committee’s continues to represent all matters brought forward by its members till an acceptable solution is found On a representation made by some of the members of AMTOI to JN Customs on Public Notice No. 92/2010 related to centralization of baggage clearances, AMTOI representation was discussed in detail at various meetings held with the Chief Commissioner of Customs and based on this representation JN Customs withdrew the above referred public notice.
TAMP / PORTS AMTOI continues to participate in the various TAMP hearings. AMTOI also makes various representations to Port authorities on the difficulties faced by its members on a day to day basis.
SCOPE AMTOI is a member of SCOPE shipping and SCOPE air forum of Ministry of Commerce. AMTOI has made a representation on many points, some of which are as follows:- a) Draft Shipping Trade Practices Act – AMTOI’s opinion that such an act is
not required
b) MTO’s to get automatic permission for setting up CFS/warehouses
c) Set up of training institute for logistics professional
d) Various Custom matters related to MTO’s
e) Containers to be free of custom duty
f) Importers to have choice of CFS
DIRECT / INDIRECT TAXES
The committee has been actively advising and guiding members with regard to queries on direct / indirect taxes. AMTOI is in the process of making representation to the Ministry of Finance with regards to service tax on freight for which necessary legal opinion has been obtained and representation would be made shortly.
MTO LICENCE RENEWAL
The committee has assisted various members in the renewal process of MTO Licence by representing the matter to the office of Director General of Shipping as well as guiding members in the correct interpretation of the act.

WEBSITE
The AMTOI website which was re-launched at the last AMTOI Annual day is very informative, useful and interactive. The website contains a large amount of useful information for members and members are urged to make use of this website.
MEMBERSHIP The Sub-Committee has been very active and instrumental in increasing the member strength from 131 to 164. This committee has been guiding various Non-Members on the benefits of joining AMTOI.
GRIEVANCES REDRESSAL FORUM
Under the Convenership of AMTOI, Six GRF Meetings were held with the participation of respective constituents. We are pleased to place it on record that Five cases were received out of which three were resolved amicably.
Matters concerning additional charges, levies by shipping companies on Import consignment were strongly protested by AMTOI as illegal charges and the matter has been referred to GRF for redressal.
GRF Nominees had a meeting with OOCL dated 11th April 2011 to discuss matters relating to TDS deduction on freight payable to OOCL.
Out of the six Grievances Redressal Forum meeting held during the Term 2010-2011, AMTOI as Convenor attended all the 6 Meetings, ACAAI attended 3 Meetings, BCHAA attended 3 Meetings, CAI attended 4 Meetings, CSLA attended 4 Meetings, FEDSAI/MANSAI has attended 3 Meetings, and FFFAI has attended 6 Meetings.
MISCELLANEOUS
1) AMTOI continues to pursue consumer complaint filed against Corporation Bank.
2) AMTOI circulates a weekly news letter by email on important news and
information on the logistics industry to all its members
3) AMTOI organised a strategy meeting for vision 2020 on the Multimodal sector by taking the help of Ernst & Young through their partner Mr. Biren Parekh.

MANAGING COMMITTEE MEMBERS’ RESPONSIBILITY STATEMENT
Pursuant to Section 217 (2AA) of the Companies Amendment Act, 2001 the Managing Committee Members confirm that –
i) in preparation of the annual accounts, the applicable Accounting Standards have been followed;
ii) appropriate accounting policies have been selected and applied consistently and have judgment and estimates that are reasonable and prudent so as to give a true and fair view of the state of affairs of the Association as on March 31 2011, and there is excess Income over Expenditure for the year ended March 31, 2011.
iii) proper and sufficient care has been taken for the maintenance of adequate accounting records in accordance with the provision of the Companies Act, 1956 for safeguarding the assets of the Association and for preventing and detecting fraud and other irregularities; and
iv) Sub-clause (iv) is not applicable to our Association.
AUDITORS
The present Auditors M/s. B M Mehta & Co. holds office till the conclusion of the ensuing Annual General Meeting and is recommended for re-appointment.
The auditors have given their consent for their appointment.
