I. HP NG F ORM OF CONTRACT

professional skills, and personnel and technical resources, have agreed to providethe Services on the terms and conditions set forth in this Contract;

2. Quyn v ngha v h-t ng ca bn Thn Ch v n V T Vn s thc hinnh thit lp trong Hp ng, c thl:The mutual rights and obligations of the Client and the Consultant shall be as set forth inthe Contract, in particular:

(a) n V T Vn s thc hin cng vic theo cc iu khon ca Hp ng;vThe Consultant shall carry out the Services in accordance with the provisions of theContract; and

(b) Thn Ch s thanh ton cho n V T Vn theo cc iu khon ca Hpng.The Client shall make payments to the Consultant in accordance with the

provisions of the Contract.

II. Nhng iu Khon Chung ca Hp ng GENERAL CONDI TI ONS OF CONTRACT

1. NHNG IU KHON CHUNGGENERAL PROVI SI ONS

1.1 nh Ngha Definitions

Tr khi tr ng hp yu cu, nhng iu khon sau y c sdng bt c lc no trong Hp ng ny c ngha nh sau:Unless the context otherwise requires, the following terms wheneverused in this Contract have the following meanings:

(a) Php Lut Hin Hnh c ngha l cc lut l v bt c vnkin no khc c hiu lc ca php lut trong S iu Hnh

ca Chnh PhCalifornia,Hoa K(hay quc gia khc cghi r trong Nhng iu Khon c Bit ca Hp ng (vit tt l SC), c pht hnh v c hiu lc bt c lc no. Applicable Law means the laws and any other instrumentshaving the force of law in the Government s country California,United States of America (or in such other country as may be

specified in the Special Conditions of Contract (SC)), as they maybe issued and in force from time to time;

(b) Hp ng c ngha l Hp ng c k bi cc Bntham gia m iu Khon Chung ca Hp ng (vit tt lGC) c nh km, vi tt c cc ti liu c lit k trong

iu 1 ca Hp ng k; Contract means the Contract signed by the Parties, to whichthese General Conditions of Contract (GC) are attached, togetherwith all the documents listed in Clause 1 of such signed Contract;

(c) Chi ph ca Hp ng c ngha l chi ph s c thanhton cho vic thc hin Cng Vic T Vn, da vo iu 5; Contract Price means the price to be paid for the performanceof the Services, in accordance with Clause 5;

(d) GC c ngha l Cc iu Khon Chung ca Hp ng;

GC means these General Conditions of Contract;

(e) Thnh Vin, trong tr ng hp cc n V T Vn ldoanh nghiplin doanh c hn mt thc th, l ch ton bcc thc th ny; Thnh Vin l ton b cc thc th , vThnh Vin Ph Trch l b phn i din c nu trong phn SC thc hin cc quyn v ngha v ca n V T

Vn v pha Thn Ch trong Hp ng ny; Member, in case the Consultants consist of a joint venture ofmore than one entity, means any of these entities; Membersmeans all these entities, and Member in Charge means theentity specified in the SC to act on their behalf in exercising all theConsultants rights and obligations towards the Client under thisContract;

(g) Nhn S c ngha l nhn vin ca n V T Vn hayca n V T Vn Ph bt k l cc nhn vin v c giaotrch nhim thc hin Cng Vic T Vn hay bt c phnno ca vic y. Personnel means persons hired by the Consultants or by anySub-consultant as employees and assigned to the performance ofthe Services or any part thereof;

(h) SC c ngha l Cc iu KhonRingca Hp ng mGC c th c thay i hay b sung; SC means the Special Conditions of Contract by which the GCmay be amended or supplemented;

(i) Cng Vic T Vn c ngha l cc cng vic s c thchin bi n V T Vn cn c vo Hp ng ny, nh m t trong phn Ph Lc A; v Services means the works to be performed by the Consultants

pursuant to this Contract, as described in Appendix A; and

(j) n V T Vn Ph c ngha l bt c thc th no mn V T Vn lm vic c hp ng ph lin quan n phn Cng Vic T Vn cn c vo iu khon ca iu 3.5v 4.Sub -consultant means any entity to which the Consultants

subcontract any part of the Services in accordance with the provisions of Clauses 3.5 and 4.

Force Majeure means an event which is beyond the reasonablecontrol of a Party, and which makes a Party's performance of itsobligations hereunder impossible or so impractical as reasonablyto be considered impossible in the circumstances, and includes,

but is not limited to, war, riots, civil disorder, earthquake, fire,explosion, storm, flood or other adverse weather conditions, strikes, lockouts or other industrial action (except where such strikes, lockouts or other industrial action are within the power othe Party invoking Force Majeure to prevent), confiscation or anyother action by government agencies.

Force Majeure shall not include (i) any event which is caused bythe negligence or intentional action of a Party or such Party'sSub-consultants or agents or employees, nor (ii) any event which adiligent Party could reasonably have been expected to both (A)take into account at the time of the conclusion of this Contract and(B) avoid or overcome in the carrying out of its obligationshereunder. Contract This Contract, its meaning and interpretation, and the relation betweenthe Parties shall be governed by the California Law.

1.3 Ngn Ng Language

Hp ng ny c thi hnh trong ngn ng quy nh trong kin ring hp ng, l ngn ng rng buc v qun l tt c ccvn lin quan n ngha hay bn dch thut ca Hp ngny.This Contract has been executed in the language specified in the SC,which shall be the binding and controlling language for all mattersrelating to the meaning or interpretation of this Contract.

1.4 Ghi ChNotices

Bt c cc ghi ch, yu cu, hay s ng no c thc thi cnc vo Hp ng ny phi c ghi thnh vn bn v c gin ng i i din hp php ca Bn tham gia thng qua nhngthng tin c truyn t nh gi chuyn pht nhanh, tin nhn,in thoi hay fax cho Bn tham gia ti a ch c ghi r trongiu kin ring ca hp ng.

Any notice, request, or consent made pursuant to this Contract shall bein writing and shall be deemed to have been made when delivered in

person to an authorized representative of the Party to whom thecommunication is addressed, or when sent by registered mail, telex,telegram, or facsimile to such Party at the address specified in the SC.

The Services shall be performed at such locations as are specified in Appendix A and, where the location of a particular task is not so specified, at such locations, whether in the Government s country orelsewhere, as the Client may approve.

Any action required or permitted to be taken, and any documentrequired or permitted to be executed, under this Contract by the Clientor the Consultants may be taken or executed by the officials specified inthe SC.

1.7Thu v TrchNhim Taxes and D uti es

n V T Vn, n V T Vn Ph, v Nhn S phi tr ccmc thu, thu hng ha, chi ph v cc loi thu quan khc c ths b thu trong Lut Php Hin Hnh, khon chi ph l ctrong Chi Ph Hp ng, hoc c ghi r trong Hp ng ny. The Consultants, Sub-consultants, and their Personnel shall pay suchtaxes, duties, fees, and other impositions as may be levied under the

Applicable Law, the amount of which is deemed to have been includedin the Contract Price or otherwise stated in this Contract.

2. S BT U, HON THNH, THAY I, CHM DT HP NG COMM ENCEMENT, COMPLETI ON, MODI FI CATION, AND TERMI NATI ON OFCONTRACT

2.1Hiu lc caHp ng

Hp ng ny bt u c hiu lc vo ngyc hai Bn cngk hay ngy c ghi r trong phnSCThis Contract shall come into effect on the date the Contract is

signed by both parties or such other later date as may be stated inthe SC.

2.2Khi uCngVic T Vn

Commencement ofServices

n V T Vn s phi bt u thc hin cng vic ngay saungy Hp ng ny c hiu lc, hay vo ngy khc c ghir trong phn SC. The Consultants shall begin carrying out the Services immediatelyafter the date the Contract becomes effective, or at such other dateas may be specified in the SC.

2.3Kt Thc CngVic T Vn

Expiration ofContract

Hp ng ny s c chm dt vo thi i m sau ngy CHiu Lc nh ghi r trong phn SC. Tr khi cng vic TVn c chm dt sm theo iu 2.5. Unless terminated earlier pursuant to Clause 2.5, this Contract

shall terminate at the end of such time period after the Effective

Date as is specified in the SC.

2.4Sa iModification

Vic sa i iu khon v iu kin ca Hp ng ny, baogm bt k s sa i no trong phm vi Cng Vic T Vn hay Chi Ph Hp ng, phi c tha thun bng vn bngia cc Bn tham gia.

Modification of the terms and conditions of this Contract, includingany modification of the scope of the Services or of the Contract

Price, may only be made by written agreement between the Parties.

2.5 Chm Dt Hp ng Termination

2.5.1Do ChuT By the Client

The Client may terminate this Contract, by not less than fifteen (15)days written notice of termination to the Consultants, to b e givenafter the occurrence of any of the events specified in paragraphs (a)

through (c) of this Clause 2.5.1 and thirty (30) days in the case othe event referred to in (d):

(a) Nu n V T Vn khng p ng thc hin nhim v c giao trong Hp ng,th trong vng m i lm (15)ngy hoc trong thi gian di hn Thn Ch s gi vn bn chm dt hp ng. if the Consultants do not remedy a failure in the performanceof their obligations under the Contract, within fifteen (15)days after being notified or within any further period as theClient may have subsequently approved in writing;

(b) Nu n V T Vn v n hay ph sn; if the Consultants become insolvent or bankrupt;

(c) Nu tr ng hp bt kh khng: n V T Vn khng ththc hin phn cng vic ca Cng Vic T Vn cho thik khng qu ba m i (30) ngy; hoc if, as the result of Force Majeure, the Consultants are unableto perform a material portion of the Services for a period onot less than thirty (30) days; or

(d) Nu Thn Ch quyt nh chm dt Hp ng theo mun ca Thn Ch if the Client, in its sole discretion, decides to terminate thisContract.

2.5.2 Do NhT Vn

By the Consult ants

(a) Nu Thn Ch khng c kh nng thanh ton khon chi ph chon V T Vn theo Hp ng ny v khng tinhnh vic tranh chp theo iu 6 trong vng ba m i (30)ngy saukhi nhn c thng bon t n V T Vn m khon thanh ton tr hn; hoc if the Client fails to pay any monies due to the Consultants

pursuant to this Contract and not subject to dispute pursuant to

Clause 6 within thirty (30) days after receiving written notice from the Consultants that such payment is overdue; or

(b) Nu Tr ng Hp Bt Kh Khng, n V T Vn khngth thc hin thnh phn vt liu ca Cng Vic T Vn cho thi k khng qu ba m i (30) ngy.if, as the result of Force Majeure, the Consultants are unable to

perform a material portion of the Services for a period of notless than thirty (30) days.

2.5.3 Thanh toncho vic chmdt hp ng Payment upon

Termination

Vi vic chm dt Hp ng ny theo iu 2.5.1 hoc 2.5.2,ThnCh phi thanh ton cho n V T Vn cc khon chi ph sau y: Upon termination of this Contract pursuant to Clauses 2.5.1 or

2.5.2, the Client shall make the following payments to theConsultants:

(a) Tin th lao cn c vo iu 5 ca Cng Vic T Vn thc hin mt cch tha mn tr c ngyc hiu lc cavic chm dt;

Remuneration pursuant to Clause 5 for Services satisfactorily performed prior to the effective date of termination;

(b) Ngoi tr trong tr ng hp ca vic chm dt hp ngcn c theo on (a) v (b) ca iu 2.5.1,chi ph phtsinh ca bt c cc khon chi tiu hp l lin quan nvic chm dt ca Hp ng phi c hon tr li chon V T Vn.except in the case of termination pursuant to paragraphs (a)and (b) of Clause 2.5.1, reimbursement of any reasonable costincident to the prompt and orderly termination of the Contract.

3. NGHA V CA NH T VN OBLI GATI ONS OF THE CONSUL TANTS

3.1iuchungGeneral

The Consultants shall perform the Services and carry out their

obligations with all due diligence, efficiency, and economy, inaccordance with generally accepted professional techniques and

practices, and shall observe sound management practices, and

employ appropriate advanced technology and safe methods. TheConsultants shall always act, in respect of any matter relating to thisContract or to the Services, as faithful advisers to the Client, and

shall at all times support and safeguard the Client s legitimateinterests in any dealings with Sub-consultants or third parties.

expiration of this Contract, deliver all such documents and softwareto the Client, together with a detailed inventory thereof. TheConsultants may retain a copy of such documents and software.

Restrictions about the future use of these documents, if any, shall be specified in the SC.

If the Client finds that any of the Personnel have (i) committed serious misconduct or have been charged with havingcommitted a criminal action, or (ii) have reasonable cause tobe dissatisfied with the performance of any of the Personnel,then the Consultants shall, at the Client s written request

specifying the grounds thereof, provide a replacement of a person with qualifications and experience acceptable to theClient.

Minor changes in design and details are anticipated and revisions resulting from suchchanges are included in this agreement. In the event of substantial changes (ie overalldesign concept, project boundaries, budget, scope or extent) shall be considered asadditional services. shall notify the Client and an agreement on compensation will be made prior tocommencement of the revisions.

Preparation of record drawings or of measured drawings of existing conditions. If recorddrawings are requested, the Consultant shall have the right to rely on the completenessand accuracy of the as-built conditions supplied by the contractor.

Any claims for works or expenses beyond the scope of work covered by the agreed fees stated under scope of work shall be subjected to the client having first given i ts consent inwriting for that additional works or expenses.
