INVITATION FOR BIDS NO. EGAT 6/2558-KBCH

FOR

BERTH, JETTY AND COAL HANDLING SYSTEM FOR KRABI COAL FIRED THERMAL POWER PLANT PROJECT

The Electricity Generating Authority of Thailand (EGA T) hereby invites sealed bids for design, supply, customs clearance, transportation to site, delivery, erection, installation, testing and commissioning of Berth, Jetty and Coal Handling System for Krabi Coal Fired Thermal Power Plant Project.

This project is financed by EGA T' s Fund.

Place of Construction : Nuea Khlong District, Krabi Province

Medium Cost : THB 11,652,000,000.-

Description ofWorks

The Bidder shall perform all work and suppl equipment and services associated with the design, fabrication, transportation to site, installation, construction, training, startup, testing, documentation, performance determination and quality assurance of the Facility, buildings and structures including but not limited to the following:

1. Design, perform engineering work and construct entire Facility

2. Procure and furnish all materials, equipment, tools, labour, supervision and services required for completion of the Facility, including

Pre-shipment testing of equipment in the supplier's factory

Seaworthy packing, dispatch properly packed and transport to CIF Thai Port, and unloading at this port

Loading at the port, transport and insurance to the site of all equipment and materials supplied from aboard for the project

Customs clearance

Dispatch properly packed, transport and insurance to the site of all equipment and materials supplied from sources in Thailand

Unloading at the site, storage, handling and receiving of all equipment and materials

All insurance as required by GC.33.

In case of military materials, hazardous substances and industrial radiation material such as chlorine gas, gas mask with breathing air tank, S02 mixed gas, CO mixed gas, Amricium-241 (AM-241), etc, to be furnished for use in this project, the Bidder shall procure them within domestic market only, the importation of these materials will allow just in case of domestic market procurement could not be done. The Bidder shall have EGAT's approval prior to procure these materials from abroad and shall inform EGAT the delivery date of not less than 150 days before arrival at site.

3. Modification of existing remaining underground facilities buildings, facilities, and foundations, excluding piles, which are located in the area as shown in DWG. No. KBCH-C1-006A to KBCH-C1-006C and KBCH-C1-009 to KBCH-C1-010.

4. Removal and disposal of debris and all demolished materials from the EPC construction area as shown in DWG. No. KBCH-Cl-006A to KBCH-Cl-006C and KBCH-C1-009 to KBCH-C1-010.

5. Site Preparations for the Overland Coal Conveyor System for Construction Area 2 refer to Section 2A.1.4, Volume 2.

6. Demolition of unforeseen concrete foundations, piles, buried pipes, and any existing obstructions for the construction work.

7. Install, construct and connect to interfacing utilities, services and facilities and connect to EGAT's 33 kV overhead lines and communication system.

8. Install, construct and connect to PEA' s 33 kV overheadline as alternated power supply as shown in DWG. No. KBCH-E-001.

9. Provide, install cables raceways and accessories from project to terminal points, including modification (if required), connections (if required) and testing.

10. Commissioning and start up the project as described in Part 9, Volume 2.

11. Perform all performance guarantee and testing as described in Part 10, Volume 2.

12. Place Facility as a whole into normal parallel operation with the utility at the required normal electric power output.

13. Provide classroom training at site, and certification of EGAT's operating and

maintenance personnel as described in Section 1A.6, Volume 1.

14. Prepare and provide record drawings, erection, installation, construction, operation and maintenance manuals.

15. Provide all necessary drawing and/or documents signed by authorized engineer as required by Thai law in order to EGAT to obtain all permits and/or approvals according to Section 1 C.l , in which required periods as described below and also indicate such periods for relevant activities under Section IA.lO, Volume 1 of Schedule of Activities and Section IA.l0.2, Volume 1 List of drawing and/or documents required in order to EGA T obtain permits

15.1 Drawings and data for Construction Permit and all permanent buildings: LOI + 2 Months.

15.2 Drawings and data for Factory Operation/Expansion Permit: LOI + 2 Months.

15.3 Drawings and data for Excavation Work I Back Fill Permit: 30 Days prior construction.

15.4 Drawings and data for other permits: EGAT will inform later.

In addition, the drawing as above and as details in Section 1 A.l 0.1 , Volume 1 shall be used for the permits only. The actual construction drawing will be reviewed by EGAT as specified in Section IE, Volume 1. The supporting letter of Thai authorized engineers as well as a copy of Permission Certificate of the engineers for each permit shall be provided by the Bidder.

16. Obtain all permits and/or approvals necessary for the Work, excluding permits and/or approvals listed in Section lC.l, Volume 2, which shall be obtained by EGAT.

For the purposes of clarity, permits and/or approvals in the responsibility of the Bidder shall include, but are not limited to;

Heavy equipment transportation Approval

Certification of pressure vessels and approval of detailed design

Certification of coal property inspection by third party

Permit to import/possess the military materials

Permit to import/possess the hazardous substances

Permit to import/possess the industrial radiation materials

All permits and/or approvals for temporary works/structures

Certification of stationary cranes safety inspection

17. Heavy Transport Study and resolve problems concerning transport of heavy equipment.

18. In many cases, a Thailand Registered Engineer will be required to review and approve portions of the Facility and its design. The Bidder shall be responsible for any engineering review of this nature.

19. Investigate the Job Site for all construction utility requirements as specified in Section 1F.3, Volume 1.

20. Investigate and verify the quality and quantity of water to be used for the Facility.

21. Responsible for design and construction methods, means, techniques and procedures, and for the establishment of and compliance with safety procedures.

22. Arrange for complete and safe receiving, handling and storage of all materials, equipment and construction equipment, including, but not limited to, inspection, expediting, shipping, unloading receiving, protection and rectifying any loss or damage. This shall include negotiating exemptions and paying all import licenses.

23. Provide all temporary construction camp, construction plant and facilities, construction materials, equipment, supplies and construction utilities and facilities required by the Bidder to complete the Facility.

24. Provide EGAT's temporary site office and facilities as specified in Section 1F.2, Volume 1.

25. Provide programs for managing social impacts in accordance with the contract.

26. Provide site security and safety during construction.

27. Clear the site of temporary structures, surplus material and equipment.

28. Dispose of all rubbish according to EIA requirement or as directed by EGA T.

29. Dispose of all chemical waste water generated from chemical cleaning process. Treatment and disposal of chemical cleaning waste shall be performed by the vendor who obtain permit license from Industrial waste management Bureau, Department of Industrial Works.

30. Replace required spare parts required to provide to EGAT, but used during progress of the work and keep possession thereof until such spares may be turned over to EGA T.

31 . Promptly after the Letter of Intent Date, the Bidder shall provide to EGA T a notice in the form of a comprehensive safety manual describing the programs to be used by the Bidder in the performance of the work, including but not limited to safety, security,

fire and first aid. EGAT shall have the right to review, comment on and audit such programs. EGA T reserves the right to perform ongoing audit of the Bidder and Sub­

Bidders against safety manual requirements. The Bidder shall make such changes therein as are reasonably requested by EGAT and effectively implement such programs

(j) Submit all technical specifications, all drawings and data sheets to EGA T for review and comment pursuant to the contract hereof.

(ii) If EGA T shall comment that any of the foregoing may not comply with the requirements of the contract, the Bidder shall take reasonable steps to

demonstrate to the EGA T that the forgoing does comply or shall amend and resubmit the relevant documents for EGA T's review and comment.

(iii) The Bidder shall cooperate with EGA T in the review of design documents, the

conduct of inspections and the performance tests and other matters hereunder relating to the work.

33. Be responsible for all strengthening and/or damage caused to any highway, road, bridge, street furniture or other Facility by reason of extraordinary or excessive traffic arising from the execution of the work and shall pay all charges, damages, or compensation payable for, or in respect of any such traffic.

34. Supply all consumable materials, until commercial operation date, such as service water, chemicals, lubrication oil, control oil, grease, welding rods, detergent solution

etc.

Bid Security: USD 17,790,000.- or THB 582,600,000.-

Eligibility of Bidders

Only proposals from Bidders as a single company or as a Joint Venture or as a Consortium of firms who satisfy the following qualifications and certify their eligibility and qualifications by submitting evidence, detailed in the following order, will be accepted:

1. He is a registered purchaser of the bidding documents from EGAT. For a Joint Venture or Consortium, only one (1) member of the Joint Venture or Consortium is required to purchase the bidding documents. In case where the Bidder is not the purchaser of the bidding document, the purchaser shall notify EGAT of the name of the Bidder in writing prior to the bid opening time;

2. He or the company he represents is a well-established manufacturer and maintains a permanent place of business

Joint Venture or Consortium of firm ofthe above could be admitted as Bidder.

In case of Joint Venture or Consortium of two (2) or more firms, partnership or companies, one (1) of their members must have been selected as a lead partner.

3. He or the company he represents regularly manufactures equipment of the general type specified for not less than the last three (3) years and has adequate plant available to manufacture the specified equipment properly and expeditiously;

4. He has adequate funds to meet financial obligations incident to this work.

All such evidences to be submitted shall be of his own documents;

5. He or the company he represents has no just or proper claims pending against him with respect to breach in the performance of contract on other similar work;

6. He or the company he represents for construction work of berth and jetty shall have adequate design and technical knowledge and have pertinent and practical experience in berth and jetty construction work for the vessel with the capacity at least 10,000 DWT (Dead Weight Tonnage) with at least two (2) projects occurring during in the past ten (10) years;

7. He or the company he represents for construction work of tunneling shall have adequate design and technical knowledge and have pertinent and practical experience in tunneling construction work with contract price of at least five hundred (500) million Baht per one (1) project with at least one (1) project occurring during in the past ten (10) years;

The evidence of item 6 and 7 shall consist of selected listing ofthe project(s) indicating owner's name, location, date of operation, capacity and/or Contract Price. The listing shall be specially prepared for this particular proposal and shall list only those units meeting the above requirements;

8. He or the company he represents for the coal handling system shall have adequate design and technical knowledge and have pertinent and practical experience in the coal handling system occurring during in the past ten (10) years with at least one (1) project operating in overseas country (not his own country) or in Thailand.

The evidence of item 8 shall consist of selected listing of the units indicating owner's name, location and date of operation. The listing shall be specially prepared for this particular proposal and shall list only those units meeting the above requirements.

Such evidences shall only be of his own experience or the relevant proposed company's experience. The experience of his parent company is not acceptable.

Other than the above evidences, the Bidder shall submit the owner and/or user certificates (e.g. Provisional Acceptance Certificate, Final Acceptance Certificate, etc.) issued by the owner and/or user, and/ or any other documents, as required by EGAT, to prove that the Bidder or the company he represents is qualified with the requirements of items 6, 7 and 8.

Failure to demonstrate compliance with a single aspect of any qualification criterion in items 6, 7 and 8 shall result in disqualification of the entire proposal. In this regard, only information provided with the proposal will be considered. However, the information submitted to EGA T after the bid opening date (Technical Proposal) shall not be considered unless it is requested by the Chairman of the Evaluating Committee;

For the Bidder or the company the Bidder represents under item 2, 3, 6, 7 and 8 who

a) consolidates or merges with or acquires other firm or company or business units of other firm or company before submitting the bid, or

b) is formed by consolidating or merging firms or companies or business units of firms or companies before submitting the bid,

the experience records of each such firm or company can be accepted as the experience records of the Bidder or the company the Bidder represents under item 2, 3, 6, 7 and 8.

In addition, the pending claims of any former company shall be considered the claim of the new company. The formation of the new company does not construe that the new company is released from any liability for such claims.

9. He shall not be a Jointly Interested Bidder with other Bidders as from the date of EGAT's issuance of the Invitation for Bids or shall not be a person who undertakes any action as an "Obstruction of Fair Price Competition" described in Article 1.1 of Additional Regulation attached at the end of this Section;

10. He shall not be named in the list of work abandoners published by the Office of the Prime Minister, and/or in the debarment list and/or the list of work abandoners declared by EGA T according to Article 5 of Additional Regulation attached at the end of this Section;

11. He shall not have EGAT's personnel involve in his business as shareholder having voting right that can control his business, director, manager, officer, employee, agent or consultant except for the ones who are officially ordered by EGA T to act or participate therein;

12. He shall not be a person who is privileged or protected not to be taken any legal proceeding under Thai Court; provided that such Bidder's government declares that such special privilege is waived;

13. He shall not be EGAT's consultant or involve m EGA T's consultancy under this Invitation for Bids.

14. The Bidder shall neither fail to submit revenue and expense accounts nor fail to present proper and complete accounts to the Revenue Department of Thailand, in accordance with the Notification of the National Anti- Corruption Commission Concerning Principles and Methods of Preparing Revenue and Expense Accounts of Project between individual/ Company and Government Agencies B.E. 2554 (A.D. 2011) as amended from time to time ("the Notification").

15. The Bidder shall register for e-Govemment Procurement (e-GP) at Thai Government Procurement website (www.gprocurement.go.th at telephone No. 662 1277386-89) of the Comptroller General's Department of Thailand.

Due to the fact that the e-GP system is not ready for registration for foreign bidders who have no taxpayer identification number at this moment, foreign bidders are, therefore, temporarily released from this qualification. However, whenever the e-GP system is ready, all foreign bidders shall register in the e-GP system.

The Bidder shall examine and submit complete evidences of the qualifications mentioned above in items 9, 10 and 11 as detailed in Additional Regulation attached at the end of this Section;

All experiences and qualifications to be submitted under this Bid shall not be later than Technical bid opening date. Failure to demonstrate compliance with the aforesaid requirement shall be cause for rejection of proposal.

Bidders are advised that the non-compliance with the above requirements shall be cause for rejection of proposals.

The following will also be taken into account in determining a Bidder's eligibility and may result in rejection of the Bidder's proposal as well:

Political situation in the country of the Bidder or in the country of origin and/or manufacturer of equipment and material which may obstruct the performance of the Contract.

Performance on previous and current contracts with EGAT.

In the event that the successful Bidder is a Joint Venture or a Consortium formed of two or more companies, EGAT requires that the Joint Venture or a Consortium accept joint and several liability for all obligations under the Contract and shall carry out all the work under such formation from the time of bidding until the fulfillment of the Contract.
