EXECUTIVE SUMMARY Ajax Building Corporation is pleased to present this Guaranteed Maximum Price (GMP) Proposal for the Freeport Elementary School Classroom Additions for consideration by The Walton County School Board. This GMP Proposal will recap the status of the project through the end of the GMP Phase and will provide estimate, schedule and other project information to be utilized by the project team as the project moves forward. This GMP Proposal, upon acceptance by The Walton County School Board, is intended to serve as the basis for an Amendment to the CM Contract, adding the construction phase activities to the current contract. Project Description The project consists of site preparation and building construction required to complete the new 4 classroom addition at the east end of the 4th Grade Wing and the new 2 classroom addition at the east end of the Kindergarten Wing. Each addition will be constructed using CMU Masonry block with brick veneer, steel roof joists with metal roof deck, insulation and metal roof. Sitework will consist of removing and relocating existing utilities, installing a new lift station, retaining walls, and concrete sidewalks. Guaranteed Maximum Price (GMP) Ajax Building Corporation is confident that the GMP Estimate included herein is representative of the proposed scope of work depicted in the GMP Documents. The work included in the GMP Estimate is based upon the List of Documents included in Section II of this proposal as amended by 1) the Clarifications, Qualifications, and Assumptions, 2) the Exclusions, 3) Value Engineering and Budget Options, and 4) the Allowance Schedule, all contained in Section III of this proposal. The Base Bid GMP Proposal for the Freeport Elementary School Classroom Additions totals $2,691,547.00. The Base Bid GMP Proposal includes construction of a new 4 classroom addition at the east end of the 4th Grade Wing and the new 2 classroom addition at the east end of the Kindergarten Wing and all associated sitework and utilities. In addition to the Base Bid GMP Proposal, Ajax Building Corporation has provided pricing for various Alternates in Section III-F of this proposal for consideration by The Walton County School Board. At this time, none of these Alternates are included within the Base Bid GMP Proposal. The following is a summary of the Alternates:

In order for construction activities to commence on October 9, 2015 as scheduled, the following contractual activities will need to be completed as indicated.

▪ GMP Negotiations Complete October 10, 2014 ▪ CM Contract Amendment Executed October 27, 2014 ▪ All Required Permits Issued October 21, 2014 ▪ Notice to Proceed Issued October 22, 2014

In order to expedite the project start-up activities, the Design Team, the Construction Manager and the Owner will be required to closely coordinate and expedite submittal review/approval, respond to information requests, respond to conflicts/unforeseen conditions, etc.

CLARIFICATIONS, QUALIFICATIONS AND ASSUMPTIONS

Basis of the GMP Proposal

This GMP Proposal has been prepared based on the following documents: ▫ The Contract Drawings entitled Six Classroom Addition Freeport Elementary School dated April 4,

2014 as prepared by Townes + Architects. Refer to Document List included in Section II of this proposal. ▫ The Project Specifications entitled Six Classroom Addition Freeport Elementary School dated April 4, 2014 as

prepared by Townes + Architects. Refer to Document List included in Section II of this proposal. ▫ All Addenda, including; Addendum No. 1, dated July 21, 2014; Addendum No. 2, dated July 28, 2014;

Addendum No. 3, dated August 14, 2014 all prepared by Townes + Architects and their consultants, to the extent that the addenda was made available and issued to bidders by Ajax Building Corporation as part of a bid package addenda prior to their bid date.

▫ The Construction Manager’s GMP Estimate dated October 10, 2014. ▫ The Construction Manager’s Project Schedule dated September 19, 2014. ▫ The Bid Packages and Bid Package Addenda issued to bidders by the Construction Manager.

It is understood that allowances are included in this GMP Proposal as indicated in Section III-E of this proposal. It is further understood that the Construction Manager’s Contract will require adjustments by change order (either additive or deductive) for reconciling the difference between each allowance and the actual costs and/or savings realized on each allowance.

The sizes, quantities and descriptions indicated within the GMP Estimate are considered to be part of these clarifications, qualifications and assumptions.

These qualifications, clarifications and assumptions are intended to supplement the GMP Estimate and the GMP Documents, and are an attempt to inform the Owner and the Design Team of the Construction Manager’s interpretation of the scope items which are included or excluded, and which may not be clearly shown or defined by specification, plan, elevation, detail, section, schedule, or schematic.

Scope of the GMP Proposal

The scope of this GMP Proposal consists of the following: ▫ The Construction Manager’s general conditions and general requirements for a period of seven and three

quarters (7.75) months. ▫ The Construction Manager’s pre-construction fee of $20,370.00 ▫ Base GMP – Includes the following scope of work:

Base Estimate -Site preparation and building construction required to complete the 4 classroom addition at the east end of the 4th Grade Wing and the 2 classroom addition at the east end of the Kindergarten Wing and all related earthwork, utilities, retaining walls, and hardscapes

▫ Ajax Building Corporation has provided pricing for Proposed Substitutions, Alternates, and Value Engineering opportunities in Section III of this proposal for consideration by The Walton County School Board. At this time, none of these Alternates, Substitutions or Value Engineering options are included within the Base Bid GMP Proposal.

Division 01 – General Requirements

Clarifications, qualifications and assumptions related to Division 01: ▫ This GMP Proposal includes the Construction Manager’s general conditions and general requirements for a

period of seven and a half (7.5). ▫ We have included the necessary jobsite supervision, layout, safety supplies, equipment, temporary jobsite

office facility, postage, office equipment, project telephones, and jobsite communications. ▫ We have not included a jobsite office facility for the Owner, Architect, Engineer, or their representatives. ▫ Temporary utility services (water, sewer and electric) are not included in the estimate. It is assumed that all

temporary utilities required for the project will be tied into permanent utilities and that these permanent utilities are readily accessible, of adequate size to handle any additional load as required by temporary utilities and that temporary on-site facilities can be located as necessary to prevent the need for any substantial overhead and/or underground temporary utilities.

▫ Aerial photographs are not included in the estimate. ▫ Costs related to a threshold inspector are not included in the estimate. ▫ It is assumed that any steam, chilled water and/or natural gas utilities consumed in the performance of the

work will be provided by the Owner at no cost to the Construction Manager. ▫ The costs associated with temporary water, sewer and electric utilities will be paid for by Walton County

Schools and are not included in the estimate. Only costs for the hook-up of these utilities are included in the GMP Proposal.

▫ Environmental permits are not included in the estimate. ▫ The estimate does not include any tap fees, connection charges, system charges, impact fees, meter fees, or

other regulatory requirements/fees as all utilities are being tied into existing utility services. ▫ The cost of reproduction and distribution of Contract Documents for the purpose of construction is included in

the estimate. ▫ One (1) each standard 4’ x 8’ project sign is included in the estimate. ▫ A site survey is included in the estimate. ▫ An as-built survey is included in the estimate for the final documentation of the location and elevation of the

proposed new construction. ▫ Jobsite cleanup, rubbish removal and rubbish disposal are included in the estimate. ▫ The final project cleaning is included in the estimate. ▫ An allowance of $6,000.00 is included in the estimate for lab testing. ▫ Temporary jobsite fencing and gates are included in the estimate as 6’-0” high chain link fencing. A visual

barrier will be provided at areas that abut occupied areas. ▫ Silt fencing is included in the estimate for areas where construction runoff and/or erosion may occur. ▫ We have included an allowance to sod/ seed/ hydroseed with native grass areas disturbed by construction

activities as necessary to return those areas to their pre-construction condition. It should be understood that there will be a “growing in” period following the seeding operations.

▫ Temporary gravel, limerock, crushed concrete or asphalt millings is included in the estimate for the stabilization of the construction entrances.

▫ This proposal does not include any provisions for enhanced hurricane protection (EHPA). ▫ Performance and Payment Bonds are included in the estimate. ▫ General Liability Insurance is included in the estimate. ▫ Costs for procuring Builder’s Risk Insurance are included in the estimate.

The standard deductible for this policy is $10,000.

The earthquake and flood deductibles for this policy are each $25,000. The named storm deductibles for this policy are $100,000. Should a Builder’s Risk claim occur, any deductibles or uncovered costs will be treated as a change in

scope to be funded via a change order to the Construction Manager’s Contract. ▫ The Builder’s Risk and General Liability Policies do not cover existing construction or existing building

components, therefore the Owner shall list Ajax Building Corporation as an additional insured on their Property Damage Policy or provide for a waiver of subrogation in Ajax Building Corporation’s favor.

▫ A Construction Manager’s Contingency is included in the estimate. This contingency is to be utilized by Ajax Building Corporation in executing the work described in this GMP Proposal. Acceptable uses of this contingency include, but are not limited to, the following: Buy-out of work not included in previously awarded bid packages. Repair of damages caused by an unknown source or contractor (not including Builder’s Risk claims). To improve and/or accelerate the progress of the work. To improve the conditions of the work. For modification of the work resulting from an unknown ambiguity (not an error or omission) in the

contract documents. To increase and/or supplement staff as necessary to effectively manage the project. To adjust the reimbursable general conditions in excess of the budget.

▫ Architectural and/or Engineering Fees are not included in the estimate. ▫ The Construction Manager’s Construction Phase Fee is included.

Division 02 – Site Work

Clarifications, qualifications and assumptions related to Division 02: ▫ Abatement and Remediation Work

We specifically exclude any asbestos abatement, lead paint abatement or removal, PCB abatement or removal, and related surveys, air monitoring, clearances, testing services, etc.

▫ Demolition / Selective Demolition Demolition work and selective demolition work as required to remove the structural canopy on the east

end of the Kindergarten wing is included in this proposal. An allowance of $5,000.00 is included in this estimate for misc. demolition that may be required at

building tie-ins. The water and runoff generated from construction operations will not be contained on the project site. It

is assumed that the water and/or runoff generated from construction and demolition operations will not require collection, treatment or disposal.

Existing/ abandoned utilities will be disconnected and removed as indicated on the Construction Drawings. Existing lift station will be pumped out, crushed and filled in place.

We specifically exclude the relocation and/or reinstallation of any existing or temporary buildings, structures, etc. unless specifically noted otherwise in this GMP Proposal. − All playground equipment within the construction areas will be removed by Ajax Building

Corporation and turned over to Walton County Schools in it’s existing condition. − An allowance of $10,000.00 has been provided to disassemble/ re-assemble the Little Tikes

plastic playground set currently located east of the Kindergarten Wing and the Swing-N-Slide wood playground set currently located east of the 4th Grade Wing. This allowance includes,

dismantling/ disassembling, relocating, and reassembling these structures in their new permanent location once construction is complete. − This allowance does not include any replacement parts, pieces, fasteners or attachments

that may be needed due to overuse/ misuse, corrosion or other damage, whether existing or occurring during disassembly.

▫ Site Work / Earthwork It is assumed that the existing soils are of an acceptable material and that compaction can be achieved

under normal means and methods, and that over-excavation and/or replacement of unsuitable soils will not be required in the performance of the work.

It is anticipated that various roadways, paving, parking lots, etc. surrounding the project site will require resurfacing and/or repair at the completion of the project. We recommend that a more detailed evaluation be performed by the project team during the later stages of the project so that a definitive scope of work can be prepared and priced accordingly.

Asphalt Paving, curbing, striping, and open pavers are included as indicated on the Contract Documents as Described in Bid Package 2.1 – Sitework.

▫ Sidewalks, Hardscaping and Site Improvements Sidewalks, Hardscaping, and Site Improvements are included as indicated on the Contract Documents

as Described in Bid Package 2.1 – Sitework and 3.1 Concrete. Site Furnishings are excluded from the GMP Proposal. These will be furnished and installed under the

Owner’s FF & E. Removal/ Relocation of existing playground equipment will be performed as noted above.

An allowance of $3,500.00 is included in this estimate for additional chainlink fencing that may be required.

EXCLUSIONS

The following items are specifically excluded from the GMP Proposal: Division 01 – General Requirements

We have not included a jobsite office facility for the Owner, Architect, Engineer, or their representatives. Temporary utility services (water, sewer and electric) are not included in the estimate. It is assumed that all

temporary utilities required for the project will be tied into permanent utilities and that these permanent utilities are readily accessible, of adequate size to handle any additional load as required by temporary utilities and that temporary on-site facilities can be located as necessary to prevent the need for any substantial overhead and/or underground temporary utilities.

Aerial photographs are not included in the estimate. Costs related to a threshold inspector are not included in the estimate. It is assumed that any steam, chilled water and/or natural gas utilities consumed in the performance of the work

will be provided by the Owner at no cost to the Construction Manager. The costs associated with any temporary or permanent water, sewer and electric utilities beyond the date of

Substantial Completion are excluded. Permits required to proceed with the work (environmental, building, municipal, etc.) are not included in the

estimate. This proposal does not include any provisions for enhanced hurricane protection (EHPA). Architectural and/or Engineering Fees are not included in the estimate.

Division 02 – Site Work

We exclude any asbestos abatement, lead paint abatement or removal, PCB abatement or removal, and related surveys, air monitoring, clearances, testing services, etc.

The treatment or disposal of water and/or runoff generated from demolition operations is excluded. It is assumed the abandoned lift station will be disconnected, pumped out, crushed and filled with dirt. We exclude the relocation and/or reinstallation of any existing or temporary buildings, structures, with the

exception of playground items specifically noted in this GMP. The salvage of any materials, equipment, furniture, etc. is excluded. We have not included any milling and/or resurfacing of existing roadways, parking lots or drives surrounding

and/or outside the project site. Site Furnishings are excluded from the GMP Proposal. These will be furnished and installed under the

Owner’s FF & E. Landscaping and Irrigation is not included in the GMP Proposal other than sodding/ seeding disturbed areas

ALTERNATES NARRATIVE Within this section we have included pricing for various Alternates for consideration by The Walton County School Board. At this time, none of these Alternates are included within the Base Bid GMP Proposal. The pricing for each alternate represents the adjustment required to the Base Bid GMP Proposal to incorporate the proposed change in scope. A summary listing of the proposed alternates is listed below. A more detailed description and a detailed estimate for each alternate have been provided immediately following this narrative. All quantities and descriptions listed in the narratives and detailed estimates are part of the alternate pricing provided. The pricing provided includes all applicable mark-ups for bonds, insurance, etc.

The Alternate Pricing provided is guaranteed through November 21, 2014 or as indicated otherwise in this proposal, at which time the pricing and feasibility for the proposed change in scope would require an updated evaluation. Note: The proposed change in scope and related pricing for various Alternates may be overlapping in nature and may require revisions based on the combination of Alternates accepted. In addition to the alternate pricing provided in this section of the proposal, pricing for various Value Engineering and Budget Options under consideration have been provided in Section III-D of this proposal.

ESTIMATE NARRATIVE

Ajax Building Corporation is confident that the GMP Estimate included herein is representative of the proposed scope of work depicted in the GMP Documents. The work included in the GMP Estimate is based upon the List of Documents included in Section II of this proposal as amended by 1) the Clarifications, Qualifications, and Assumptions, 2) the Exclusions, and 3) the Allowance Schedule, all contained in Section III of this proposal. The Base Bid GMP Proposal for the The Freeport Elementary School Classroom Additions totals $2,691,547.00. The Base Bid GMP Proposal includes construction of the 4 class addition at the 4th grade wing and 2 class addition at the kindergarten wing as well as all sitework and utilities indicated on the Contract Drawings. In addition to the Base Bid GMP Proposal, Ajax Building Corporation has provided pricing for various “Value Engineering and Budget Options” and “Alternates” for consideration by The Walton County School Board, included in Sections III-D and III-F respectively. At this time, none of the Value Engineering and Budget Options have been incorporated into the GMP Proposal, and no Alternates have been incorporated into the GMP Proposal.

SITE UTILIZATION PLAN NARRATIVE

Refer to the attached Site Utilization Plan dated September 22, 2014 as prepared by Ajax Building Corporation and included in Section V-B of this proposal for the illustration of the below listed items.

Temporary Fencing Material: Six foot (6’) high galvanized chain link fencing will be utilized for the temporary construction fencing. Locations: Temporary fencing will be installed at the locations indicated on the Site Utilization Plan. Visual Barriers: Full-height windscreening will be installed as a visual barrier on all chain link fencing and gates

abutting occupied areas of the campus. This visual barrier will be maintained for the duration of the project.

Construction Entrances and Temporary Gates

Primary Construction Entrance: The primary construction entrance is located on the south side of the construction laydown/ personnel parking area. Access to this area will be through the dirt entrance south of the main school entrance. A 20’ wide vehicle gate will be located at this entrance.

Secondary Construction Entrances: Secondary entrances to the project site will be located on the west side of the construction laydown/ personnel parking area. 12’ wide vehicle gates will be located at these entrances. These entrances will serve as secondary and emergency access to the project site.

All construction entrances intended for vehicular traffic will be stabilized with gravel, limerock, crushed concrete, asphalt millings, or other stabilization materials as determined appropriate by Ajax Building Corporation. Although it is anticipated that a large portion of the stabilization materials will be inherently absorbed by the project site, Ajax Building Corporation will endeavor to remove and dispose of these stabilization materials to a practical limit prior to the installation of site finishes.

Pedestrian Gates: o Pedestrian gates will be located throughout the construction site in order to provide a clear egress path for

students and staff in case of an emergency, drills, etc. o Pedestrian gate access will also be provided along the wooded area near the existing lift station for DEP/

Water Management personnel to access this area.. These gates will provide access for pedestrian traffic to and from the project site.

Note: The locations for all gates are indicated on the Site Utilization Plan.

Site Security Gate Security: All temporary gates, vehicle and pedestrian, will be chained and locked during non-work hours

throughout the duration of the project.

Debris Removal Roll-off containers will be supplied and maintained by Ajax Building Corporation for removing construction debris

from the project site. All roll-off container pulls will be scheduled by Ajax Building Corporation’s Project Superintendent.

Unless otherwise dictated by the progress/requirements of the project, Ajax Building Corporation will endeavor to perform all roll-off container pulls during business hours.

Tree Protection / Erosion Control / Barricades

Tree protection: All tree protection required by the Contract Documents will be installed prior to the commencement

of site work. Erosion Control: All silt fencing, hay bales and other erosion control measures required by the Contract Documents

will be installed prior to the commencement of site work. Tree and Root Pruning: All tree and root pruning required will be performed in accordance with the Contract

Documents.

Crane, Vehicle and Equipment Paths Crane, vehicle and equipment paths required for equipment and/or vehicle travel, bearing, access, etc. within the

project site will be stabilized with gravel, limerock, crushed concrete, asphalt millings, or other stabilization materials as determined appropriate by Ajax Building Corporation.

On-Site Material Storage

Storage Containers: Various materials, equipment and fabricated items will be stored in Connex-type trailers,

tractor trailers and storage boxes within the fenced area of the project site. All storage containers will be locked during non-work hours.

Open Material Storage: Various materials, equipment and fabricated items that do not lend themselves to be stored in containers will be stored and/or staged on the project site. Such items will be stored on dunnage and protected from the elements as necessary to ensure that that quality and condition of the items is not jeopardized.

Temporary Facilities

Jobsite Office Trailers: The locations for jobsite office trailers are indicated on the Site Utilization Plan. The locations indicated have been proposed in an effort to minimize interference with construction activities and to allow for minimal disturbance of the completed construction when the office trailers are removed at the completion of the project. All jobsite office trailers will be well-maintained units.

Schedule: The project schedule indicates that the mobilization of jobsite office trailers will commence in October 2014 with the start of mobilization activities.

Temporary Power: o Temporary electrical service for the jobsite office trailers will be obtained from the existing power extending

down the north property line from Business 331. The temporary electrical service is being provided by Ajax Building Corporation and will be installed by Chelco (primary), Ajax Subcontractor (secondary service)

o Temporary electrical service for the construction site will be obtained from within the existing building. The temporary electrical service is being provided by WCSD/ FES and will be installed by Ajax Subcontractor

Temporary Water:

facilities (port-o-lets). o In such cases that a holding tank or portable toilet facilities (port-o-lets) are required, those facilities will be

serviced two (2) times per week or as otherwise necessary when they are in use. Temporary Telephone and Internet Services:

o Temporary telephone service for the jobsite office trailers will be obtained from the existing FES phone service if available. If existing phone service is not available, mobile phones/ WIFI service/ Mobile Hotspot will be provided by Ajax Building Corporation. If existing phone service is available from WCSD/ FES, temporary telephone service will be installed by Ajax Subcontractor.

o Temporary internet service for the jobsite office trailers will be obtained from WIFI service/ Mobile Hotspot provided by Ajax Building Corporation.

Construction Traffic, Parking and Deliveries

Ajax Office Staff: Ajax office staff will utilize the construction entrance gate and drive for access, parking and project

management activities. Parking for Ajax office staff will be in the construction laydown/ personnel parking area indicated on the Site Utilization Plan.

Construction Employees and Personnel: Construction employees and personnel will utilize the construction entrance gate and drive for access, parking and project management activities. Construction Deliveries: General construction related deliveries will utilize the construction Entrance gate and drive for access to the project site.

Maintenance of Site

Ajax Building Corporation will maintain all temporary fencing, visual windscreen barriers, tree protection, erosion

control measures, construction storage areas, and construction parking areas to ensure safety and an acceptable appearance. It is assumed that the Owner will continue to maintain all other areas outside the construction site or not occupied by Ajax Building Corporation.

Street sweeping will be performed as necessary. The site will be monitored for trash, debris, and general housekeeping. Cleanup and housekeeping will be

performed on a regular basis as necessary to ensure safety and an acceptable appearance.

GMP PROPOSAL October 10, 2014

SCHEDULE NARRATIVE

Refer to the attached Master Project Schedule dated Sept. 30, 2014 as prepared by Ajax Building Corporation and included in Section VI-B of this proposal for the illustration of the below listed items. The project schedule has been updated to include progress achieved through Sept. 30, 2015.

The project schedule included within this proposal is based on the information represented in the GMP Documents. The project schedule reflects an overall duration of seven and three quarters (7.75) months.

The following contractual dates are incorporated into the CM Contract via this GMP Proposal.

▪ Substantial Completion May 29, 2015 ▪ Final Completion June 19, 2015

The following additional Milestone Dates are anticipated within the project schedule in order to achieve the contractual dates listed above.

▪ Mobilization / Start of Construction October 23, 2014 ▪ Top-Out of Building Structure 4th Grade: Feb. 13, 2015 K-wing: Mar. 06, 2015 ▪ Building Dry-In 4th Grade: Feb. 20, 2015 K-wing: Mar. 13, 2015 ▪ Permanent Power 4th Grade: May 01, 2015 K-wing: May 15, 2015 ▪ Owner Occupancy 4th Grade: Jun. 19, 2015 K-wing: Jun. 19, 2015

In order for construction activities to commence on October 9, 2015 as scheduled, the following contractual activities will need to be completed as indicated.

▪ GMP Negotiations Complete October 10, 2014 ▪ CM Contract Amendment Executed October 27, 2014 ▪ All Required Permits Issued October 21, 2014 ▪ Notice to Proceed Issued October 22, 2014

Should any of the above listed dates not be met and therefore delay the commencement and/or progress of construction, the contractual substantial and final completion dates noted above will require extension on a day for day basis.

In order to expedite the project start-up activities, the Design Team, the Construction Manager and the Owner will be required to closely coordinate and expedite submittal review/approval, respond to information requests, respond to conflicts/unforeseen conditions, etc.

The schedule is based upon the assumption that any design revisions required to address future design review comments and/or permitting review comments will be issued to the Construction Manager within one (1) week of receipt of such comments with a directive to proceed. It is further assumed that such revisions (if any) will be minor in nature and will not result in a material change in the overall scope and/or direction of the project.

Ajax Building Corporation will continue to work closely with the Project Team throughout the Preconstruction and Construction Phases of the project to ensure that all critical dates are maintained.
