NOTICE OF PUBLIC SALE OF LLC INTERESTS

PLEASE TAKE NOTICE, that by virtue of a default under a loan (the“Loan”) made pursuant to a Loan Agreement dated as of October 15, 2014(the “Loan Agreement”), Bay Ridge Hoyt Lender LLC, a New York limitedliability company (“Lender”), in accordance with its rights as holder,pledgee, and secured creditor with respect to the collateral for the Loan(the “Security”) and its rights under the Uniform Commercial Code(including, but not limited to, sections 9-610, 9-611, and 9-613 of the NewYork Uniform Commercial Code), will conduct on January 11, 2016, at 2:30p.m., on the steps of the Supreme Court Building of the State of New York,360 Adams Street, Brooklyn, New York, a public sale of the Security. Lenderhas appointed Mr. William Mannion, licensed auctioneer (DCA #796322),to conduct the public sale. This public sale involves the sale of interests in acertain limited liability company and does not involve the direct sale of realproperty or improvements.

The subject Loan Agreement was entered into by and among KonstanRealty, LLC, Irini Laskaratos (“Pledgor”) and Lender. Lender is currently theowner and holder of all of the rights of the lender under the LoanAgreement, the owner and holder of all of the loan documents describedtherein (the “Loan Documents”), and the owner and holder of the Loan.

The Security consists of the “rights and interests” (described in moredetail below) in Konstan Realty LLC (the “Collateral Entity”):

The “rights and interests” of the Collateral Entity consist of: (i) all of the“Pledged Company Interests” (as defined in the Loan Documents; definitionavailable upon request) and all other ownership interests of Pledgor in theCollateral Entity; (ii) All securities, moneys or property representingdividends or interest on the Pledged Company Interests, or representing adistribution in respect of the Pledged Company Interests, or resulting froma split-up, revision, reclassification or other like change of the PledgedCompany Interests or otherwise received in exchange therefor, and anysubscription warrants, rights or options issued to the holders of, orotherwise in respect of, the Pledged Company Interests; (iii) all right, titleand interest of Pledgor in, to and under any policy of insurance payable byreason of loss or damage to the Pledged Company Interests or any otherCollateral, and all “accounts”, “general intangibles”, “instruments” and“investment property” (as each of such terms is defined in the Code),constituting or relating to the foregoing; (iv) all right, title and interest ofPledgor in, to and under the Operating Agreement or any other agreementor instrument relating to the Pledged Company Interests (individually, a“Collateral Entity Agreement”, including, without limitation: (A) all rights ofPledgor to receive monies or distributions with respect to the PledgedCompany Interests due and to become due under or pursuant to theCollateral Entity Agreements; (B) all rights of Pledgor to receive proceeds ofany insurance, indemnity, warranty or guaranty with respect to the PledgedCompany Interests; (C) all claims of Pledgor for damages arising out of, orfor breach of or default under, any Collateral Entity Agreement; (D) any rightof Pledgor to perform under the Collateral Entity Agreements and tocompel performance and otherwise exercise all rights and remediesthereunder; and (E) all right, title and interest of Pledgor, as a member ofthe Collateral Entity, to participate in the operation or management of theCollateral Entity, and all of Pledgor’s ownership interests under theCollateral Entity Agreements; and (v) all Proceeds of any of the foregoingproperty, including, without limitation, any proceeds of insurance thereon,and all “accounts”, “general intangibles”, “instruments” and “investmentproperty” (as each of such terms is defined in the Code), constituting orrelating to the foregoing.

The aforementioned public sale shall be conducted in respect of anindebtedness in the principal amount of $1,525,000.00, together withinterest thereon and all other sums due under the Loan Agreement andapplicable Loan Documents, subject to all prior liens, all expenses and feesof Lender with respect thereto, the Terms and Conditions of Bidding andSale (which are available in their entirety upon request), and theauctioneer’s fees.

The Security shall be sold AS IS and WHERE IS, and all warranties ofquality, fitness, and merchantability are hereby excluded. Lender makes norepresentation or warranty as to (i) whether the Collateral Entity owns anyassets, (ii) the state or condition of title of assets of the Collateral Entity, (iii)the physical, financial, or environmental condition of assets of the CollateralEntity, if any, (iv) the existence, validity, or amount of any liens or claimssenior or subordinate to the Loan, or (v) the value of or income produced byany asset or entity.

The Security will be sold only as a block to a single purchaser and willnot be split up or broken down. The sale may be continued from time totime, without further notice other than as given at the time of thescheduled sale, at the sole and absolute discretion of Lender.

Prior to bidding, each interested bidder shall deposit $100,000 (inimmediately available funds by certified or bank check made payable toGoldberg Weprin Finkel Goldstein LLP, as Attorneys) with Lender, with alldeposits (except that of the highest bidder) returned at the conclusion ofthe bidding process. Cash deposits will not be accepted. The deposit of thehighest bidder shall be non-refundable. Within 24 hours of the conclusionof the bidding process, the highest bidder will be required to increase itsdeposit (payable to Lender) to ten percent (10%) of its successful bid. If thehighest bidder fails to so increase its deposit within 24 hours, the $100,000deposit shall be forfeited and the Security, at the option of Lender, may besold to the next highest bidder. The balance of the bid payable to Lenderby certified or bank check, or by wire transfer at the closing, shall take placewithin five (5) calendar days of the public auction, but may be continued toa later date at the sole discretion of Lender. If the highest bidder defaultsupon the balance, its deposit is forfeited and the Security, at the option ofLender, may be sold to the next highest bidder. The Lender, either directlyor indirectly through nominees or assigns, reserves the right to bid at anysuch sale without the necessity of tendering deposit, as required for otherbidders, to credit bid, and to take title to the Security, at a closing to takeplace immediately after the public auction, or such other date as Lendershall elect in its sole discretion, through one or more nominees or assigns.
