CONTRACT CLAUSESDuration: the duration is calculated from the date of delivery, to the final lease day, regardless of the level of use. The Lessee is obliged to notify the termination of use of the equipment to Socar SpA by fax (at no. ++39 02 99052488), at least two days before the end of the lease period. The Lessee is also required to prepare the return documentation.The Lessor reserves the right to collect the equipment as quickly as possible, work commitments permitting.Delivery: the Lessor shall deliver the fork-lift truck in perfect condition and ready for normal operating procedures. During the handover phases, the equipment will be tested in the presence of the Lessee whose signature on the bill of lading implies his acceptance and approval of the same. The Lessor shall also provide the "Instruction Manual for fork-lift operators and the User and Maintenance Manual".

Using the forklift truck: When using the forklift truck, the Lessee shall carefully follow all operating and maintenance instructions and prescriptions provided by the manufacturer within the performance limits indicated by the latter. The Lessee also undertakes to assign use of the equipment to skilled, trained and knowledgeable personnel, in accordance with L.D. 626/94 - arts. 37 and 38, and to take all necessary precautions to protect the Equipment against damage or improper use. The Lessee is also responsible for conducting a risk analysis concerning the use of the equipment at its premises and the adoption/verification of suitable safety precautions as required by L.D. 626/94 - art. 35.

Maintenance: the Lessee is responsible for all maintenance work; the same shall have the forklift truck serviced periodically, repairing and/or replacing any worn or faulty parts at its own discretion. Such interventions shall take place as soon as possible, generally within 8 working hours, without any obligation concerning compensation and/or claims for damages caused by delays in such interventions. The Lessee shall allow the Lessor's own technicians to access the forklift truck in complete safe conditions, during normal working hours, to effect maintenance and repairs.The Lessee shall be responsible for repair work caused by improper or incorrect use of the equipment, or use that does not correspond to the instructions and prescriptions provided by the Manufacturer.The Lessee is also responsible for conducting daily checks, for instance: battery charge; battery electrolyte level, hydraulic oil leaks; correct movement and operations of the column and drive system; correct operations of the brakes, horn, indicators, safety devices and wheels; engine oil level; engine coolant level and diesel level. All of the above shall comply with the instructions provided on the adhesive label applied to the means in question.The Lessee undertakes to keep the hour clock installed on the equipment in perfect working condition and report any malfunctions to the Lessor in writing, indicating all relative information recorded the moment the malfunction occurred, sending a fax to +39 02 99052488 or an email to: f.tognacca@miretti.comNo claims, protests, or faulty equipment reports shall entitle the Lessee to suspend or delay payments nor submit any claims for damages.

Insurance: the Lessee undertakes to take out an insurance policy with suitable third-party liability coverage based on the use of the equipment for its operating facilities. All incidents shall be reported to the Lessor within twenty-four from occurrence. The Lessor shall be accountable for insurance against theft and fire and shall bill all relative expenses incurred to the Lessee.

Executive legal proceedings enforced by third-parties: in cases of seizures, confiscations or other executive or cautionary proceedings, regardless

of the enforcer, the Lessee undertakes to report the property rights of the Lessor to the Court Bailiff and take all necessary measures to protect

the same.

The Lessee shall, in any case, report such proceedings to the Lessor within twenty-four hours from the moment he becomes aware of the same.

Legal jurisdiction: any disputes that arise from this Lease Contract shall be the exclusive jurisdiction of the Court of Milan (Italy).
