SPECIAL RESOLUTIONS The Committee, after extensive consultation and consideration, put forward five special resolutions (as appearing below), for consideration and adoption by the house. SPECIAL RESOLUTIONS put to the house at the AGM 2017-18 AGM on 23rd Sept 2017: RESOLUTION 1 - ‘Resolved that in Sub-Clause 4.2, the words 'men over the age of fifty-five (55) years and women over the age of fifty (50) years' be replaced by the words 'persons over the age of fifty (50) years'

RESOLUTION 2 - ‘Resolved that in Sub-Clause 4.3, the words ‘residents of New South Wales at the time of application and they must be Permanent Residents or Citizens of Australia’, be replaced with the words ‘Permanent Residents (including those entitled to remain in Australia indefinitely) or Citizens of Australia at the time of application.’

RESOLUTION 3 - ‘Resolved that a new Clause 4A be inserted after Clause 4 under the heading ‘Associate Membership’, as follows: ‘Associate Membership is open to seniors resident in Australia but who are not, under Clause 4.3, eligible for membership. The provisions of the Constitution relating to members shall apply to Associate Members but they shall not be entitled to vote at any meeting or hold any office in the Management Committee.’

    2

  • RESOLUTION 4 - ‘Resolved that in Clause 15, the words 'one fourth (1/4) of the membership of the Association shall be present to constitute a quorum' be replaced with the words '(i) one-sixth (1/6) or (ii) one-fifth (1/5), if there is a Special Resolution on the Agenda, of the membership of the Association entitled to vote, shall be present to constitute a quorum.’

RESOLUTION 5 - ‘Resolved that a new Sub Clause be inserted after Sub-Clause 8.12 as follows:

8.13 In the event of a casual vacancy occurring in the office of Honorary Auditor or Returning Officer, the Management Committee may appoint a person to fill the vacancy. The person so appointed, shall hold office until the following Annual General Meeting. This amendment shall be deemed to have come into force on 11 August 2017.’

The Special Resolutions (as set out above) were proposed for adoption by the President Mrs P Thangarajah, and seconded by the Secretary Mr P. Arumugam via five motions.

Motion 1: The Secretary explained the background to Resolution 1, tabled and read ‘Resolution 1’ to the house and opened the matter for discussion. In the absence of any comments, ‘Resolution 1’ was put to the house and adopted unanimously.

Motion 2: The Secretary explained the background to Resolution 2, tabled and read ‘Resolution 2’ to the house and opened the matter for discussion. In the absence of any comments, ‘Resolution 2’ was put to the house and adopted unanimously.

.Motion 3: The Secretary explained the background to Resolution 3, tabled and read ‘Resolution 3’ to the house and opened the matter for discussion. After discussions the ‘Resolution 3’ was put to the house via a show of hands and was declared adopted with 143 votes in favour and 3 votes against. Motion 4: The Secretary tabled and read ‘Resolution 4’ to the house and opened the matter for discussion. Mr S Ponmailainathan spoke in support of this resolution and said that this Resolution 4 is reasonable. Mr A Santhiravar ,Mr Velupillai, Mr Mylvaganam and Mr Naganathan expressed doubts whether the Dept. of Fair Trading would approve this amendment on the quorum at Meetings. Mr Naganathan also commented that we should not increase the membership categories.

Speaking in favour of the motion Mr S Logenthiran explained that this matter was extensively discussed in two meetings with contributions from senior members like Mr Shiva Pasupati, Mr G Santhiran, Mr Samy Pasupati, Mr S Suntharalingam and so on and reasonable effort was afforded to carefully draft. Following some time for consideration, ‘Resolution 4’ was put to the house via a show of hands and was declared adopted with 139 votes in favour and 7 against.

Motion 5: The Secretary explained the background to Resolution 5, tabled and read it to the house and opened the matter for discussion.

The Secretary explained that the Auditor and the Returning Officer are directly elected by the House as per the provisions of the Constitution. However the current Constitution is silent on the process to fill a vacancy, should either office fall vacant in the course of the term of office. Such a situation eventuated in the course of this year with the position of Returning Officer falling vacant. On behalf of the Management Committee the Secretary proposed and the President seconded an amendment to Resolution 5 that this Resolution be adopted effective retrospectively from 12 August 2017. Following some time for consideration, ‘Resolution 5’ was put to the house via a show of hands and was declared adopted with 145 votes in favour and 1 against.

ANY OTHER MATTERS Mr S Ponmailainathan raised the status of the Building Fund. Mr S Logenthiran outlined the progress made from 2012 and discussions with minister during Mr Shiva Pasupati‘s time as President. The President said that she has always been passionate about raising a proper building fund and appealed to the house that if each member contributed $100 the building fund would be advanced quickly. She also pointed out in respect of concern raised regarding money spent to print our magazine ‘URAVU’ in an attractive manner is important and worthy as that will entice more to read it. The Vice President Mr N C Rajanayagam addressed the house. He said a number of members spoke on the resolutions, showing that many members are reading and following the changes. On a personal note, he said he had been a member almost 26 yrs, since the inception of the TSCA and had served in the committee many times, including as Vice President and President of BENSOC .

    11. New PA System In the past Air Microphones were hired at a high cost when required for dramas performed on our stage. Very often the PA system too was borrowed from Auburn Tamil Society for events such as AGM, Christmas & Pongal Celebrations. The Association has, in January 2018, added a good PA system to its assets at a cost of $4100.

    12. Grants We have been successful in getting a grant of $3000 from Hon Ray Williams, Minister of Multicultural Affairs NSW of which $1000 is for Grand Parents / Grand Children’s Day and $2000 for the purchase of two laptops. We wish to thank the Honourable Minister for the grant and our thanks are also to Hon Scott Farlow MLC Parliamentary Secretary to the Premier and His worship the Mayor of Strathfield Cr Gulian Vaccari for facilitating the grant. 13. Bates St Premises and hire charges As usual, we applied to Strathfield Council in November 2017 for permission to use the Bates St premises on Thursdays in 2018. On 5 Dec we were sent an invoice for $19714 as hire charges payable for 2018. We appealed against this and our president Mr. Sivathondan interviewed the Mayor, General Manager and Director of Corporate Services and stated our case for use of the premises free of charge. Mr. Shiva Pasupati, past president, accompanied Mr. Sivathondan for one meeting. As the Council officers appeared non-negotiable re the hire charges, assistance was sought from Cr Karen Pensabene who made representations on our behalf. We also made Minister Hon Ray Williams and Hon Jody McKay M.P aware of the issue. However, the councilors passed a resolution confirming the rates of hire charges. On 7th August a motion for a lesser hire charge was submitted by Cr Karen Pensabene and it got lost by one vote. In the circumstances, Mr. Sivathondan, sought an appointment with Director of Corporate services, met him and the Manager on 14th August. Cr Karen Pensabene and Cr Maryanne Duggan accompanied him. After a frank discussion the Director and Manager agreed to give us the maximum permissible 85% discount. This needs further clarification. We will have to pay a rent of $3816 if we use the main room (Redmire) for 4 hours and the small room (Airey) for 6 hrs on 48 days in a year. In addition, an annual cleaning and utilities fee of $250 is payable. We will keep you informed of further developments.

  • Col. V.Ramanathan, one of our former Presidents is no more with us. Col. Ramanathan joined the TSCA on 22nd July 1993 as its 160th member. Rama ,as he was popularly called, served the association as President for 6 years, as Secretary and editor of the news letter ‘Uravu’ for 2 years. Some of his personal contributions to TSCA are :- He maintained proper and up-to-date records of the Association. He developed and maintained the Association’s web-site, which contained all important documents such as the Constitutions of TSCA and BENSOC, past events etc. He photographed Association events, and uploaded to the web-site and e-mailed to the members. He started the celebrations of “Grand children’s Day” to showcase the talents of these children in various fields such as singing, dancing, acting, playing musical instruments. His contribution to alleviate the problems faced by the Sri Lankan Pensioners is well known. He had accompanied needy pensioners to the Consulate General’s Office in Sydney at his own expense. Even as late as a week before he passed away, he had been studying various pension circulars and was sending messages in spite of his failing health to ensure that pensioners have the right information to act properly. His affiliation with the Association back in the days are now memories which we will continue to share and cherish.

May His Soul Rest in Peace
