This Interlocal Agreement pairs city coordination with partner funding in order tocomplete a study of parking garage locations in the next nine months, followingapproval by all parties.

PROPOSAL:Sound Transit, the Port of South Whidbey, Island County and the City all desire to havea feasibility study prepared to determine the need, size, and potential location for aMukilteo Parking Garage and have agreed to work together to fund a joint feasibilitystudy that comprehensively addresses the parking demand on the Mukilteo waterfront.

The purpose of the study is to identify the location(s), costs, and feasibility of a futureshared use parking garage in downtown Mukilteo. Users of the garage could includeSound Transit riders, Whidbey Island day and overnight commuters, park users,business patrons, Downtown Business District employee parking, and potentiallyWashington State Ferries employee parking.

Our agencies have agreed to fund the study according to the following formula:

Agency ContributionSound Transit: $35,000

Port of South Whidbey: $10,000

Island County: $2,500

City of Mukilteo: Staff Time to Manage the Project

In addition to funding the feasibility study, our agencies have agreed to evaluate aminimum of four sites which include: i) Transit Center on the Tank Farm, 2)

Lighthouse Park Commuter Parking Lot, 3) Public Works Facility on 2’ Street & ParkAvenue, and 4) Lower Rosehill Parking Lot. We anticipate that it will takeapproximately nine months from a signed contract to complete the study which willinclude holding several public meetings on the proposal.

Attached is the Draft Interlocal Agreement outlining the responsibilities of each agency.Each of our legal departments have reviewed the Agreement and once the final signaturehas been obtained the City will advertise for consultants. A contract with the selectedconsulting firm will be brought back to Council for final approval.

ALTERNATIVE: Request staff to amend the Interlocal Agreement.

Exhibit 2— Feasibility Study Requirements

The int’ormation gathered From the study will be used to help the project pai-tners identify whichlocations(s) may be appropriate for construction of a new parking garage(s). The Cityanticipates that the Feasibility study will need to address:

Size: Prepare a needs assessment matrix and sizing model based on the number of parking stallsneeded by local businesses, Lighthouse Park users. Washington State Ferries, Island CountyCommuters, Port of South Whidbey, and any others identified through the initial sizing andparking stall turn over analysis. Sound Transit completed a Station Access Study in September2012, which identi lies the parking need for Sounder patrons and is recommended to be used asreference For this analysis. It is anticipated that the selected consultant team would gather thisinformation through a series of interviews or joint meetings with various interest groups.

Location: Using the pre-selected site map as a starting point at least six sites shall be initiallyselected for consideration then narrowed down to three to be included in the final analysis. Onthe three selected alternatives, a parking garage footprint shall be drawn to scale on aerial mapsto show the impact to adjacent properties. The analysis shall also include a typical floor planwith an estimated number of parking spaces that can be provided per floor based on the parkinggarage footprint and zoning by location. As part of the location analysis, any and all propertyencumbrances such as easements, covenants and restrictions shall be identified and included inthe site priority and selection process.

Massin. Diarams: Prepare 3D block renderings or other visual aids that replicate theapproximate massing of the proposed parking structures at each site that meet current zoning andbulk dimensions including: height, setbacks, bulk, and scale. This is not a design exercise. but abasic site analysis that should address massing, potential ingress/egress, and circulation.Mukilteo Municipal Code 17.20 contains the bulk Downtown Business District bulk regulationsand 1 7.25A contains the design standards for the DB district. Mukilteo Municipal Code Chapter

I 7B contains the City’s Shoreline regulations.

Cost Recovery Analysis & Fundin. Opportunities: Neither the City nor our partners are in theparking garage business, therefore the selected consultant will need to identify creative strategiesto fund and operate the parking garage. This overall funding strategy must be flexible enough sothat it can be applied to any of the selected sites. The funding strategy should include a pricingstrategy, demand assumptions, over sell assumptions, operating expenses, escalation factors,public/private partnerships, bonding, potential tax revenue, and/or other successful fundingstrategies known by the consultant to make the parking garage economically feasible. Thepricing strategy should consider Sound Transit’s current policy of not charging Soundercommuters for parking.

Cost / Benefit Analysis: Based on the information gathered during the site analysis phase of theproject, a preliminary cost estimate for each parking garage site shall be prepared. This costestimate shaLt be used to determine a cost-benefit factor of building a parking garage at each of

the sites. The final study shall include a ranking of site alternatives based on the combinedFactors of cost / benefit, number of stalls and zoning compatibility.

Operations: While the City and our partners will be working together to identify the size andbest location for the parking garage, it is anticipated that the City would be responsible for thelong term operations and management of the facility. The feasibility plan needs to include a

comparison analysis of the pro’s and con’s of operating and maintaining the facility with City

resources or by out sourcing to a private company. This analysis should address long term laborcosts including staffing, enforcement, and property / facility maintenance.

Comparaison Matrix: A matrix shall be prepared that compares the constructability factors ofeach site which includes: minimum number of parking spaces, private property impacts, adjacentland uses, level of permitting difficulty, potential access points, cost factors, and some type ofranking or prioritization scale.

Recommendation: A conclusion and recommendations on next steps to move the project forwardshould be included in the final report including but not limited to: identifying level of effortneeded to successfully implement a parking garage program and estimated costs for design,permitting, environmental, land acquisition and construction phases. Include as an element tothe report, an all-inclusive cost per stall estimate for the garage alternatives.

Interlocal Agreement by and Betweenthe City of Mukilteo, Sound Transit, Port of South Whidbey and Island County RegardingConducting a Feasibility Study for Constructing a New Parking Garage(s) in the City of

Mukilteo

TI-uS AGREEMENT: The Parties to this Agreement are the City of Mukilteo, aWashington municipal corporation (hereafter “City”), the Central Puget Sound Regional TransitAuthority, a regional transit authority under the laws of Washington (hereafter “Sound Transit”),Port of South Whidbey, a Port District within Island County (hereafter “Port”) and IslandCounty, a political subdivision of the State of Washington (hereafter “the County”) and may beindividually referred to as “Party” and collectively referred to as “the Parties.” The Parties arelocated in and exist under the laws of the State of Washington.

WHEREAS, the City of Mukilteo sits on the shores of Possession Sound and is home tothe Mukilteo/Clinton ferry terminal and Mukilteo Sounder Commuter Rail Station; and

WHEREAS, Washington State Ferries (WSF), Port of Everett, Sound Transit,Department of Defense/US Air Force, National Oceanic and Atmospheric AdministrationcNOAA), City of Mukilteo, Island County and others have been meeting regularly over the pastfive years in connection with an Environmental Impact Statement to relocate theMukilteo/Clinton Ferry Terminal facilities and establish a smooth transition for the transfer anddevelopment of the Mukilteo Tank Farm property; and

WHEREAS, the Mukilteo Tank Farm was transferred from the federal Government tothe Port of Everett in October of 2013; and

WI-IEREAS, the Mukilteo Multimodal Project includes construction of a new ferryterminal and transit center that connects to the Mukilteo Sounder Commuter Rail Station; and

WHEREAS, Sound Transit runs four daily commuter train round-trips between Everett

and Seattle with stops at a single platform in Mukilteo. A “south platform and pedestrian bridge”

expansion project is currently under construction and is expected to be opened late spring of2015; and

WHEREAS, in 2008, Puget Sound voters approved a transit tax that would he used bySound Transit for high capacity transit projects that provide an alternative to rising gas prices

and greenhouse gas emissions. One of Sound Transit’s listed projects includes the possibility of

funding one or more transit system access projects for the Mukilteo Sounder Commuter RailStation; and

Wl-IEREAS. in addition to the parking needs of Sound Transit patrons, there is a highdemand for overnight commuter parking spaces. parking for daytime reverse commuters, bothdaytime and overnight parking to promote Island County tourism, as well as additional parkingto support local businesses in the Downtown Business District; and

WI-IEREAS, Sound Transit, the Pott, the County and the City all desire to have afeasibility study prepared to determine the need, size, and potential location for a MukilteoParking Garage; and

WI-IEREAS, the agencies have agreed to work together to fund a joint feasibility studythat comprehensively addresses the parking demand on the Mukilteo waterfront.

NOW, TI-IEREFORE, the Parties agree:

1. AUTHORITY AND PURPOSE

A) Authority. This Interlocal Agreement (hereafter “Agreement”) is entered into

pursuant to chapter 39.34 RCW (Interlocal Cooperation Act).

B) Purpose. The purpose of this Agreement is to create a binding contract betweenthe Parties with respect to funding a Parking Garage feasibility Study.

2. PROJECT DESCRIPTION

Part of Mukilteo’s long range vision for the waterfront is to create a pedestrian-friendly

and inviting place to visit while balancing waterfront access with parking demand. Thisvision includes the development and operation of a parking garage within walkingdistance to high demand areas such as the Sounder station, ferry terminal, businesses andLighthouse Park. The Parties have agreed to conduct a feasibility study to help identifywhich locations(s) may be appropriate for construction of a new parking garage.

The City has prepared a Request for Qualifications (hereafter “RFQ”) requesting qualified

parking facility design consultant firms to assist in determining the feasibility ofconstructing and operating a new parking garage in Mukilteo (Appendix A). The purposeof the study is to identify the location(s), costs, and constructability of a future shared useparking garage in downtown Mukilteo. Users of the garage could include Sound Transitriders, Whidbey Island day and overnight commuters, park users, business patrons,Downtown Business District employees, and Washington State ferries employees

(Mukilteo Tank farm site only). Appendix B includes a copy of the City’s standard

consultant contract.

3. DURATION

This Agreement shall become effective upon execution by the Parties and recording withthe Snohomish County Auditor, and shall remain in effict until the work described belowis completed.

4. CITY RESPONSIBILITY

The City oCMukilteo is the Project Manager for the Parking Garage Feasibility Study. Asthe project lead, the City has the following responsibilities:

A) Parking Garage Statement of Qualifications: The City shall prepare and issue anRFQ to consultants interested in conducting the Mukilteo Parking GarageFeasibility Study. Upon receipt of the statements of qual i flcations (hereafter

“SOQ”s), the City will shortlist, interview, and enter into a consultant contract

with the jointly selected firm to conduct the Parking Garage Feasibility Study.The consultant contract, the form of which is attached (Exhibit B), shall include ascope of work approved by the City and the Parties.

B) Parking Garage Feasibility Study: The City shall manage the consultant contractaccording to standard City practices. Work under this element includes managingthe project schedule, payment of invoices, and review and approval of workproducts. Work products shall be distributed to the Parties and the Parties giventhe opportunity to review and comment on the materials. Timelines for workproduct turn around shall be discussed and assigned with each distribution.

C) Invoices: The City shall provide a monthly tally sheet of the fund balance,expenditures, and completed tasks to the Parties.

D) Open Houses/Public Meetings: The City shall host any and all public meetingsheld on the Parking Garage Feasibility Study.

E) Draft & Final Report: The City shall distribute the draft and final report to theParties for review and comment. Each agency shall determine their adoptionprocess for the final document.

5. SUPPORT STAFF, MEETINGS, REVIEW, AND PAYMENT

The Parties shall provide the staff support necessary to conduct the feasibility study in atimely manner. Work shall include:

A) Staff Support: Each Party shall appoint a staff person as their representativethroughout the duration of the feasibility study.

B) SOQ Process: The Parties shall participate in the parking garage SOQ review,interview, consultant selection, and finalization of the scope of’ work in a processoutlined by the City.

C) Feasibility Study: The Parties shall attend and participate in meetings, openhouses, or public hearings held on the fiasibility study. Review and comments on

work product materials shall he provided within the timeline provided by the

City’s Project Manager.

D) Draft & Final Report: The Parties shall review and provide comments on both thedraft and final report. Each agency shall determine their adoption process for thefinal document.

E) Sound Transit will pay the City for 74% of the cost of the study, up to a not toexceed amount of $35,000, within 30 days of its receipt of a fully documented

invoice showing Sound Transit’s share of amounts expended by the City to the

feasibility study contractor. Invoices must be sent to Sound Transit, Attn:Accounts Payable, 401 S. Jackson Street, Seattle, Washington 98104. The Citywill not invoice more than once per month.

F) Port of South Whidbey will pay the City for 21% of the cost of the study, up to anot to exceed amount of $10,000, within 30 days of its receipt of a fully executedILA between all of the parties

G) Island County will pay the City for 5% of the cost of the study, up to a not toexceed amount of $2,500, within 30 days of its receipt of a frilly executed ILAbetween all of the parties.

6. INDEMNIFICATION

Each Party to this agreement shall be responsible for its own acts and/or omissions andthose of its officers, employees and agents, and shall indemnify and hold the other Parties

harmless from claims resulting from that party’s acts or omissions. No Party to this

Agreement shall be responsible for the acts and/or omissions of entities or individuals nota Party to this agreement.

7. INSURANCE

A) The City shall require the consultant performing the Work to maintainCommercial General Liability Insurance, Commercial Automobile Insurance, andWorkers Compensation insurance.

B) The City shall require the consultant performing the Work to be solely andcompletely responsible for safety and safety conditions at the job site, includingthe safety of all persons and property during performance of the work. Theconsultant shall be required to comply with all applicable City and Stateregulations, ordinances, orders, and codes regarding safety.

8. TERMINATION

If a Party fails to comply with any material provision of this Agreement, the other Partiesmay terminate this Agreement, in whole or in part, for default upon 30 days written

notice to the defaulting party. Any extra costs, expenses or damages incurred by the non-

defaulting party as a result othe termination for default shall be borne exclusively by theParty in default. The rights and remedies of this provision are in addition to any otherrights or remedies provided to the non-defaulting party by law or under this Agreement.Any termination of this Agreement for default shall not relieve the defaulting party of anyobligation, which may arise ocit of work already performed prior to such termination.

9. PRO.JECT RECORDS

During the progress of the contract and for the period specified by the applicable recordsretention laws, all records pertaining to the Project and accounting shall be kept availablefor inspection and audit by the State and copies of all records, accounts, documents orother data pertaining to this Agreement and the Project will be furnished upon request. Ifany litigation, claim, or audit is commenced, the records and accounts along withsupporting documentation shall be retained until all litigation, claim or audit finding hasbeen resolved even though such litigation, claim, or audit may continue past the specifiedretention period.

10. DISPUTE RESOLUTION

If a dispute arises between the Parties, the Parties agree that they will attempt to resolvethe issued through mutual negotiation. In the event that the Parties are not able to reachan agreement through such negotiation, the Parties agree to engage in mediation in orderto resolve the dispute. Mediation may be requested by either Party, and shall beattempted prior to the institution of any lawsuit arising under the Agreement. The Partiesagree to share the cost of mediation equally. Venue for any lawsuit arising under thisAgreement shall be Snohomish County Superior Court.

11. CHANGES AND MODIFICATIONS

A Party may request changes, amendments, or additions to any portion of thisAgreement; however, no such changes, amendments, or addition to any portion of thisAgreement shall be valid or binding upon either Party unless it is in writing and executedby all Parties. All amendments shall be attached to and made part of this Agreement.

12. NOTICES AND CONTACTS

A) Unless otherwise directed in writing, notices, reports, invoices and payments shallbe delivered to each party as follows:

B) Notices mailed by either Party shall be deemed effictive on the date mailed.Either Party may change its address for receipt of reports, notices, invoices, orpayments and/or designation of Project Manager by giving the other writtennotice of not less than seven days prior to the effective date.

13. ENTIRE AGREEMENT

These provisions represent the entire and integrated agreement of the Parties and may notbe modified or amended except as provided herein. Any understanding, whether oral orwritten, which is not incorporated herein is expressly excluded.

Should any clause, phrase. sentence or paragraph of the Agreement or its application toany Party or circumstance he declared invalid or void by a court of competentjurisdiction, the remaining provisions of this Agreement and/or their application to otherparties and circumstances, not declared invalid or void, shall remain in full force andeffect.

Long DescriptionThis capital project scope, and the companion capital cost estimate, are intended to include the entire project development cycle (agency and projectadministration, environmental clearance, design, all aspects of property acquisition, permits, agreements, construction, testing, commissioning andcontingencies) from project initiation through the start-up of the revenue operations.

Description:Provide funding to construct up to 130 parking spaces for ST transit riders in a joint-use parking garage developed with Washington State Ferries andthe City of Mukilteo at the Mukilteo Landing multi-modal terminal. This project scope assumes that all other transit facility components of the multi-modal terminal, aside from those already funded in Sound Move, are funded by others.

Project Elements Included:• Up to 130 parking spaces for ST transit riders in structure• 1 percent for art per ST policy

Utilities:• Electrical, stormwater

Right-of-Way and Property Acquisition:• Miscellaneous easements

Mitigation:• The final project scope will include all mitigation(s) committed to by ST in pertinent, future project-level environmental documents.

Exclusions:• Non-structural architectural and aesthetic elements in excess of the ST art program• Public restrooms• Modifications to the local street network• Any portion of the bus transit center to be co-located with the garage• Items not directly related to adding stalls to the already planned garage• Additional bike storage, lockers, and racks

Flexible Access to ST Facilities:The goal of this project is to accommodate the future demand for ridership on transit services available at the station/center, by improvingaccess/egress for this location. The scope of the transit parking components included in this project could be revised to include a range of strategiesfor providing rider access to the transit facility. Along with, or instead of parking for private vehicles or van pools, a mix of other investments could beaccomplished through the budget for this project. These other strategies include:

• Pedestrian improvements within one-quarter mile of Mukilteo Station,• Additional bus/transfer facilities at Mukilteo Station,• Bicycle improvements within one-half mile,• Transit speed and reliability improvements on routes connecting to the facility,• Expanded or new kiss-&-ride areas at Mukilteo Station, and/or• Off-site parking along an existing bus route that connects frequently (20-minute or shorter headway) to Mukilteo Station during the peak periods.

This flexible approach would permit ST staff to examine alternatives to expanded parking and could lead to even lower GHG emissions and less landconsumed by parking. ST’s highest priority for this project budget would remain meeting demand and riders’ needs. The budget for flexible accesswill not exceed the Board-adopted budget for this project. Access and demand studies would be required prior to changing this project’s scope.Determination of what level and mixture of investments would be most effective and affordable within the project’s budget would be done through aplanning effort that includes a more-detailed examination of demand and use, as well as coordination with affected jurisdictions and partner agencies,the community surrounding the station/center, and the users of the transit services available at the location. ST Board action is required to change aproject’s scope in this manner.

ST has developed scope definitions for ST2 project proposals for the purposes of developing cost estimates, phasing of investments, a financial plan,and the estimation ofproject beneifts. This scope definition should not be construed as a commitment that all defined features will be included in thefinal developed project.
