NOTICE is hereby given that :
1. The 15th Annual General Meeting (AGM) of the members of theCompany will be held on Monday, 30th September, 2019 at 09:30a.m. at Survey No. 50/9A Daman Industrial Estate, Village Kadaiya,Nani Daman-396 210, Daman & Diu to transact the business as setout in the Notice of AGM.
2. The physical copy of said notice along with Proxy Form, AttendanceSlip, Annual Report inter alia containing Directors Report, AuditorsReports and Audited Financial Statements for the Financial Year2018-19 has been dispatch to all the members at their registeredaddress in the permitted mode and the same is also available onthe website of the Company at www.rmclindia.co.in. The dispatchof Notice of AGM has been completed.
3. Members holding shares either in physical form or dematerializedform, as on cut-off date of 23rd September, 2019 may cast theirvote electronically on the business as set forth in the Notice of AGMthrough electronic system of Central Depository Services (India)Limited (CDSL) from a place other than venue of AGM (remote e-voting). All the members are informed that :
a. The business as set forth in the Notice of AGM may be transactedthrough voting by electronic means.
b. The remote e-voting shall commence on 27th September, 2019 at09:00 a.m.
c. The remote e-voting shall end on 29th September, 2019 at 05:00p.m.
d. The cut-off date for determining the eligibility to vote by electronicmeans or at the AGM is 23rd September, 2019.
e. E-voting by electronic mode shall not be allowed beyond 05:00 p.m.on 29th September, 2019.
f. Any person who acquire shares of the company and become mem-bers of the Company after the dispatched of the Notice of theMeeting and holding shares as of the cut-off date i.e. 23rdSeptember, 2019, may follow the procedure given in the notice ofAGM.
g. Members may note that: a) the remote e-voting module shall be dis-abled by CDSL beyond 05:00 p.m. on 29th September, 2019 andonce the vote on a resolutions is cast by the members shall notallowed to change it subsequently, b)the facility for voting throughballot paper shall be made available at the AGM, c) the memberswho have cast their vote by remote e-voting prior to the AGM mayalso attend the AGM but shall not be allowed to cast their voteagain, and d) a person whose name is recorded appears in theRegister of Members/Beneficial owners maintained by the deposi-tories as on the cut-off date i.e. 23rd September, 2019 only shall beentitled to avail the facility of remote e-voting as well as voting atAGM through ballot paper.
h. The notice of AGM is available on the website of the company atwww.rmclindia.co.in.
i.
