The forgoing preamble and the annexes attached to this Contract that bear the signature of the Parties form an integral part of this Contract.

Art ic le (2)

Appointment

Client hereby appoints the Agency and the Agency accepts such appointment as its retained communications and branding agency for the branding, events and other PR requirements of the Client as listed in Article (3) hereof. The Agency will be the lead agency and it may not use the services of any subcontractors without the written prior approval of the Client

All services, that are provided by the Agency to the Client under this Contract shall be services. Therefore, the Agency declares and warrants that any products, exclusive services creative artwork, exclusive production, prints, etc. shall become the sole property of Client as soon as they are created, and shall be subject to any specific licensing agreements entered into by the Agency on behalf of the Client with the prior written consent of the Client.

Ft is further agreed that the Agency shall not, prior to or upon termination or expiry of this Contract, use any productions or materials specifically created in the peifbrniance- of this Contract either for itself or for any other third party without the prior written approval of the Client.

Article (3)

Scone of Services

The Agency shall provide services to the Client in accordance with the attached Schedule(A) and the budget for said services is included in Schedule(B). SctWules(A)and(B) shall form an integral and inseparable part of the Contract and both of them shall be referred toas one.

These two schedules serve only as general guidelines to identify services and budgets. They do not in any wayform an obligation for the Client, whether concerning the elements of the campaign or the set fees, which may always be changed by the Client.

Market intelligence ("MI") is the sole responsibility of the Agency. MI means gathering and analyzing newsworthy information serving the PR campaign's objectives. In addition, the regular media monitoring is part of this intelligence.

Both the Client and the Agency will establish a workable mechanism to meet deadlines. Failure in meeting deadlines will be documented and presented before Senior Management of the Parties for corrective actions to be taken.

Article (4)

Budget

Fees and Expenses (the "Fees") shall normally be invoiced, on a monthly basis, to the Client in accordance to activities accomplished in the given month; however, the Agency may invoice approved third party expenses in advance where the value of the expense exceeds $5;000, to be settled by the end Of the following month with all needed supporting documents. Monthly report and invoice must be sent to the Client by the 15 day of each calendar month at the latest. Invoices shall be settled within 30 days and upon the approval of the monthly report

Media relations activities and expenses relate to accomplished activities. Payment will be effected upon the receipt/approval of the monthly report.

All activities concerning the scope of work and the proposed fees will require GAFI's signature and prior approval before actual implementation.

Monthly tees will be determined based on the actual hours worked in the implementation of the:activities arid based on GAFI's approval of the detailed report of activities.

Budgeted Erne activities maybe increased or decreased through a prior written request by the Client and the Agency must be given reasonable notice of at least three weeks thereof.

Any saving in actual expenses due to any unforeseen reasons shall be reported directly to the Client. In addition, where legitimate expenses are incurred in excess of the agreed budget, such expenses shall be hilled to the Client upon agreement and With prior approval.

Article (5\

Subcontracting

The Agency shall not sub-contract any works under this Contract tb any third party, including the Agency's affiliates or sister companies, but excluding the Agenc/s branches, for the purpose of any of undertaking the tasks assigned to the Agency herein unless prior written approval is obtained from the Client to subcontracting and on the cost estimate for the contents of each of the requested material.

Article (6)

Withholding Taxes The Client shall not be entitled to make any deductions from any part of the Fees whether by way of set-of£ counterclaim or otherwise howsoever other than as legally required of an amount equal to any withholding tax payable in respect of the Fees under the laws of Egypt, in which case the Client shall immediately supply to the Agency the appropriate certificate of deducted taxes.

The Agency shalUt all times, operate in compliance with the Egyptian laws and practices related thereto.

Art ic le (7)

Competitive Accounts

The specific Agency personnel providing services under this Contract shall not, during the term hereof, work for any other investment promotion campaign in the Middle East and North Africa area without the Client's prior written approval.

Article (9)

After carrying out the jobs that are shown below and that are technically and financially approved by the Client, the Agency will be entitled to these fees:

1. Managing the campaign from the main office $12000

2. Monthly reports on media coverage and analysis $3500

Terms of Payment

Alt sums payable to the Agency hereunder shall be paid by the Client on the due date thereof in United States Dollars by means of electronic fund transfers to the following Bank Account in the name of the Agency;

Article (10)

Confidentiality

The Agency shall not disclose to any third party, any mformation of whatever form ornature designated by GAF1 as confidential, unless the Agency is required to do so in accordance with theapplicable legal, judicial or administrative order Or uponthe written consent of the Client

Article (ll)

Indemnification and Limitation of Liability

Theparties to this Contract shall indemnify and hold each other harmless from any third party liability arising from either of their respective negligent or intentional acts or omissions. Apart from said indemnity obligations, under no circumstances, shall any of the Parties be liable to the other for any incidental, consequential or other special damages.

Article (12)

Intellectual Property Rights Y"IPRW)

All IPR and creative work or services produced or performed by the Agency for the Client shall be the Client's undisputed property and shall be subject to any specific licensing agreements entered into by the Agency on behalf of the Client and with the prior written consent of the Client.

Article (IS)

Term and Termination

This Contract shall corrie into force on the date of its signature by both parties.

The Contract's initial term is from 1/3/2017 until / / as of the date.of signature of this Contract by both parties and shall be valid until its expiryor upon depletion of total budget, whichever is earlier. The Contract may be renewed upon mutual agreement between both parties and with different budgets/activities.

Without prejudice to Article (15), in the event that the Client wishes to term mate the Contract before the lapse of its term, such Party shall provide the other with a written notice three month prior to termination.

The Parties agreed that any obligations or rights occurred or existing or arising out of this Contract shall not be affected by the termination or expiry of the Contract. AH undisputed amounts owed by one Party to the other shall become due and payable upon the expiry or termination of this Agreement. ht addition, upon the expiry or termination of this Agreement, all materials made for Client or under process tb be made for Client in execution of the Agency's obligations herein, shall be givento the Client's representative or transported to the destination chosen by Client.

Article (16)

Earlier Termination

In fhe;event that either Party is in breach any of the provisions contained herein or in default of any obligation under this Contract, the other Party may request the immediate remedy of the identified breach or default, provided that such breach or default is not remedied at such expiry date. Said termination shall have no effect on the Client's obligation to pay for services already performed and expenses already incurred by the Agency, which has no relevanceto such termination.The Agency shall honour its obligations as stated in Article 11.

Severability

In case one or more provisions of this Contract are invalid* the validity of the remaining provisions of the Contract shall not be affected hereby.

Article (19)

Variationsand Amendments

Variationsor amendments to this Contract shall not be valid unless confirmed as such in writing and executed by both Parties.

Captions and Numbering

Captions and numbering are inserted for convenience and shall not have any independent contractual value.

Article (21)

Notices

Any correspondences related to this Contract shall be sent by registered mall or courier against notice of delivery to the receiving Party and, to the addresses first stated in this Contract.

Any correspondences made by fax shall be followed by the original copy thereof and transmitted by the means stated above.

Article (22)

Copies

This Contract is made in three originals in Arabic and English, one for the Agency and two for the Client, Party to act upon when needed. In case of discrepancy between the Arabic and English texts of this Contract, the Arabic Text will prevail.
