Types of Companies in Austria

Private Limited Liability Company (GmbH)

• This type of company can be formed by one person having a minimum capital of 35.000 EUR

Stock Corporation (AG) • This type of company can be established by one or

more persons

• The shareholders should provide a minimum capital of 70.000 EUR

• The supervisory board must consist of at least three persons

• The shareholders do not have any liability

• The company's capital consist on the contributions of the shareholders.

Limited Partnership (KG)

• This type of company can be formed by two or more persons, or corporations.

• This type of company should have at least one general partner who is fully liable to the company`s obligations, one partner is a limited partner

• The company must be registered with the Austrian Trade Register

General Partnership • This type of company is established by two ore more

individuals

• This company both shareholders are are general partners

• The shareholder should provide a proof of competence in the activity domain of the company, at least one of them

• The company must be registered with the Austrian Trade Register

Silent Partnership 

• The shareholders are united by an agreement who invest in a company

• The silent shareholders in this company are not involved in the operation of the entity

• The registeration with the Austrian Trade Register is not necessary

Civil Law Partnership

• This type of company is recommended to individuals

• This company is not legal entity in its own right which implies that civil law partnership does not require complex administrative procedures
