• History:– First heard about it in October– I was initially doubtful– I could not understand the business

proposition– Why would someone pay us to operate our

cable system?– How would they make money on the deal?– What is their strategy?

• As I investigated the proposal– Understood their business model

• Concentrator of services to local private communities

• Provide the vehicle to reach the users• Contract with service providers to distribute their

services, Connexions growth:– Local and Long Distance Telephone Service– Data Services– Special TV Services– Security– Health Monitoring

• Risk, What If?– Financial model fails– Fail to meet performance requirements– Hardware upgrades not completed as

specified– Additional programming requirements not

achieved as scheduled• Scheduled review after 3 years• Provision for cancellation for non-

performance

• Our Protection -- “just in case”– We still own the cable system, the front end

equipment, etc.– All upgrades belong to us, GRF– All programming contracts will be in GRF’s name,

GRF continues the option to change channel line-up– We still have the TV station, Ad Insertion Revenue– The personnel transferred to Connexion are still

operating in LWV, could be transferred back

• Therefore, we could resume control and operation with no interruption of TV service
