Some Questions!
• Where does a conflict of interest arise? – PCM has the PPO License that allows them
(PCM) to provide Security Service to anyone who wants their service.
– They are a “Security Provider Company.”– Is it ethical to hire them for our Security?– Would this be any different than having PCM
own a roofing company and we hire PCM to do our roofing?

Some observations!
• Our General Manager is hired by the Mutuals and provided by PCM.
• Theoretically he should have our best interest at heart when making decisions.– Can he do so if the services are provided by PCM?– If PCM provides the service, is there any overhead
paid to them that we would not have if we did the work “in house?”
– Is this an “Arm’s Length” as stipulated in our Management Agreements?
