Unreserved Real Estate Auction – Terms and ConditionsThefollowingtermsandconditions(the“RealEstateTerms”)formanintegralpartofthetermsoftheBidder’sRegistrationAgreement(the“BidderTerms”).TheRealEstateTermsapplytoallsalesofrealproperty(the“Property”),andapplyonlytosalesofrealproperty.WheretheRealEstateTermsareapplicable,theRealEstateTermsshallprevailtotheextentofanyconflictwiththeBidderTerms.

1. UNRESERVED AUCTION. ThePropertyshallbesoldtothehighestbidderregardlessofpriceatunreservedpublicauction.Thesaleshallnotbesubjecttoanyminimumbidorreserveprice.

2. AGREEMENT OF PURCHASE AND SALE.ThepurchasershallexecuteanAgreementofPurchaseandSale,intheformprovidedbytheAuctioneer,withoutmodification,immediatelyafterbeingdeclaredthehighbidder.

3. CASH SALE.ThisisacashsaleandisnotcontingentonPurchaser’sabilitytoobtainfinancing.4. ESCROW AGENT.Completionandclosingofallrealestatetransactionswillbehandledbyaqualifiedescrowagent(the“Escrow

Agent”)appointedbytheSellerandtheAuctioneer.Alldeposit,earnestandpurchasemoniesinrespectofthePropertyshallbepaidtoanddepositedwiththeEscrowAgent.

5. DEPOSIT.Immediatelyafterbeingdeclaredthehighbidder,thePurchasershallsubmitanon-refundabledeposittotheEscrowAgentintheamountof25%ofthePurchasePrice(the“Deposit”).TheAuctioneermay,initssolediscretion,acceptaDepositof10%ofthePurchasePriceifprovidedwithacopyofanunconditionalletteroffinancingfromalendinginstitutionacceptabletotheAuctioneer.ThebalanceofthePurchasePriceshallbepaidatorbeforeclosing.

6. ADMINISTRATIVE FEE.Immediatelyafterbeingdeclaredthehighbidder,thePurchasershallpaytheapplicableadministrativefee,ifany,totheAuctioneer.

7. TAXES.AnyandallapplicableFederal,ProvincialorStatetaxesmustbepaidbythePurchaserinadditiontothePurchasePrice,atorbeforeclosing.AnyandallapplicablepropertytaxesshallbepaidbytheSellerandPurchaserpro-ratabasedonthedateofclosing.

8. CLOSING.Closingwilltakeplaceonthedatethatis30daysafterthedateoftheauction,orsuchotherdateasmaybemutuallyagreedbytheparties.ThePurchaserandSellershalleachberesponsiblefortheirownlegalfees.LandtitleregistrationfeesshallbepaidbythePurchaseratorbeforeclosing.

9. NON-PERFORMANCE.AnyfailurebythePurchasertocompletethepurchaseofthePropertywillresultintheDepositandanyfurtherinterestinthePropertybeingforfeited.

10. POSSESSION. Purchaserwillreceivevacantpossessiononthedateofclosing.11. AS-IS SALE. ThePurchasershallaccepttheProperty“AS-IS”,“WHERE-IS”,and“WITHALLFAULTS”asoftheclosingdateand

thePurchaserspecificallyagreesthatneithertheSellernortheAuctioneermakesanyrepresentationsorwarrantiesofanykindwhatsoever,expressedorimplied,tothePurchaserastothevalue,conditionorfitnessoftheProperty,environmentalorotherwise,oranypartthereoforimprovementsthereon.Alldescriptions,measurementsandacreageprovidedbytheSellerandtheAuctioneeraretobeusedasaguideonly.ThePurchaseracknowledgesandagreesthatitisthePurchaser’ssoleresponsibilitytomakesuchlegal,factualandotherinquiries,inspectionsandinvestigationsasPurchaserconsidersnecessarypriortobiddingontheProperty,andPurchaserherebywarrantsandrepresentsthatheshallhavesatisfiedhimselfastothelocationandconditionoftheProperty,andalldescriptionswithrespectthereto,priortobidding,andthathehashadtheopportunitytodoso.

12. NO MINES OR MINERALS.MinesandmineralsarenotincludedandshallnotbeconveyedwiththePropertyunlessotherwiseexpresslyprovided.

13. PERSONAL PROPERTY. NopersonalpropertyshallbeconveyedwiththePropertyunlessspecificallyincludedinthepurchaseagreement.

14. AGENT OF SELLER.TheAuctioneer(andanyappointedrealestateagent,whereapplicable)isactingasanagentoftheSelleronly,andnotasanagentofthePurchaserorasadualagent.

15. NO ASSIGNMENT.ThePurchasershallnotassignhisbidorobligationtopurchasethePropertytoathirdpartywithoutthepriorwrittenapprovaloftheAuctioneer.

16. FOREIGN OWNERSHIP RESTRICTIONS.ThePropertymaybesubjecttoforeignownershiprestrictions.BidderacknowledgesthatitisBidder’ssoleresponsibilitytomakeanynecessaryenquiries,includingwithoutlimitationconsultingwithlegaladvisors,priortobiddingtoensuretheyarelegallyeligibletopurchasetheProperty.
