Mergers, Acquisition, and Corporate Restructuring 

Mr.FeingoldservedastheoverallProjectOfficerforalong‐termassignmentwithDetroitEdisonCompany,MichiganConsolidatedGasCompany(MCN)andtheFederalTradeCommission(FTC)inconjunctionwithDetroitEdison’sacquisitionofMCN.Specifically,heservedastheAuditorofa20‐yearEasementAgreement(forgasdistributionassets)betweenMCNandExelonEnergytoimplementacompetitiveremedyrequiredbytheFTC,asapre‐conditionofthemerger,pertainingtothesupplyofnaturalgastoanyelectricdisplacementloadsinthemergedutilityserviceterritories.

Mr.FeingoldservedasProjectManagerinprovidingassistancetoanEasternutilityholdingcorporationduringitsproposedacquisitionofanEasterngasandwaterutility.Hisresponsibilitiesincludedtheidentificationofthepotentialsavingsthatwouldresultfromtheacquisition,thedevelopmentofaninter‐jurisdictionalgascostallocationmethodologyandrelatedassistancedealingwithobtainingthenecessaryregulatoryapprovaloftheacquisition.

OnbehalfofIndianaGasCompany(VectrenEnergy)andCitizensGas&CokeUtility,heprovidedstrategicandlitigationsupportinconjunctionwiththeirformationofanunregulatedgasmerchant/marketingcompany(ProLianceEnergy,LLC).Hisresponsibilitiesincluded:

OnbehalfofaSoutherngasutility,Mr.Feingoldparticipatedintherestructuringofanexistingcorporateorganizationintogasdistribution(intrastate)andgaspipeline(interstate)operatingdivisions.Heassistedintheoperational,regulatory,legal,financial,andaccountinganalysesthatdevelopedfinancial,gassupplyandmarketforecastsnecessarytodeterminetheeffectsofthereorganization.

Mr.Feingoldhasconductednumerousstudiesrelatedtogassupplyprocurementandplanningforlocaldistributioncompaniesandcombinationutilities.Thesestudieshaveanalyzedawiderangeofissues,includingtheavailabilityandcostoffuturesupplies;evaluationofalternategassupplyanddeliverabilityresources;gassupplyplanning,procurementandmanagementprocessesofautility;supplyreliabilityandpeakday/winterseasoncapacitylevels;andtheappropriatenessofacapacityreservemargin.

Mr.Feingoldledaprojectteamonanassignmentforamajormid‐Atlanticgasutilitytoreviewandanalyzethelostandunaccountedfor(LUF)gaslevelsexperiencedhistoricallyonitsgassystem.Theeffortrequiredtheteamtoreview,analyzeandvalidatethedataandproceduresusedbytheutilitytoreconcileandaccountforthegasreceivedintoitsgassystemandthegasdeliveredtoitscustomers.Bothaccountingandoperationalissueswereconsideredintheproject,andacomprehensivestructuralprocesswasdevelopedformonitoringandevaluatingLUFinternallyonanongoingbasis.
