Officer Pregent has more then 15 years of law
enforcement experience working as a municipal officer in
Vergennes and then later as a trooper wíth the VT StatePolice. He earned an Associates degree in Law
Enforcement from Champlain College, served in theMarine Corps for four years, and is a master instructorfor RADAR and LIDAR. Officer Pregent comes to thedepartment with a wealth of knowledge and experience.
He is filling the open position created when Officer Frank

BABYS¡TTING CERTIF¡CATION COURSE - 20 Norwich youth participated in a twoday, 6-hour babysitting certification course which provided instruction around CPR
lst aid, and the safe and responsible care of children. Students receivedinstruction and practiced the how-to's of meal preparation, proper feeding anddiapering. Addítionally, they learned conflict resolution and problem-solvingtechniques. The trainÍng was designed around six major themes: safety, basic care,first aid, safe play, professionalism and leadership.

1.0 Purpose. The Town of Norwich, VT (Town) ,..* or;.r,"" r^, cost proposals from attorneys,licensed to practice in Vermont, to serve as the Town's general counsel (Town Attorney), not includingmatters of personnel/labor/HR. The Town intends to engage legal services on a t¡me and materials basis.The Town mav select multiple firms to serve its specifíc needs, b its preference is to select a singleentity. The Town seeks these servíces to begin on or around lnterested firms areinvited to submit their qualifications and costs for the provision of these services no later than the abovelisted deadline. To be considered, submissions must address each of the elements outlined in thisrequest for qualifications (RFQ). 2.0 Backsround. Norwich is
operating budget is abogovernment with a Se
services include finance, planning/zoning, recreation, police, fire, and public works inclusive of highways,buildings/grounds, and transfer stat¡on. ln addition, the Town maintains elected Listers but contracts forprofessional assess¡ng servíces. The Town has no public sewer; and, a separate municipal entity (Fire
District) provides publ¡c water to a designated service core. At this time, there is preliminary discussion
to merge the Fire District functions into the Town. The Town does not have a legislatively approvedcharter, so municipal operations are conducted based on the various enabling legislation contained in
respective Vermont statutes.

Town Meeting other town-wide votes are conducted via Australian ballot. The municipal property taxrate is on par with the state's effective tax rate for municipal property taxes. However, the school taxrates are relatively high in comparison to other municipalities in Vermont. Also, notably by far, Norwichresidents are the least income sensitized, thus making education taxes even more burdensome. The

3.0 Scope of Services. The Town Attorney is required to provide legal advice and counsel to the Town ona variety of matters pertain¡ng to municipal government operations. The applying firm must be licensedto practice in Vermont and be in good standing. An understanding of Vermont municipalandenvironmental law is essential (e.g., land records and related surveys/easements/ROW, listing/assessing,planning/zoning, public safety, elections/budgeting/taxation, etc.)All such experience and expertiseshould be noted in any proposal made. The attorney(ies) named in the proposalshall remain responsiblethroughout the contractual agreement, unless a substitution is approved by the Town Manager,
Through the Town Manager, the selected firm will provide the Selectboard, other elected officials, Townstafl and Town affiliated boards, committees, and commissions with general or specific legal advicerelated, but not necessarily limited, to:
o Legal research and/or advisory opinionso Review and/or drafting of proposed ordinances and regulationsr Review and/or drafting of contracts and agreementsr Review and interpretation of local, state and federal laws, regulations and ordinances. Representation for matters in county, state and federal courts, arbitrations and mediationso Changes in local, state and federal lawso Reappraisal and other assessment defenseo Acquisition of real property interests. Occasional attendance at meetings of Town Boardso Periodic review of operations and polícies of Town Government for legality and propriety¡ Other matters as requested by the Town Manager
4.0 Submission Requirements. The following information is required for a proposal to be considered
complete:

o ldentification of which specific areas of general legalservice outlined in the scope of work in
section 3 the firm would provide, only if the submission does not intend to encompass the
scope in its entirety. This includes representation of the Town in matters of litigation.o Brief identification of roles of different team members.. Approach to the scope of work outlined in section 3.

6.0 Selection Criteria. The Town intends to award a contract to the most qualified firm(s) that best
meets the needs and interests of the Town. A five-member selection committee consisting of the Town
Manager, Police Chief, Planning/Zoning Director, Town Clerk, and a Lister will review the proposals and
make a recommendation to the Selectboard to execute a contract with that firm. The Town Manager
would be responsible for preparing a contract mutually agreeable for the Selectboard and the firm's
execution.

Not all firms submitting qualifications may be interviewed, if an interview process becomes warranted.The Town reserves the right to reject any and all proposals, to re-advertise or to otherwise proceed
when the best interest of the Town is realized. The Town is not responsible for any costs incurred by any

I would like to correct the minutes from the January 1sth meetingthat are in the Feb.12th packet. I am not able to attendWednesday's meeting. I would like you to have this read for therecord.
There are a couple words that are not correct or at bestmisleading. The notes state the following:
"Public Comment, Sharon Racusin spoke in favor of a proposed Fair and lmpartialPolicing Policy (FIPP). Racusin said that Winooski has adopted a policy exactly likethe proposed policy, which is more restrictive than the model policy, and has suffered noadverse effects. Racusin would like to see Norwich enact thesame policy as Winooski. The State of Vermont has said they will not pursue adverse actionagainst any community that enacts the restrictive FlPP."
A better description of the proposed policy would be ENHANCED or MORE PROTEGTIVE[of the black undocumented community].
Also, Winooski's policy has been in place for two years and has worked successfully for theircommunity.
Furthermore, the document included in the packet from AG Donovan dated March 2017 isout of date. Pressure and lawsuits filed after this date determined that the statuteswere unconstitutional as supported by the other numerous documents not included in thispacket. I object to your decision to include this one without the rest of the documents fromJanuary 1Sth (the Congressional Research lnstitute, the ACLU, Lawyer Kira Kelly from theW Lawyers Guild and the conclusion of the law firm contracted by the Hartford SelectBoard). All of these documents were included in a prior packet and should have beenbrought back into the discussion for this meeting.
ln May of 2019 Governor Scott signed into law H.518 allowing towns to enhance the statemodel policy.
Has Herb and the board looked at all the documents? There is history here that needs tobe put in context.
Please make these corrections to the minutes and consider this to be correspondence tothe board.

Quarterly Report of the Nonryich Trails Committee for October through December 2019
A major effort by this committee during this period was directed towards maintaining town trails. ln acommittee work session on October 1, two temporary bridges over wet spots were installed on theBallard Trail near Ballard Park. A work session on October 6 covered a number of aspects of trailmaintenance on the Cossingham Road Farm Trails, preparing those trails for winter activitiesincluding cross country skiing by the public. Another work session for the Ballard Trail was held onOctober 20. On October 25, a volunteer group arranged by the Upper Valley Trails Alliance did stonework at water crossings on the Ballard Trail at locations specified by the Trails Committee. OnNovember 17, a committee work session removed downed trees from a section of the southern endof the Bradley Hill Trail, thus enabling public passage along that section of trail rather than throughadjacent privately owned land.
ln addition to the trail maintenance completed during the scheduled committee work sessions, muchwas accomplished at other times by one or a few committee members working on their own. Strongwinds and rain at the end of October toppled numerous trees and limbs throughout town. ln theensuing days and weeks, trail committee members cleared blowdowns from the Ballard Trail, BrownSchool House Road, Parcel 5, the Blue Ribbon Trail, and other trails. After leaves had fallen, the GileMountain Trail was prepared for winter by cleaning of water bars and drainage ditches.
During this fourth quarter of the year, committee members spent cumulatively numerous hoursplanning projects for the future. Slight expansions of parking areas at four trailheads will help users oftrails in the town. During this October-December period, members of the committee consulted withthe Town Manager and others to promote the limited expansions of the trailhead parking areas.
Working in cooperation with the Conservation Commission, this committee moved forward in planningfor creation of a new web site. Agendas, minutes, and other items will continue to be placed on thetown web site, but the availability of the Trails Committee own web page, holding much informationincluding illustrations and maps not on the town site, will greatly enhance the ability of this committeeto communicate with residents and especially the many using the trails.
One use of the committee web page will be to provide detailed information to residents about plansfor a proposed trail bridge replacement after loss of a key link in the Nonruich trails network in 2018with the collapse of the largest trail bridge in town. Since the collapse of that decades-old bridge,where Brown School House Road crosses Charles Brown Brook, the committee has been aiming forits replacement. ln October a presubmission was sent for a state grant to cover a major part of thecost of a new bridge. On November 6, members of the committee participated in a site visit by thestate Grants Management Specialist from the Department of Forests, Parks and Recreation. lnNovember the Selectboard approved inclusion of the bridge project on the ballot for March 2020. Thefull application for the grant has been submitted by the committee for state review. As part of the

preparation of that grant proposal, the committee, during this quarter, solicited input from numeroustrail users who provided enthusiastic endorsement for the bridge replacement.
The Trails Committee will welcome the continued support of the Selectboard for the ongoing projectsof lot expansion, web site creation, and bridge replacement.

R. ArnoldRe: Materials on Fair and lmpartial Policing in February 12 packet
Board Members and Town Manager Durfee
I thank Herb for gathering information on Fair and lmpartial Policing from VLCT, and byassociation, the Vermont Attorney General's Office. I write to contextualize the materialsgathered in the February 12 packet with my own understanding. My understanding is informedin part by materialthat appeared in the January 15 and January 22 Selectboard packets andnumerous conversations with advocacy groups and community organizers. At a future meeting I
hope we consider information from the ACLU of Vermont, the Vermont National Lawyers Guild,and my previous memo, in conversation with this information provided by our Town Manager.
The material provided in the packet by VLCT from the Attorney General's office is dated from2017 and does not reflect the most current information on FIPP. ln May 2019, Act 41 wassigned into law by Governor Phil Scott. Act 41 provides that the state's model fair and impartialpolicing policy be established as a "baseline that all law enforcement agencies and constablesare required to adopt." The model policy was adopted by the Town of Norwich in 2018. Act 41
also provides that municipalities "may choose to include more robust requirements in their ownpolicies."
The state model policy that is in place in Norwich includes a "savings clause" from federal law IU.S.C. S 1373 and 8 U.S.C. S 1644. Petitioners of the enhanced FIPP have advocated that themodel policy's savings clause is one of several loopholes or allowances that make possiblecollaboration between NPD officers and ICE agents, and that limit the police department's abilityto protect the full diversity of our community. The proposed enhanced FIPP in Article 32 omitsreferences to 1373 and 1644 and also includes a sentence that reads "Nothing in this policyviolates federal law."
Our Town Manager has expressed concern that an FIPP that omits the savings clause forcesOfficers to violate federal law.
I believe law enforcement officers, the Attorney General, and advocacy groups would all agreethat state law mandates that no state governmental entity will be responsible for determiningwhether or not a policy complies with federal law. The Attorney General's metric for evaluation iswhether or not a policy provides the minimum protections found in the state model policy. TheAttorney General's office is only in charge of making sure that Nonruich's policy meets thebaseline of the state model policy. The determination of the proposed enhanced FIPP's federalcompliance is left up to us as a town and, if challenged, the courts.
The Town of Hartford has expended much emotional and fiscal labor in determining if their
similar ordinances make their community vulnerable to court challenges. ln January, their
contracted legal advice determined that "there is a high likelihood that a court would find that
[ordinances without a savings clause] do not need to comply with sections 1373 and 1644
because those provisions violate the Tenth Amendment's anti-commandeering doctrine."
"Courts across the country have uniformly held that sections 1373 and 1644 are
unconstitutional," the memo states, "and that it is highly likely that the United States District
Court for Vermont would reach the same conclusion." The legal memo also points out instances
where the courts have determined that similar policies are not in violation of federal law at all,
rendering of course question of an officer's commitment to 1373 moot.
For those concerned about the ability to certify compliance with federal law on grant
applications, the federal government would have no basis to restrict Norwich's access to federal
grant funds based on any alleged non-compliance with sections 1373 and 1644 because the
courts have demonstrated that it is highly likely that the District of Vermont would find that
sections 1373 and 1644 are unconstitutional. (Relatedly, I invite all of us to consider whether the
status of our Town's buildings, sidewalks, trails, and other social and physical infrastructure are
in full compliance with other federal laws such as the American Disabilities Act.)
Finally, I appreciate VLCT's email correspondence that states that they respect the autonomy of
their individual member towns. At the time of writing, the City of Burlington has begun
conversations to enhance their FIPP in a manner that is identical to the policy proposed for
Nonruich. As communities in the Upper Valley and beyond look to enhance their FIPP to reflect

Claudette,
I am unable to attend tonight's meeting regarding reconsidering not to renew Herb's contract in April. I wouldhave liked to bring up a couple things to consider, such as why rush into renewing now, and worrying about theinterim TM, when his contract doesn't run out for 2 more months, which should give the SB enough time to finda new TM, or to draft a strong contract that will keep Herb in line (I'll address this issue momentarily).
Whether or not Herb's contract is renewed, it is imperative that the contract be much stronger regarding theability of the SB to enforce its decisions that the TM is supposed to execute. What I mean is that the SB mustbe able to have some leverage over the TM, and the only way it has such leverage is if the TM can be
terminated if he transgresses in some manner, such as being insubordinate to the SB as Neil was. In Neil's case,
if he'd been in the private sector, his insubordination (which included his pushing expensive facilitiesconstruction when the SB showed it didn't want it, and by giving low-ball budgets for his pet projects) wouldhave been more than enough cause to have him terminated. But because of the idiotic Supreme Court decisionssaying that the statutory "cause" is not defined, and the Court's exercise of its discretion to determine if thevarious causes brought to it in the cases it has reviewed are adequate to justify termination, he wasuntouchable.
The TM cannot be untouchable, and he must be accountable to the SB. Executing the day to day affairs of theTown does not mean that the SB should be hands off regarding those day to day affairs. The SB should setpolicies for every aspect of the Town, since they are the elected representatives of the citizens and are the one'swho the citizens hold accountable. That is why the TM must be wholly accountable to the SB.
To make that happen, and to neuter the Supreme Court nonsense about cause, the new contract, regardless ofwho the TM is, must include a definition of cause that will result in termination of the TM. Insubordination,which itself must be defined rigorously, would be one cause for termination. Evasion or undermining SBpolicies or purposes, would be a cause. Incompetence would be cause. Causing undue increases in expenses orcosts, especially when they cause tax increases should be a cause. Violation of the Municipal AdministrativeProcedures Act (MAPA) and violation of Open Meeting Laws are most definitely causes. Disregard of citizeninput or expression of concern should be a cause. And there are others that must be included as well.
The contract must also establish the relationship between the SB and TM, making sure that the SB is clearly andincontrovertibly the superior authority on ALL aspects of the Town governance, its services, and its facilitiesand properties, and violation of that relationship is cause for termination. The TM cannot do anything at thepolicy or purchasing levels without SB's approval in open meetings.
Anyway, that is the gist of what I would have said if I could have gone to the meeting tonight.

More thoughts regarding the TM contracts and cause. I have a betterformulation for "cause" that should be included in a contract with a TM.
Cause would be defined, inpart, as insubordination toward the SelectBoard. Insubordination would be defined, in part, as undermining thewill of the SB or of the citizens of the Town. Insubordination wouldalso be defined, in paft, as campaigning or attempting to pitch or sellpolicies or actions that counter or are contrary to policies or actionsthat the SB has promulgated or taken, and campaigning, pitching, orselling policies or actions to citizens as well as the SB. Of courseinsubordination would be if the TM actually puts a puts a policy ortakes and action that is counter to or contrary to a SB policy oraction. Insubordination would also include having a town employeeundertake undermining the SB or otherwise being insubordinate. (Myfeeling is that Rod Francis, who openly stated that as an employee hewas first answerable to the TM, not the Town or the Boardshe assists,was not free during the development of the new Town Plan to provide uswith the answers we wanted, only the answers that were authorized.Meaning that the Town Plan was the product of people other than thecitizens and Select Board. But that's me.)
Because the TM is not answerable to the citizenry (and he has told methat he actually doesn't have to answer to the SB either, but when Itold John Pepper he said that, he claimed he was joking (he wasn't))then he has no right to attempt to persuade the citizenry in anymanner. He should simply answer their questions or provide informationthey request.

L Summary - In formulating the next contract for the town manager, I recommend thatthe board emphasize the further development of the incumbent in the position to helphim become the best town manager that Norwich can expect for the compensationoffered. Such an approach would favor stability in the position, with an appropriatedegree of oversight, as describedin24 VSA $ 1233. Qualifications; authority ofselectboard.lThe contract should rely on progressive supervisory controls todetermine retention. Contract renewal should be reserved primarily for revisiting theincumbent's compensation package. Because of the particular nature of Vermont caselaw, pertaining to town managers, I strongly urge review of the next contract by thetown's labor attorney.
2. Modifications of the cunent contract - The following sections could be expanded,2 as
suggested below, to clarify the roles and responsibilities of both parties:
I. DUTIES
d) Reports: The EMPLOYEE shall supply the selectboard with the followingreports
i. A written monthly report that is a summary of included written reports ofdepartmental activities from the previous month by the respective departmentheads, supplemented with an oral report as appropriate.
ii. Financial reports that show actual expenditures, compared with budgetedexpenditures with an explanation of any overspent line items, on a schedulerequested by the selectboard.
e) Should the TOWN acquire responsibilities for the FIRE DISTRICT, anyadditional responsibilities that accrue to the town manager position will be subjectto negotiation with the EMPLOYEE, regarding any additional compensation paidby the property tax and rate payers of the FIRE DISTRICT, in an addendum tothis AGREEMENT.

3. PERFORMANCE AND SALARY:
a) (change salary at time of contract renewal)
b) The TOWN agrees to base its performance review on objective criteria as towhether the EMPLOYEE has faithfully discharged the duties of a town manageroutlined in 24 VSA $ 1236 Powers and duties in a manner consistent with a
similarly situated and compensated competent employee.
At the beginning of the EMPLOYEE's performance review period and quarterlythereafter the TOWN and the EMPLOYEE shall agree on a prioritized set ofgoals with projected completion dates by vote of the board.
The TOWN agrees to review the EMPLOYEE's performance by the end of eachfinancial quarter, taking the EMPLOYEE's written reports and selectboard votesrecorded in approved selectboard minutes into account, to determine whetherthere are any questions of satisfactory performance and to give any other guidanceor direction.
The TOWN agrees to immediately notify the EMPLOYEE of any concerns thatmight lead to a less than satisfactory performance rating in time for theEMPLOYEE to remedy any such deficiency.
In case the TOWN has given the EMPLOYEE notice of less than satisfactoryperformance and a reasonable opportunity to remedy it and the EMPLOYEE hascontinued to exhibit performance below that expected in any one of the dutiesoutlined in 24 VSA $ 1236, then the TOWN may deny the EMPLOYEE a stepincrease.
If after taking reasonable steps to assist the EMPLOYEE to make the necessaryimprovement through training or other measures, the EMPLOYEE continues toperform in a substandard manner, the TOWN may institute a formalperformanceimprovement plan, which if not completed satisfactorily, will justify removal forcause.
If the EMPLOYEE is at any time unwilling or unable to complete any of theduties outlined in 24 VSA $ 1236, then that may be grounds for removal forcause, unless a different accommodation due to sickness or disability is agreedupon between the EMPLOYEE and the TOWN.
I2. DISCIPLINE AND REMOVAL
a) When a disciplinary action is required, the selectboard will act as described inTown Personnel Policies (updated September 7,2010), Paragraph 14, in the roleotherwise assigned to the town manager for disciplinary actions. Determinationsand actions under Paragraph F. (5) DISMISSAL shall constitute cause forremoval under 24 VSA $ 1233.

15. PROFESSIONAL TRAINING AND MEETINGS (revised title)
a) With each setting of goals and discussion of progress during performancereviews, there shall be a discussion of professional training opportunities toaugment the skill set of the EMPLOYEE to the benefit of the TOWN.

Expiration versus removal - The current contract creates a question regarding24VSA $ 1233, which says that [the town manager] "shall hold offìce at the will of suchselectboard, who, by majority vote, may remove him or her at any timeþr cet¿se"(my emphasis). In Nelson vs St. Johnsbury,t the Vermont supreme court decided thatremoval for cause outweighed at will in a case where the town manager had nocontract.
The words, "unless a new contract is agreed upon",4 create ambiguity regardingwhether non-renewal is a form of removal, which must be for cause, according to thesupreme court. I recommend removing those words as unnecessary to emphasize thatthe contract is for a defined term or allowing the town manager stay in the positionwithout o contract, but without the prospect of a step increase or of severance pay,until a new contract is agreed to or until he has moved on.

VTrons wos required to do this work in order to meet Vermontlegislotive direciives ond inlernol ogency initiotives. The reolity wos people demonded o betterunderstonding of how projects were prioritized, developed, ond eventuolly constructed. Prior to thisprioritizotion process, it wos uncleor os to why ond how projects could odvonce of greoter rotes of speedlhon olher projects. We ore constontly mindful of whot more needs to be done to our tronsportotionsystem, but much hos been completed over the lost l5 yeors. The prioritizotion process works well ond ithos substonfiolly improved the tronsporency in project selection ond development.
Ronking Process ExploinedThe Slote's ronking process is bosed on engineering foctors such os sufficiency rotings, vehicle per mileimpocts, cost-benefil rotios, ond project development momentum. These ore the types of doto specificcriterio thot you would expect on Agency of Tronsportotion (AOT) to consider when developing projecTronkings. Their foctors constitute B0% of the totol ronking process.
The regionol plonning commission's foctors contribute 20% Io this ronking process. This wos born from theideo thot not oll public policies ond priorities could be coptured by engineering foctors ond thol there is ogreoter community context beyond thot rood, bridge, or pork-ond-ride. Regions needed to use plonningfoctors thot expond whot VTrons officiols ore nol oble to foctor into their ronking process.
We identify relotive project priorily by sequence (1,2,3). We ore required to ronk oll projects os identifiedin Vermont's fronsportotion copitol progrom. Projects in construction or under controct ore excluded. Theronking ore for oll projects, ocross oll cotegories. Stote legislotion requires us to consider these criterio inproject ronking: (1) Project impoct on congestion ond mobility conditions; (2) Avoilobility, occessibiliiy ondusobility of olternotive routes; (3) Functionol importonce of the highwoy or bridge lo the economy; (4)Functionol imporfonce of the highwoy or bridge in sociol ond culturol life; ond (5) Other criterio, csnecessory.

RE: FY'22 Transportation Capital Projects Prioritization
The Town of Norwich has received your letter on the above prioritization of road andbridge projects. From the Draft FY 2022 TRORC Project Prioritization chart datedFebruary I0,2020, it is noted that Bridge No. 4i on Turnpike Road over the BloodyBrook in Norwich is listed at a TRORC Rank of 20.
Bridge No. 41 is a worthy project, however, I thought I should call to your attentionBridge No. 43 in Norwich - the Elm St. Bridge over Bloody Brook. This bridge wasconstructed in 1956 and meets the "System Preservation" criteria in that the bridge needs
a new deck with a membrane. In meeting the definition of "System Preservation",maintenance of this bridge now will provide a less costly investment and greater possiblecost/benefit ratio when compared to a possible total bridge replacement in the future. Iwould hope it could receive a Maintenance/Rehab value of 30. I would propose BridgeNo. 43 be added to the prioritization list in addition to Bridge No. 41.
Obviously, I am not aware of the existing conditions on the other ranked projectshowever I do believe Bridge No. 43 is a project meeting several criteria and wanted to be
sure the bridge was reviewed by the TRORC.

Members present: John Pepper, Chair; Claudette Brochu, Vice Chair; Roger Arnold; John Langhus;Mary Layton; Herb Durfee, Town Manager; Miranda Bergmeier, Assistant to the Town Manager.
There were about 14 people in the audience.
Also participating: Steve Flanders, Demo Sofronas, Gary DeGasta, Jim Maguire, Tracey Hayes,Robert Gere, Bob Haynes, Melissa Honryitz.
1 . Approval of Agenda. Selectboard (SB) members agreed to proceed with the agenda asdrafted.
2. Public Comment. Steve Flanders said the SB as a whole has a range of options for action asa supervisor. Flanders discussed a variety of options and said the SB has the responsibility to useprogressive measures for managing the Town Manager (TM) Demo Sofronas voiced his support forthe TM, saying that Sofronas has worked with the TM on various projects with the American Legionand the Lions. These projects include the veterans' memorial at Tracy Hall and the flagpole at thePublic Safety Building. Sofronas suggested to the SB that they work with the TM to remedy anyproblems. Gary DeGasta said that Durfee has been a great help with projects. He has had an opendoor and has been great to work with. DeGasta said that Durfee has been more receptive than priorTMs. Jim Maguire said that he was the chair of the Veterans Memorial Committee, and Durfee wasvery good to work with, both receptive and responsive. Tracey Hayes also said that Durfee is good towork with. Hayes said that the Public Safety Building project was undenruay when Durfee came onboard and Durfee was more open to working with the residents of the Nonryich Senior Housing toaddress their concerns about the new building. Robert Gere said that Durfee has been very ñelpful inthe work of the Energy Committee. Gere also said that the town employees he has spoken to havebeen positive about their dealings with the TM. Bob Haynes said that Durfee has been exceptional inhis ability to communicate, and has been professional in his dealings with Haynes. Melissa Honryitzsaid that she serves on the Planning Commission and has found Durfee to be responsive andknowledgeable. Honruitz said she thinks keeping Durfee as TM will provide stabiliiy for the town, andthe sB should continue to work with Durfee on any performance issues.
3. Correspondence. Layton moved (2nd Langhus) to accept the correspondence, as listed intonight's agenda. Motion passed unanimously.
4. Herb Durfee Presentation. Durfee thanked those who spoke on his behalf. Durfee told the SBhe did not solicit this input. Durfee said that people have said it would be good for Norwich tocontinue to work with him as TM for the sake of stability. Durfee said that he submitted another letterto the SB (included in this meeting packet) in order to express his desire to continue as Norwich TM.Durfee said he submitted to the SB a suggested framework listing deliverables in order to addressperformance issues. Durfee said he wants to work with the SB ai collaborators to determineperformance priorities. Durfee said he has taken Layton's suggestion of using resources forimproving communication. Durfee said he wants to work on fr¡ð communicatiõn with the SB andwants to stay in his position in Nonryich.
5. Herb Durfee Contract. Pepper said he ran for the SB 3 years ago to improve the tone ofdiscourse in government. Pepper said the SB is here to serve Nonruich and does their best. peppersaid the conversations with the TM since the last meeting have been productive. heard nothing but support for Durfee from people. Pepper then invited other SB members to
comment. Brochu said she has heard from townspeople who feelthey have been spoken to by
Durfee like no one wants to be spoken to. Brochu said some have been afraid to comment negatively
about their interactions with Durfee. Brochu said the SB spent hours back and forth on their
evaluation for Durfee. Brochu said she understands the implications of not renewing Durfee's
contract. She thinks, however, that the SB can find the TM of our dreams and truly believes there is a
perfect match out there. Brochu is afraid that if they extend the contract and things don't go well, the
bg *¡ll be behind the g ball. Brochu has learned tl'uough supervisory experience about when it's time
to part company with an employee. Arnold said the SB evaluation was a SB evaluation, agreed upon
by all SB members. The SEi's disagreement was in how to move fonrard. Arnold sees a way forward
to work with Durfee in a contract. Arnold said that the SB may not have centered the community
enough in its decision to not extend the TM contract. Arnold wants to improve relatr_onships; he wants
to reduce harm and recognizes that conflict is not always harm. Langhus said that Durfee should be
very proud of the outpouñng of support shown at this meeting. Langhus said that most people, but
not'ail, who spoke to'Langhus were in support of extending Durfee's contract. Langhus asked Durfee
if he feels supported by tñe SB. Durfee said that mostly, he does. Durfee is hoping to work with the
SB as a group of 6 to figure things out going fonruard. Having more contact with SB members -especialf thé chair - wãuld be ñelpful.- ln general, Durfee feels adequately supported.. Langhus
asked if Durfee was surprised by any of the evaluation points. Durfee said not really, but he wants
help from the SB in undärstandiñg their priorities and wants time to improve, following that additional
ctaiity. Langhus said his perception of th¡s situation has been difficult. Langhus thinks that balancing
the TM,s oa!+o-oay getting things done with the big picture strategic things is difficult'. Langhus feels
that Durfee í. u"ry ôõoo "itn" dãy-to-day, but not good at strategic things. Langhus thinks there has
not been good teáñwork between the SÉ and the tM tnus far. Pepper said his main concern is that
Durfee has not been good at finding financial solutions. Pepper thinks that what happened this
summer could have bãen avoided. Pepper said that no one will come out and say negative things
about Durfee. pepper said he is personally willing to enter into discussion about continuing Durfee's
contract.Ãilld-;"ved (2nd Layton) to enter into discussion with the Town Manager regarding a new contract
for a period beyond thâ exþiration of his current contract. Motion passed 3 to 2 (yes- Arnold,
Layton, Pepper; no- Brochu, Langhus).

1. Approval of Agenda. Selectboard (SB) members agreed to delete item #8 (Town Mgr. nextsteps) from the agenda and move the discussion of the 2no quarter financial status to be part of theTown Manager Report agenda item.
2. Public Comment. Christopher Ashley said that the information from VLCT regarding theproposed Fair & lmpartial Policing Policy (FIPP) is erroneous because it does not reflect court rulingssubsequent to the date of the VLCT written opinion. Ashley would like to be sure that updatedinformation is included in the SB packet when FIPP appears on the agenda. Cheryl Lindbergreminded everyone to file their Homestead Exemption paperwork with the state no later than April 15,2020; there are no extensions allowed by the state. Demo Sofronas spoke about the upcomingschool safety training. Sofronas believes that the safety of children is #1 and politics should not get inthe way. Sofronas sees no problem with having the training at the Public Safety Building if the PoliceChief approves of it. Sofronas said that Chief Frank has worked hard to obtain low-cost high-qualityresources for the town. Langhus said that he thinks the objections people have raised against thetraining have merit. Terry Ashley said that she doesn't object to a safety training but does object tothe organization giving the training. Christopher Ashley said that school principals do many things tomake schools safer. Ashley said that there was a study document released recently that said thatschool "hardening" doesn't work. Ashley thinks that having an NRA training would have politicalimplications. Brochu clarified that the SB has no say over what the School Board or school personneldecides to do. Police Chíef Jennifer Frank said that she did wanted to correct an error she has seencirculating regarding a meeting she had with some citizens regarding their concerns about thetraining. Frank said that she did not refuse to answer their questions. Rather, she had to leave themeeting because of a police call she had to respond to. Nonruich Police Department (NPD) has beentransparent about the training; Frank posted information about it online in more than one place.Frank said the training is nationally recognized and seen as an effective program. Frank said thatthere are other training programs available that address other important aspects of school safety, andthe training at issue provides important information not covered by other trainings. Frank said that, indeference to maintaining positive community relationships, the training is going to be moved toanother town. Unfortunately, that means only one NPD officer can participate, rather than more.Now that NPD is not hosting the training, they will have to pay for it. Frank said she moved thetraining because she doesn't want to sacrifice relationships in Nonryich for the sake of this training.Langhus said that the NRA is a lobbying group for gun rights and he distrusts any training they wouldpay for. Arnold said that we need to consider the community's values in policing. Sofronas said hethinks that his experience in the Postal Service tells him it's important to take advantage of goodquality programming/trai ning.Frank introduced the newest Nonruich full{ime police officer, Joseph Pregent. comes to Non¡rich with many years of experience in law enforcement and a keen interest in
community policing. Frank åá¡O tnat Pregent also has training expertise which will be valuable to the
NPD.
4. Consent Agenda. Langhus moved (2nd Brochu) to approve the consent agenda, including the
suggested edits to draft minutes. Motion passed unanimously.
S. A. Liquor Licenses. Langhus moved (2nd Layton) to recess the Selectboard meeting and then
convene as ihe Nonruich Liquorbommission. Motion passed unanimously. SB recessed at 7:13'
Brochu asked Frank if Frank had received any complaints against any of the businesses seeking
liquor licenses. Frank said she was not aware of any liquor-related complaints, with the proviso that,
nót having had advance notice of this question, she did not have time to conduct complete research.
Frank said she will notify the SB of any complaints if she learns of any. Langhus moved (2nd Layton)
to approve liquor license applications for Frasers General Store (Dan & Whit's), Green Visjons
(Norwich lnn), and King Arthur Flour. Motion passed unanimously. Langhus moved (2no Layton)
io close the Nonruich Liquor Commission session and reconvene the Selectboard meeting. Motion
passed unanimously. SB reconvened at 7:15.
5. B. A/P Warrants. Langhus asked a question about road plowing charges from a private
contractor and also about saliexpenses. Durfee answered the question about the contractor and
said that he has talked with the DPW director about limiting salt usage wherever possible, but it will
be necessary to buy more salt, given the way this winter is going with ice - similar to last year.
Cheryl Lindbêrg said the school needs cash and in the past, there has been a cash flow agreement
betwéen the school and the town. Lindberg said that the Town Manager and Jamie Teague at SAU
70 have been working on an agreement to pay out smaller amounts from the town to the school more
frequen¡y. Brochu aéfed about gasoline purchases. Durfee said that Dan & Whit's cannot
themselves make a gas accountãrrangement with the town without D&W's gas vendor's involvement'
Frank said that D&Ws is contacting Ciigo to find out about options for having accounts for Nonruich
vehicles. For any non-ethanol gas needs, the town will purchase smqllamounts of gas to have on
hand for the vehicles and equipment that need it. Langhus moved (2n0 Arnold) to approve check
warrant #20-16 for General Fund in the amount of $92,684.09. Motion passed unanimously'
5. D. Conservation Commission Request re: FERC. Craig Layne, Chair of the Conservation
Commission, said that the Connecticut River Conservancy suggested the town send to the Federal
Energy Regulatory Commission (FERC) a letter containing the language included in the SB packet.
After brief discu.gion, SB members agreed that the Town Manager will sign the letter on their behalf.
Langhus moved 12nd La¡on) to approve the resolution addressed to the Federal Energy Regulatory
Commission, as suggesieO úy the Ñorwich Conservation Commission and contained in this meeting's
packet. Motion passed unanimously.
S. E. Town Meeting presentation. Arnold asked SB members for their input on his outline of the
presentation. Langhusiaid the outline looks good and suggested adding information on the FEMA
reimbursement sta'tus. Brochu suggested ensuring that all graphics in the presentation are legible.
Layton suggested adding information about the increased sand usage because of changed weather
puít"rnr. bÞ memners ãgreed to target 20 minutes as the length of the SB budget presentation.

6. A. Brochu said she envisions a committee that will do work to find best practices and markets
for waste. Langhus said that maybe this would be a committee convened periodically, rather than a

standing committee. Arnold said plastics recycling is particularly complicated. Durfee said thiscommittee could be very helpfulto the Town in providing information about solid waste and doingresearch into complex issues. Langhus moved (2nd La¡on) to adopt the Nonvich Solid WasteCommittee charge as described in this meeting's packet and amended to change the membership to5 members, and to advertise for vacancies on said committee. Motion passed unanimously.
7. Town Manager's Report. Durfee gave the SB copies of a more detailed financial report thanthe one included in the meeting packet [the detailed report will be included in the 2l26t2O2O SBmeeting packetl. Durfee walked through the financial report, noting areas of interest. Brie Swensonsaid we had to pay for more port-o-potties this past summer because Hanover High School did notrent the Huntley tennis courts and therefore didn't help pay for the port-o-potties. SB members saidbudget information from the TM was very helpful. Brochu asked Durfee if he would be askingdepartment heads to limit spending. Durfee said that yes, he has started doing that already. Durfeesaid that he is seeking SB input and concurrence with his proposal to hire Becky Grammer as lnterimFinance Officer. Langhus moved (2nd Layton) to concur with the Town Manager's recommendationto hire Becky Grammer as lnterim Finance Officer. Langhus said that, ultimately, this is the TM'sdecision. Langhus said he wants to know what due diligence the town has completed in exploringGrammer's credentials. Durfee said that, in addition to supervising Grammer and observing ner ñigfr-quality work, he has consulted Cynthia Stoddard from NEMRC, who has been working closég withGrammer and training her on NEMRC processes. Stoddard has said that Grammer ið verycompetent and capable of performing the functions of the job. Also, Accountemps, the companyproviding Grammer's contracted services, has vetted Grammer prior to her being assigned to work inNonvich. Durfee said he has told Grammer that she needs to finish her degree in order to beappointed as a director. Langhus said he thinks the town would need a CPÁ. Durfee said that theformer long-time Finance Director had originally been hired as a temp, and she was not a CpA.Layton asked about continuing education for Grammer and a timeline for completing sufficientcoursework. Durfee said approximately two years depending on Grammer's current level ofeducation. Durfee said he is eager to fully staff the Finance Office as soon as possible. Arnold saidhe likes the idea of an interim position. Langhus suggested that the SB table the motion and SBmembers agreed that Durfee will work with Omer Trajman, Cheryl Lindberg, John Pepper, and RogerArnold to develop a strategy for staffing the Finance Office.
After brief discussion, Langhus moved (2nd La¡on) to authorize the Town Manager to serve as aTown representative for the purposes of Social Security Business Services Onlinã. Motion passedunanimously.
SB members agreed that Langhus and Layton will work together to develop a TM contract proposal tobring to the rest of the SB.
At this point - 9:15 pm - Langhus left the meetingmeeting.
Arnold, Brochu, and Layton remained in the
SB members discussed how to proc_eed with the agenda for the remainder of the meeting. Theyagreed to hear the rest of Durfee's TM report and then adjourn after a brief executive sejsion toreceive information about a union grievance. Durfee asked for input from SB members regarding theformat of his latest written TM report. Durfee said he is looking ai outdated town strategic-plans lorguidance on updating a strategic plan. Layton said she likes the format of Durfee's latelt iM report.Durfee said that the Nonvich Prevention Network has obtained a grant for youth substance misuseprevention, for which grant Nonruich will serve as fiscal pass-through organization. the SB helpful information as it came to him. Durfee said that the Safety Committee has begun
meeting aiain and will be looking at all required trainings. Brochu said that town employees will need
AED training annually. Durfee sã¡O tfrat cybersecurityaraining has begun for all employees with
computer access. ourree said he is workíng on an RFQ to hire a consultant to create a plan for
integrated computer needs for the town. ourfee said he would like 2 of the SB members to sit with
him to discuss what they'd like to see in a strategic plan. Durfee would also like input from SB
members on his revised fee structure and an RFÞ for legal services on general town matter. Brochu
agreed to help Durfee with the fee structure'
Layton moved (2nd Arnold) to find that premature general public knowledge of facts regarding
upäoming a p"nding union grievance would clearly place the Selectboard at a substantial
disadvantage. Motion passed unanimously.
Langhus moved (2nd Arnold) to enter executive session under 1 VSA S 313(aX1XB & D) to discuss a
unio-n grievance and to include the Town Manager. Motion passed unanimously.
The SB entered executive session at 10:25 pm.

lam proposing a slight change to the draft minutes of the 2/t2/2O Selectboard meeting
While the first sentence is correct, I would like to have the second sentence in the draft minutes corrected in ltem 5 as
follows:
lnstead of ... Lindberg søid thot the Town Mdndger ønd lamie Teogue at SAU 70 have been working on an ogreementto pøy out smaller amounts lrom the town to the school more frequently.
The minutes should read something like: Lindberg has arranged for a cash flow schedule to be provided by JamieTeague at the SAU to the Town for future fiscal years. The cash flow schedule would allow for monthly amounts to bepaid, based upon the cash requirements of both the Norwich and Dresden School Districts.
While this may not be my exact words, I am closer to what I was reporting to the SB. The Town Manager and Jamie arenot working on an agreement.
