To be approved at the Board of Education meeting June 11, 2013. MINUTES OF THE MAY 14, 2013 REGULAR MEETING OF THE BOARD OF EDUCATION. THE BOARD OF EDUCATION MEETING IS VIDEOTAPED AND THE VIDEO IS AVAILABLE FOR REVIEW OR A COPY CAN BE OBTAINED BY CONTACTING THE TREASURER'S OFFICE AT THE HELEN H. "SUE" OSBORN ADMINISTRATION BUILDING. The Mentor Exempted Village Board of Education held its Regular Meeting on Tuesday, May 14, 2013 at 7:01 p.m. at Lake Elementary School, 7625 Pinehurst Drive, Mentor, Ohio. Members present: Mr. Alan J. Mihok, Mr. William J. Shaw, Mr. Andrew J. Sparacia, and Mr. Thomas V. Tuttle. Mrs. Mary L. Bryner was excused. Mr. Shaw led the assembled in the Pledge of Allegiance. Mr. Shaw asked for a moment of silence in memory of employee Kevin Turchetta who passed away suddenly on April 21, 2013. Mr. Sparacia moved, seconded by Mr. Mihok to approve the minutes of the regular meeting held April 11, 2013 as corrected for typographical errors in appropriation modifications on page 351. Roll Call: Ayes: Mr. Sparacia, Mr. Mihok, Mr. Tuttle, Mr. Shaw. The motion carried. 2013-5-90 At this time, Mr. Shaw stated that there would be a hearing of the public on agenda items only. There were none. Mr. Tuttle recognized the large list of donations to the school district. Mr. Mihok moved, seconded by Mr. Sparacia, that the Board of Education approve the consent agenda as presented by the Superintendent. Acceptance of gifts: Breakfast for 25 people from Yours Truly to the Hopkins Elementary School Character Development Fund Lunch from Chick-Fil-A to the staff at Ridge Middle School Two (2) iPads from Share A Vision to Lindsay Laufik’s class at Mentor High School One (1) iPad from the Rotary Club and Foundation of Willoughby to Alison Krema’s class at the Dr. Jacqueline A. Mr. Mihok moved, seconded by Mr. Tuttle that the Board of Education approve the following resolution to renew school improvement notes:
WHEREAS, pursuant to a resolution adopted May 8, 2012, notes in the aggregate principal amount of $1,170,000 dated June 1, 2012 (the “Outstanding Notes”), were issued for the purpose of constructing, renovating, remodeling, adding to, furnishing, equipping and otherwise improving School District facilities and clearing and improving School District sites which Outstanding Notes will mature on May 31, 2013; and WHEREAS, the amount of at least $195,000 is now available to be applied against the principal amount of the Outstanding Notes and this Board has determined to issue renewal notes in an aggregate principal amount not to exceed $975,000 to provide the remaining funds necessary to retire the principal amount of the Outstanding Notes at maturity; and WHEREAS, the Treasurer as fiscal officer of this Board has certified to this Board that the estimated life or period of usefulness of the improvements described in Section 1 is at least five years, the maximum maturity of the Bonds referred to in Section 1 is fifteen years, and the maximum maturity of the Notes referred to in Section 3, to be issued in anticipation of the Bonds referred to in Section 1, is June 5, 2028; NOW, THEREFORE, BE IT RESOLVED by the Board of Education of the Mentor Exempted Village School District, Counties of Lake and Geauga, State of Ohio, that: Section 1. It is necessary to issue bonds of this School District in an aggregate principal amount not to exceed $975,000 for the purpose of constructing, renovating, remodeling, adding to, furnishing, equipping and otherwise improving School District facilities and clearing and improving School District sites (the “Bonds”). Section 2. The Bonds shall be dated approximately May 1, 2014, shall bear interest at the now estimated rate of 4.50% per year, payable semi-annually (on June 1 and December 1, commencing December 1, 2014) until the principal amount is paid, and are estimated to mature in fifteen annual principal installments in such amounts that the total principal and interest payments on the Bonds in any fiscal year in which principal is payable are substantially equal, commencing December 1, 2014. Section 3. It is necessary to issue and this Board hereby determines that notes of this School District in an aggregate principal amount not to exceed $975,000 shall be issued in anticipation of the issuance of the Bonds (the “Notes”) and to retire the Outstanding Notes at their maturity. The Notes shall be designated “School Improvement Notes, Series 2013”; shall bear interest (computed on the basis of a 360-day year consisting of twelve 30-day months) at a rate not exceeding four per centum (4.00%) per annum, payable at maturity or any date of earlier prepayment as provided for in this Section, with provision, if requested by the purchaser, that, in the event of default in the payment of the principal of the Notes at maturity, the same shall bear interest at a different rate not exceeding ten per centum (10%) per annum from said maturity date until the principal sum is paid or provided for, with such rate or rates of interest to be fixed by the Treasurer in the Treasurer’s certificate awarding the Notes at private sale in accordance with Section 5 hereof (the “Certificate of Award”). mature one year from the date of issuance, provided that the Treasurer may, if it is determined to be necessary or advisable to the sale of the Notes, establish a maturity date that is not earlier than eleven months or later than one year from the date of issuance by setting forth that maturity date in the Certificate of Award. The Notes shall be issued in such numbers and denominations as shall be requested by the original purchaser thereof and approved by the Treasurer. The aggregate principal amount of the Notes may be represented by a single Note form representing the entire issue. The Notes may be issued as fully registered securities (for which the Treasurer will serve as the note registrar). The Notes shall be prepayable in whole or in part on any date, at par, at the sole option of the Board if agreed to by the original purchaser thereof. If agreed to by the original purchaser, prepayment prior to maturity shall be made by deposit with the paying agent designated pursuant to Section 4 hereof of the principal amount of the Notes to be prepaid together with interest accrued thereon to the date of prepayment. The Board’s right of prepayment shall be exercised by mailing a notice of prepayment, stating the date of prepayment and the name and address of the paying agent, by certified or registered mail to the original purchaser of the Notes not less than seven days prior to the date of that deposit, unless that notice is waived by the original purchaser of the Notes. If moneys for prepayment are on deposit with the paying agent on the specified prepayment date following the giving of that notice (unless the requirement of that notice is waived as stated above), interest on the principal amount prepaid shall cease to accrue on the prepayment date, and upon the request of the Treasurer the original purchaser of the Notes shall arrange for the delivery of the Notes at the designated office of the paying agent for prepayment and surrender and cancellation. Section 4. The Notes shall be signed by the President or the Vice-President, and Treasurer, of this Board, provided that one of those signatures may be a facsimile. The Notes shall express upon their faces the purpose for which they are issued, which may be in summary form, and that they are issued pursuant to the provisions of Chapter 133 of the Revised Code and this Resolution. The Treasurer is hereby authorized and directed to appoint, in the Certificate of Award, a bank or trust company (or the office of the Treasurer) to act as the paying agent (the “Paying Agent”) for the Notes and to designate the office of the Paying Agent at which principal of and interest on the Notes shall be payable, based on his determination that the appointment and designation will not endanger the funds or securities of the School District and that proper procedures and safeguards are available for that purpose. The principal of and interest on the Notes shall be payable in lawful money of the United States of America and shall be payable, without deduction for payment for the services of the Paying Agent, at the office of the Paying Agent designated in the Certificate of Award. Notwithstanding any other provisions of this Resolution, if it is determined by the Treasurer to be advantageous to the School District, the Notes may be issued in book entry form for use in a book entry system and, if and as long as a book entry system is utilized: (i) the Notes may be issued in the form of a single, fully registered typewritten Note and registered in the name of a depository or its nominee, as registered owner, and immobilized in the custody of a depository; (ii) the beneficial owners in book entry form shall have no right to receive Notes in the form of physical securities or certificates; (iii) ownership of beneficial interests in book entry form shall be shown by book entry on the system maintained and operated by the depository and its participants, and transfers of the ownership of beneficial interests shall be made only by book entry by the depository and its participants subject to the terms of this Resolution; and (iv) the Notes as such shall not be transferable or exchangeable, except for transfer to another depository or to another nominee of a depository, without further action by the Board. The Treasurer is also hereby authorized and directed, to the extent necessary or required, to enter into any agreements determined necessary in connection with the book entry system for the Notes, after determining that the signing thereof will not endanger the funds or securities of the School District. Section 5. The Notes shall be awarded and sold by the Treasurer at private sale for not less than the par value thereof in accordance with the provisions of this Resolution. The Treasurer shall sign a Certificate of Award (referenced in Section 3) evidencing that sale, determining the original purchaser of the Notes, the aggregate principal amount of the Notes, the interest rate or rates that the Notes shall bear, and the maturity date of the Notes, and making any other determinations and designations herein authorized. The Treasurer is authorized and directed to deliver the Notes, when executed, to the original purchaser upon payment of the purchase price. The President and Vice-President of this Board, and the Treasurer, as appropriate, are each authorized and directed to sign any transcript certificates, financial statements and other documents and instruments and to take such actions as are necessary or appropriate to consummate the transactions contemplated by this Resolution. In connection with the issuance of the Notes herein

authorized, the legal services of the law firm of Squire Sanders (US) LLP are hereby retained to act as bond counsel to this School District. Section 6. This Board covenants that it will use, and will restrict the use and investment of, the proceeds of the Notes in such manner and to such extent as may be necessary so that (a) the Notes will not (i) constitute private activity bonds, arbitrage bonds or hedge bonds under Sections 141, 148 or 149 of the Internal Revenue Code of 1986, as amended (the “Code”), or (ii) be treated other than as bonds to which Section 103 of the Code applies, and (b) the interest thereon will not be treated as a preference item under Section 57 of the Code. This Board further covenants (a) that it will take or cause to be taken such actions which may be required of it for the interest on the Notes to be and remain excluded from gross income for federal income tax purposes, (b) that it will not take or authorize to be taken any actions which would adversely affect that exclusion, and (c) that it, or persons acting for it, will, among other acts of compliance, (i) apply the proceeds of the Notes to the governmental purpose of the borrowing, (ii) restrict the yield on investment property acquired with those proceeds, (iii) make timely and adequate rebate payments to the federal government, (iv) maintain books and records and make calculations and reports, and (v) refrain from certain uses of proceeds and, as applicable, of property financed with such proceeds, all in such manner and to the extent necessary to assure such exclusion of that interest under the Code. The Treasurer, as the fiscal officer, or any other officer of the Board having responsibility for issuance of the Notes is hereby authorized (a) to make or effect any election, selection, designation, choice, consent, approval, or waiver on behalf of the Board with respect to the Notes as the Board is permitted or required to make or give under the federal income tax laws, including, without limitation thereto, any of the elections provided for in Section 148(f)(4)(C) of the Code or available under Section 148 of the Code, for the purpose of assuring, enhancing or protecting favorable tax treatment or status of the Notes or interest thereon or assisting compliance with requirements for that purpose, reducing the burden or expense of such compliance, reducing the rebate amount or payments of penalties, or making payments of special amounts in lieu of making computations to determine, or paying, excess earnings as rebate, or obviating those amounts or payments, as determined by that officer, which action shall be in writing and signed by the officer, (b) to take any and all other actions, make or obtain calculations, make payments, and make or give reports, covenants and certifications of and on behalf of the Board, as may be appropriate to assure the exclusion of interest from gross income and the intended tax status of the Notes, and (c) to give one or more appropriate certificates of the Board, for inclusion in the transcript of proceedings for the Notes, setting forth the reasonable expectations of the Board regarding the amount and use of all the proceeds of the Notes, the facts, circumstances and estimates on which they are based, and other facts and circumstances relevant to the tax treatment of the interest on and the tax status of the Notes. The School District hereby represents that the Outstanding Notes were designated “qualified tax-exempt obligations” pursuant to Section 265(b)(3) of the Code. The School District hereby covenants that it will redeem the Outstanding Notes from proceeds of, and within 90 days after issuance of, the Notes, and represents that all other conditions are met for treating the Notes as “qualified tax-exempt obligations” and as not to be taken into account under subparagraph (D) of Section 265(b)(3) of the Code, without necessity for further designation, by reason of subparagraph (D)(ii) of Section 265(b)(3) of the Code. Further, the School District represents and covenants that, during any time or in any manner as might affect the status of the Notes as “qualified tax-exempt obligations”, it has not formed or participated in the formation of, or benefited from or availed itself of, any entity in order to avoid the purposes of subparagraph (C) or (D) of Section 265(b)(3) of the Code, and will not form, participate in the formation of, or benefit from or avail itself of, any such entity. The School District further represents that the Notes are not being issued as part of a direct or indirect composite issue that combines issues or lots of tax-exempt obligations of different issuers. Each covenant made in this Section with respect to the Notes is also made with respect to all issues any portion of the debt service on which is paid from proceeds of the Notes, to the extent such compliance is necessary to ensure exclusion of interest on the Notes from gross income for federal income tax purposes, and the officers identified above are authorized to take actions with respect to those issues as they are authorized in this Section to take with respect to the Notes. Section 7. The par value to be received from the sale of the Bonds or of any renewal notes and any excess funds resulting from the issuance of the Notes shall, to the extent necessary, be used to pay debt charges on the Notes at maturity and are hereby pledged for such purpose.

Section 8. During the year or years in which the Notes are outstanding, there shall be and is hereby levied on all the taxable property in this School District, in addition to all other taxes, the same tax that would have been levied if the Bonds had been issued without the prior issuance of the Notes, which tax shall not be less than the interest and sinking fund tax required by Section 11 of Article XII, Ohio Constitution. That tax shall be within the ten-mill limitation imposed by law, shall be and is ordered computed, certified, levied and extended upon the tax duplicate and collected by the same officers, in the same manner and at the same time that taxes for general purposes for each of those years are certified, levied, extended and collected, and shall be placed before and in preference to all other items and for the full amount thereof. The proceeds of the tax levy shall be placed in the Bond Retirement Fund, which shall be irrevocably pledged for the payment of the debt charges on the Bonds and the Notes, when and as the same fall due. Section 9. The proceeds from the sale of the Notes shall be paid into the Bond Retirement Fund and those proceeds are hereby appropriated and shall be used for the purpose for which the Notes are being issued. Any transfers of legally available funds necessary to pay debt service on the Outstanding Notes are hereby authorized and such funds are hereby appropriated for such purpose. Section 10. It is hereby determined that all acts and conditions necessary to be done precedent to and in the issuing of the Notes in order to make them legal, valid and binding general obligations of the Mentor Exempted Village School District have been performed and have been met, or will at the time of delivery of the Notes have been performed or have been met as required by law; that the full faith and credit and general taxing power (as described in Section 8 hereof) of the Board are hereby pledged to the timely payment of debt charges on the Notes; and that no statutory or constitutional limitation of indebtedness or taxation will have been exceeded in the issuance of the Notes. Section 11. The Treasurer of this Board is hereby directed to forward a certified copy of this Resolution to the Auditors of Lake and Geauga Counties. Section 12. It is hereby found and determined that all formal actions of this Board and of any of its committees concerning and relating to the adoption of this Resolution were adopted in an open meeting of this Board, and that all deliberations of this Board and of any of its committees that resulted in those formal actions were in meetings open to the public, in compliance with the law.
